Good Evening!

Here are my inputs on the Steel Structure Sales Contract:

1.) ARTICLE 3, Subparagraph V in connection with Article 7.3:

The Seller must also provide the Purchaser and the Purchaser's Bank
copy of the Certificate of Analysis. Such document is required to ensure
that certain specifications have been met, and to guarantee that the
importer is receiving what it ordered.

2.) Article 6.6 provides;

"The Purchaser is responsible for Materials checking in the


Seller’s factory upon receiving the Seller’s written
notification on goods checking no later than four (04)
calendar days from the issuance of such notification from
the Seller. After such period, the Purchaser fails to take
action, the Seller shall carry out shipment work without
later responsibilities."

Should it become necessary to extend the four day checking of


materials due to reasonable causes (e.g. force majeure), the same must be
granted by the Seller upon request in writing by the Buyer.

3.) These provisions can be placed under WARRANTIES/APPENDIX 2:

 The Seller guarantees that each shipment shall be provided with


an inspection certificate of weight and quality at the time of
loading and such certificate shall be provided by the appropriate
authority at seller’s expense, and shall be deemed to be final.

 If discrepancies should at any time and in particular case result


in relation to the inspection certificate issued at the port of
loading and destination, it is hereby agreed that arbitration shall
be employed to determine the appropriate judgment.

 Both parties agree to be bound by the arbitrator’s decision.

4.) Provision on Non-Disclosure can be added:


e.g. "It is agreed that any information of buyer and seller contained in
this agreement is to be held in the strictest confidence, and any violation of
which will result in the immediate cancellation of this agreement."

5.) Electronic Transmission


Since the contract involves an international transaction, Electronic
Transmission shall be allowed for the convenience of the parties and
expediency of negotiation.

These provisions can be added:

 Electronic signature is valid and accepted as hand


signature.

 EDT (electronic document transmissions) shall be deemed


valid and enforceable in respect of any provisions of this
contract.
