According to the plan described in Application for issuance of the Investment Certificate and
the other documents submitted to the People’s Committee of Ho Chi Minh City and
Department of Planning and Investment of Ho Chi Minh City for establishment of ASWIG
SOLUTIONS VIETNAM COMPANY LIMITED (hereinafter referred to as the “Company”),
business activities of the Company are as follows: “Providing consultancy services related to
the installation of computer hardware; systems and software consulting services; systems
analysis services; systems design services; programming services; systems maintenance
services and data processing services”.

Accordingly, the Investor would like to explain on satisfying business conditions as follows:

1. Setting up the Company having 100% foreign capital:

The Investor, ASWIG IT PTY LTD, is legally established and operated in Australia,
which officially joined WTO from January 1st, 1995. Like Australia, Vietnam also
officially joined WTO from January 11th, 2007 and committed to open the market of
computer service and relevant services to the members of WTO, including investors of
Australia. Besides, according to the commitment of WTO dated 27 October 2006,
Vietnam allows establishment of companies having 100% foreign capital for
providing the computer services and other related services. Thence, the establishment
of ASWIG SOLUTIONS VIETNAM COMPANY LIMITED to provide the services
as above described are in conformity with the regulations of Vietnamese law.

Besides, information technology is one of the most important factors in social

development. Application and development of information technology in Vietnam to
impulse the renovation, quickly development and modernization of economic sections,
enhance competitive capacity of enterprises, effectively assist to proceed of
international economic integration. Thus, information technology is one of the top
priority industries which the Vietnamese Government attaches special importance to
encourage development. With respect to information technology service, Article 53 of
the Law on Information Technology No. 67/2006/QH11 dated 29 June 2006 indicates
that the State has many policies encouraging the development of information
technology services and specify preferential regimes for types of information
technology service set up in Vietnam. Thence, establishment of the Company is in
accordance with regulations of prevailing law.

2. Experienced ability

ASWIG IT PTY LTD began as the Information Technology (IT) department within
Employers Mutual Group, which was established over 100 years ago and currently has
over 1200 staffs. As from the date of establishment to present, the Investor has
obtained a number of achievements, affirmed its position being one of the leading
companies in information technology industry and gained trust of many local clients
and foreign customers. The Investor has the team of over 100 qualified and
experienced information technology professionals certificated by tool vendors such as
Microsoft, Cisco and VMW. Thus, we always run the target of supplying quality,
innovative and timely solutions to our customers. Apart from its head-office in
Australia, a representative office in Ho Chi Minh city, Vietnam is being operated to
introduce and advertise our computer services to Vietnamese customers.

Therefore, with the ready business management ability and having thorough
knowledge of the computer service field, the Investor would commit to have sufficient
ability and experience for providing services related to the installation of computer
hardware, systems and software consulting services, systems analysis services,
systems design services, programming services, systems maintenance services and
data processing services in Vietnam.

3. Regarding other conditions:

Employee staffs:

As mentioned above, the Investor presently has the team of the first-rate experts
having many years of industry experience in information technology section including
certifications issued by international prestigious tools vendors. Thus, to ensure
business operation of the Company in the initial stage as from the establishment date,
the Company will assign the professional managers and experts who have high
professional knowledge from Australia to Vietnam to manage and train the human
resource being Vietnamese staffs. Concurrently, the Investor will move some
Vietnamese staffs who have thorough knowledge of the Company’s operations,
business market in Vietnam and are working in the Investor’s the representative office
in Ho Chi Minh city to support the Company’s operations. Besides, the Company will
recruit more employees having much experience, high professional level from human
suppliers in information technology field for its experts. Those staffs shall be trained
by the first-rate experts of the Investor or participated in the training course in
Australia to enhance professional knowledge. Thence, the Company will bring the
Investor’s experience in developing managerial and executive staff and technical expert
to develop local human talent for management, executive and other positions in the
Company relating to the transactions relating to the business of the Company.

The Company undertakes to carry out the procedures of application for Work Permits
for foreign employees in accordance with regulations of Vietnamese law.

Material Facilities:

The Company intends to lease whole area having use area about 465.4 m2 of Unit 2,
20th Floor, Green Power Tower, 35 Ton Duc Thang Street, District 1, Ho Chi Minh
City, Vietnam to locate its head-office and fully instal modern equipment for its
operations.

The Company commits to maintain satisfaction of business conditions as said above during
term of the project. We are looking forward to obtaining your Authority’s support and
approval for establishment of the Company soon.
