COURSE OUTLINE

BUSINESS LAW
2nd Semester, A.Y. 2019-2020

Course Description:

This course is an introduction to business law that will expose students to the
laws on partnership, agency and trust, and corporation law and how they are
applied in a realistic Philippine setting. The course covers kinds of
partnerships and partners, rules on agency and trust, and the latest
provisions the Revised Corporation Code, Civil Code and other pertinent
provisions of the Securities and Exchange Regulation Code.

General Objectives:
At the end of the course, the students are expected to:
1. Equipped with a deeper understanding of the kinds of partnerships and
the obligations and rights of partners.
2. Accurately determine the differences of partnership, agency and trust
3. Practice critical thinking and communication skills by carefully analyzing
and interpreting the laws on partnership, agency, trust, and corporation.
4. Clarify acquired knowledge of business law by solving different business
law problems and exercises.

Course Outline:

PRELIM

Objectives:
At the end of the prelim period, the students are expected to:
1. Know the essential elements of a contract of partnership
2. Determine the existence of a contract of partnership
3. Identify the various classifications of partnerships

At the end of the midterm period, the students are expected to:
1. Know the obligations and rights of partners.
2. Determine the intricacies on the rules of dissolution and winding up of
partnerships.
3. Identify the difference of a common partnership and limited
partnership.

GRADING POLICY:
Periodic Exams – 100%; Class Standing – 100% (Quizzes 50% ,
Assignment 15%, Character 10%, Recitation 15%, Attendance 10%)
In order to earn a passing grade, the student should get a transmuted grade
of 75%
