Please read these Terms and Conditions carefully before using the services
(hereinafter referred to as “Services”) provided by the INTERNATIONAL FREE
ZONE AUTHORITY (hereinafter referred to as “IFZA”). The Terms and Conditions
also includes the Services mentioned on the website and Mobile App provided and
operated by IFZA.

Your access and use of the Services are conditioned on your acceptance of and
compliance with these Terms and Conditions. The latter applies to the company’s
managers, employees and any parties related to them who use our Services.

By signing of these Terms and Conditions, you agree to the following:

1. IFZA COMPANIES
1.1. The registration process in IFZA for any IFZA Company starts upon completion and
submitting of the respective Application Form and payment of the applicable fees by
the applicant.
1.2. An application for establishing an IFZA Company may in some rare cases also be
denied. If the reason for such a denial is related to the applicant, one of the
shareholders or one of the managers of the IFZA Company to be established -
including, but not limited to any security clearance denial by the relevant UAE
Authorities for any such person - any fees paid by the applicant to the IFZA
Department for the Establishment Card and the E-Channel Subscription shall be
reimbursed by the IFZA Department to the applicant. Any other fees paid by the
applicant to the IFZA Department so far shall be forfeited.

1.3. The IFZA Department, i.e. the department having responsibility for the formation,
registration and regulation of IFZA Companies, shall be entitled to request any
additional documentation, information or (and) clarification from the applicants as
may be needed from time to time from any applicants.

1.4. By signing of these Terms and Conditions the applicants guarantee and warrant that
they are not involved in any illegal activities, money laundering or any other illegal or
immoral actions that may have a negative impact in any way on the reputation of
IFZA, the Fujairah Government or the United Arab Emirates in general.

1.5. The application approval for the establishment of an IFZA Company, shall be at the
sole discretion of IFZA. The latter reserves the right to reject any application or to
require guarantees or any other kind of documents from any applicants at any time.

1.6. Any IFZA Company shall only be involved in business activities corresponding to
their licenses. Penalties may be imposed against licensees who breach this
condition and are operating an IFZA Company contrary to its license and or the
applicable rules and regulations issued by the Ruler of Fujairah and the Authority
related to the Free Zone (Resolution No. 6 of 2018 and Resolution No. 8 of 2017)
and/or the IFZA Company in question and the provision of the UAE Federal Law
No. (2) of 2015 concerning Commercial Companies as well as any other
applicable laws in the United Arab Emirates or the morals, ethics and religious
beliefs of the United Arab Emirates.
 1.7. Any IFZA Company can be cancelled and deregistered at any time upon a
shareholder’s board resolution and the approval of IFZA. IFZA will only provide
such approval and deregister an IFZA Company, if all applicable requirements have
been fulfilled and there are no monies due to IFZA and or third parties from such
IFZA Company. IFZA will not reimburse any licensee fees or other fees etc., if such
request for cancellation and de-registration is made after the issuance of the license
and/or during the validity of the license.

1.8. In case a license is not renewed within a maximum of 30 days after its expiry, a fine
as per the published price list available on the IFZA website shall be imposed.

1.9. Companies registered within IFZA are permitted to carry out their business activities
within IFZA and elsewhere subject to applicable laws and regulations.

2. VISAS (if applicable, depending on the license package chosen):

2.1. Rules and regulations to visas and residency are subject to change from time to
time by the respective UAE and Fujairah authorities.

2.2. In order to apply for visa a so-called Establishment Card and an E-Channel
Subscription is mandatory for any IFZA Company. Applicable fees for the
Establishment Card and E-Channel Subscription as well as the visa itself must be
paid to IFZA. The E-Channel Subscription enables IFZA to apply for visas online on
behalf of the IFZA Company. Hence, in order to keep visas of employees and/or
investors valid and to be able to apply for visas, any IFZA Company must renew the
Establishment Card and the E-Channel Subscription before its expiry date. Failing to
do so on time triggers a fine, which will be determined by the Fujairah Immigration.

2.3. Residence visas issued from Fujairah Immigration through IFZA have a validity as
provided by the respective license package chosen by the licensee.
 2.4. It is the responsibility of any IFZA Company to ensure that employees have a valid
employment or residence visa and to ensure that these are renewed or cancelled in
a timely manner.

2.5. IFZA is not responsible for any visa overstay of the licensee’s employees and is not
responsible for any penalties imposed by the Immigration Authorities in Fujairah as
a result of any overstay.

2.6. IFZA is not responsible for any visa application rejection from Fujairah Immigration
Authorities.

2.7. IFZA Companies are not allowed to exceed the number of visas allocated as per the
license package chosen.

2.8. All license holders are responsible to settle their financial obligations towards their
employees (salaries, allowances, vacation time etc.) according to the employment
agreement with such employees, which should be signed in accordance with U.A.E.
Labor Law.
