AGREEMENT FOR LEGAL SERVICES

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT made and executed by and between:

Efraim Plaga Proctan and Stephanie Proctan, both Filipino citizens, of

legal age, married and currently residing at Purok 4A, Libertad,
Bunawan, Agusan del Sur (hereinafter referred to as the "CLIENTS");
- and -
Atty. Sarah Joy V. Luzon, a bona fide member of the Philippine Bar
with Roll Number 73867 (hereinafter referred to as the "LEGAL
COUNSEL"
 

WITNESSETH: That -
WHEREAS, the LEGAL COUNSEL has offered its professional legal
services to the CLIENTS and CLIENTS agree to avail the professional
legal services of the LEGAL COUNSEL, subject to the following terms
and conditions hereinafter stipulated:

NOW THEREFORE, for and in consideration of the mutual

covenants and agreements herein agreed upon, the CLIENTS and the
LEGAL COUNSEL, by these presents, have entered, as they hereby
enter, into a contract of services whereby the LEGAL COUNSEL shall
render legal services to the CLIENTS, under the following
terms and conditions:

1. The LEGAL COUNSEL will render her legal service to the CLIENTS
and represent CLIENT Efraim Proctan for the prosecution of the
criminal case of aforementioned CLIENT with Criminal Case No.
17-CR-4746-B for Serious Physical Injuries filed before 1 st
Municipal Circuit Trial Court of San Francisco-Rosario-Bunawan
wherein said CLIENT is the offended party;

2. The term or duration of this contract shall be until the

termination of the case or until the finality of judgment, unless
both parties reasonably withdraw from this agreement prior to
said termination or finality;

3. The LEGAL COUNSEL, while in the performance of its duties, shall

be entitled to an acceptance fee of Fifteen Thousand Pesos (P
15,000) payable upon the signing of this contract. Moreover, the
LEGAL COUNSEL is also entitled to an appearance fee of One
Thousand Five Hundred Pesos (P 1,500) for every appearance
before the courts or any consultation regarding the case;

4. The LEGAL COUNSEL shall also be entitled to additional fees

subject to the services rendered in relation to the case;

5. The LEGAL COUNSEL shall make itself available for ready

consultation by the CLIENTS in all matters requiring legal
 advice and opinion affecting the client. Written opinions rendered
by the LEGAL COUNSEL on matters affecting the interest of the
client shall be subject to confirmations;

6. The LEGAL COUNSEL shall not compromise or settle judicially or

extra-judicially any proceeding or suit wherein the CLIENTS are
parties involving the case, without the written
consent and conformity of the CLIENT or his duly authorized
representative;

7. The LEGAL COUNSEL, in addition to the herein enumerated

services, shall well and faithfully serve the CLIENTS and shall at
all times devote its whole time and attention to the
assignments and tasks given and/or entrusted to it by the
CLIENTS and shall do and perform all such services,
acts and things connected therewith as the CLIENTS shall from
time to time direct; nor shall the LEGAL COUNSEL at any time
get itself in a situation where a conflict of interest may arise
between those of the CLIENTS and the LEGAL COUNSEL and/or
its CLIENTS;

8. The LEGAL COUNSEL shall not, either during the term of this

contract or any time thereafter, use or disclose to any
person, office, corporation or entity any confidential information
concerning the affairs of the CLIENTS which he may have
acquired in the course of or as incident to this contract for its
own benefit, or to the detriment or probable detriment of the
CLIENTS;

9. It is understood and agreed that nothing in this contract shall be

construed as establishing the relationship of employer-employee
between the CLIENT and the LAW FIRM, including its personnel;

10. Any violation of the terms and conditions of this contract by

the LEGAL COUNSEL shall give the CLIENTS the option to rescind
or cancel immediately the contract without necessity of judicial
proceedings;

11. The CLIENTS reserve the right to terminate this Agreement

without need of cause or reason upon thirty-day written notice to
the LEGAL COUNSEL;

12. The LEGAL COUNSEL, on the other hand, reserved the right
to withdraw from this Agreement for just cause upon thirty-day
written notice to the CLIENTS.

IN WITNESS WHEREOF, the parties have signed this instrument

this June 27, 2019 at San Francisco, Agusan del Sur, Philippines.
