upper floor on the a part of the said land bearing Gat No. 229 and trees
i) In the premises the Vendors are seized and possessed of or well and
and the Confirming Party herein (hereinafter for the sake of brevity
purchase from the Vendors all that the said lands i.e. pieces or parcels of
Schedule therein and hereunder written together with trees well and
farm house thereon and delineated on the plan thereof thereto annexed
free from all encumbrances and with clear and marketable title at or for a
price of Rs. 5,59,50,000/= (Rupees Five Crore Fifty Nine Lakhs Fifty
and the Confirming Party agreed to reduce the consideration from Rs.
5,59,50,000/= (Rupees Five Crore Fifty Nine Lakhs Fifty Thousand only)
(Rupees Five Crores Twenty Six Lakhs Twelve Thousand Five Hundred
only) remains due and payable by the Confirming Party to the Vendors
l) By an Oral Agreement dated 1st March 2008, made between the the
agreed to purchase from the Confirming Party all that the said lands i.e.
and farm house thereon and delineated on the plan thereof hereto
annexed free from all encumbrances and with clear and marketable title
Thirty Four Thousand only) and upon certain terms and conditions
therein mentioned;
m) In the premises, at the request and instance of the Confirming Party, the
Vendor has agreed to execute this Sale Deed in favour of the Purchasers
as hereinafter appearing.
NOW THIS SALE DEED WITNESSETH that in pursuance of the said First
Agreement and the said Second Agreement between the Vendor and the
Crores Twenty Six Lakhs Twelve Thousand Five Hundred only) paid by the
Purchasers at the request and direction and for and on behalf of the Confirming
Party (from out of the consideration payable by the Purchasers to the Confirming
Party under the said Second Agreement) to the Vendor on or before the
execution of these presents which taken together with a sum of Rs. 62,00,000/-
(Rupees Sixty Two Lakhs only) paid by the Confirming Party to the Vendor on
16th October 2007 makes in aggregate a sum of Rs. 5,26,12,500/- (Rupees Five
Crores Twenty Six Lakhs Twelve Thousand Five Hundred only) being the
amount of full price or consideration payable the Confirming Party to the Vendor
under the said First Agreement (the payment and receipt whereof the Vendor
doth hereby admit and acknowledge and of and from the same and every part
thereof do forever acquit, release and discharge the Confirming Party and the
Three Crores Forty Seven Lacs Twenty One Thousand Five Hundred only) paid
by the Purchasers to the Confirming Party which taken together with the
aforesaid sum of Rs. 4,64,12,500/- (Rupees Five Crores Twenty Six Lakhs
Twelve Thousand Five Hundred only) paid by the Purchasers at the request and
direction and for and on behalf of the Confirming Party to the Vendor on or
8,11,34,000/- (Rupees Eight Crores Eleven Lakhs Thirty Four Thousand only)
being the amount of full price or consideration payable by the Purchasers to the
Confirming Party under the said Second Agreement (the payment and receipt
whereof the Confirming Party doth hereby admit and acknowledge and of and
from the same and every part thereof do forever acquit, release and discharge
the Purchasers), they the Vendors do hereby grant, sell, convey and assure unto
and to the use of the Purchasers and the Confirming Party doth hereby transfer
assure and confirm forever all that the said agricultural lands hereditaments and
premises namely:
lying and being at village Bamansure, Tal. Alibag, Dist. Raigad Registration
trees, well and houses thereon and more particularly described in the Schedule
hereunder written and delineated on the plan thereof hereto annexed and
thereon shown surrounded by a red colour boundary line TOGETHER WITH all
buildings, court yards, areas, compounds, sewers, drains, ditches, fences, trees,
plants, shrubs, ways, paths, passages, commons gullies, wells, waters, water-
or in any wise appurtenant to or with the same or any part thereof now or at or
any time heretofore usually held, used, occupied or enjoyed or reputed or known
AND also together with such of all deeds & documents, writings, vouchers, and
other evidences of title relating to the said property or any part thereof as are in
the possession of the Vendor AND ALL the estate, right, inheritance, title,
equity or otherwise of the Vendor into out of or upon the property hereby
conveyed and every part thereof (all which are hereinafter collectively referred
TO HAVE AND TO HOLD all and singular the said property hereby granted,
and every of their rights, members and appurtenances unto and to the use and
benefit of the Purchasers forever in the proportion i.e to say (1) _____ % of the
land comprised in this Sale Deed to be held by Purchaser Mr.___ (2) _____ %
of the land comprised in this Sale Deed to be held by Purchaser _____ _____
_____ _____ and (3) the remaining _____ % of the land comprised in this Sale
all rents, rates, taxes, assessments, dues, and duties now chargeable in respect
public or local body or authority in respect thereof from the date of execution of
these presents.
THEM doth hereby covenant with the Purchasers that notwithstanding any act,
deed, matter or thing whatsoever by the Vendor or the Confirming Party made
done committed omitted or willingly suffered to the contrary they the Vendor and
the Confirming Party have in themselves good right full power and absolute
authority to convey and assure the said property hereby granted released
AND THAT it shall be lawful for the Purchasers from time to time and at all
time hereafter peaceably and quietly to hold enter upon occupy or possess and
enjoy the said property with the appurtenances and receive the rents issues and
profits thereof and every part thereof for his own use and benefit without any
suit, lawful eviction or interruption, claim and demand whatsoever from or by the
Vendor or the Confirming Party or any person claiming by, through, under or in
trust for the Vendor the Confirming Party or his or their heirs or any of them
AND free and clear and freely and clearly and absolutely acquitted exonerated
released and for ever discharged or otherwise by the Vendor and the Confirming
Party well and sufficiently saved defended kept harmless and indemnified of
from and against all former and other estates, title, charge, and encumbrances
suffered by the Vendor or the the Confirming Party or any other person or
him/her/them
AND FURTHER that he the Vendor, the Confirming Party and all persons having
equity in the said property hereby granted conveyed transferred and assured or
any part thereof by from under or in trust for the Vendor and the the Confirming
Party and their respective heirs, executors administrators and successors shall
and will from time to time and at all times hereafter at the request and cost of the
Purchasers do and execute or cause to be done and executed all such further
and other lawful and reasonable acts, deeds, matters and things conveyances
and assurances in law whatsoever for the better further and more perfectly and
absolutely granting vesting the said property unto the Purchasers in manner
Purchasers, the Vendor, simultaneously with the execution of this Sale Deed,
THAT the Confirming Party shall within a period of 80 (Eighty) days from the
(a) clear all the defects and settle all the claims or objections, if any
in title so as to make out a clear and marketable title to the said
property free from all encumbrance acquisitions and requisitions;
(b) cause the owners for the time being of land bearing Gat no. ___
___ ___ and ___ to hand over to the Gram Panchayat,
Bamansure, a 15 ft. wide access connecting the public road and
the said property; and
(c) execute and cause all the concerned and necessary parties to
execute one or more sale Deeds and all other papers, writings
and deeds and documents for transferring, conveying and
assuring unto the Purchasers the land bearing Gat no 249 Hissa
No. 2 admeasuring 0-47-4 H. R. in favour of Purchasers after
obtaining all necessary sale permissions including permission for
sale under 32-G of the B.T.A.L. Act or otherwise and which the
Confirming Party has agreed to purchase from
____________________________ and others on one hand and
has agreed to sell to the Purchasers herein on the other.
