Services: The Merchant hereby agrees that Zomato shall list the Products sold at the Store along with the Price list on
Zomato Platform.
Logistics Services: All Orders will be delivered to Customers through facilitation services offered by Zomato through
Logistics Personnel.
Commission: The Merchant hereby agrees that it shall pay Zomato 17 % of Net Sales of the Order Value per Order.

Payment Mechanism Fee: The Merchant hereby agrees that it shall pay Zomato 1.8 % of the Order Value per Order

Cancellation / Rejection charges: If applicable, as set out in the Terms.

Payment Settlement Process: Zomato shall transfer the Order Value received from the Customer to the Merchant after
deduction of the following amounts, as applicable: (a) Commission; (b) Payment Mechanism Fee; (c) Taxes as applicable;
(d) Any other amounts, charges that are due to Zomato under the Form and/or the Terms.
The parties acknowledge and agree that after the deduction of the aforementioned amounts, Zomato shall remit the Net Order
Value due to the Merchant:
□ On a weekly basis, after allowing reasonable time for adjustments towards Orders for which the Customers have either
refused to pay or have claimed a refund (“Payment Settlement Day”). The Payment Settlement Day for Orders serviced from
Monday to Sunday shall be on or before Thursday of the following week.
□ Zomato shall remit the Order Value due to the Merchant within a period of 3 bank working days from the date the
payment of the Order Value is received by Zomato.
If the Payment Settlement Day falls on a bank holiday it shall be the following working day.

Additional terms:
a. Logistics Services and Charges: The Logistics Services shall be rendered in accordance with the Terms.
b. Taxes: All amounts payable by the Merchant hereunder the Form/and or the Terms shall be exclusive of
applicable taxes and shall be payable by the Merchant.

Declaration:
The Merchant/I, on behalf of the Merchant, hereby affirm, confirm and undertake to have read and understood the Terms and
Conditions for Zomato Delivery (“Terms”) offered by Zomato Media Private Limited (“Zomato”) which are displayed on
www.zomato.com/zomatodeliveryterms/india, the website maintained by Zomato. Further, the Merchant/I, on behalf of the
Merchant, hereby accept and agree to comply with the Terms and the rights, obligations and liabilities of each party set out
therein read along with this Form. All capitalized words, not defined under the Form, shall find its meaning under the Terms. The
Merchant hereby agrees to be subject to and comply with all the provisions of the Terms which are incorporated by reference
herein and deemed to be part of this Form to the same extent as if such provisions had been set forth in full herein. Hard copy of
the Terms is also available upon request. This Form and the Terms constitute a legally binding contract between the parties and
shall be read along with this Form. Except as expressly set-out herein, the Parties hereby agree that this Form supersedes and
replaces any and all previous agreements/forms between the Parties for Zomato Delivery. Further, the Merchant/I, on behalf of
the Merchant hereby represent and warrant that the Merchant/ I, on behalf of the Merchant have the right and authority to bind
the business/the Merchant to these Terms.

I/We hereby declare that the particulars provided above and the documents provided along with this Form are true, correct and
complete to the best of my/our knowledge and belief and have been legally obtained from the respective issuing authorities. In
case of any change in any of the aforementioned particulars, I/we undertake to notify Zomato in writing and further agree to
reimburse Zomato for any GST (including but not limited to interest and penalty) or any other liability on account of any mis-
declaration made by me/us.
