GALILEOS Viewer License Agreement EULA

This is a legal agreement between you (either an individual or a single entity) and
Sirona Dental Systems GmbH (hereinafter called Sirona) for the
software GALILEOS Viewer and associated media, as the plugins and printed materials
(hereinafter collectively called GALILEOS Viewer). By installing or otherwise using
GALILEOS Viewer, you accept all the terms and conditions of this agreement.
GALILEOS Viewer is owned by Sirona and is protected by international copyright
laws.
By this license agreement, Sirona grants you a non-exclusive license to
use GALILEOS Viewer on the terms set forth below.

0. Designated use
GALILEOS Viewer is intended for use as planning
qualified dental professionals in the placement
of surgical implant treatments. GALILEOS Viewer
information produced by Sirona GALILEOS medical
and simulation software to aid
of dental implants and the planning
is based on medical imaging
cone beam scanner.

1. Minimum system requirements

Processor: Dual Core 1.6 GHz
RAM: 2 GB
Graphics system: 128 MB external video card, 24-bit color at 1024x768
resolution, Shader Model 3 (allows advanced 3D rendering for data including implant
plans)
Hard disk: 5 GB
Drive: CD-ROM
Accessory: Keyboard, mouse
Operating system: Windows XP Professional (32-bit) with SP3 and .NET 2.0
Runtime Libraries or Windows Vista Business (32-bit) with SP2 or Windows 7
Professional (32-bit or 64-bit)

GALILEOS Viewer may not be used on any computer that does not meet these
requirements. No computer with a GALILEOS Viewer installation may be downgraded in
any form. If the computer's configuration is changed in a manner that the above
requirements are no longer met, GALILEOS Viewer may no longer be used on that
computer.

2. Grant of License
A GALILEOS Viewer license can be used by more than one individual user.
You may store or install a copy of GALILEOS Viewer on a storage device, only used
inside an internal network.

3. Proprietary rights
Except for the limited license granted herein, Sirona, and its suppliers,
retains exclusive ownership of all proprietary rights (including all ownership
rights, title, and interest) in and to GALILEOS Viewer.

4. Limitations
You may not use, copy, or modify GALILEOS Viewer, in whole or part, except as
expressly provided for in this agreement. You may not rent, lease or
sublicense GALILEOS Viewer.
You may not reverse engineer, decompile or disassemble GALILEOS Viewer.

5. Term
The GALILEOS Viewer license is effective upon installation of the software.
You may terminate the license at any time by destroying the GALILEOS Viewer
installation together with all copies. Your GALILEOS Viewer license will terminate
automatically if you fail to comply with any term or condition of this agreement.

6. Disclaimer of warranties
Sirona and its suppliers provide the Product and support services (if any) - to the
maximum extent permitted by applicable law - AS IS AND WITH ALL FAULTS, and hereby
disclaim all other warranties and conditions, either express, implied or statutory,
including, but not limited to, any (if any) implied warranties, duties or
conditions of merchantability, of fitness for a particular purpose, of accuracy or
completeness of responses and information, of results, of workmanlike effort, of
lack of viruses, and of lack of negligence, all with regard to the Product, and the
provision of or failure to provide support services. ALSO, THERE IS NO WARRANTY OR
CONDITION OF TITLE, QUIET ENJOYMENT, QUIET POSSESSION, CORRESPONDENCE TO
DESCRIPTION OR NON-INFRINGEMENT WITH REGARD TO THE PRODUCT.

If you have lawfully acquired the product in Germany, the preceding disclaimer of
warranties is to be applied only within the scope as permitted by law.

7. Exclusion of incidental, consequential and certain other damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SIRONA OR ITS
SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES
WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS OR
CONFIDENTIAL OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY,
FOR LOSS OF PRIVACY, FOR FAILURE TO MEET ANY DUTY INCLUDING OF GOOD FAITH OR OF
REASONABLE CARE, FOR NEGLIGENCE, AND
FOR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY
RELATED TO THE USE OF OR INABILITY TO USE THE PRODUCT, THE PROVISION OF OR FAILURE
TO PROVIDE SUPPORT SERVICES, OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION
OF THIS EULA, EVEN IN THE EVENT OF THE FAULT, TORT (INCLUDING NEGLIGENCE), STRICT
LIABILITY, BREACH OF CONTRACT OR BREACH OF WARRANTY OF SIRONA OR ANY SUPPLIER, AND
EVEN IF SIRONA OR ANY SUPPLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Limitation of liability an remedies

Notwithstanding any damages that you might incur or a third person for any reason
whatsoever (including, without limitation, all damages referenced above and all
direct or general damages), the entire liability of Sirona and any of its suppliers
under any provision of this EULA and your exclusive remedy for all of the foregoing
shall be limited to the greater of the amount actually paid by you for the Product
or � 5.00. The foregoing limitations, exclusions and disclaimers (including
Sections 5 and 6 above) shall apply to the maximum extent permitted by applicable
law, even if any remedy fails its essential purpose.

If you have lawfully acquired the product in Germany, the limitations in the
preceding paragraphs 6 and 7 do not apply. Instead, the following shall apply:
Sirona shall be liable only in cases of malice intention, gross negligence, and in
case of injury of body and life as well as claims based the law on product-
liability ("Produkthaftungsgesetz").
Ay further liability is excluded. This does also apply for all liabilities
including civil offense ("unerlaubte Handlung").

9. In general
This agreement represents the complete agreement concerning this license
between the parties and supersedes all prior agreements and representations between
them.
This agreement may be amended or changed only in writing executed by both parties.
Any provision or provisions of this agreement which are deemed illegal, invalid, or
unenforceable in any state or country in which this agreement is effective, shall
in such state or country, to the extent of such illegality, invalidity, or
unenforceability, be deemed severed and shall not affect the legality, validity or
enforceability of any other provision hereof.
This agreement shall be governed by and construed under the laws of the
Federal Republic of Germany. Any and all claims, controversies or disputes arising
out or relating to this Agreement shall be subject to binding judgment of the
competent court of jurisdiction. Place of jurisdiction shall be at Sirona's
registered seat.
