Appointment as Marketing Executive

Dear Mr. Anshul Joshi,

We have pleasure in appointing you as Business Development Executive in our company with
effect from 03/05/2010 on the following terms and conditions:

1. Your emoluments / entitlement will be (in per month) as follows: -

Basic Salary Rs. 3500


2. Allowances Rs. 5400
3. Gross Salary Rs. 8900
4. P.F. Employer’s Contribution Rs. 420
5. E.S.I. Employer’s Contribution Rs. 423
6. Bonus Rs. 292
7. Gratuity Rs. 168

Total Monthly CTC Rs. 10176.00

2. As per existing Government Regulations, an amount equivalent to 12% of your Basic


Salary will be deducted towards Provident Fund & Professional Tax (if applicable) will
also be deducted from employee’s salary.
3. That initially, you will work on probation for six months. The period of probation can be
extended at the discretion of the Management and you will continue to be on probation till
an order of confirmation has been issued to you in writing.
4. That during the probation or extended probation period either side can terminate the
service without assigning any reasons, notice or payment in lieu thereof. Butting the
event of your being conformed in service, if you wish to leave the employment or the
Company decides to terminate your services, either side thereof shall give one month’s
notice or salary in lieu. However, in the event your service is terminated for fraud, theft, or
withholding of information in the Application form or for any other form of misconduct,
notice pay will not be payable.
5. You will be initially posted at Surat However; your services are transferable to any other
city/unit/section/any branch/establishment or any office of the company anywhere in
India, whether in existence or which may come into existence at any time hereinafter. For
this you will not be entitled to any extra remuneration or wages.
6. That salary for a particular month will be paid on the 7 th of the following month. If 7th
happens to be Sunday or a Public Holiday, the salary will be paid on the next working
day.

7. That you will submit yourself to the orders of the company and of the officers and
authority under whom you any from time to time be placed by the Company. You will be
governed by the Rules and Regulations and Bye- law prescribed for time being by the
Company for its Head Office. You will strictly observe working timing of office and in case
you are late in starting or resuming work at required times for more than 3 Occasions in a
month, you will be marked absent for full one day.
8. That you will employ yourself efficiently and gently to the best of your ability and will
devote your whole time to duties of the Company and will not engage yourself directly or
indirectly in any service, trade, business vocation or occupation (including agency of an
Insurance Company) or in advisory capacity and will not, except in case of accident or
illness certified by the competent medical authority, absent yourself from duties without
having first obtained permission from the Company’s authorized officers.
9. That if you absent yourself from the duties of the Company without prior written
permission or overstay the sanctioned leave for eight consecutive days, you will be
deemed to have abandoned the service voluntary without giving due notice and your
name will be struck off the rolls.
10. That for act / acts of misconduct, you could be liable for suspensions during enquiry or
final orders. You will however, be entitled to salary for the period of suspension if the
charges are not proved against you.
11. That in case you are incapacitated by reason of illness, accident or any other cause and
cannot perform your duties, the Company may at its option grant leave for a reasonable
time on full pay or half pay or without pay or terminate your services. Also, if you are
found suffering from any infectious / contagious disease, the Company may at its
discretion terminate your service.
12. If any personal injury is caused to you by accident while engaged on duty of the
Company, the Company shall only be liable to pay compensation in accordance with the
principles laid down in the workmen’s Compensation Act 1923 statutory modification
thereof. But, if you were covered under the Employees State Insurance Act, 1948, the
clause regarding compensation would not apply.
13. That all promotions and demotions will be at the sole discretion of the management of the
Company depending upon your efficiency, intelligence, regular attendance, sense of
discipline, loyalty and good behavior.
14. The retirement age is 58 years (as per Government Rule).
15. That you will be liable to be transferred in such capacity that the management may
determine, to any other department, branch, unit, factory or establishment under the
same management or same principals, whether existing or to be set up in future in any
part of India. In such cases, you will be governed by the terms and conditions of service
applicable at the new placement. You can also be transferred to another firm or another
firm or another company which is an associate or sister concern of this company or in
which this company or in which this company has nay interest, either financial or
managerial, provided your total emoluments are not adversely affected.
16. That during the tenure of service, you will keep your emoluments secret from other
members of this organization and will treat all information coming to you as strictly
confidential and information contained in all documents and papers and other matters
relating to the Company will not be divulged by you to any person other than the
Management of the Company.
17. You will maintain secrecy and will not disclose to the third persons any of the trade
secrets or other confidential information of the company or its affiliated companies,
including but not limited to, proprietary technical data, specifications and methods of
manufacture. You will take all appropriate measures necessary to keep such trade
secrets and confidential information from being disclosed to, or received by third parties.
18. Such trades secrets, proprietary technical data, specifications and methods of
manufacturing shall at all time, remain the property of the Company.
19. That all the time of entering duties or latest within a week of joining or on transfer, you will
be required to produce a medical certificate from the Company’s medical officer or such
Medical Officer the Company designates for, certifying that you are medically fit for work
and not suffering from infectious disease and that you agree to get yourself inculcated at
Company’s cost as and when required by the Company. At any time during your
employment with the Company, the Company the right to ask you to appear before any
doctor of Company’s choice examination at the Company’s cost and you will be bound by
such orders.
20. That if, for any reason beyond the control and power of the management. It is possible to
provide you with the employment for any specified period, you will be deemed to have
been laid-off and would in this respect be governed by the provision of the Industrial
Disputes Act, 1947 or any other enactment during to lay-of for the time being in force.
21. Rest for all other matters, you will be governed by the Rules, Regulations and service
conditions as applicable to the COMMERCIAL STAFF in force from time to time.
22. Terms and conditions are acceptable to you; please sign the duplicate copy taken of your
acceptance.
