The board has the authority to hire, fix compensation of, and remove employees of the University. It shall do
all things necessary to ensure the successful operation of and the maintenance of the university.

Term: 9 Years 2 years for student trustees.

Confirmation: Appointed by the Governor, confirmed by the Senate

Qualifications and Requirements:

At least 5 of the members shall be residents of Lucas County. A person who has served a full 9-year term is
eligible for reappointment only after four years has passed since the end of his/her appointment.

Meetings: The Board meets seven times per year in the Driscoll Center or Student Union.

Compensation: Expenses Only

I had a long visit with Richard Hylant this morning. He expressed his concerns with the lack of appointments being made 
to the Univ. of Toledo Board of Trustees. He indicated he has previously spoken with Jai about this and informed me of 
their conversations. That being said, and without discussing the substance of those conversations, I wanted to email you 
about the names that he said have been given to our office for consideration. Please let me know if any of these 
individuals need to do anything additional or even apply at this point and then hopefully some movement can be made 
on this. Here are the names:

Hey Jai,

As you probably know, Governor Kasich called me twice this week, and one of the subjects he
brought up was the need to find top candidates for the University of Toledo Board of Trustees.
We discussed one superb candidate, Steve Cavanaugh, and the Governor said he wanted me to
talk to you about Steve's background so you could give him serious consideration. I can provide
you with a detailed resume and background by phone or email, so let me know what would be
best for you, but here are a few of the highlights about why Steve Cavanaugh may be the best
possible candidate for the Governor to consider for UT.

Steve Cavanaugh is 44, and has lived his entire life in Ohio. He was a National Merit Scholar
out of high school who chose to enroll at the University of Toledo and was given a National
Merit Scholarship. He had a spectacular academic record at UT, including an extremely high
GPA, active in University and student affairs, and he graduated from UT as essentially the top
student in the School of a Business. I first met him when he was honored in his senior year for
that accomplishment. I immediately offered Steve a job to join our company and now 22 years
later, Steve is our Chief Operating Officer, leading a workforce of nearly 60,000, and is
nationally regarded as one of the top executives in health care. He also was previously my CFO
for six years, so he is very financially savvy, and he's still perhaps one of the top finance guys in
Northwest Ohio. HCR ManorCare is also one of the larger employers in Ohio, with about 7,000
employees reporting through Steve's organization in a Ohio alone, across all corners of the state
geographically, and representing a very diverse demographic.

Steve loves UT, and is a passionate season ticket holder for football and basketball. More
importantly, he has been very active in volunteering at UT to assist the University leadership in
many ways. He has been on the UT Business advisory council (including serving as chairman),
is currently on the Dean search committee, has been elected Treasurer of the UT Foundation (the
development arm of the University), helped lead capital campaigns for both the Business school
and now the University as a whole, and has been an important resource in several other areas. I

know that President Lloyd Jacobs thinks the world of Steve and has previously recommended
him to be considered for the Board of Trustees. Many other Trustees who you know, like John
Szuch, will also give Steve the best recommendations. Bob Savage is another important advocate
for UT who fully recognizes Steve's exceptional talent and leadership skills.

I could go on and on, but let me just add that Steve is also very politically astute. He has been
with me when we have met with the Governor in Toledo, and with many others, like Greg
Moody, when we have tried to assist your Administration with health policy in Ohio. Steve is
also working with other leaders, including Haley Barbour and Speaker Boehner, and dozens of
others on the national policy issues, so he knows the real world and is very well received by a
broad cross section of other dedicated folks. I can give you a list of references for him if that is
helpful.

Sorry to be so long in this message, but the Governor encouraged me to share this with you
because of the very real challenges UT is dealing with and the need to have strong and capable
Trustees to help lead the university through its tough road ahead.

He will replace Mr. Koester's seat on the board so his term will expire 2022. Here is a copy from the press release 
yesterday  

Steven M. Cavanaugh of Holland (Lucas Co.) has been appointed to the University of Toledo Board of Trustees for a term 
beginning April 14, 2014 and ending July 1, 2022. 

Also, we hope to have more appointees soon.
