and other circumstantial considerations. Contractor shall submit the updated schedule and cost after cessation of the COVID19, taking into
consideration its impact.

Hence the entire proposal in terms of cost and final Project delivery schedule has been and continues to be impacted due to COVID19 and

In case of any such event like COVID-19 (or other epidemic) during execution, Contractor shall be entitled for time and cost impacts affecting
Contractor’s performance of the services.

If the parties hereto should fail to settle such difference or dispute amicably within a period of 30 days of 1stfirst raising of dispute, the same
may be referred to arbitration and shall be finally settled by arbitration at the request of either of the parties hereto, as mentioned hereunder.

unless the award otherwise provides. All arbitration proceedings shall be held in New Delhi. All documentation shall be prepared, and all oral
proceedings shall be conducted, in the English language."

Consultant should also have a right of suspension/termination of work in case the Client fails to fulfill its contractual obligations including but not

injury/accident/ death, damage /action / loss caused to its personnel or property for whatever reasons, including any act or default or negligence
of the other Party”.

“OWNER shall indemnify and hold harmless the Contractor for any injury /accident/ death of any third party personnel and loss or damage
caused to any third party’s property”.

“The Owner shall indemnity the Contractor from any liabilities arising from pollution and contamination of any kind, including hydrocarbon
effluents or product escape, emanating from any spread, equipment or property other than any liability from the pollution spread, equipment or
property belongs to the Contractor or its sub-contractor.”

Please insert following ‘Rely-upon information Clause” to state that::

"The Services shall be provided based on information and documents made available to TPFMC by Client. TPFMC will not make any further

Payments including Final bills ,should be released for undisputed invoices within 30 days of submission. There should be a timeframe of 10
days to notify issues or disputes if any in invoice sibmitted, from date of submission of invoice.
17 Commercial Conditions 3/8 2 Interest on delayed payment
Bidder requests that Interest shall be provided if the payment is not made within 30 days from the date of bills for the undisputed bills @ 12%
per annum

In case of suspension by Owner, for no default of contractor, the later should be entitled to recover full cost, including but not limited to
irrevocable commitments made, escalation of cost and working capital cost for full period of suspension and loss of profit, if any.

Further, if suspension has been requested by Owner, with no default of Contractor and the work remains suspended for a period of 90 days
from first notice, the Contractor should also be entitled to terminate the contract with rights, as stated above for the work already executed
and/or part under execution,

18 Commercial Conditions 8/8 17 Termination If instances of suspension by Owner are frequent, and makes it impossible for contractor to execute its scope within tenure stipulated at
inception of contract, Contractor should be entitled to terminate along with right to recover cost as stated above.

Contractor should be allowed to terminate the contract for non clearance of undisputed dues of Contractor beyond 90 days

In case of irrevocable commitments or non-refundable advances, against commitments made by Contractor, and where termination is for no
fault of Contractor, full compensation including loss of profit, shall be payable by Company to Contractor
