enclosed the terms and conditions of our employment offer.

Should you find the terms and conditions of acceptable, please sign the
attached Employment Agreement, which will describe in full our contractual

Employment Agreement

This employment agreement (“Agreement”) is made effective on this the


26th day of May, 2008 between, Screencaster Software Private Limited,
(hereafter referred to as the ‘Company’), an incorporated company holding
premises at Technopark Campus, Thiruvananthapuram - 695 581 India, and
Mr. Vinod Kumar V.S , Aiswaraya, TC 21/1070/1, Nedumcaud, Karamana P.O,
Trivandrum,Kerala (hereafter referred to as the ‘Employee’) an employee
residing in India.

AND WHEREAS the Company has agreed to employ the Employee, and the
Employee has agreed to accept such employment, subject to the terms,
conditions, and covenants provided herein;

AND NOW THERFORE THIS AGREEMENT WITNESSES that in consideration of


the respective covenants herein contained, it is mutually agreed between the
parties hereto as follows:

ARTICLE 1 Employment and Services

1.1 The Company agrees to employ the Employee and the Employee
agrees to be so employed as Technical Editor of the Company subject to the
conditions set forth in this Agreement as of the date first written above (the
“EFFECTIVE DATE”).

1.2 During the term of his or her employment, the Employee shall devote
his or her working time and attention to the business and affairs of the
Company, and shall faithfully and diligently serve and endeavour to further
the interests of the Company. During such time, the Employee shall not
enter into the services of or be employed in any capacity or for any purpose
whatsoever by any person, firm or corporation other than the Company, and
shall not be engaged in any business, enterprise or undertaking other than
his or her employment hereunder, unless he or she first obtains the prior
written consent of the Company.

1.3 The Employee shall work primarily out of an office that is approved by
the Director of the Company.

1.4 The working hours of the Employee shall be from 9am to 6pm, Monday
to Friday. From time to time additional hours may be required to meet
deadlines, or to support other company initiatives.

1.5 The Employee will be employed for the first 90 days of his or her
employment agreement (“Probation Period”) on probationary terms,
starting with the Effective Date. During the probationary period the Employee
can be terminated without cause and/or without notice by the Company at
any time. Should the Employee be terminated during the Probation Period,
the Company shall pay the Employee no severance or make any termination
payments, except for accrued wages, vacation pay, or any monies owing on
mutually agreed expenses by the Employee that Company must reimburse.

1.6 The Employee, in his capacity as Flex Developer- Team Leader , will
be responsible for, but not limited to, the following duties:

i) To be an active member of the editorial and development team,


to attend all required meetings (virtually or in-person as
appropriate), and to fulfill such duties and obligations as would
be reasonably required of that role
ii) Prepare comprehensive plans, and schedules, and updating
those on a weekly basis
iii) Presenting plans and schedules to Team Managers , other
members of the Project team and other stakeholders for review
& approval as appropriate
iv) To act at all times in a professional manner
v) To maintain proficiency in the technical skills required to fulfill
software development tasks as they pertain to Company
business
vi) Other tasks as may be required from time to time, as requested
by management

Article 2 Compensation and Benefits

2.1 The Company shall pay to the Employee by way of compensation for
all services rendered a salary of INR 25,000 ( Rupees Twenty five
thousand) per month, as detailed in the Annexure , payable monthly
in arrears, throughout the term of the Employee’s employment, unless
the Company changes the employee’s salary.

2.2 The Company shall be entitled to withhold any amounts required


pursuant to applicable taxation laws of India in respect of the
compensation and benefits provided in this agreement,

Article 3 Vacation

3.1 At the end of 12 months employment, the Employee is entitled to 2
weeks of paid vacation. Suitable vacation time periods will be arranged
through the mutual agreement of the Employee and the management of the
Company. Vacations may only be taken in the year of entitlement and may
not be accumulated year to year.

Article 4 Confidentiality

4.1 As a condition of Employment, the Employee shall agree to the


following non-disclosure clauses below, covering information not publicly
known about The Company, its employees, customers and partners:

a. The Employee agrees that the Employee will not, during the
term of this Agreement, improperly use or disclose any proprietary
information or trade secrets of any former or current employer or other
person or entity and that Employee will not bring onto the premises of
the Company any unpublished document or proprietary information
belonging to such employer, person or entity unless consented to in
writing by such employer, person or entity.

b. The Employee agrees that in carrying out work for the Company
pursuant to this Agreement, the Employee may acquire confidential
information or proprietary information of the Company including, but
not limited to, business plans, technical data, trade secrets or know-
how, research and product plans, products, developments, inventions,
processes, computer algorithms, designs, configurations and software,
computer passwords and network access mechanisms, and in
particular business and/or scientific plans, formulas and technology
related to the Company's work ("Proprietary Information"). The
Employee agrees not to disclose any Proprietary Information to any
third party or to use any Proprietary Information for any purpose other
than performance of Services pursuant to this Agreement, without
prior written consent of the Company.

c. The Employee agrees that Proprietary Information subject to (b)


above shall cease to be Proprietary Information if it: (i) is or later
becomes available to the public through no breach of this Agreement
by the Employee; (ii) is obtained by the Employee from a third party
who had the legal right to disclose the information to the Employee;
(iii) is already in the possession of the Employee on the date this
Agreement becomes effective as evidenced by competent written
records or (iv) is required to be disclosed by law, government
regulation, or court order, or (v) is independently developed by the
Employee as evidenced by competent written records.

Article 5 Non-solicitation of Employees and Contractors

5.1 The Employee agrees that, during the term of this Agreement with the
Company and for a period of 2 years from the time the Employee is no
longer an Employee of the Company, the Employee will not aid in the
enticement of employees or contractors of the Company away from
their employment or contracting with the Company.

Article 6 Obligation to Present Opportunities

6.1 The Employees agrees that during the term of this Agreement with the
Company the Employee will be presented with unique opportunities for
business development, product development, and other such
economically advantageous undertakings. The Employee agrees that
he or she will disclose opportunities presented to the Employee is his
or her capacity as a representative of the Company and or thorough
the clients, customers and contacts of the Company to the President
and the executive management team, in a prompt and forthright
manner, and that with regard to new opportunities the Employee will
act for the betterment of the Company’s economic success.

Article 7 Employee Has No Power To Bind the Company

7.1 The Employee agrees that at no time shall the Employee commit the
Company to any obligation, enter into any agreement, incur any obligations
on the Company's behalf, or commit the Company in any manner without the
Company's prior written consent.

Article 8 Assignment of Inventions, Patents and Technology

8.1 The Employee hereby assigns to the Company any and all right, title,
and interest that Employee may have in any and all inventions,
improvements, discoveries, developments, trade secrets, software or other
intellectual property which the Employee develops as a direct result of
performing Services for the Company under this Agreement. Intellectual
property described by the preceding sentence is hereinafter referred to as
"Company Intellectual Property." Upon the request of the Company, the
Employee shall execute such further assignments, documents, and other
instruments as may be necessary to assign Company Intellectual Property to
the Company and to assist the Company in applying for, obtaining and
enforcing patents or other rights in the United States or in any foreign
country with respect to any Company Intellectual Property. The Company will
bear the cost of preparation of all patent or other applications and
assignments, and the cost of obtaining and enforcing all patents and other
rights to Company Intellectual Property.

Article 9 General

9.1 In the event of the Employee wishing to terminate Employment with
the Company, the Employee agrees to provide the Company with 2
weeks written notice of the Employee’s intention to terminate.

9.2 In the event that any provision of this agreement shall be deemed void
or invalid by a court of competent jurisdiction, the remaining provisions
shall be and remain in full effect.

9.3 This Agreement constitutes the whole agreement between the parties.
All promises, representations, collateral agreements and
understandings not incorporated in this Agreement, are hereby
superseded and cancelled by virtue of their exclusion from this
agreement.

9.4 This Agreement shall be governed and interpreted under the laws of
the State of Kerala, India

9.5 The Agreement is assignable by the Company without the prior written
consent of the Employee.

9.6 The Agreement shall ensure to the benefit of and be binding upon the
parties hereto and their respective heirs, executors, successors,
assigns, and legal administrators.

9.7 The Employee acknowledges that: (a) he or she has read and
understood this Agreement; and (b) he or she has obtained or has the
opportunity to obtain independent legal advice in connection with this
Agreement and the provisions herein.
