Dearest Sir:

Greetings, peace and blessings!

First of all, with all my heart, I wish to extend my sincerest thanks and appreciation for giving time
and opportunity to listen and consider my humble project proposal, THE UNIVERSAL CHILD:
THE WORLD, a package of wonderful programs, projects and activities designed to promote the
interest of children and the family, most particularly those in conflict areas of the world.

As previously discussed, I am respectfully submitting this written project proposal with the end view
of clarifying important matters and finally getting the aforementioned noble project take off ground
with you finally on board.

As I have said in our conversation, you are widely considered as visionary, a universal force for all
things good and beautiful, a Philanthropist, and a patron of arts, culture, and music. I am writing this
letter with this knowledge in mind, knowing fully well of your beautiful heart. With that said, the
undersigned most respectfully declares the following:

For the most part of 2017 and 2018, the undersigned was very busy designing programs and projects
for children in conflict areas, and in setting up the UNIVERSAL CHILD CHARITIES
FOUNDATION, INC. (UCCFI)1 in the Republic of the Philippines, Securities and Exchange
Commission (SEC), which, if organized, shall operate and implement, and shall become beneficiary
of the proceeds, of a worldwide project, THE UNIVERSAL CHILD: THE WORLD2, and all its
attendant programs, particularly, “HESED COMMUNITY-BASED REHABILITATION AND
ALTERNATIVE DEVELOPMENT (CARED)” program3 for drug- surrenderees in the Republic of the
Philippines and the “SONGS OF MARAWI: A Charity Concert Caravan”4, for the rehabilitation of
MARAWI City and its people, especially children who were devastated by war, among others.

However, the rule in organizing a Foundation in the Philippines requires that a contributed capital of
ONE MILLION PESOS (Php 1,000,000.00), be deposited with the SEC-authorized bank before the
application to establish Foundation may be processed and approved.5

This is what delayed, and still delaying, the undersigned for many years now in proceeding with the
project, as the sum of money required by law in establishing a Foundation is huge and requires many
pre-incorporation investors in order to realize.

As I have repeatedly emphasized in our discussions, the undersigned is a Philanthropist and a simple
Businesswoman with grand vision and plan, but her resources, however, are limited to set up the
Foundation which the successful implementation of the UCTW requires.

By God’s grace, I had the honor of being part of various charitable works funded and supported by the
people and the Government of Dubai, UAE, and by reputable personalities in the world of Arts and
Culture.6 Now, I believe that talents and peoples of the UAE and from countries in the World, could
collaborate beyond relief assistance and other regular charitable works, and go to the level of extra-
ordinary. For instance, we could collaborate with other countries, in promoting the inherent uniting
force and beauty of Music in the world, to be participated by, and to be benefitted from, by the Children
of the world. I imagine a world event, to be launched in Dubai in 2019 or 2020, and the grand finals to
be held in time for DUBAI EXPO 2020, to be participated and contested by talented children from
around the globe, each embodying the dazzling cultural jewels of her own home country, competing
for the honor of being capped as Universal Child Ambassador, an individual who will give face and
voice to children around the world, most especially those who are in conflict areas, victimized and
exploited, and are considered refugees and stateless.

However, the undersigned, amidst all her works of charity, did not make her earn much resources that
could now fund the required Foundation in the Philippines.

In light of the foregoing, and considering the many attempts the undersigned already made to raise the
necessary amount but to no avail, a joint venture or partnership is herewith offered:

1. An invitation for your good office, or to any qualified investors whom you may indorse,
to enter into co-ownership deal with NADIA ALZADEK EVENTS ORGANIZING
(Dubai) and NADIA ALZADEK EVENTS PRODUCTIONS (Philippines) to produce the
project UNIVERSAL CHILD THE WORLD, and all its attendant programs and projects,
particularly the following opportunities:

1.1. Incorporation of NADIA ALZADEK EVENTS & PRODUCTIONS, Inc.


(Philippines) (See Business Proposal separately prepared)

1.2. Renewal of licenses and permits, to include new partner, for NADIA ALZADEK
EVENTS ORGANIZING (Dubai, the UAE); (See Business Proposal separately
prepared)

1.3. Incorporation and registration of UNIVERSAL CHILD CHARITIES


FOUNDATION, INC. (UCCFI) that will spearhead implementation of UCTW. A
minimum contributed capital of ONE MILLION PESOS (Php 1,000,000.00) is
needed for the purpose. Proof of bank deposit and utilization of the aforementioned
for the registration of the Foundation with the Philippine Securities and Exchange
Commission (SEC) shall be transmitted for liquidation if the same is required.
Likewise, co-owner identifies a representative to sit in the Board of Trustees of
UNIVERSAL CHILD CHARITIES FOUNDATION, INC. (UCCFI) once the local
foundation is organized and registered in the Philippines.

A FIVE HUNDRED THOUSAND PESOS (Php 500,000.00) mobilization fund


to be used in working out the aforementioned registration of the Foundation and
NADIA ALZADEK EVENTS PRODUCTIONS (Philippines) is likewise ardently
prayed to facilitate required activities.

2. For the parties to meet and discuss the following high impact program proposals, in time,
place and manner of your convenience:

2.1. The cultural and Humanitarian project, the “UNIVERSAL CHILD, THE
WORLD (UCTW)” (Copyrighted, 2017);

2.2. The cultural and Humanitarian project, the “MGA AWIT NI MARAWI (The
Songs of Marawi): CHARITY CONCERT CARAVAN” (Copyrighted, 2017);

2.3. The socio-economic, cultural, and Humanitarian project, the “HESED
COMMUNITY-BASED REHABILITATION AND ALTERNATIVE
DEVELOPMENT (CARED)”, a family and God oriented drug rehabilitation
program for the Republic of the Philippines. It is hoped that, if the meeting pushes
through, the societal impact of the above-mentioned programs and the business
opportunities attendant to the same shall be fully discussed and disclosed;

3. Not related to the present proposal, but an opportunity your group of companies
might be interested, the undersigned, through her partnership with INSIGHTS
CONSULTANCY & BUSINESS MANAGEMENT SERVICES, extends the
Invitation for you to invest, as CO-OWNER, of a Medical School (with fully
functional and operational Hospital) in the Philippines (See Investment Brief
separately prepared).

At the core of my objectives is the promotion of strong brotherhood and camaraderie between and
among races through musical event, as the medium, and to uplift personal circumstances of our
brothers and sisters, especially children, notwithstanding race or color. It is hoped that through the
project, we could continue our life's mission of charity or philanthropic works, and to gently remind
the world that sometimes we need to slow down and enjoy, while it lasts, the soothing effect of human
voices celebrating life through music.

With your support and participation from musicians and poets from different ethnicities now residing
in the UAE, and the Philippines, from around the world, the “UNIVERSAL CHILD, The World”, is
proposed not only to dazzle the eyes and astonish, but solve monumental concerns affecting our world
and our Children. It aims to take one bold step in the right direction by offering a symbol of unity in a
time of great uncertainty, guided by the understanding that our concern and love for our children is
the same and UNIVERSAL across nations, religions, and cultures on Earth, and will always be so.

We await your response and may we have a merging of minds and hearts in creating a better world for
the future generations.

Project Brief

My name is Nadia Al Sadek, Filipino resident to the great Emirate of Dubai, a Musician
OFW/Philanthropist, and CEO/ Owner of NEODXB: Nadia Al Sadek Event Organizing Dubai.
I am also the CEO/Owner of Nadia Alzadek Events and Productions, an events company most
recently organized in our country, the Republic of the Philippines.

Through my Events organizing business in Dubai, I was able to start GIFTD (Great Idea Friday
Tunes Dubai), which is a weekly, and every Friday event, done in select spaces within the beautiful
Emirate of Dubai, UAE that is filled with arts and music, and it is one of NEO’s unique project
dedicated to the creation and development of International Music Collaboration through Cultural
and related special social events, that serve as a vital Cultural Link between nations and foster
better understanding of humanity and philanthropic collaboration in the UAE and the world.

By God’s grace, I have the honor of being part of various charitable works funded and supported
by the people and the Government of Dubai, UAE, and by reputable personalities in the world of
Arts and Culture. The Philippines was once a beneficiary of our Philanthropic works, particularly
of relief operation when the Philippines was struck by Supertyphoon Ondoy.

We believe that talents and peoples of Dubai, UAE and from countries in the World, could
collaborate beyond relief assistance and other regular charitable works, and go to the level of extra-
ordinary. Under the guidance, and strong support of His Highness, the great Emirate of Dubai and
the United Arab Emirates, could collaborate with the talented people, and Government, of the
Philippines and other countries, in promoting the inherent uniting force and beauty of Music in the
world, to be participated by, and to be benefitted from, by the Children of the world. I PROPOSE
THAT THE EVENT BE MADE PART OF DUBAI NATIONAL DAY IN 2020 AND A
FEATURE DURING DUBAI WORLD EXPO 2020.

Imagine a world event, to be launched in Dubai in 2020 and the grand finals to be held in time for
DUBAI EXPO 2020, to be participated and contested by talented children from around the globe,
each embodying the dazzling cultural jewels of her own home country, competing for the honor of
being capped as Universal Child Ambassador, an individual who will give face and voice to
children around the world, most especially those who are in conflict areas, victimized and
exploited, and are considered refugees and stateless.

We envision the merging of visions and ideals of Dubai, UAE, to lead the participating Nations
around the globe for a unique Cultural and Multi Media World event, “UNIVERSAL CHILD,
The World” (for full description, please see page 5 onwards).

At the core of our organization's objectives is the promotion of strong brotherhood and camaraderie
between and among races through musical event, as the medium, and to uplift personal
circumstances of our brothers and sisters, especially children, notwithstanding race or color. We
dedicate this wonderful Cultural and Multi Media World event, “UNIVERSAL CHILD, The
World” to our children around the globe and we hope that through it, we could continue our life's
mission of charity or philanthropic works, and to gently remind the world that sometimes we need
to slow down and enjoy, while it lasts, the soothing effect of human voices celebrating life through
music.

Holding “UNIVERSAL CHILD, The World”, in Dubai, UAE, as one of the features of our
National Day 2020 and of DUBAI EXPO 2020, has long been one of our cherished dreams.

Two great respectable and humane men and leaders of both countries, the Philippines and Dubai,
leading and succeeding on this unique Cultural and Multi Media World event. The experience will
be memorable and the event will be historical for both countries.

“UNIVERSAL CHILD, The World”: An Overview –

Developed along our well established and proven conceptual lines, and under the
working title, “UNIVERSAL CHILD The World”, to be launched first in the
Philippines, then the grand finale in Dubai, the purpose of which is to gather over
200 nations with its country's talented child and genius child with exceptional
intellectual ability and originality dazzingly skilled in any field.

“UNIVERSAL CHILD, The World” is designed as a 3 hour-world-spanning


cultural broadcast event and musical concert which will inaugurate a new joint
global fundraising campaign by musicians, artists, and sports celebrities, film
makers, event companies,Red Crescent, and other Foundations of His Royal
Highness Sheikh Maktoum, Red Cross and other Philanthropic Organizations
around the Globe, Schools and Universities, Prestigious Companies around the
globe to benefit homeless and unfortunate children in conflict areas worldwide, and
to continue the Global Drug Campaign for the safety of our youth and children
around the globe.

One of the major components of the proposed activity, “UNIVERSAL CHILD,


The World”, is the implementation, in the Philippines, as its corporate social
responsibility, of its HESED Community-BAsed Rehabilitation and altErnative
Development (CARED) program, designed to assist the Duterte Administration’s
on going war on drugs by providing sustainable contents to Oplan Tokhang, i.e.
Volunteerism-powered, God-centered, community-based, and family supported,
drug rehabilitation intervention that provides for 1) Moral Recovery and Spiritual
Renewal program, 2) Skills and Livelihood Training, and 3) Access and Provision
of Livelihood Programs for Rehabilitating drug surrenderers.

“UNIVERSAL CHILD, The World”: Presentation –

On a large stage covering the floor of an entire outdoor arena with map of the world,
one well known musical artist and a child representative MS. KITTY DUTERTE, of
the Philippines, together with other child representative of every nation on earth will
stand together in the boarders of their respective nations and perform the specially
composed song "UNIVERSAL CHILD, The World" to be Co-written by Nadia Al
Sadek, LenDante Clarino and a famous Filipino composer. They will be
accompanied by a famous Filipino All Star House Band and Filipino Harmonic
Orchestra and a renowned Filipino and other World's Children Choir. The finale will
show a few brief moments with different Lanterns lighted up and flying in the sky
with its nation's flag, signifying that we are united through the universal language of
music and our love of our children in this small planet we share.

The special role of the great Emirate of Dubai and the UAE to "UNIVERSAL
CHILD, The World" will be publicly acknowledged during and throughout the
event.

The event will offer music, video footage, and muti-media snap shots of cultures of
diverse countries representing every continent and will highlight the children of
these varied nations.

There will be renowned famous musical artists and celebrities both in the
entertainment and sports guests, celebrities from various artistic fields featured
throughout the program and a specially written song for each continent.

It will also include a number of other programs, productions and activities, that will
promote business interests and prospects for our country the Philippines, and which
will enhance Education and global Wellness with many artistic ventures,
philanthropy and music, drug free campaigns and many other marvelous
concepts that we can share and collaborate in the future for the New Philippines and
a better world.

And then the Grand Finale will be a unique and crystalizing moment that captures
the spirit and purpose of the entire event.

“UNIVERSAL CHILD, The World”, through the main directions of Nadia Al Sadek, Bernie Uy,
Allan Roy Scott plus team of musicians and poets from different ethnicities now residing in the
UAE, and the Philippines, from around the world, is therefore proposed not only to dazzle the eyes
and astonish, but solve monumental concerns affecting our world and our Children. It aims to take
one bold step in the right direction by offering a symbol of unity in a time of great uncertainty,
guided by the understanding that our concern and love for our children is the same and
UNIVERSAL across nations, religions, and cultures on Earth, and will always be so.

the great leaders of these two countries share many things in common. On one hand, His
Excellency President Duterte stands for genuine change for the Filipino people and he
sent his message of hope through the beautiful song of Freddie Aguilar, DUTERTE PARA
SA TUNAY NA PAGBABAGO. This is an explicit acknowledgement of the moving and
revolutionary power of music. Davao City is a well-known place of thriving arts and
culture. On the other hand, the stated vision of His Highness, Sheik Mohammed bin
Rashid Al Maktoum is to promote UAE's rich heritage in arts and culture, and his long
cherished desire to enrich and broaden the cultural panorama of the country;

and other Philanthropic Organizations around the Globe, Schools and Universities,
Prestigious Companies around the globe to benefit homeless and unfortunate and in dire

situations, and misplaced children worldwide, and to continue the Global Drug Campaign

11. The proposed World event will be launched in Dubai, UAE in time for the National Day
2018, or, alternatively, simultaneously in the Republic of the Philippines at an earlier
time;

12. The search for talents of Universal Child, The World will commence in participating
countries, respectively, following guidelines, procedures and mechanics for judging to
be issued by NEODXB: Nadia Al Sadek Event Organizing, preferably six (6) months
before the launching of the event in Dubai, UAE;

13. Each participating nation will arrange with schools and universities from every town or
city of the country and execute a cultural song competition in each area or school. The
grand winner of each school will then perform and compete live on television and radio
for the country’s Grand finals and the winner will be the “Child Ambassador” to
represent his or her country in the UAE;

14. The talent search shall be participated by children embodying the dazzling cultural
jewels of her own home country, in any field;

15. Once winners are identified per country, they will now compete in a grand finale event
to be conducted in the Emirate of Dubai, UAE;

16. The grand winner, aside from major prizes and contract awards, will be capped as the
Universal Child Ambassador, an individual who will give face and voice to children
around the world, most especially those who are in conflict areas, victimized and
exploited, and are considered refugees and Stateless. Her term shall be for one (1) year,
or until a new talent is found following the rigorous procedure of the talent search for
Universal Child, The World;

17. Nadia Al Sadek, Owner/CEO of NEO and founder of “Universal Child” will appoint
Media and Event Directors and Representatives of each Nation participating in the
Cultural World Event “UNIVERSAL Child”;

18. Official companies will be appointed by the NEO DXB CEO & Founder Nadia Al
Sadek, such as, but not limited to: Hotels /Hotel Chains, Airlines/Travel Agencies,
Banks. Oil companies, Mobile phone companies, Public TV companies / fund raising
during the show, live broadcast, Beauty and Fashion Companies, Real State Companies,
and other Charity Organizations and Foundations around the globe;

19. There will be SEVEN (7) Deputy Directors of “Universal Child” Administration and 7
(Seven) Executives for Universal Child, The World;

20. There will be Offices to be set up in the participating countries, the main Head Quarters
for the Universal Child, The World will be in Dubai, UAE;

21. There will be Permanent Staffs for One year, and Part timers /project to project basis
event managers and volunteers to be manned in Dubai, the UAE and Countries around
the globe participating with Universal Child, The World event;

22. An Event Company will be appointed in each country to manage the production of
UNIVERSAL CHILD THE WORLD Event;

23. World famous guest artists in return for their participation in the event expect a
remarkable contribution to their own charity organisations. Estimation USD 1 million
per guest as included in budget;

24. The target date for the Cultural and Multi Media World event, “UNIVERSAL CHILD,
The World is tentatively set on December, 2018. The Event will be a 10 month-official
production, within which talents from participating countries will compete and follow a

The foundation will spearhead the conduct of the Universal Child a yearly cultural
festival for the host country, the UAE. It will include a New Documentary Film, and it
will continue to expand the activities, and presence of the foundation in every country

The undersigned incorporators, all of legal age and majority of whom are residents of the
Philippines, have this day voluntarily agreed to form a non-stock corporation under the laws of the
Republic of the Philippines;

AND WE HEREBYCERTIFY:

FIRST: That the name of said corporation shall be

“UNIVERSAL CHILD CHARITIES FOUNDATION, INC.”

SECOND: That the purpose/s for which such corporation are incorporated:
1. To implement, manage, administer, coordinate, operate, promote, to market, to permit, and/or
perform, or authorize performance or operations by third parties, subject to conditions, of the
cultural project, the “UNIVERSAL CHILD, THE WORLD (UCTW)” (Copyrighted, 2017), in the

performance or operations by third parties, subject to conditions, of the cultural project, the
“HESED Community-BAsed Rehabilitation and altErnative Development (CARED)” program, in
the Republic of the Philippines and other jurisdictions;

4. To plan and develop, design, promote, coordinate, fund, and implement, or accept funding from
third parties for the implementation of, charitable and Philanthropic works for the betterment of the
material, economic, moral, intellectual, and spiritual conditions of the following weak and
vulnerable persons who are found in the Republic of the Philippines and in other jurisdictions:
a) Children: orphans and abandoned children, children in conflict areas, children-victims
of physical and sexual abuse, children refugees, children in conflict of laws, children
with special needs/ disabilities, children of Indigenous Peoples, children-orphans of
people working with the military and law enforcement agencies and of those working
in public/state schools; children in indigent farming or fishing communities;
b) Women: victims of violence and abandoned women and their children;
c) Other sectors as may be identified later on;

5. To develop corps of professional workers and volunteers who are highly trained to perform works
and activities designed for the improvement of vulnerable persons as above described;
6. To set up Music and Sports Clinics and Centers in the Philippines and in other jurisdictions, for
the specific benefits of youths and children in indigent and disadvantaged communities,
particularly, but not limited to, the development of their inherent artistic and sports talents and
skills;
7. To conduct or raise fund, or accept funding from third parties for, research activities designed to
better understand the problems, issues and challenges affecting vulnerable children and women,
and other sectors for purposes of project or program development inputs;
8. To help or to spearhead development and promotions of appropriate technologies, and
development of livelihood programs, for the benefit of the members of indigent communities
where vulnerable persons as herein identified are found, and to accept or receive financial
support from third parties for the purpose;
9. To observe and establish the highest ethical standards and financial responsibility in the conduct
and in the management of programs, projects and activities;
10. To support, promote and enhance the spirit of camaraderie, fellowship and unity among its
officers, employees, members, volunteers and beneficiaries through the conduct of enhancement
programs, projects and activities;
11. To cooperate with other organizations of similar aims, and with appropriate Government agencies
in the conduct of its activities;

12. To transact any and all other lawful activities which the Board of Directors considers appropriate
to further the purposes of the organization.

Incidental Purposes
1. In furtherance of its mission, vision and goal, It may acquire properties, whether real or personal,
by purchase, donation, usufruct, bequest, and/or by other legitimate means, and encumber or
sell such properties for its legitimate purposes; receive membership fees and dues, assessments,
contributions, gifts, legacies, grants-in-aid, endowments, subsidies and donations from
members, as well as non-members, from here and abroad; may invest and expend its funds,
moneys and properties in such Charity-oriented and related ventures, projects and activities as
the Board of Trustees may deem proper and necessary in pursuit of its objectives; and
2. Generally, as may be permitted by law, may do all such other acts and exercise such powers
and prerogatives as may be directly or indirectly necessary, suitable and proper to attain any of
the objectives and purposes of the Organization. Provided that the corporation shall not solicit,
accept or take investments/placements from the public neither shall it issue investment contracts.

THIRD: That the principal office of the corporation is located in No. 2 Balisi Apartments, Caronan
Street, Caritan Norte, Tuguegarao City Cagayan, Philippines, 3500;
FOURTH: That the term for which said corporation is to exist is 50 years from and after the date of
issuance of the certificate of incorporation;
FIFTH: That the names, nationalities and residences of the incorporators are as follows:

OF

I. THE TIME, PLACE AND MANNER OF CALLING AND CONDUCTING REGULAR OR SPECIAL
MEETINGS OF THE TRUSTEES.
a) Regular meetings of the board of trustees of the corporation shall be held at least
once every three months;

b) Special meetings of the board of trustees may be held at any time upon the call of the
president;
c) Meetings of trustees may be held anywhere in or outside of the Philippines, unless
the by-laws provide otherwise. Notice of regular or special meetings stating the date,
time and place of the meeting must be sent to every trustee or trustee at least one (1)
day prior to the scheduled meeting. A trustee may waive this requirement, either
expressly or impliedly.

II. THE TIME AND MANNER OF CALLING AND CONDUCTING REGULAR OR SPECIAL
MEETINGS OF THE MEMBERS.
a) Regular or annual meetings of members shall be held annually on the first Monday of
DECEMBER.
b) Written notice of regular meetings shall be sent to all members of record at least two
(2) weeks prior to the meeting;
c) Special meetings of members shall be held at any time deemed necessary or as
provided in the by-laws.
d) Written notice of special meetings shall be sent to all members at least one week prior
to the meeting, unless a different period is required by the by-laws.
e) Members’ meetings, whether regular or special, shall be held in the city or municipality
where the principal office of the corporation is located, and if practicable in the principal
office of the corporation. Metro Manila shall, for the purpose of this provision, be
considered city or municipality.

III. THE REQUIRED QUORUM IN MEETINGS OF MEMBERS


a) The required quorum in meetings of members shall consist of the member/s
representing a majority of the entire membership.

IV. THE FORM FOR PROXIES OF MEMBERS AND THE MANNER OF VOTING THEM
a) Members may vote in person or by proxy in all meetings of members. Proxies shall be
in writing, signed by the member and filed before the scheduled meeting with the
corporate secretary. Unless otherwise provided in the proxy, it shall be valid only for
the meeting for which it is intended. No proxy shall be valid and effective for a period
longer than five (5) years at any one time.

V. THE QUALIFICATIONS, DUTIES, TERM AND COMPENSATION OF TRUSTEES


a) No person convicted by final judgment of an offense punishable by imprisonment for a
period exceeding six (6) years, or a violation of this Code, committed within five (5)
years prior to the date of his election shall qualify as a trustee. No person shall be
elected as trustee unless he is a member of the corporation. A majority of the trustees
must be residents of the Philippines.
b) The corporate powers of the corporation shall be exercised, all business conducted
and all property of the corporation be controlled and held by the board of trustees to
be elected from among the members, who shall hold office for one (1) year and until
their successors are elected and qualified.
c) The trustees shall not receive any compensation, as such trustees, except for
reasonable per diems. Any compensation may be granted to trustees by the vote of
the members representing at least a majority of the membership at a regular or special
members’ meeting, In no case shall the total yearly compensation of trustees, as such
trustees, exceed ten (10%) percent of the net income before income tax of the
corporation during the preceding year.

VI. THE MANNER OF ELECTION OR APPOINTMENT, QUALIFICATION AND THE TERM OF
OFFICE OF ALL OFFICERS OTHER THAN TRUSTEES

a) Immediately after their election, the trustees of a corporation must formally organize by
the election of a PRESIDENT, who shall be a trustee, a TREASURER who may or may
not be a trustee, a SECRETARY who shall be a resident and citizen of the Philippines,
and such other officers as may be provided in the by-laws. Two (2) or more positions
may be held concurrently by the same officer, however no one shall act as
PRESIDENT and SECRETARY or as PRESIDENT and TREASURER at the same
time. The officers of the corporation shall hold office for one (1) year and until the
successors are elected and qualified. The officers of the corporation shall perform
functions as required by existing laws, rules and regulations.

VII. FISCAL YEAR

a) The fiscal year of the corporation shall begin on the first day of January and end on
the last day of December of each year.

VIII. SEAL

a) The corporate seal shall be determined by the Board of Trustees.

IX. MISCELLANEOUS PROVISIONS

a) Matters not covered by the provisions of these by-laws shall be governed by the
provisions of the Corporation Code of the Philippines.

40. Program mechanics and specific details, as embodied in the Strategic and
Communications Plan for the UCTW shall be submitted separately when parties
approve the Project, at least in Principle.

41. THE “UNIVERSAL CHILD TOOL BOX”

41.1. Every Saturday of the week in Dubai, UAE and in selected places in the Philippines,
there will be a “meetup” for children from different schools/universities &
nationalities. There will be two sections of the program:
1. UNIVERSAL Child JR :5 years old-11 years old
2. UNIVERSAL Child SR.:12 years old to 18 years old

41.2. Learning & Activities:


1. ARTS: They will be trained and learn special ideas in ARTS AND
PHOTOGRAPHY

2. Music: They will be trained and learn special skills in music such as:
vocals/guitars/piano/flute/drums and other instruments

3. Sports: identify children’s talents in snooker, pool, football, basketball,


and HORSE RIDING, The EQUINE PROGRAM.

41.3. Universal Child Foundation will have the best and unique program in sports
especially for children. The THT Program from Mr. Kerry M. Thomas, Founder of
THT (Thomas Herding Technique). Here is a quote from Mr. Kerry Thomas:(A

connection with THT)

Working toward the development of interactive equine programs is

sensible collaboration with Tomorrow’s Child Projects going forward.
Another of these is the development of Sport Horse Teams performing
to raise both money and awareness for children related programs. An
example can be cited for racing. I propose the racing concept to be
titled as thus: Tomorrow’s Child Race Team, Racing For Kids. This
would be an idea readily embraced by the global racing media and
community for its merits in humanitarian efforts and beyond. The
industry is in need of a shining beacon of hope, indeed, the world is
always wont of such concepts that can be blended and allowing the
beauty of the horse, which has glued humanity together in one way or
another for centuries of human develop, to communicate once again
the needs of man within the Spiritual Body of the Horse. The concept
would be a beacon of good will and hope with focus and attention on
children’s programs and certainly, Tomorrow’s Child initiatives.

41.4. The UNIVERSAL CHILD, THE WORLD FOUNDATION is a creation of


awareness about Children and its community. Arts, Sports, & Music is an
inspiration for children or any human being;

41.5. Arts, Sport, & Music is the gateway for a child’s emotion, as art & music helps a
child’s daily routine and is one of the best extra- curricular activity for a child.

42.1. The UNIVERSAL CHILD, THE WORLD FOUNDATION will also provide
assistance and support for additional special trainings for children. Children from
age 12-18 will be trained for TV & Radio Broadcasting & Presenting;

42.2. In Asia mainly the Philippines, children are already trained as Presenters and
Broadcasters in news for sports & music. Having different nationalities of 165
countries in the UAE, plus its local children it will be another unique way of putting
them all together in one activity and show/present their special skills in their
childhood age ready to reach a career in the Media Industry;

Child” magazine, a free monthly magazine to be distributed to all the schools and
universities for children;

43.2. The magazine will be one of the communications media of the Foundation;

43.3. A lot of children in schools and universities are talented and have a special skills in
writing. Children of such talent will be featured in the magazine. They may become
contributors and writers of the magazine.

43.4. The magazine will have special features for children, from events to fashion,
newsletters, special children blog or letter to the editor, stories and their photos, and
art works in painting and photography. Children’s beautiful experiences will
likewise be featured in the Magazine and it will be an inspiration for other children.

43.5. It is expected that there will be a lot of news and discussions and write ups in, and
for, the magazine, as the “UNIVERSAL Child Foundation” will execute a monthly

46.1. BACKGROUND/SITUATION ANALYSIS

46.1.1. In 2016, President RODRIGO ROA DUTERTE made it his major advocacy the
eradication of illegal drugs in the country. The PNP, through the Office of the
Chief PNP General Ronald De La Rosa, implemented OPLAN DOUBLE
BARREL. As of date (October, 2016), there are 19,935 operations conducted;
1,217,546 house visitations conducted; 18,873 are arrested and 1, 216 killed in
Police operations; there are 721, 067 drug surrenderers, of which 53,499 are
self-confessed drug pushers and 667,568 are drug users. The biggest drug
rehabilitation facility in the country, at full capacity, can only accommodate, at
a time, 10,000 drug dependents;

46.1.2. How to meaningfully approach and sustain the above-mentioned gains of


OPLAN DOUBLE BARREL is a huge challenge for the Government.
Rehabilitating and reintegrating 721,067 drug surrenderers, while ensuring
reduction of drug supply and drug demand in the country, will put too much
pressure and stress to Government resources.

46.1.3. The community should be tapped and enjoined to participate in a long term,
sustainable and massive rehabilitation and reintegration program. A program
that is fueled by volunteerism, and participated by the different sectors in the
community, each approaching the drug problem with their unique but equally
important solution. For every willing soul to help, there is always something
good that may be done for others.

46.1.4. If there is a lesson we could learn from past rehab and reintegration strategies,
it is this: we sometimes miss the point that drug addiction is brought about by
reasons that are not purely social, psychological, financial or biological.
Relapse and failure of aftercare interventions in the past is brought about, in a
large part, by the failure to appreciate that drug use is brought about by the
destruction of the family and our total disregard of our spiritual and moral
needs;

46.1.5. We lose sight of the importance of family relations, the love and fear of God,
and our sense of communal belongingness. In sum, what we are seeking is a
sustainable, humane, and God-centered and community supported
rehabilitation of drug dependents who opted to surrender and give up their
deadly vice. It is a rehabilitation program that is inclusive of the family and
morally and emotionally supported by the Community. Our objective is to
design and pursue a community-based, volunteer-supported, family and God-
centered rehabilitation and reintegration proposal that is long term, highly
sustainable, and embodies the drug-free communities as envisioned by the
Government. While we are rehabilitating drug dependents, their families, and
communities, we are also addressing poverty by providing highly sustainable
livelihood programs. This is the reason for the existence of the HESED
VOLUNTEERS NETWORK and the design and proposed implementation of

(CARE) Program;

46.1.6. The HESED Community-BAsed Rehabilitation and altErnative


Development (CARED) program is designed to support, enrich and
complement a sustainable, convergent, and holistic approach to the ongoing
fight against illegal drugs by winning over drug dependents, affected
communities and families (see also Project Components below). It focuses on
the provision of three major services:

a) MORAL RECOVERY AND SPIRITUAL RENEWAL


This includes moral and spiritual retreats, family bible studies and
sessions, family day activities, and other related activities. This
component is implemented by HESED Pastor-volunteers from
accredited Faith organizations.

b) SKILLS DEVELOPMENT

This includes basic skills training and development in mushroom/


organic farming, backyard poultry raising, automotive troubleshooting
and electronics, cosmetics, food technology, and other related areas of
competencies.

Surrenderers, who have talents, may also opt to study arts and music,
or participate in sports clinics.

This component is implemented by HESED teacher-volunteers from


the academe and from technical – vocational schools. Assistance from
SUCs and TESDA, and other related government agencies, will
likewise be sought and requested under existing programs of the
agency for wider, broader, and deeper impact.

c) ACCESS TO LIVELIHOOD SOURCES

In partnership with the Business sector, partner NGOs, and


international sponsors and donors, with some assistance from the LGU,
AND the National Government, drug dependents registered and
enrolled under HESED CARED PROGRAM shall be given access to
a sustainable and household/ community-based livelihood programs.

46.1.7. The HESED CARED Program aims to sustain the gains so far achieved by
OPLAN DOUBLE BARREL by giving meaningful contents in the community
level where surrenderers are returned after being processed by the PNP. With
the help of the private sector and the enthusiasm of our HESED volunteers, it
aims to assist drug surrenderers renew their lives and to become productive
members of the Philippine Society.

46.1.8. The Community-based rehabilitation program offered by HESED is


designed to be implemented by community volunteers in tandem with the
Barangay Unit, the Local Government Unit, the Philippine National Police
and other National Government Agencies, and connects the community and
the family existing support sources, mechanisms, and sectors within the
framework that emphasizes a God-centered, family-oriented and
Community-based and supported drug rehabilitation and reintegration
approach.

46.1.9. Hesed volunteers intends to seek and find gems in the mud, so to speak. We
help non-violent first time drug dependents recover and rehabilitate, morally
and physically, not away from, but with their family and community while
teaching them the skills and helping them develop talents that will make
them better and more productive persons, and give them opportunity to be
part of, and to benefit from, worthwhile livelihood activities.

46.1.10. The Program is a platform for convergence, or pooling of resources and


technical expertise, among the different sectors operating in the Community.
It is likewise designed to be synchronized and consistent with the established
functions of PNP Advisory Councils. It aims to engage further various
sectors like the Local Government Unit, the Academe, Business sector,
Government sector, NGO, and the Faith community not only for the
operationalization of a highly sustainable, inclusive and participative
approach in achieving the primary goal of the PATROL PLAN 2030, but
also, and more importantly, in promoting a community-supported anti-illegal
drug campaign that is highly pro-active, long term, and sustainable for a
better and safer communities for all.

46.1.11. The HESED Program approaches the problem following the one government
framework. It is premised on the idea that there should be convergence of
programs, synchronization of activities and inter-agency support in
dispensing resources of the government for a shared goal and objective.

46.1.12. For instance, the extension programs of the State Universities and Colleges,
in coordination with the Commission on Higher Education (CHED) must be
made to align with the advocacies and programs of the Government. There
are existing budget and personnel in the Extension department waiting to be
tapped. It is just a matter of aligning and fine tuning the extension thrust of
the SUC. The community services the SUCs develop should include, or be
part, of a wider community based rehab program of the Government. As
such, an important component of the HESED Program would be to lobby
for the development of more enabling legal environment that would allow
for this kind of convergence and alignment of policies and PPAs among
government agencies.

46.1.13. THE ANTI-DRUG WAR IS ALWAYS, AT FIRST, A GOVERNMENT


AND POLICE WORK. IT MUST HOWEVER BE ACTIVELY
PARTICIPATED BY THE COMMUNITY IN ORDER TO SUSTAIN
AND ENSURE ITS SUCCESS. It is in this context that HESED redefines
the meaning and appreciation of DOUBLE BARREL: the Government and
the Community working together to address the problem of illegal drugs.

46.2. PROJECT OBJECTIVES AND STRATEGIES

Narcotic Anonymous, Provincial Social Workers and
others).”

The activities shall include attending self-help programs


like Narcotics Anonymous (NA) / Alcoholic Anonymous
(AA) meetings, regular follow-up at treatment center,
individual and group counseling sponsor/sponsee
meetings, alumni association meetings, etc. This shall be
for a period not exceeding eighteen (18) months and
shall be undertaken by the appropriate center personnel
for sharing inspirational experiences from the successful
rehabilitated drug dependents who were able to
overcome drug dependency and are achieving success in
life through continuous studies, their profession,
marriage and business.

46.3. DESIRED IMPACT AND OUTCOME OF THE PROJECT

46.3.1. The Hesed CARED Program will contribute to the Development of families
and Communities that are more resilient against drugs use and abuse. The
initial target of the program is limited to at least six towns of the Province of
Cagayan:

1st District: Aparri and Buguey


2nd District: Lasam and Piat
3rd District: Tuguegarao and Solana

46.3.2. In the short term, it will provide specific activities and contents to the
ongoing OPLAN TOKHANG. IN the long term, it will sustain gains of
OPLAN DOUBLE BARREL since it will add up to the overall effect of
diminishing drug demand. It will institutionalize partnerships and
volunteerism between and among key stakeholders, most particularly the
affected community, the Barangay government, the LGUs, the PNP, the
faith-based communities, and professional volunteers. Livelihood
programs to be participated by qualified drug surrenderers will provide
additional and alternative source of income for them and their family
thereby addressing, in the same intervention, the problem on poverty;

46.3.3. Active support from the PNP is crucial since it works in the frontline on the war
on drugs, and it is the process owner of OPLAN DOUBLE BARREL.
Memorandum of Agreement between the HESED VOLUNTEERS
NETWORK and the Philippine national Police is crucial. Since the program
starts in the PS, a MOA with the PPO is therefore indispensable. MOA with
Local Government Units (LGUs) concerned, on the livelihood component and
other assistance, is likewise desirable but not mandatory.

46.3.4. RISK MANAGEMENT PLAN

a) One of the major risks and factors that may hamper or hinder the successful
implementation of project activities and achievement of project outputs, are the
following:
 Funding
 Unreliability of volunteers handling crucial/ key services in the
conduct of community-based rehabilitation, reintegration, and
aftercare;

 Lack of support from the Philippine National Police;
 Lack of support, or outright rejection of the LGU of the proposed
interventions;
 Deteriorating Peace and Order situation in target municipalities

b) Source of funds must be diversified, and there is a need to implement activities,


projects and programs designed for fund raising to ensure that financial support
of activities do not only come from sponsorship or donations. The entire
HESED CARED PROGRAM should be implemented as envisioned to be self-
sustaining through its livelihood components;

c) Funds must be sufficient to hire crucial staff and personnel during the duration
of the program;

d) It is crucial that dialogues must be conducted first with the PNP and the LGU
before the Hesed CARED Program is implemented. Preliminary discussions are
already conducted with Cagayan PPO and with the Officials of PR02;

e) Commitment from Business Sector to patronize product outputs (goods and


Services produced by HESED participants);

f) Commitment from Government Agencies to support HESED participants and


program through technical and financial support (DOST’s Set-Up of qualified
participants; TESDA Training; DTI’s grant of Shared Service Facility; DOLE’s
livelihood programs; and others);

47. PROJECT RATIONALE

47.1. The fierce and ongoing battle for Marawi City started on May 23, 2017. According
to the DSWD, as of 2 a.m. on Tuesday, July 25, 2017, a total of 65,198 families or
316,684 individuals have been displaced from Marawi City and Marantao in Lanao
del Sur, with 3,074 families or 14,772 persons staying in 68 evacuation centers.7
As the clashes between the military and self-proclaimed ISIS supporters in Marawi
entered into its fourth week, the Government is preparing for the rehabilitation of
Marawi City.

47.2. Rehabilitation of a City ravaged by armed conflict is a very difficult and tedious
process. The Government cannot do it all by itself. It needs the help of every
beneficent and selfless Citizen of our Country. Walang ibang tutulong sa mga
kapuwa natin Pilipino kung hindi rin tayong mga Pilipino.

47.3. This proposal for a unique and timely Charity Concert Caravan, dubbed MGA
AWIT KAY MARAWI (THE SONGS FOR MARAWI), will provide convergent
platform for Filipinos to help their brethren rebuild their lives. It will also promote
cultural understanding through music and cultural presentations.

47.4. MGA AWIT KAY MARAWI (THE SONGS FOR MARAWI) is a 4-hour musical
and dance concert, which will set into motion a unique joint local and international
fundraising campaign that will unite the political, social and commercial sectors of
Cagayan Valley, and those located in other supportive areas of the country, in
rebuilding Marawi City, specifically, the displaced families, the soldiers and the
police personnel, and their respective families, all of whom are victims of the armed
conflict.

47.5. Conceptualized by Nadia Recheta Al Sadek, a Philanthropist, Musician and Event


Director and a native of Tuao Cagayan, along with her team, will be collaborating
with various artists, event producers and directors, philanthropists, musical
composers, and the respectable Musicians in Cagayan and around the Philippines.

dance, raffle draws, other extravaganzas and a singing contest which will
feature Mart Ilagan's "Philippines Karaoke Challenge" a battle for World Series of
Karaoke, which will give chance for local talents to represent the Philippines in a
Las Vegas USA grand competition.

47.8. GENERAL DESCRIPTION OF THE CHARITY CONCERT CARAVAN

a) The concerts shall primarily be sponsored, both nationally and internationally;


b) The concert shall be held as a caravan of music and culture, starting from the Northern
part of the Philippines going south. Aside from songs, the concert will provide a
glimpse of the rich culture of Marawi through dances and visual arts;

Chowking, Red Ribbon and Mang Inasal, MCDonald's,

appliance stores, bookstores, gift shops and "ukay -ukay"
establishments and specialt y shops that offer Christmas -related
products.

These booths will be operational for a maximum of one month


for additional fund raising opportunities. This setup will also
offer extended time for local vendors to sell their products in
time for the holiday season. It will be required that they sell
their offerings at reasonable prices for the sake of the current
plight of the people of Marawi. It can also serve as a local
holiday season attraction for relaxation, window shopping and
famil y excursions. On specific days and times, there will be
live band performances and DJs performing on site.

chance to break into the limelight with their singing skills. Participants will
be coming from the different Barangays of the partner Local Government
Unit.

MGA AWIT PARA KAY MARAWI CHARITY CONCERT

The event will cap the month-long charity event. Winners in all events
included in the Caravan will be given chance to perform during the
concert.

A dance presentation of a native Marawi Dance Troupe, or, a Marawi


performing artist, will be the climax of the event.

Note: All these aforementioned activities will coincide with the booth
operation schedule which will be from 4pm to 11pm, which will be named.
All winners will be the special guests for the finale of the campaign and
grand finals for the Karaoke Challenge.

FINANCIAL REQUESTS AND CONSIDERATION

Production expenses will be charged from the collections sourced from


sponsorships and from tickets sales. This charity event, MGA AWIT KAY
MARAWI (THE SONGS FOR MARAWI) will continue for the next 3 years.

As a general rule, Sponsors/ Financier will be per project implemented per


stop as described in the project deadlines (i.e. the Caravan will have three
(3) stops as herein specified). Share from the proceeds as stated in
subsequent pages of this proposal shall be released per stop. Sponsors,
however, may opt to sponsor subsequent stops, or may agree to sponsor the
whole Caravan.

Instruments and equipment rental and purchases will be sponsored but it


needs to be included in the pre-production cost. Airfare for the celebrities,
artists and performers may be sponsored by major airliners in the Country.
Hotel accommodation and food for artists and performers will be sponsored,
in part, by partner Hotels in the Cities as herein identified. It may be
shouldered by the Local Government Units.

The artists and celebrities are all volunteers and free of talent fees but will
be provided with all the necessary air fare, board and lodging for the
duration of their performance and stay with us.

The Total Net Income per Stop shall be divided as follows:

1. 25% or based from the estimate, PhP 218,750.00, will accrue pro rata to Sponsors/
Financiers;
2. 15%, or based from the estimate, PhP 131,250.00, will accrue to the Foundation of choice
of MS NADIA AL SADEK;
3. 10%, or based from the estimate, PhP 87,500, will accrue to the participating LGU;
4. 50%, or based from the estimate PhP 437,500.00, will accrue to the Funds to be donated to
the Local Government Unit of MARAWI

DONORS MAY ALSO SPONSOR THE ENTIRE TICKET PRICE THEREBY


TRANSFORMING THE EVENT AS FREE FOR ALL ADMISSIONS. FOR PURELY
PHILANTHROPIC SPONSORSHIPS, THE TOTAL NET INCOME SHALL BE DIVIDED
AS FOLLOWS:
1. 25% or based from the estimate, PhP 218,750.00, will accrue to the Foundation of choice
of the Principal Sponsor;
2. 15%, or based from the estimate, PhP 131,250.00, will accrue to the Foundation of choice
of MS NADIA AL SADEK;
3. 10%, or based from the estimate, PhP 87,500, will accrue to the participating LGU;
4. 50%, or based from the estimate PhP 437,500.00, will accrue to the Funds to be donated to
the Local Government Unit of MARAWI

This does not include proceeds coming from other sources like shares from sales coming from
booths, sponsorships, and others. The net proceeds of each of the other activities (such as Market
Extravaganza, etc.) shall be divided as follows:
1. 15% will accrue to the Foundation of choice of MS NADIA AL SADEK;
2. 10% will accrue to the partner LGU, School, and parties other than Sponsors/ Financiers
3. 25% will be divided pro rata to Sponsors/ Financiers
4. 50% will accrue to the Funds to be donated to the Local Government Unit of MARAWI

All engagements shall be covered and protected by Contracts or MOAs.

For three (3) concert events, we expect to turn over an estimated amount of Php 1,312,500.00 for
the rehabilitation of Marawi City.

The terms and conditions as herein proposed may be changed or modified to suit requests of
participating parties.
