Section 2: Offer for Services

Offer for Services

Supervision of Installation and Can be provided by Chemtrols engineers at Lumpsum charge of

Commissioning Rs. 25,000/- (Rupees Twenty Five Thousand Only) per deim
excluding Lodging and Boarding, local conveyance, To & Fro
traveling charges and taxes and duties.

( GST @ 18 % will be applicable extra )

NOTE:

1. A separate Work order needs to be placed on M/s. Chemtrols Industries Private Limited, regarding
the service related activities.

2. Please intimate our Service Engineer at least 20 days in advance regarding the complete readiness
of site in terms of Mechanical completion etc.

Section 3 – Commercial Terms & Conditions

i. MPG1612MQ0003 355 R1  The Terms and Conditions given here are applicable to only this offer.
ii. Price Basis,  Delivery Basis: Ex-works CIPL, Kundaim, Goa.
Freight & Insurance The offered prices are on Ex-works CIPL, Kundaim, Goa basis, with
packing.
P&F: 0.5% of the order value
Freight & Insurance: To Purchasers Account.
iii. Taxes, Duties and CENVAT  GST:
o The offered prices are exclusive of GST.
o Present rate of GST will be applicable on Transaction value.
o Transaction value includes not only the goods value, but all charges
payable by the Purchaser as per order towards testing, inspection,
warranty, installation commissioning, documentation, and any other
services to be provided even at a later date.
o To avail of the CENVAT, the PO must give the customer’s GST
Registration number.

iv. Payment Terms  For supply portion:
50% advance alongwith the Purchase order & balance 50% against
proforma invoice, prior to the dispatch of the material.
 For Service portion:
100% payment to be made immediately with after the completion of
the job & against submission of the service invoice.

Dispatch documents constitute Invoice, Delivery Challan, Packing List,

Lorry Receipt or Parcel Way Bill as applicable, guarantee Certificate and
inspection Release Note. Statutory approval certificates from agencies
like IBR, CCE, CMRI etc. as applicable will be sent along with other
technical documents as per Vendor Data requirements in required
number of sets indicated in the enquiry; otherwise 2 sets within 10 days
from the date of dispatch of material to the addressees indicated in the
purchase order.
v. Services & GST on Service.  Supervision of Commissioning will be charged by CIPL in Indian Rupees
“Refer to above section no: 2-” per day / per engineer/ for a maximum
of 8 hrs in a working day. To & Fro Air/ Surface costs / Travel Cost by
Air/ Rail + boarding + lodging will be charged extra.
 Installation & Erection is in client’s scope.
 For service portion GST @18% is applicable as extra.
vi. Placement of Order and  The original and a duplicate copy must be sent to :

vii. Delivery  16 - 18 weeks from the date of receipt of clear Purchase order.
viii. Validity  The offer is valid for a period of 30 days.
ix. Road Permit  Wherever applicable to purchasers account (e.g. in U.P.), the P.O. must
accompany the Road Permit with validity at-least 4-6 weeks more than
the stipulated delivery period of the order. Delay on account of non-
availability of the Road Permit will be to the customer's account.
x. Dispatch Documentation  Dispatch documents constitute Invoice, Delivery Challan, Packing List,
and transport Lorry Receipt or Parcel Way Bill as applicable, Warranty Certificate and
inspection Release Note., wherever applicable.
 Generally all goods are transported by Bank approved Road Carriers or
by courier if the consignment is small by weight and volume.
xi. Technical Documentation  One complete set of documents and installation manuals are included
in the scope of supply (if applicable).
xii. Inspection prior to dispatch.  Inspection of the ordered goods can be offered at our manufacturing
centre in Kundaim, Goa, at an additional cost and on specific request,
for which the charges and details are quoted specifically in the offer (if
applicable).
 Inspection not applicable for spares & accessories.
xiii. Post Order Changes /  Any technical changes made in the order subsequent to acceptance and
Cancellation processing of the order will attract additional 30% cancellation/
amendment charges, in addition to the costs of the new instruments
added.
 Any arbitrary cancellation of the order after acceptance and processing
will, also attract a compulsory 30% cancellation charge on the P.O.
value.
xiv. Warranty / Guarantee  Goods are guaranteed for workmanship and performance for a period
of 12 months from the date of ex-works delivery, provided goods are
properly stored at site and installed as per instructions. Any part found
to be defective, would be repaired/ replaced free of cost F.O.B our plant
at Kundaim, Goa. Damage during transit as well as due to mishandling is
outside the scope of warranty. Also parts subjected to normal wear and
tear and breakable parts are outside the scope of warranty.
 Warranty on consumables and limited shelf life products shall be for its
manufacturing defects in workmanship and under normal use.
 Guarantee / Warranty terms is not applicable for spares & accessories.
xv. Imported Goods & Services.  In case the offer is for imported goods & services, it has been made
considering the exchange rate of the relevant currency on the date of
the offer. CIPL will absorb + 1 Rupee, based on the concerned exchange
rate considered. Any unprecedented variation will make the offer null
& void, unless a specific confirmation is given in writing from CIPL.

xvi. Statutory Changes and  Duties & Taxes: The Custom Duties Excise and Taxes are referred in the
Force Majeure. offer with the context of ‘as prevalent’, at the time of submission of the
offer. Unanticipated changes and revisions enforced by the government
will automatically make the Sales offer null and void, and CIPL should be
allowed to revise the offer as per the new announced guidelines. Duties
and Taxes will be charged “as applicable” at the time of dispatch,
wherever applicable.
 CIPL reserves the right of revising the delivery on acts of “Force
Majeure”, which are beyond control or human intervention. No claims
on account of force majeure shall be entertained.
xvii. Jurisdiction  Jurisdiction for any act of arbitration shall be Mumbai in India.
