RE : ENGAGEMENT PROPOSAL

Dear Mr. Martin:

Thank you for considering our law office to handle your legal
needs. We respectfully submit this engagement proposal to aid and
assist you in the case against you for violation of Republic Act 9262,
which case is currently pending at the Regional Trial Court at Imus,
Cavite, subject to the following terms and conditions:

1) Acceptance Fees. — The acceptance fee shall be Eighty

Thousand Pesos (P80,000.00), payable in three (3)
installments, as shown in the following table:

2) Operational and Out-of-Pocket Expenses. — Ordinary

out-of-pocket expenses such as filing fees, publication fees,
telex, facsimile, word-processing, machine reproduction and
transportation expenses, and the like, shall be for your account.
Duly authorized special out-of-pocket expenses, including per
diems and accommodation expenses incurred in undertaking
duly authorized work, and other miscellaneous and operational
expenses as may be necessary and authorized shall also be for
your account.

A deposit for Operational and Out-of-Pocket Expenses in the amount of

Ten Thousand Pesos (P10,000.00) is likewise payable upon the signing
of your conformity with this engagement proposal. The Deposit is
subject to replenishment if necessary, and any remaining balance shall
be refundable to you upon the termination of the engagement.

PROFESSIONAL FEES. Client shall pay the undersigned TEN

THOUSAND Pesos (P10,000.00) for each appearance. It shall also pay
Attorney TWENTY THOUSAND PESOS (P20,0000.00) for every
substantive pleading prepared in relation to the case subject of this
Agreement. A substantive pleading as used here means such pleadings
where arguments are made in favor of the client in support of a prayer
seeking a remedy. Other pleadings, such as but not limited to entry of
appearances, motion for production of documents, motion to set case
for hearing, or motion to reset hearing, except for a motion for
reconsideration which is considered a substantive pleading, shall be
billed at P600.00 per page.

Appearances as used in this agreement shall include

representations before administrative agencies of the government
and scheduled face-to-face meetings with the clients. Client shall
pay Five Thousand Pesos (P5,000.00) as appearance fees for
online meetings.

Our professional fees shall be payable within five (5) days from receipt
of the billing. Other payment schemes may, however, can be arranged
with the undersigned.

1) Conflict of Interest.—In case any matter should arise between

the Client and another client of the Law Firm, by virtue of which
we might have a conflict of interest under the code of professional
responsibility, we reserve the right to inhibit ourselves insofar as
that particular matter is concerned;

2) Effectivity date.—This agreement shall be effective upon our

receipt of your written conformity to this proposal. An advance
copy of the duly accepted engagement proposal may be sent to us
by facsimile and/or email, to be followed by the original to be sent
by courier.

3) GROUNDS TO TERMINATE THIS AGREEMENT.

A. Client may terminate this Agreement for any or no reason,

although Client still will be legally obligated under this Agreement
to meet Client's obligations to Attorney, including the obligation
to pay Attorney the agreed-upon attorney's fee to the extent it has
been earned.

B. Attorney may terminate this Agreement for good cause and for
reasons authorized by law.

7. CLIENT'S INFORMED CONSENT. Client has carefully

read this Agreement and considered the additional information
and advice that Attorney has provided to Client. Client
understands fully the terms of this agreement and voluntarily,
knowingly and intentionally enters into this Agreement with
Attorney.

We hope you find the above proposal acceptable. If the proposal meets
your approval, please indicate your conformity in the space provided
herein below and return to us a signed duplicate original of this letter for
our files.
