[Your Company] Marketing Agreement

This Agreement for [client's type of company] Internet marketing services is between
[Your Company], and [Client Name] (“Client”), for the performance of the services
described in the above proposal ("Proposal"). Agreement is valid if signed by the Client
and returned to [Your Company] no later than [Date]. The parties therefore agree as
follows:

1. Scope of Work to be Performed. The Proposal will describe the work that is
required of [Your Company] for the Client. Client shall notify [Your Company] of
the [Your Company] products and services as described in the Proposal that
Client requests. [Your Company] will provide up to two rounds of revisions prior
to launch of a website. A “round” is either a single email with a list of changes to

Company] is not responsible for any damage caused by the Client or agent of the
Client.

3. Web Hosting. All [Your Company] sites are created on a [Your Company]-
hosted content management platform that utilizes proprietary technology.
Accordingly, [Your Company] hosts all websites that [Your Company] creates for
its clients.

4. Copyrights and Trademarks. [Your Company] grants Client a license to the


website creation platform including any code hosted on the [Your Company]
server. [Your Company] grants Client a non-exclusive worldwide license to Client
for any and all design elements and website layout.

5. Warranties and Liability. [Your Company] does not warrant the functions of
the site will meet Client’s expectations of site traffic or resulting business or that
the operation of the web pages will be uninterrupted and / or error-free.

6. Payment of Fees

6.1. The website setup fee is due upon signing of the Agreement and
required to commence work on the website design.
6.2. For marketing services, payment is on a monthly basis beginning upon
launch of the website, prior to starting the SEO/PPC services.
6.3. For website design, the hosting / maintenance is due beginning thirty
(30) days from the date the Agreement is signed.

7. Term and Termination


7.1. SEO/PPC services are subject to a six-month term. At the conclusion of
the term, this Agreement will be subject to a month-to-month term.
7.2. All packages excluding SEO/PPC are subject to a month-to-month
term.
7.3. Should the Client for any reason wish to discontinue using the [Your
Company] platform at the conclusion of the six month SEO/PPC
commitment, [Your Company] shall assist the Client by exporting the
website in WordPress format.

8. Governing Law. Any dispute will be litigated or arbitrated in [Your City], [Your
State]. This Agreement is governed by [Your State] law.

9. Counterparts / Electronic Signature


9.1. Facsimile and/or electronic signatures shall be acceptable and deemed
original signatures and shall be binding on the parties upon signing.
9.2. Client may sign the agreement electronically at https://[Your
Company].com/agreement and it shall be binding upon the parties
upon submission.

Undersigned hereby agree to the terms, conditions and stipulations of this
