‫‪These Merchant Terms and Conditions‬‬ ‫ﺗﺑــــ ـﯾن ھــــ ـذه اﻟﺷــــ ـروط واﻷﺣﻛــــ ـﺎم اﻟﺧﺎﺻــــ ـﺔ ﺑﺎﻟﺗــــ ـﺎﺟر‬
‫‪("Agreement") set out the terms on which Saudi‬‬ ‫)"اﻻﺗﻔﺎﻗﯾــــــ ـﺔ"( اﻟﺷــــــ ـروط اﻟﺗــــــ ـﻲ ﯾﻣﻛــــــ ـن ﻟﺷــــــ ـرﻛﺔ‬
‫‪Digital Payments Company will enable the‬‬ ‫اﻟﻣــــــدﻓوﻋﺎت اﻟرﻗﻣﯾــــــﺔ اﻟﺳــــــﻌودﯾﺔ ﺑﻣوﺟﺑﮭــــــﺎ ﺗﻣﻛــــــﯾن‬
‫‪Merchant to accept payment for Products through‬‬ ‫اﻟﺗــــﺎﺟر ﻣــــن ﻗﺑــــول اﻟــــدﻓﻌﺎت اﻟﻣﺳــــددة ﻟﻘــــﺎء اﻟﻣﻧﺗﺟــــﺎت‬
‫‪STC Pay's Wallet Services.‬‬
‫ﻋﺑر ﺧدﻣﺎت اﻟﻣﺣﻔظﺔ اﻟﺗﻲ ﺗوﻓرھﺎ اﻟﺷرﻛﺔ‪.‬‬
‫‪This Agreement will be effective from the date of‬‬ ‫ﯾﺑـــدأ اﻟﻌﻣـــل ﺑﺄﺣﻛـــﺎم ھـــذه اﻻﺗﻔﺎﻗﯾـــﺔ اﻋﺗﺑـــﺎرا ً ﻣـــن ﺗـــﺎرﯾﺦ‬
‫‪acceptance by the Merchant ("Effective Date").‬‬ ‫ﻗﺑول اﻟﺗﺎﺟر ﺑﺄﺣﻛﺎﻣﮭﺎ )"ﺗﺎرﯾﺦ اﻟﻧﻔﺎذ"(‪.‬‬
‫‪1.‬‬ ‫‪DEFINITIONS‬‬ ‫اﻟﺗﻌﺎرﯾف‬ ‫‪-1‬‬
‫‪The following defined terms appear in this‬‬ ‫ﺗﺳﺗﺧدم اﻟﻌﺑﺎرات اﻟﻣﻌّرﻓﺔ اﻵﺗﯾﺔ ﻓﻲ ھذه اﻻﺗﻔﺎﻗﯾﺔ‪:‬‬
‫‪Agreement:‬‬
‫‪"Account" means the e-wallet account STC Pay‬‬ ‫"اﻟﺣﺳــــﺎب" ﺗﻌﻧــــﻲ ﺣﺳــــﺎب اﻟﻣﺣﻔظــــﺔ اﻹﻟﻛﺗروﻧﯾــــﺔ اﻟــــذي‬
‫‪holds for the Merchant.‬‬ ‫ﺗﺧﺻﺻﮫ اﻟﺷرﻛﺔ ﻟﻠﺗﺎﺟر‪.‬‬
‫‪"Application Form" means the Merchant Application‬‬ ‫"ﻧﻣــــوذج طﻠــــب" ﺗﻌﻧــــﻲ ﻧﻣــــوذج طﻠــــب اﻟﺗــــﺎﺟر اﻟــــذي‬
‫‪Form completed and signed by the Merchant and‬‬ ‫ﯾﻛﻣﻠــــﮫ اﻟﺗــــﺎﺟر وﯾوﻗﻌــــﮫ ﺛــــم ﯾﻘدﻣــــﮫ ﻟﻠﺷــــرﻛﺔ ﻟﻠﻣواﻓﻘــــﺔ‬
‫‪submitted to STC Pay's approval for the provision of‬‬
‫‪the Service.‬‬ ‫ﻋﻠﯾﮫ ﻣن أﺟل ﺗزوﯾد اﻟﺧدﻣﺔ‪.‬‬
‫‪"Brand Features" means the trade names, trade‬‬ ‫"ﻣﻛوﻧـــــــﺎت اﻟﮭوﯾـــــــﺔ اﻟﻣؤﺳﺳـــــــﯾﺔ" ﺗﻌﻧـــــــﻲ اﻷﺳـــــــﻣﺎء‬
‫‪marks, service marks, logos, domain names, and‬‬ ‫واﻟﻌﻼﻣـــــﺎت اﻟﺗﺟﺎرﯾـــــﺔ وﻋﻼﻣـــــﺎت اﻟﺧدﻣـــــﺔ واﻟﺷـــــﻌﺎرات‬
‫‪other distinctive brand features of each party,‬‬ ‫وأﺳـــ ـﻣﺎء اﻟﻧطـــ ـﺎق وﻏﯾرھـــ ـﺎ ﻣـــ ـن اﻟﺧﺻـــ ـﺎﺋص اﻟﻣﻣﯾـــ ـزة‬
‫‪respectively, as owned (or licensed) by such party‬‬ ‫ﻟﻠﮭوﯾــــﺔ اﻟﻣؤﺳﺳــــﯾﺔ اﻟﺗــــﻲ ﯾﻣﻠﻛﮭــــﺎ )أو ﯾ ُــــرﱠﺧص ﺑﮭــــﺎ( أي‬
‫‪from time to time.‬‬
‫طرف ﻣن وﻗت ﻵﺧر‪.‬‬
‫‪"Business Day" means a day that is not a Friday‬‬ ‫"ﯾــ ـوم ﻋﻣــ ـل" ﺗﻌﻧــ ـﻲ أي ﯾــ ـوم ﻣــ ـن أﯾــ ـﺎم اﻷﺳــ ـﺑوع ﻋــ ـدا‬
‫‪or Saturday, or a public holiday in the Kingdom of‬‬ ‫اﻟﺟﻣﻌـــ ـﺔ أو اﻟﺳـــ ـﺑت أو اﻟﻌ ُطـــ ـل اﻟرﺳـــ ـﻣﯾﺔ ﻓـــ ـﻲ اﻟﻣﻣﻠﻛـــ ـﺔ‬
‫‪Saudi Arabia.‬‬ ‫اﻟﻌرﺑﯾﺔ اﻟﺳﻌودﯾﺔ‪.‬‬
‫‪"Customer" means a person that holds a Wallet‬‬ ‫"اﻟﻌﻣﯾــــل" ﺗﻌﻧــــﻲ ﻛــــل ﺷــــﺧص ﯾﻣﻠــــك ﺣﺳــــﺎب ﻣﺣﻔظــــﺔ‬
‫‪Account with STC Pay.‬‬ ‫ﻟدى اﻟﺷرﻛﺔ‪.‬‬
‫‪"Disputes" means any disagreements, litigation,‬‬ ‫"اﻟﻣﻧﺎزﻋــــــﺎت" ﺗﻌﻧــــــﻲ ﻛــــــل ﺧــــــﻼف أو ﺧﺻــــــوﻣﺔ أو‬
‫‪arrangements and/or other such disputes‬‬ ‫إﺟـــ ـراءات أو ﻏﯾـــ ـر ذﻟـــ ـك ﻣـــ ـن ﻣﻧﺎزﻋـــ ـﺎت ﺗﻧﺷـــ ـﺄ ﺑـــ ـﯾن‬
‫‪between Customers or other third parties arising‬‬ ‫اﻟﻌﻣـــ ـﻼء أو أي أطـــ ـراف ﻣـــ ـن اﻟﻐﯾـــ ـر ﻧﺗﯾﺟـــ ـﺔ اﺳـــ ـﺗﺧدام‬
‫‪from the use of the Service other than Service‬‬ ‫اﻟﺧدﻣــ ـﺔ‪ ،‬وﻻ ﺗــ ـدﺧل ﻣﻧﺎزﻋــ ـﺎت اﻟﺧدﻣــ ـﺔ ﻓــ ـﻲ ﻧطــ ـﺎق ھــ ـذا‬
‫‪Disputes.‬‬
‫اﻟﺗﻌرﯾف‪.‬‬
‫‪"Intellectual Property Rights" means all patent‬‬ ‫"ﺣﻘــــ ـوق اﻟﻣﻠﻛﯾــــ ـﺔ اﻟﻔﻛرﯾــــ ـﺔ" ﺗﻌﻧــــ ـﻲ ﺟﻣﯾــــ ـﻊ ﺣﻘــــ ـوق‬
‫‪rights, copyrights, semiconductor topography‬‬ ‫اﻟﺑــ ـراءات وﺣﻘــ ـوق اﻟﻣؤﻟــ ـف وﺣﻘــ ـوق طﺑوﻏراﻓﯾــ ـﺔ أﺷــ ـﺑﺎه‬
‫‪rights, rights in software, moral rights, trade mark‬‬ ‫اﻟﻣوﺻــــــﻼت واﻟﺣﻘــــــوق ﻓــــــﻲ اﻟﺑرﻣﺟﯾــــــﺎت واﻟﺣﻘــــــوق‬
‫‪and/or service marks, logos, rights in or relating‬‬ ‫اﻟﻣﻌﻧوﯾـــــﺔ واﻟﻌﻼﻣـــــﺎت وﻋﻼﻣـــــﺎت اﻟﺧدﻣـــــﺔ واﻟﺷـــــﻌﺎرات‬
‫‪to databases, rights in or relating to confidential‬‬
‫واﻟﺣﻘـــــوق ﻓـــــﻲ ﻗواﻋـــــد اﻟﺑﯾﺎﻧـــــﺎت واﻟﺣﻘـــــوق اﻟﻣﺗﻌﻠﻘـــــﺔ‬
‫‪information or trade secrets, rights in relation to‬‬
‫‪domain names and any other proprietary rights‬‬
‫ﺑﺎﻟﻣﻌﻠوﻣـــــﺎت اﻟﺳـــــرﯾﺔ أو اﻷﺳـــــرار اﻟﺗﺟﺎرﯾـــــﺔ واﻟﺣﻘـــــوق‬
‫‪(registered or unregistered) throughout the world,‬‬ ‫ﻓــــﻲ أﺳــــﻣﺎء اﻟﻧطــــﺎق وﻛﺎﻓــــﺔ ﺣﻘــــوق اﻟﻣﻠﻛﯾــــﺔ اﻷﺧــــرى‬
‫‪including all rights of reversion and rights to any‬‬ ‫)اﻟﻣﺳــــﺟﻠﺔ ﻣﻧﮭــــﺎ وﻏﯾــــر اﻟﻣﺳــــﺟﻠﺔ( ﻓــــﻲ ﻛﺎﻓــــﺔ أﻧﺣــــﺎء‬
‫‪applications and pending registrations and the‬‬ ‫اﻟﻌـــ ـﺎﻟم‪ ،‬ﺑﻣـــ ـﺎ ﻓﯾﮭـــ ـﺎ ﺣﻘـــ ـوق اﻻﺳـــ ـﺗرداد واﻟﺣﻘـــ ـوق ﻓـــ ـﻲ‬
‫‪right to sue for and recover damages for past‬‬ ‫اﻟطﻠﺑــ ـﺎت واﻟﺳــ ـﺟﻼت ﻗﯾــ ـد اﻟﻧظــ ـر واﻟﺣــ ـق ﻓــ ـﻲ اﻟﺗﻘﺎﺿــ ـﻲ‬
‫‪infringements.‬‬ ‫ﻟﻠﺣﺻول ﻋﻠﻰ ﺗﻌوﯾﺿﺎت ﻋن ﺗﻌدﯾﺎت ﺳﺎﺑﻘﺔ‪.‬‬

‫‪"Force Majeure Event" means any act of God‬‬ ‫"ﺣﺎﻟــــﺔ اﻟﻘــــوة اﻟﻘــــﺎھرة" ﺗﻌﻧــــﻲ أي ﺣﺎﻟــــﺔ ﻣــــن ﺣــــﺎﻻت‬
‫‪including fire, flood, earthquake or other natural‬‬ ‫اﻟﻘﺿــــﺎء واﻟﻘــــدر‪ ،‬ﺑﻣــــﺎ ﻓــــﻲ ذﻟــــك اﻟﺣرﯾــــق واﻟﻔﯾﺿــــﺎن‬
‫‪disaster; act of any sovereign including terrorist‬‬ ‫واﻟـــــــزﻻزل وﻏﯾرھـــــــﺎ ﻣـــــــن اﻟﻛـــــــوارث اﻟطﺑﯾﻌﯾـــــــﺔ؛‬
‫‪attacks, war, invasion, act of foreign enemies,‬‬ ‫واﻷﻋﻣـــــﺎل اﻟﺳـــــﯾﺎدﯾﺔ ﺑﻣـــــﺎ ﻓﯾﮭـــــﺎ اﻟﮭﺟﻣـــــﺎت اﻹرھﺎﺑﯾـــــﺔ‬
‫‪hostilities, labor dispute including strike, lockout‬‬
‫واﻟﺣــــرب واﻟﻐــــزو وأﻓﻌــــﺎل اﻟﻌــــدو اﻷﺟﻧﺑــــﻲ واﻷﻋﻣــــﺎل‬
‫‪or boycott; act of failure or interruption or failure‬‬
‫‪of utility service including electronic, power, gas,‬‬
‫اﻟﻌداﺋﯾــــــﺔ واﻟﻣﻧﺎزﻋــــــﺎت اﻟﻌﻣﺎﻟﯾــــــﺔ ﺑﻣــــــﺎ ﻓــــــﻲ ذﻟــــــك‬
‫‪water or telephone services; acts or failure to act‬‬ ‫اﻹﺿــــــــراﺑﺎت واﻹﻏــــــــﻼق اﻟﺗﻌﺟﯾــــــــزي واﻟﻣﻘﺎطﻌــــــــﺔ؛‬
‫‪on rulings of administrative boards, government‬‬ ‫وﺗﻌطـــــــل أو اﻧﻘطـــــــﺎع ﺧـــــــدﻣﺎت اﻟﻣراﻓـــــــق اﻟﻌﺎﻣـــــــﺔ‬
‫‪authorities or any other cause beyond the‬‬ ‫ﻛﺎﻟﻛﮭرﺑـــــ ـﺎء واﻟطﺎﻗـــــ ـﺔ واﻟﻐـــــ ـﺎز واﻟﻣﯾـــــ ـﺎه واﻟﺧـــــ ـدﻣﺎت‬
‫‪reasonable control of either Party but shall not‬‬ ‫اﻟﮭﺎﺗﻔﯾــــﺔ؛ اﻟﺗﺻــــرف أو اﻻﻣﺗﻧــــﺎع ﻋــــن اﻟﺗﺻــــرف وﻓﻘــــﺎ ً‬
‫‪include causes related to the Parties.‬‬ ‫ﻷواﻣـــ ـر اﻟﻣﺟـــ ـﺎﻟس اﻹدارﯾـــ ـﺔ أو اﻟﺟﮭـــ ـﺎت اﻟﺣﻛوﻣﯾـــ ـﺔ‪ ،‬أو‬
‫أي أﺳــــﺑﺎب أﺧــــرى ﺗﺧــــرج ﻋــــن ﺳــــﯾطرة أي طــــرف إﻻ‬
‫ﻣﺎ ﺗﻌﻠق ﻣﻧﮭﺎ ﺑذﻟك اﻟطرف ﻧﻔﺳﮫ‪.‬‬
‫‪"Merchant", "you", "your" means any person or‬‬ ‫"اﻟﺗــــــﺎﺟر" أو "أﻧــــــت" أو "ـﻛـــــــ )اﻟﻣﻠﻛﯾــــــﺔ(" ﺗﻌﻧــــــﻲ أي‬
‫‪entity that uses the Service to sell Products and‬‬ ‫ﺷــــــﺧص أو ﻣﻧﺷــــــﺄة ﺗﺳــــــﺗﺧدم اﻟﺧــــــدﻣﺎت ﻓــــــﻲ ﺑﯾــــــﻊ‬
‫‪receive Purchase Amounts from Transactions.‬‬ ‫اﻟﻣﻧﺗﺟــــ ـﺎت واﺳــــ ـﺗﻼم ﻣﺑــــ ـﺎﻟﻎ اﻟﺷــــ ـراء اﻟﻧﺎﺷــــ ـﺋﺔ ﻋــــ ـن‬
‫اﻟﻣﻌﺎﻣﻼت اﻟﺗﺟﺎرﯾﺔ‪.‬‬
‫‪"Merchant Web Site" means the web site pages‬‬ ‫"اﻟﻣوﻗــــﻊ اﻹﻟﻛﺗروﻧــــﻲ ﻟﻠﺗــــﺎﺟر" ﺗﻌﻧــــﻲ ﺻــــﻔﺣﺎت اﻟﻣوﻗــــﻊ‬
‫‪of the Merchant that offer Products that can be‬‬ ‫اﻹﻟﻛﺗروﻧـــــﻲ ﻟﻠﺗـــــﺎﺟر اﻟﺗـــــﻲ ﺗﻌـــــرض اﻟﻣﻧﺗﺟـــــﺎت اﻟﺗـــــﻲ‬
‫‪paid for by means of the Service.‬‬ ‫ﯾﻣﻛن ﺗﺳدﯾد ﺛﻣﻧﮭﺎ ﻋن طرﯾق اﻟﺧدﻣﺔ‪.‬‬
‫‪"Payment Order" means the instruction the‬‬ ‫"أﻣــــر دﻓــــﻊ" ﺗﻌﻧــــﻲ اﻟﺗﻌﻠﯾﻣــــﺎت اﻟﺗــــﻲ ﯾوﺟﮭﮭــــﺎ اﻟﺗــــﺎﺟر‬
‫‪Merchant gives to STC Pay to execute a‬‬ ‫ﻟﻠﺷرﻛﺔ ﻟﺗﻧﻔﯾذ ﻣﻌﺎﻣﻠﺔ ﺗﺟﺎرﯾﺔ ﺑﺗﻔوﯾض ﻣن اﻟﻌﻣﯾل‪.‬‬
‫‪Transaction authorised by a Customer.‬‬
‫‪"Product" means any merchandise, good, or‬‬ ‫"اﻟﻣﻧــــﺗﺞ" ﺗﻌﻧــــﻲ اﻟﺳــــﻠﻌﺔ أو اﻟﺑﺿــــﺎﻋﺔ أو اﻟﺧدﻣــــﺔ اﻟﺗــــﻲ‬
‫‪service that a customer may purchase from a‬‬ ‫ﯾﻣﻛـــــن ﻟﻠﻌﻣﯾـــــل ﺷـــــراؤھﺎ ﻣـــــن اﻟﺗـــــﺎﺟر ﻋـــــن طرﯾـــــق‬
‫‪Merchant by using the Service.‬‬ ‫اﻟﺧدﻣﺔ‪.‬‬
‫‪"Purchase Amount" means an amount equal to‬‬ ‫"ﻣﺑﻠـــ ـﻎ اﻟﺷـــ ـراء" ﺗﻌﻧـــ ـﻲ ﻣﺑﻠﻐـــ ـﺎ ً ﯾﻌـــ ـﺎدل ﺳـــ ـﻌر اﻟﻣﻧـــ ـﺗﺞ‬
‫‪the price of a Product, including any related fees,‬‬ ‫ﺷـــــﺎﻣﻼً ﻛﺎﻓـــــﺔ اﻟرﺳـــــوم واﻟﺿـــــراﺋب وأﺟـــــور اﻟﺷـــــﺣن‬
‫‪taxes, shipping charges or handling charges, as‬‬ ‫واﻟﻣﻧﺎوﻟﺔ ذات اﻟﺻﻠﺔ إن ﻛﺎﻧت ﻣﻧطﺑﻘﺔ‪.‬‬
‫‪applicable.‬‬
‫‪"Refund Amount" means an amount to be‬‬ ‫"اﻟﻣﺑﻠــــﻎ اﻟﻣﺳــــﺗرد" ﺗﻌﻧــــﻲ اﻟﻣﺑﻠــــﻎ اﻟــــذي ﯾ ُــــَرد ﱡ ﻟﻠﻌﻣﯾــــل‬
‫‪refunded to a Customer in accordance with the‬‬ ‫وﻓﻘﺎ ً ﻟﺳﯾﺎﺳﺔ اﻹرﺟﺎع‪/‬اﻹﻟﻐﺎء اﻟﺧﺎﺻﺔ ﺑﺎﻟﺗﺎﺟر‪.‬‬
‫‪Merchant's return/cancellation policy.‬‬
‫‪"Refund Transaction" means a transaction by‬‬ ‫"ﻣﻌﺎﻣﻠـــ ـﺔ اﻻﺳـــ ـﺗرداد" ﺗﻌﻧـــ ـﻲ اﻟﻣﻌﺎﻣﻠـــ ـﺔ اﻟﺗﺟﺎرﯾـــ ـﺔ اﻟﺗـــ ـﻲ‬
‫‪which the Merchant transfers to STC Pay from its‬‬ ‫ﯾﻣﻛـــ ـن ﻟﻠﺗـــ ـﺎﺟر ﻣـــ ـن ﺧﻼﻟﮭـــ ـﺎ أن ﯾﺣـــ ـول ﻣـــ ـن ﺣﺳـــ ـﺎب‬
‫‪Settlement Account an amount corresponding to‬‬ ‫اﻟﺗﺳـــوﯾﺔ اﻟﺧـــﺎص ﺑـــﮫ ﻣﺑﻠﻐـــﺎ ً ﯾﻌـــﺎدل ﻣﺑﻠـــﻎ اﻻﺳـــﺗرداد إﻟـــﻰ‬
‫‪a Refund Amount.‬‬ ‫اﻟﺷرﻛﺔ‪.‬‬
‫‪"Service" means the service provided by STC‬‬ ‫"اﻟﺧدﻣــــﺔ" ﺗﻌﻧــــﻲ اﻟﺧدﻣــــﺔ اﻟﺗــــﻲ ﺗﻘــــدﻣﮭﺎ اﻟﺷــــرﻛﺔ وﻓــــق‬
‫‪Pay described in this Agreement that includes the‬‬ ‫اﻟﺗوﺻــــﯾف اﻟــــوارد ﻟﮭــــﺎ ﻓــــﻲ ھــــذه اﻻﺗﻔﺎﻗﯾــــﺔ‪ ،‬وﺗﺷــــﻣل‬
‫‪processing of Transactions on behalf of the‬‬ ‫اﻟﻘﯾـــﺎم ﻣﻘـــﺎم اﻟﺗـــﺎﺟر ﻓـــﻲ ﺗﻧﻔﯾـــذ اﻟﻣﻌـــﺎﻣﻼت اﻟﺗﺟﺎرﯾـــﺔ اﻟﺗـــﻲ‬
‫‪Merchants relating to the purchase of Products‬‬ ‫ﺗﺟري ﺑﯾن اﻟﺗﺎﺟر واﻟﻌﻣﯾل ﺑﺷﺄن ﺷراء اﻟﻣﻧﺗﺟﺎت‪.‬‬
‫‪between the Merchant and Customer.‬‬
‫‪"Service Disputes" means any disagreements,‬‬ ‫"ﻣﻧﺎزﻋــــــﺎت اﻟﺧدﻣــــــﺔ" ﺗﻌﻧــــــﻲ اﻟﺧﻼﻓــــــﺎت واﻟﺷــــــﻛﺎوى‬
‫‪complaints, litigation, arrangements and/or other‬‬ ‫واﻟــ ـدﻋﺎوى واﻹﺟــ ـراءات وﻛﺎﻓــ ـﺔ اﻟﻣﻧﺎزﻋــ ـﺎت اﻟﺗــ ـﻲ ﺗﻧﺷــ ـﺄ‬

‫‪failure by STC Pay to meet its obligations under‬‬ ‫اﻟﻣﻧﺻـــوص ﻋﻠﯾﮭــ ـﺎ ﻓــ ـﻲ ھــ ـذه اﻻﺗﻔﺎﻗﯾــ ـﺔ أو ﻓــ ـﻲ أي ﻧظــ ـﺎم‬

‫‪2.1‬‬ ‫‪STC Pay provides Wallet Services to its‬‬ ‫ﺗﻘـــــدم اﻟﺷـــــرﻛﺔ ﺧـــــدﻣﺎت اﻟﻣﺣﻔظـــــﺔ ﻟﻌﻣﻼﺋﮭـــــﺎ‬ ‫‪1 -2‬‬
‫‪Customers which enables Customers to‬‬ ‫ﻟﺗﻣﻛﯾــ ـﻧﮭم ﻣــ ـن ﺷــ ـراء اﻟﻣﻧﺗﺟــ ـﺎت اﻟﺗــ ـﻲ ﯾوردھــ ـﺎ‬
‫‪pay for the purchase of Products supplied‬‬ ‫اﻟﺗـــﺎﺟر‪ .‬وﺗﺑـــﯾن ھـــذه اﻻﺗﻔﺎﻗﯾـــﺔ ﺷـــروط اﻟﺷـــرﻛﺔ‬
‫‪by merchants. This Agreement sets out‬‬ ‫ﻟﺗﻣﻛﯾﻧـــك ﻣـــن ﻗﺑـــول ﺧـــدﻣﺎت اﻟﻣﺣﻔظـــﺔ ﻛوﺳـــﯾﻠﺔ‬

‫‪facilitate the processing‬‬ ‫‪of‬‬ ‫ﺗﯾﺳــــ ـﯾر ﺗﻧﻔﯾــــ ـذ اﻟﻣﻌــــ ـﺎﻣﻼت اﻟﺗﺟﺎرﯾــــ ـﺔ‬
‫‪Transactions‬‬ ‫‪on‬‬ ‫‪behalf‬‬ ‫‪of‬‬ ‫ﺑﺎﻟﻧﯾﺎﺑــ ـﺔ ﻋــ ـن اﻟﺗــ ـﺎﺟر وإﺗﺎﺣــ ـﺔ اﻟﻔرﺻــ ـﺔ‬
‫‪Merchants to enable payment‬‬ ‫‪for‬‬ ‫ﻟﻠﻌﻣﯾل ﻟﺗﺳدﯾد ﻗﯾﻣﺔ اﻟﻣﻧﺗﺟﺎت؛‬

‫‪2.3‬‬ ‫‪The Merchant acknowledges that STC‬‬ ‫ﯾﻘــــر اﻟﺗــــﺎﺟر ﺑﻣوﺟﺑــــﮫ ﺑــــﺄن اﻟﺷــــرﻛﺔ ﺗﻌــــرض‬ ‫‪3 -2‬‬
‫‪Pay is offering and continues to offer the‬‬ ‫اﻟﺧدﻣــــﺔ ﻋﻠــــﻰ اﻟﺗــــﺎﺟر وﺗﺳــــﺗﻣر ﻓــــﻲ ﻋــــرض‬
‫‪Service to the Merchant on the condition‬‬ ‫اﻟﺧدﻣــــﺔ ﻋﻠﯾــــﮫ ﺑﺷــــرط اﺟﺗﯾــــﺎزه ﺑﻧﺟــــﺎح ﻟﻛﺎﻓــــﺔ‬
‫‪that the Merchant satisfies all due‬‬ ‫اﺧﺗﺑــــﺎرات اﻟﮭوﯾــــﺔ وإﺟــــراءات اﻟﻌﻧﺎﯾــــﺔ اﻟواﺟﺑــــﺔ‬
‫‪diligence and identity checks STC Pay‬‬
‫اﻟﺗـــــﻲ ﻗـــــد ﺗﺟرﯾﮭـــــﺎ اﻟﺷـــــرﻛﺔ ﻋﻠﯾـــــﮫ‪ ،‬وﻛـــــذﻟك‬
‫‪may conduct, and that the Merchant‬‬
‫‪complies with STC Pay regulatory and‬‬
‫اﻟﺗزاﻣـــ ـﮫ واﻣﺗﺛﺎﻟـــ ـﮫ ﺑﺟﻣﯾـــ ـﻊ ﻣﺗطﻠﺑـــ ـﺎت اﻟﺷـــ ـرﻛﺔ‬
‫‪anti-money laundering requirements. The‬‬ ‫اﻟﻣﺗﻌﻠﻘـــــــﺔ ﺑﺎﻟﺟواﻧـــــــب اﻟﺗﻧظﯾﻣﯾـــــــﺔ وﺑﻘواﻋـــــــد‬
‫‪Merchant will provide all assistance‬‬ ‫ﻣﻛﺎﻓﺣـــ ـﺔ ﻏﺳـــ ـﯾل اﻷﻣـــ ـوال‪ .‬وﻋﻠـــ ـﻰ اﻟﺗـــ ـﺎﺟر أن‬

‫‪including the provision of such additional‬‬ ‫ﻏﺳــــﯾل اﻷﻣــــوال‪ ،‬ﺑﻣــــﺎ ﻓــــﻲ ذﻟــــك ﺗﻘــــدﯾم ﻛﺎﻓــــﺔ‬
‫‪registration‬‬ ‫‪or‬‬ ‫‪identity‬‬ ‫‪verification‬‬ ‫اﻟﻣﻌﻠوﻣــــﺎت اﻟﻣﺗﻌﻠﻘــــﺔ ﺑﺎﻟﺗﺳــــﺟﯾل أو اﻟﺗﺣﻘــــق ﻣــــن‬

‫‪2.4‬‬ ‫‪The Merchant acknowledges and agrees‬‬ ‫ﯾﻘــــر اﻟﺗــــﺎﺟر وﯾواﻓــــق ﻋﻠــــﻰ أن ﻋﻣﻠﯾــــﺎت ﺑﯾــــﻊ‬ ‫‪4 -2‬‬
‫‪that sales of Products are transactions‬‬ ‫اﻟﻣﻧﺗﺟــ ـﺎت ھــ ـﻲ ﻣﻌــ ـﺎﻣﻼت ﺗﺟــ ـري ﺑــ ـﯾن اﻟﺗــ ـﺎﺟر‬
‫‪between the Merchant and the Customer‬‬ ‫واﻟﻌﻣﯾل وﻟﯾس ﻣﻊ اﻟﺷرﻛﺔ‪.‬‬
‫‪and not with STC Pay.‬‬
‫‪2.5‬‬ ‫‪STC Pay is not responsible for the quality,‬‬ ‫ﻻ ﺗﺗﺣﻣــــل اﻟﺷــــرﻛﺔ اﻟﻣﺳــــؤوﻟﯾﺔ ﻋــــن ﺟــــودة أو‬ ‫‪5 -2‬‬
‫‪safety or legality of the Products supplied‬‬ ‫ﺳــــ ـﻼﻣﺔ أو ﺷــــ ـرﻋﯾﺔ اﻟﻣﻧﺗﺟــــ ـﺎت اﻟﻣــــ ـوّردة‪ ،‬وﻻ‬
‫‪or for any representation made in relation‬‬ ‫ﻋن أي ﺗﺻرﯾﺢٍ أو ﺗﻌﮭد ﯾﻘدم ﻋن أي ﻣﻧﺗﺞ‪.‬‬

‫‪receiving a Payment Order from the‬‬ ‫ﺑﻌــ ـد أن ﺗﺳــ ـﺗﻠم أﻣــ ـر اﻟــ ـدﻓﻊ ﻣــ ـن اﻟﺗــ ـﺎﺟر‪ ،‬ﺗﻧﻔﯾــ ـذ‬

‫‪2.7‬‬ ‫‪The Merchant will only use the Service to‬‬ ‫ﻻ ﯾﺟــــــ ـوز ﻟﻠﺗــــــ ـﺎﺟر اﺳــــــ ـﺗﺧدام اﻟﺧدﻣــــــ ـﺔ إﻻ‬ ‫‪7 -2‬‬
‫‪process a Payment Order for a Product‬‬ ‫ﻟﻣﻌﺎﻟﺟـــــﺔ أواﻣـــــر اﻟـــــدﻓﻊ اﻟﺧﺎﺻـــــﺔ ﺑﺎﻟﻣﻧﺗﺟـــــﺎت‬

‫‪2.8‬‬ ‫‪STC Pay may establish general practices‬‬ ‫ﻟﻠﺷـــ ـرﻛﺔ وﺿـــ ـﻊ ﺳﯾﺎﺳـــ ـﺎت وﻣﻣﺎرﺳـــ ـﺎت ﻋﺎﻣـــ ـﺔ‬ ‫‪8 -2‬‬
‫‪and limits concerning use of the Service‬‬ ‫ﺑﺷـــ ـﺄن اﺳـــ ـﺗﺧدام اﻟﺧدﻣـــ ـﺔ دون إﺷـــ ـﻌﺎر اﻟﺗـــ ـﺎﺟر‬
‫‪without prior notice to the Merchant,‬‬ ‫ﺑـ ـذﻟك ﻣﺳـ ـﺑﻘﺎ ً‪ ،‬ﺑﻣـ ـﺎ ﻓـ ـﻲ ذﻟـ ـك ﻋﻠـ ـﻰ ﺳـ ـﺑﯾل اﻟﻣﺛـ ـﺎل‬

‫‪any way for an illegal or prohibited‬‬ ‫اﻟﺧدﻣــــ ـﺔ ﻓــــ ـﻲ أﻏــــ ـراض ﻣﺣظــــ ـورة أو ﻏﯾــــ ـر‬
‫‪purpose, and such prohibited use is‬‬ ‫ﻣﺷــــ ـروﻋﺔ‪ ،‬وإﻻ ﻛــــ ـﺎن ذﻟــــ ـك ﻣﺑــــ ـررا ً ﻟوﻗــــ ـف‬
‫‪grounds for immediate suspension of the‬‬ ‫اﻟﺧدﻣﺔ أو إﻧﮭﺎء اﻻﺗﻔﺎﻗﯾﺔ )أو ﻛﻠﯾﮭﻣﺎ( ﻓورا ً‪.‬‬
‫‪Service and/or termination of the‬‬

‫‪2.10‬‬ ‫‪The Merchant will comply with all policies‬‬ ‫‪ 10-2‬ﻋﻠــــــﻰ اﻟﺗــــــﺎﺟر اﻻﻣﺗﺛــــــﺎل ﻟﻛﺎﻓــــــﺔ اﻟﺳﯾﺎﺳــــــﺎت‬
‫‪and limits concerning use of the Service‬‬ ‫واﻟﻘﯾــــود اﻟﻣﺗﻌﻠﻘــــﺔ ﺑﺎﻟﺧدﻣــــﺔ اﻟﻣﺧﺻﺻــــﺔ ﻟﻠﺗــــﺎﺟر‬
‫‪for Merchants, as published and updated‬‬ ‫اﻟﺗــــﻲ ﺗﻧﺷــــرھﺎ اﻟﺷــــرﻛﺔ أو ﺗﺣــــد ّﺛﮭﺎ ﻣــــن ﺣــــﯾن‬

‫‪Service, in whole or in part, as necessary‬‬ ‫أو ﺟزﺋﯾــــﺔ إذا اﻗﺗﺿــــت اﻟﺿــــرورة ﻟــــذﻟك ﻟﺗﻧﻔﯾــــذ‬
‫‪to perform maintenance or updates to the‬‬ ‫ﻋﻣﻠﯾــــــﺎت اﻟﺻــــــﯾﺎﻧﺔ أو اﻟﺗﺣــــــدﯾث ﻟﻠﺧدﻣــــــﺔ‪ ،‬أو‬
‫‪Service, or where STC Pay has any‬‬ ‫ﻓـــــﻲ اﻷﺣـــــوال اﻟﺗـــــﻲ ﺗﺛـــــور ﻟـــــدى اﻟﺷـــــرﻛﺔ‬
‫‪concerns about the manner in which the‬‬ ‫ﻣﺧــــ ـﺎوف ﺑﺷــــ ـﺄن طرﯾﻘــــ ـﺔ اﺳــــ ـﺗﺧدام اﻟﺗــــ ـﺎﺟر‬
‫‪Merchant uses the Service.‬‬

‫‪2.12‬‬ ‫‪The Merchant shall not establish a‬‬ ‫‪ 12-2‬ﻻ ﯾﺟــ ـوز ﻟﻠﺗــ ـﺎﺟر ﺗﺣدﯾــ ـد ﺣــ ـد أﻗﺻــ ـﻰ أو أدﻧــ ـﻰ‬
‫‪minimum or maximum Transaction‬‬ ‫ﻟﻣﺑﻠـــﻎ اﻟﻣﻌﺎﻣﻠـــﺔ ﻛﺷـــرط ﻋﻠـــﻰ اﺳـــﺗﺧدام اﻟﻌﻣﯾـــل‬
‫‪amount as a condition for Customer's use‬‬ ‫اﻟﺧدﻣﺔ ﻓﻲ ﺗﺳدﯾد ﻗﯾﻣﺔ اﻟﻣﻧﺗﺟﺎت‪.‬‬

‫‪2.13‬‬ ‫‪The Merchant shall not add any surcharge‬‬ ‫‪ 13-2‬ﻻ ﯾﺟـــ ـوز ﻟﻠﺗـــ ـﺎﺟر ﻓـــ ـرض أي رﺳـــ ـوم إﺿـــ ـﺎﻓﯾﺔ‬

‫‪2.14‬‬ ‫‪In the event that any Transaction is‬‬ ‫‪ 14-2‬ﻓـــﻲ ﺣـــﺎل إﻟﻐـــﺎء ﻣﻌﺎﻣﻠـــﺔ ﺗﺟﺎرﯾـــﺔ ﻷي ﺳـــﺑب ﻣـــن‬
‫‪reversed for any reason STC Pay may‬‬ ‫اﻷﺳــ ـﺑﺎب‪ ،‬ﺟــ ـﺎز ﻟﻠﺷــ ـرﻛﺔ اﺳــ ـﺗرداد ﻗﯾﻣﺗﮭــ ـﺎ ﻣــ ـن‬
‫‪seek to recover such funds from the‬‬ ‫اﻟﺗـــﺎﺟر ﻣـــن ﺧـــﻼل ﺧﺻـــﻣﮭﺎ ﻣـــن ﺣﺳـــﺎﺑﮫ‪ .‬وﻗـــد‬
‫‪Merchant by debiting the Merchant's‬‬

‫‪insufficient funds in the Merchant's‬‬ ‫ﺗﺣﺻـــﯾل دﯾﻧﮭـــﺎ ﻣـــن اﻟﺗـــﺎﺟر ﻣـــن ﺧـــﻼل ﺧﺻـــم‬
‫‪Account, STC Pay may collect the‬‬ ‫ﻗﯾﻣﺗـــــﮫ ﻣـــــن ﺣﺳـــــﺎب اﻟﺗـــــﺎﺟر ﻋﻧـــــد إﺟـــــراء‬
‫‪Merchant's debt to STC Pay by debiting‬‬
‫اﻟﻣﻌﺎﻣﻠـــــﺔ اﻟﺗﺎﻟﯾـــــﺔ‪ ،‬أو ﻣـــــن ﺧـــــﻼل أي طرﯾﻘـــــﺔ‬
‫‪the Merchant's Account following a‬‬
‫‪subsequent Transaction or by any other‬‬
‫أﺧرى ﺗﺗﯾﺣﮭﺎ اﻷﻧظﻣﺔ اﻟﻣﻌﻣول ﺑﮭﺎ‪.‬‬
‫‪means not prohibited by law.‬‬
‫‪2.15‬‬ ‫‪STC Pay will process Transactions in‬‬ ‫‪ 15-2‬ﺗﻧﻔــــ ـذ اﻟﺷــــ ـرﻛﺔ اﻟﻣﻌــــ ـﺎﻣﻼت اﻟﺗﺟﺎرﯾــــ ـﺔ وﻓﻘــــ ـﺎ ً‬
‫‪accordance with its Policies and‬‬ ‫ﻟﻠﺳﯾﺎﺳــــــ ـﺎت واﻹرﺷــــــ ـﺎدات اﻟﺧﺎﺻــــــ ـﺔ ﺑﮭــــــ ـﺎ‬
‫)‪Guidelines as set out in paragraph 2.10(a‬‬ ‫واﻟﻣﻧﺻــ ـوص ﻋﻠﯾﮭــ ـﺎ ﻓــ ـﻲ اﻟﻔﻘــ ـرة )أ( ﻣــ ـن اﻟﺑﻧــ ـد‬

‫‪3.‬‬ ‫‪SERVICE IMPLEMENTATION‬‬ ‫ﺗﻧﻔﯾذ اﻟﺧدﻣﺎت‬ ‫‪-3‬‬
‫‪3.1‬‬ ‫‪As part of the Merchant's implementation‬‬ ‫ﯾﺗﻌـــ ـﯾن ﻋﻠـــ ـﻰ اﻟﺗـــ ـﺎﺟر ﻓـــ ـﺗﺢ وﺗﺳـــ ـﺟﯾل ﺣﺳـــ ـﺎب‬ ‫‪1 -3‬‬
‫‪of the Service and as a condition of STC‬‬ ‫ﺗﺳــــوﯾﺔ ﺧــــﺎص ﺑﺎﻟﺧدﻣــــﺔ ﻛﺟــــزء ﻣــــن ﺗطﺑﯾــــق‬
‫‪Pay providing the Service, the Merchant‬‬ ‫اﻟﺧدﻣــ ـﺔ وﻛﺷــ ـرط ﻣــ ـن اﻟﺷــ ـرﻛﺔ ﻟﺗــ ـوﻓﯾر اﻟﺧدﻣــ ـﺔ‬
‫‪will establish, register and maintain a‬‬ ‫ﻟﮫ‪.‬‬
‫‪Settlement Account with the Service.‬‬
‫‪3.2‬‬ ‫‪The Merchant will provide current,‬‬ ‫ﯾﻠﺗـــزم اﻟﺗـــﺎﺟر ﺑﺗﻘـــدﯾم ﻛﺎﻓـــﺔ اﻟﻣﻌﻠوﻣـــﺎت اﻟﺳـــﺎرﯾﺔ‬ ‫‪2 -3‬‬
‫‪complete and accurate registration‬‬ ‫واﻟدﻗﯾﻘـــﺔ واﻟﻛﺎﻣﻠـــﺔ ﻋـــن اﻟﺗﺳـــﺟﯾل وﻋـــن ﺣﺳـــﺎب‬
‫‪information and Settlement Account‬‬ ‫اﻟﺗﺳــــوﯾﺔ وﺑﺣﻔــــظ ﺗﻠــــك اﻟﻣﻌﻠوﻣــــﺎت واﻟﻣﺣﺎﻓظــــﺔ‬
‫‪information and will update such‬‬ ‫ﻋﻠـــ ـﻰ ﺳـــ ـرﯾﺎﻧﮭﺎ ودﻗﺗﮭـــ ـﺎ‪ .‬وﯾﺟـــ ـوز ﻟﻠﺷـــ ـرﻛﺔ أن‬

‫‪continued use of the Service, or to assist‬‬ ‫ﺑﺷــــــﺄن اﻟﺳــــــﻣﺎح أو ﻋــــــدم اﻟﺳــــــﻣﺎح ﻟﻠﺗــــــﺎﺟر‬
‫‪STC Pay in determining whether to permit‬‬ ‫ﺑﺎﻻﺳﺗﻣرار ﻓﻲ اﺳﺗﺧدام اﻟﺧدﻣﺔ‪.‬‬
‫‪the Merchant to continue to use the‬‬
‫‪Service.‬‬
‫‪3.3‬‬ ‫‪If STC Pay updates its technical or‬‬ ‫ﻓـــــﻲ ﺣـــــﺎل أﺟـــــرت اﻟﺷـــــرﻛﺔ أﯾـــــﺔ ﺗﺣـــــدﯾﺛﺎت‬ ‫‪3 -3‬‬
‫‪implementation specifications from time to‬‬ ‫ﻟﻠﻣواﺻــــ ـﻔﺎت اﻟﻔﻧﯾــــ ـﺔ أو ﻣواﺻــــ ـﻔﺎت اﻟﺗطﺑﯾــــ ـق‪،‬‬
‫‪time, the Merchant will implement such‬‬ ‫ﻓﻌﻠــــ ـﻰ اﻟﺗــــ ـﺎﺟر ﺗطﺑﯾــــ ـق ﺗﻠــــ ـك اﻟﺗﺣــــ ـدﯾﺛﺎت أو‬
‫‪updates or modifications as soon as‬‬ ‫اﻟﺗﻐﯾﯾـــــرات ﻓـــــﻲ أﺳـــــرع وﻗـــــت ﻣﻣﻛـــــن ﻣـــــن‬
‫‪reasonably practical, but in any event‬‬
‫اﻟﻧﺎﺣﯾــــﺔ اﻟﻌﻣﻠﯾــــﺔ‪ ،‬ﻋﻠــــﻰ أن ﻻ ﯾزﯾــــد ﻓــــﻲ ﻛﺎﻓــــﺔ‬
‫‪within thirty (30) days of the date it‬‬
‫‪receives notice of the update.‬‬

‫‪3.4‬‬ ‫‪STC Pay will investigate Service‬‬ ‫ﺗﺗــــــوﻟﻰ اﻟﺷــــــرﻛﺔ اﻟﺗﺣﻘﯾــــــق ﻓــــــﻲ ﻣﻧﺎزﻋــــــﺎت‬ ‫‪4 -3‬‬
‫‪Disputes, provided that the Merchant‬‬ ‫اﻟﺧدﻣـــ ـﺔ ﺷـــ ـرط ﺗﻘـــ ـدﯾم اﻟﺗـــ ـﺎﺟر ﻛﺎﻓـــ ـﺔ أﺷـــ ـﻛﺎل‬
‫‪provides reasonable assistance to STC‬‬ ‫اﻟﻣﺳــ ـﺎﻋدة اﻟﻣﻌﻘوﻟــ ـﺔ اﻟﺗــ ـﻲ ﺗطﻠﺑﮭــ ـﺎ اﻟﺷــ ـرﻛﺔ ﻣــ ـن‬
‫‪Pay as requested by STC Pay, from time‬‬ ‫وﻗــــ ـت ﻵﺧــــ ـر‪ .‬ﻟﺗﺟﻧــــ ـب ﻣﻧﺎزﻋــــ ـﺎت اﻟﺧدﻣــــ ـﺔ‪،‬‬

‫‪to and resolve with STC Pay any‬‬
‫اﻟﺷـــــ ـرﻛﺔ وأن ﯾﺳـــــ ـوي ﻣﻌﮭـــــ ـﺎ أﯾـــــ ـﺔ أﺳـــــ ـﺋﻠﺔ‬
‫‪Customer enquiries and claims that STC‬‬ ‫وﻣطﺎﻟﺑـــﺎت ﻣﻘدﻣـــﺔ ﻣـــن اﻟﻌﻣـــﻼء واﻟﺗـــﻲ ﺗﺣوﻟﮭـــﺎ‬
‫‪Pay passes on to the Merchant within a‬‬ ‫اﻟﺷـــرﻛﺔ إﻟـــﻰ اﻟﺗـــﺎﺟر‪ ،‬وذﻟـــك ﻓـــﻲ ﻣﮭﻠـــﺔ أﻗﺻـــﺎھﺎ‬
‫‪maximum period of three (3) Business‬‬
‫‪Days of the Merchant's receipt of such‬‬ ‫ﺛﻼﺛـــﺔ )‪ (3‬أﯾـــﺎم ﻋﻣـــل ﻣـــن اﺳـــﺗﻼم اﻟﺗـــﺎﺟر ﻟﺗﻠـــك‬

‫‪TERMS‬‬
‫‪5.1‬‬ ‫‪(a) The Merchant will pay the Service‬‬ ‫)أ( ﻋﻠــ ـﻰ اﻟﺗــ ـﺎﺟر ﺗﺳــ ـدﯾد ﻛﺎﻓــ ـﺔ رﺳــ ـوم اﻟﺧدﻣــ ـﺔ‬ ‫‪1 -5‬‬

‫‪Transaction an amount equivalent to the‬‬
‫‪Payment Order less the Service Fees and‬‬
‫وﺿـــــ ـرﯾﺑﺔ اﻟﻘﯾﻣـــــ ـﺔ اﻟﻣﺿـــــ ـﺎﻓﺔ اﻟﻣﺗوﺟﺑـــــ ـﺔ‪ .‬أي‬
‫‪any applicable value added tax. Any‬‬ ‫رﺳــ ـوم ﺧدﻣــ ـﺔ وﺿــ ـرﯾﺑﺔ اﻟﻘﯾﻣــ ـﺔ اﻟﻣﺿــ ـﺎﻓﺔ ﻏﯾــ ـر‬
‫‪balance Service Fees and/or value added‬‬ ‫ﻣﻘﺗطﻌـــ ـﺔ ﺗﻠﻘﺎﺋﯾـــ ـﺎ ً ﻋـــ ـن أﯾـــ ـﺔ ﻣﻌﺎﻣﻠـــ ـﺔ ﺗﺟﺎرﯾـــ ـﺔ‪،‬‬

‫‪verification‬‬ ‫‪or‬‬ ‫‪anti-money‬‬ ‫ﻟﻠوﻓــــ ـﺎء ﺑﻣﺗطﻠﺑــــ ـﺎت ﻗواﻋــــ ـد ﻣﻛﺎﻓﺣــــ ـﺔ‬
‫‪laundering and terrorism financing‬‬ ‫ﻏﺳﯾل اﻷﻣوال وﺗﻣوﯾل اﻻرھﺎب‪.‬‬
‫‪requirements.‬‬
‫‪5.3‬‬ ‫‪The Merchant will maintain a fair policy‬‬ ‫ﻋﻠــــﻰ اﻟﺗــــﺎﺟر اﻋﺗﻣــــﺎد ﺳﯾﺎﺳــــﺎت ﻋﺎدﻟــــﺔ ﺑﺷــــﺄن‬ ‫‪3 -5‬‬
‫‪with regard to the return/cancellation of‬‬ ‫إﻋﺎدة‪/‬إﻟﻐــــ ـﺎء اﻟﺑﺿــــ ـﺎﺋﻊ أو اﻟﺧــــ ـدﻣﺎت وﺗﺳــــ ـوﯾﺔ‬
‫‪merchandise or services and adjustment‬‬ ‫اﻟﻣﻌـــــــﺎﻣﻼت اﻟﺗﺟﺎرﯾـــــــﺔ‪ ،‬وإطـــــــﻼع اﻟﻌﻣﯾـــــــل‬
‫‪of Transactions. The Merchant will‬‬ ‫ﻋﻠﯾﮭـــﺎ‪ .‬وﻓـــﻲ ﺣـــﺎل أﺟـــﺎز اﻟﺗـــﺎﺟر ﺗﻌـــدﯾل اﻟﺳـــﻌر‬
‫‪disclose its return/cancellation policy to‬‬
‫أو إﻋــــﺎدة اﻟﻣﻧﺗﺟــــﺎت أو إﻟﻐﺎﺋﮭــــﺎ ﻓــــﻲ أي ﻣﻌﺎﻣﻠــــﺔ‬
‫‪Customers. If the Merchant allows a price‬‬
‫‪adjustment, return of Products or‬‬
‫ﺗﺟﺎرﯾــــﺔ ﻣــــﻊ اﻟﻌﻣﯾــــل‪ ،‬ﻓﻌﻠــــﻰ اﻟﺗــــﺎﺟر ﺗﻧﻔﯾــــذ أو‬
‫‪cancellation of Products in connection‬‬ ‫اﻟﺗﻔـــوﯾض ﺑﺗﻧﻔﯾـــذ ﻣﻌﺎﻣﻠـــﺔ اﻻﺳـــﺗرداد ﻓـــﻲ أﻗـــرب‬
‫‪with a Transaction from a Customer, the‬‬ ‫وﻗــــــــت ﻣﻣﻛــــــــن ﺑﻌــــــــد اﺳــــــــﺗﻼم طﻠــــــــب‬
‫‪Merchant will initiate and authorise a‬‬ ‫اﻻﺳﺗرداد‪/‬اﻟﺗﺳـــ ـوﯾﺔ ﻣـــ ـن اﻟﻌﻣﯾـــ ـل‪ ،‬وذﻟـــ ـك ﻣـــ ـن‬
‫‪Refund Transaction as soon as possible‬‬ ‫ﺧــــ ـﻼل ﺧﺎﺻــــ ـﯾﺔ اﻻﺳــــ ـﺗرداد اﻟﺗــــ ـﻲ ﺗوﻓرھــــ ـﺎ‬
‫‪following receipt of the Customer's‬‬ ‫اﻟﺧدﻣـــــــــﺔ‪ .‬وﻻ ﯾﺟـــــــــوز أن ﯾزﯾـــــــــد ﻣﺑﻠـــــــــﻎ‬
‫‪request for such refund/adjustment by‬‬ ‫اﻻﺳﺗرداد‪/‬اﻟﺗﺳـــــ ـوﯾﺔ ﻋـــــ ـن اﻟﻣﺑﻠـــــ ـﻎ اﻹﺟﻣـــــ ـﺎﻟﻲ‬

‫‪Merchant is not allowed to accept cash or‬‬
‫‪any other payment or consideration from‬‬

‫‪refund to Customer nor to give cash‬‬
‫‪refunds to a Customer in connection with‬‬
‫‪a Product paid for with a Transaction.‬‬
‫‪5.4‬‬ ‫‪The Merchant will pay any applicable‬‬ ‫ﯾﺗـــــ ـوﻟﻰ اﻟﺗـــــ ـﺎﺟر ﺗﺳـــــ ـدﯾد ﻛﺎﻓـــــ ـﺔ اﻟﺿـــــ ـراﺋب‬ ‫‪4 -5‬‬
‫‪taxes, including sales, use, personal‬‬ ‫اﻟﻣﻔروﺿــــــﺔ‪ ،‬ﺑﻣــــــﺎ ﻓﯾﮭــــــﺎ اﻟﺿــــــرﯾﺑﺔ ﻋﻠــــــﻰ‬
‫‪property, value-added, excise, customs‬‬ ‫اﻟﻣﺑﯾﻌــــ ـﺎت أو اﻻﺳــــ ـﺗﺧدام أو ﻋﻠــــ ـﻰ اﻟﻣﻣﺗﻠﻛــــ ـﺎت‬
‫‪fees, import duties or stamp duties or‬‬ ‫اﻟﺷﺧﺻــــ ـﯾﺔ‪ ،‬أو ﺿــــ ـرﯾﺑﺔ اﻟﻘﯾﻣــــ ـﺔ اﻟﻣﺿــــ ـﺎﻓﺔ أو‬
‫‪other taxes and duties imposed by‬‬
‫ﺿـــــــرﯾﺑﺔ اﻹﻧﺗـــــــﺎج أو اﻟرﺳـــــــوم اﻟﺟﻣرﻛﯾـــــــﺔ‬
‫‪governmental entities of whatever kind‬‬
‫‪and imposed with respect to the‬‬

‫‪PROPERTY RIGHTS‬‬
‫‪6.1‬‬ ‫‪The Merchant will not disclose or cause to‬‬ ‫ﻻ ﯾﺟـــــــوز ﻟﻠﺗـــــــﺎﺟر اﻹﻓﺻـــــــﺎح أو اﻹﯾﻌـــــــﺎز‬ ‫‪1 -6‬‬
‫‪be disclosed any confidential and/or‬‬ ‫ﺑﺎﻹﻓﺻــــ ـﺎح ﻋــــ ـن أي ﻣﻌﻠوﻣــــ ـﺎت ﺳــــ ـرﯾﺔ أو أي‬
‫‪proprietary information belonging to STC‬‬ ‫ﻣﻌﻠوﻣـــــﺎت ﻣﺣﻣﯾـــــﺔ ﺑﻘـــــواﻧﯾن اﻟﻣﻠﻛﯾـــــﺔ اﻟﻔﻛرﯾـــــﺔ‬
‫‪Pay or in relation to a Customer without‬‬
‫‪STC Pay's prior written consent, except to‬‬ ‫ﺗﺧـــــص اﻟﺷـــــرﻛﺔ أو ﺗﺗﻌﻠـــــق ﺑـــــﺄي ﻋﻣـــــل دون‬

‫‪agreement not to disclose third party‬‬

‫‪confidential or proprietary information‬‬ ‫اﻻﺗﻔﺎﻗﯾــــ ـﺔ )"اﻷﺷــــ ـﺧﺎص اﻟﻣﻔوﺿــــ ـون"( اﻟــــ ـذﯾن‬
‫‪disclosed to the Merchant, or as such‬‬ ‫ﯾﻠﺗزﻣــــــون ﺑﻣوﺟــــــب اﺗﻔــــــﺎق ﺧطــــــﻲ ﺑﻌــــــدم‬
‫‪disclosure may be required by law or‬‬ ‫اﻹﻓﺻــــﺎح ﻋــــن أي ﻣــــن اﻟﻣﻌﻠوﻣــــﺎت اﻟﺳــــرﯾﺔ أو‬
‫‪governmental regulation. The Merchant‬‬ ‫اﻟﻣﻌﻠوﻣــــﺎت اﻟﻣﺣﻣﯾــــﺔ ﺑﻘــــواﻧﯾن اﻟﻣﻠﻛﯾــــﺔ اﻟﻔﻛرﯾــــﺔ‬
‫‪acknowledges and agrees that the‬‬ ‫اﻟﺧﺎﺻــــﺔ ﺑــــﺎﻟﻐﯾر اﻟﺗــــﻲ ﯾــــﺗم اﻹﻓﺻــــﺎح ﻋﻧﮭــــﺎ‬
‫‪Merchant is responsible for any act and/or‬‬ ‫ﻟﻠﺗــــــﺎﺟر‪ ،‬أو ﻓــــــﻲ اﻷﺣــــــوال اﻟﺗــــــﻲ ﺗﻘﺿــــــﻲ‬
‫‪omission of any Authorised Person in‬‬ ‫اﻷﻧظﻣـــــﺔ أو اﻟﺗﺷـــــرﯾﻌﺎت اﻟﺣﻛوﻣﯾـــــﺔ ﺑﺎﻹﻓﺻـــــﺎح‬
‫‪breach of this clause. The Merchant will‬‬ ‫ﻋﻧﮭــ ـﺎ‪ .‬وﻗــ ـد أﻗــ ـر اﻟﺗــ ـﺎﺟر وواﻓــ ـق ﻋﻠــ ـﻰ ﺗﺣﻣــ ـل‬
‫‪protect STC Pay confidential and‬‬ ‫اﻟﻣﺳـــؤوﻟﯾﺔ ﻋـــن أي ﻓﻌـــل أو اﻣﺗﻧـــﺎع ﻋـــن اﻟﻔﻌـــل‬
‫‪proprietary information by using the same‬‬
‫ﻣــــــن ﺟﺎﻧــــــب أي ﺷــــــﺧص ﻣــــــن اﻷﺷــــــﺧﺎص‬
‫‪degree of care (and no less than a‬‬
‫‪reasonable degree of care) that it uses to‬‬
‫اﻟﻣﻔوﺿــــ ـﯾن ﺑﺎﻟﻣﺧﺎﻟﻔــــ ـﺔ ﻷﺣﻛــــ ـﺎم ھــــ ـذا اﻟﺑﻧــــ ـد‪.‬‬

‫‪dissemination or publication to any‬‬ ‫ﺑـــذل ﻣﺳـــﺗوى ﻣـــن اﻟﻌﻧﺎﯾـــﺔ ﯾﻌـــﺎدل )وﻻ ﯾﻘـــل ﻋـــن‬
‫‪unauthorised third party.‬‬ ‫اﻟﻣﺳـــ ـﺗوى اﻟﻣﻌﻘـــ ـول ﻟﻠﻌﻧﺎﯾـــ ـﺔ( اﻟﻣﺳـــ ـﺗوى اﻟـــ ـذي‬
‫ﯾﺑذﻟــ ـﮫ ﻓــ ـﻲ ﺣﻣﺎﯾــ ـﺔ ﻣﻌﻠوﻣﺎﺗــ ـﮫ اﻟﺳــ ـرﯾﺔ اﻟﻣﺷــ ـﺎﺑﮭﺔ‬
‫ﻟﮭــ ـﺎ ﻣــ ـن أي اﺳــ ـﺗﺧدام أو ﻧﺷــ ـر ﻏﯾــ ـر ﻣــ ـرﺧص‬
‫ﺑﮫ ﻷي طرف ﻏﯾر ﻣرﺧص ﻟﮫ‪.‬‬
‫‪6.2‬‬ ‫‪The Merchant represents and warrants‬‬ ‫ﺿــــــِﻣَن ﺗﻔــــــوﯾض ﺟﻣﯾــــــﻊ‬‫ﺻــــــّرح اﻟﺗــــــﺎﺟر و َ‬ ‫‪2 -6‬‬
‫‪that all officers, employees, agents,‬‬ ‫ﻣﺳـــــــؤوﻟﯾﮫ وﻣوظﻔﯾـــــــﮫ ووﻛﻼﺋـــــــﮫ وﻣﻣﺛﻠﯾـــــــﮫ‬
‫‪representatives and others having access‬‬ ‫واﻷﺷــــﺧﺎص اﻟــــذﯾن ﯾﻣﺗﻠﻛــــون ﺑﯾﺎﻧــــﺎت ﺗﺳــــﺟﯾل‬
‫‪to its Login Details will be authorised by‬‬ ‫اﻟــــــدﺧول اﻟﺧﺎﺻــــــﺔ ﺑــــــﮫ ﺑﺎﺳــــــﺗﺧدام اﻟﺧدﻣــــــﺔ‬
‫‪the Merchant to use the Service and‬‬

‫‪legally bind the Merchant.‬‬
‫‪6.3‬‬ ‫‪The Merchant will exercise reasonable‬‬ ‫ﯾﻠﺗــــزم اﻟﺗــــﺎﺟر ﺑﺑــــذل اﻟﻌﻧﺎﯾــــﺔ اﻟﻣﻌﻘوﻟــــﺔ ﻟﻣــــﻧﺢ‬ ‫‪3 -6‬‬
‫‪care to prevent disclosure of any‬‬ ‫اﻟﻛﺷــ ـف ﻋــ ـن أي ﻣﻌﻠوﻣــ ـﺎت ﺗﺗﻌﻠــ ـق ﺑﺎﻟﻣﻌــ ـﺎﻣﻼت‬
‫‪transactional information, other than to‬‬ ‫اﻟﺗﺟﺎرﯾـــــــﺔ إﻻ ﻟوﻛﻼﺋـــــــﮫ وﻣﻘﺎوﻟﯾـــــــﮫ ﻟﻐـــــــرض‬
‫‪the Merchant's agents and contractors for‬‬ ‫ﻣﺳـــ ـﺎﻋدﺗﮫ ﻋﻠـــ ـﻰ ﺗﻧﻔﯾـــ ـذ اﻟﺗزاﻣﺎﺗـــ ـﮫ اﻟﻣﻧﺻـــ ـوص‬
‫‪the purpose of assisting the Merchant to‬‬
‫ﻋﻠﯾﮭـــﺎ ﻓـــﻲ ھـــذه اﻻﺗﻔﺎﻗﯾـــﺔ‪ ،‬أو ﺗﻧﻔﯾـــذا ً ﻟﻣﻘﺗﺿـــﯾﺎت‬
‫‪perform its obligations under this‬‬
‫‪Agreement, or as specifically required by‬‬
‫اﻷﻧظﻣﺔ اﻟﻣﻌﻣول ﺑﮭﺎ‪.‬‬
‫‪law.‬‬
‫‪6.4‬‬ ‫‪The Merchant will comply with reasonable‬‬ ‫ﯾﻠﺗـــــزم اﻟﺗـــــﺎﺟر ﺑﻛﺎﻓـــــﺔ اﻟﻣﻌـــــﺎﯾﯾر ذات اﻟﺻـــــﻠﺔ‬ ‫‪4 -6‬‬
‫‪industry standards for data security and‬‬ ‫اﻟﻣﻌﻘوﻟـــــﺔ اﻟﻣﺗﻌﻠﻘـــــﺔ ﺑﺣﻣﺎﯾـــــﺔ اﻟﺑﯾﺎﻧـــــﺎت ﻟﺣﻣﺎﯾـــــﺔ‬
‫‪data protection for transactional and‬‬ ‫ﺑﯾﺎﻧﺎت اﻟﻌﻣﻼء واﻟﻣﻌﺎﻣﻼت اﻟﺗﺟﺎرﯾﺔ‪.‬‬
‫‪Customer information.‬‬

‫‪7.1‬‬ ‫‪Each party represents and warrants that it‬‬ ‫ﺿــــِﻣَن ﻟﻠطــــرف اﻵﺧــــر‬

‫‪Web Site(s); and‬‬ ‫اﻹﻟﻛﺗروﻧﯾﺔ اﻟﺧﺎﺻﺔ ﺑﺎﻟﺗﺎﺟر؛‬
‫)‪(b‬‬ ‫‪Has and will maintain throughout‬‬ ‫ﺑﺄﻧـــﮫ ﯾﻣﻠـــك ﻛﺎﻣـــل اﻟﺣـــق واﻟﺻـــﻼﺣﯾﺎت‬ ‫) ب(‬
‫‪the term of this Agreement all‬‬ ‫واﻟﺗـــ ـراﺧﯾص اﻟﺗـــ ـﻲ ﯾﺣﺗﺎﺟﮭـــ ـﺎ ﻟﺗطﺑﯾـــ ـق‬

‫‪7.3‬‬ ‫‪The Merchant warrants to STC Pay that:‬‬ ‫ﺿِﻣَن اﻟﺗﺎﺟر ﻟﻠﺷرﻛﺔ ﻣﺎ ﯾﻠﻲ‪:‬‬

‫‪of its obligations under this‬‬ ‫ﻋﻠﯾﮭـــ ـﺎ ﻓـــ ـﻲ ھـــ ـذه اﻻﺗﻔﺎﻗﯾـــ ـﺔ ﻻ ﯾﺷـــ ـﻛل‬
‫‪Agreement will not constitute a‬‬ ‫ﺗﻘﺻـــ ـﯾرا ً أو ﻣﺧﺎﻟﻔـــ ـﺔ ﻣﻧـــ ـﮫ ﻷي اﺗﻔﺎﻗﯾـــ ـﺔ‬

‫‪connected with the Merchant's use‬‬
‫;‪of the Service‬‬
‫)‪(c‬‬ ‫‪The Merchant will not attempt to‬‬ ‫أن ﻻ ﯾﺳـــ ـﻌﻰ ﻻﺳـــ ـﺗﻐﻼل اﻟﺧدﻣـــ ـﺔ ﻓـــ ـﻲ‬ ‫)ج(‬
‫‪initiate or receive a transaction‬‬ ‫إﺑـــ ـرام أو اﺳـــ ـﺗﻼم أي ﻣﻌﺎﻣﻠـــ ـﺔ ﺗﺟﺎرﯾـــ ـﺔ‬
‫‪using the Service that is, or would‬‬ ‫ﻏﯾـــ ـر ﻣﺷـــ ـروﻋﺔ أو ﻗـــ ـد ﺗﻌﺗﺑـــ ـر ﻏﯾـــ ـر‬
‫‪be, illegal under any applicable‬‬ ‫ﻣﺷـــــروﻋﺔ وﻓﻘـــــﺎ ً ﻟﻸﻧظﻣـــــﺔ اﻟﻣﻌﻣـــــول‬
‫‪law; and‬‬ ‫ﺑﮭﺎ؛‬

‫‪of Products and its relationship‬‬ ‫وﻋﻼﻗﺎﺗﮫ ﻣﻊ اﻟﻌﻣﻼء‪.‬‬
‫‪with Customers.‬‬
‫‪7.4‬‬ ‫‪STC Pay warrants to the Merchant that it‬‬ ‫ﺿــــِﻣﻧَت اﻟﺷــــرﻛﺔ ﻟﻠﺗــــﺎﺟر ﺗﻘــــدﯾم اﻟﺧــــدﻣﺎت ﻟــــﮫ‬
‫َ‬ ‫‪4 -7‬‬
‫‪will provide the Services with reasonable‬‬ ‫ﺑﺎﻟﻘدر اﻟﻣﻌﻘول ﻣن اﻟرﻋﺎﯾﺔ واﻟﻣﮭﺎرة‪.‬‬

‫‪7.5‬‬ ‫‪STC Pay does not warrant that the‬‬ ‫ﻻ ﺗﺿــــــﻣن اﻟﺷــــــرﻛﺔ ﺗﻠﺑﯾــــــﺔ اﻟﺧدﻣــــــﺔ ﺟﻣﯾــــــﻊ‬ ‫‪5 -7‬‬
‫‪Services will meet all of the Merchant's‬‬ ‫اﺣﺗﯾﺎﺟــــﺎت اﻟﺗــــﺎﺟر‪ ،‬ﻛﻣــــﺎ ﻻ ﺗﺿــــﻣن اﺳــــﺗﻣرار‬
‫‪requirements or that the operation of the‬‬ ‫اﻟﺧدﻣــــــــﺔ دون اﻧﻘطــــــــﺎع وﻻ ﺧﻠوھــــــــﺎ ﻣــــــــن‬
‫‪Services will be uninterrupted, virus-free,‬‬ ‫اﻟﻔﯾروﺳﺎت أو اﻷﺧطﺎء أو اﻟﺛﻐرات اﻷﻣﻧﯾﺔ‪.‬‬
‫‪secure or error-free.‬‬
‫‪7.6‬‬ ‫‪STC Pay will not be liable for any breach‬‬ ‫ﻻ ﺗﺗﺣﻣـــل اﻟﺷـــرﻛﺔ اﻟﻣﺳـــؤوﻟﯾﺔ ﻋـــن أﯾـــﺔ ﻣﺧﺎﻟﻔـــﺔ‬ ‫‪6 -7‬‬

‫‪8.‬‬ ‫‪LIMITATION OF LIABILITY‬‬ ‫ﺗﺣدﯾد اﻟﻣﺳؤوﻟﯾﺔ‬ ‫‪-8‬‬
‫‪8.1‬‬ ‫‪Nothing in this Agreement will exclude or‬‬ ‫ﻻ ﯾﺟـــ ـوز ﺗﻔﺳـــ ـﯾر ھـــ ـذه اﻻﺗﻔﺎﻗﯾـــ ـﺔ ﻋﻠـــ ـﻰ أﻧﮭـــ ـﺎ‬ ‫‪1 -8‬‬
‫‪limit either party's liability for fraud or‬‬ ‫ﺗﺳـــ ـﺗﺛﻧﻲ أو ﺗﺣـــ ـدد ﻣﺳـــ ـؤوﻟﯾﺔ أي طـــ ـرف ﻋـــ ـن‬
‫‪fraudulent misrepresentation.‬‬ ‫أﻓﻌﺎل اﻟﻐش أو اﻟﺗﺻرﯾﺣﺎت اﻟﻛﺎذﺑﺔ‪.‬‬

‫‪9.1‬‬ ‫‪Should any Force Majeure Event delay‬‬ ‫إذا وﻗﻌــــت ﺣﺎﻟــــﺔ ﻣــــن ﺣــــﺎﻻت اﻟﻘــــوة اﻟﻘــــﺎھرة‬ ‫‪1 -9‬‬
‫‪the performance by either party of its‬‬ ‫وﺗﺳــــﺑﺑت ﻓــــﻲ ﺗــــﺄﺧﯾر أي طــــرف ﻋــــن ﺗﻧﻔﯾــــذ‬
‫‪obligations under this Agreement, the‬‬ ‫اﻟﺗزاﻣﺎﺗــــــﮫ اﻟﻣﻧﺻــــــوص ﻋﻠﯾﮭــــــﺎ ﻓــــــﻲ ھــــــذه‬
‫‪affected party shall notify the other party‬‬ ‫اﻻﺗﻔﺎﻗﯾــــ ـﺔ‪ ،‬ﻓﻌﻠــــ ـﻰ اﻟطــــ ـرف اﻟﻣﺗــــ ـﺄﺛر إﺷــــ ـﻌﺎر‬

‫‪9.2‬‬ ‫‪Upon the occurrence of a Force Majeure‬‬ ‫ﯾﺗوﻗــــف واﺟــــب اﻟطــــرف اﻟﻣﺗــــﺄﺛر ﺑﺣﺎﻟــــﺔ اﻟﻘــــوة‬ ‫‪2 -9‬‬
‫‪Event, the affected party duty to perform‬‬ ‫اﻟﻘــــ ـﺎھرة ﻓــــ ـﻲ ﺗﻧﻔﯾــــ ـذ اﻟﺗزاﻣﺎﺗــــ ـﮫ اﻟﻣﻧﺻــــ ـوص‬

‫‪cease until such Force Majeure Event‬‬ ‫وﺣﺗــــﻰ ﻣﻌﺎﻟﺟﺗﮭــــﺎ‪ ،‬وﻻ ﯾ ُﺳــــﺄل اﻟطــــرف اﻟﻣﺗــــﺄﺛر‬

‫‪10.‬‬ ‫‪INDEMNIFICATION‬‬ ‫ﺿﻣﺎن اﻟﺗﻌوﯾض‬ ‫‪-10‬‬

‫‪10.1‬‬ ‫‪The Merchant will indemnify, defend and‬‬ ‫ﺿـــــِﻣَن اﻟﺗـــــﺎﺟر ﺗﻌـــــوﯾض اﻟﺷـــــرﻛﺔ وﺷـــــرﻛﺔ‬ ‫َ‬ ‫‪1-10‬‬
‫‪hold STC Pay, STC and its affiliates,‬‬ ‫اﻻﺗﺻــــﺎﻻت اﻟﺳــــﻌودﯾﺔ واﻟﻛﯾﺎﻧــــﺎت اﻟﺗﺎﺑﻌــــﺔ ﻟﮭــــﺎ‬
‫‪and/or any financial service provider with‬‬ ‫وﺟﻣﯾـــــﻊ ﻣـــــزودي اﻟﺧـــــدﻣﺎت اﻟـــــذﯾن أﺑرﻣـــــت‬
‫‪whom STC Pay has an agreement in‬‬ ‫اﻟﺷــــ ـرﻛﺔ ﻣﻌﮭــــ ـم اﺗﻔﺎﻗﯾــــ ـﺎت ﺑﺷــــ ـﺄن اﻟﺧــــ ـدﻣﺎت‬

‫)‪(c‬‬ ‫‪The Merchant's use of the Service‬‬ ‫اﺳــــﺗﺧدام اﻟﺗــــﺎﺟر اﻟﺧدﻣــــﺔ ﻓــــﻲ ﻏﯾــــر‬ ‫)ج(‬
‫‪otherwise than as permitted by‬‬ ‫اﻷﻏــــراض اﻟﻣﺻــــرح ﺑﮭــــﺎ ﻓــــﻲ ھــــذه‬
‫‪this Agreement; and/or‬‬ ‫اﻻﺗﻔﺎﻗﯾﺔ؛ و‪/‬أو‬
‫)‪(d‬‬ ‫‪Any Product which a Customer‬‬ ‫أي ﻣﻧـــــﺗﺞ ﺣـــــﺎول اﻟﻌﻣﯾـــــل اﻟﺣﺻـــــول‬ ‫) د(‬
‫‪has attempted to, intends to or has‬‬ ‫ﻋﻠﯾـــــﮫ أو ﯾﻌﺗـــــزم اﻟﺣﺻـــــول ﻋﻠﯾـــــﮫ أو‬
‫‪acquired using the Service.‬‬ ‫ﺣﺻـــــل ﻋﻠﯾـــــﮫ ﻓﻌـــــﻼً ﻋـــــن طرﯾـــــق‬
‫اﻟﺧدﻣﺔ‪.‬‬
‫‪11.‬‬ ‫‪TERM AND TERMINATION‬‬ ‫ﻣدة اﻻﺗﻔﺎﻗﯾﺔ وإﻧﮭﺎؤھﺎ‬ ‫‪-11‬‬
‫‪11.1‬‬ ‫‪This Agreement will commence on the‬‬ ‫‪ 1-11‬ﯾﺑـــدأ اﻟﻌﻣـــل ﺑﺄﺣﻛـــﺎم ھـــذه اﻻﺗﻔﺎﻗﯾـــﺔ اﻋﺗﺑـــﺎرا ً ﻣـــن‬
‫‪Effective Date and, will continue until‬‬ ‫ﺗــــﺎرﯾﺦ اﻟﻧﻔــــﺎذ‪ ،‬وﺗﺑﻘــــﻰ ﺳــــﺎرﯾﺔ وﻓﻘــــﺎ ً ﻟﻸﺣﻛــــﺎم‬
‫‪terminated in accordance with the‬‬ ‫اﻟواردة ﻓﯾﮭﺎ ﻟﺣﯾن إﻧﮭﺎﺋﮭﺎ‪.‬‬
‫‪provisions set out herein.‬‬
‫‪11.2‬‬ ‫‪Either party may terminate this‬‬ ‫‪ 2-11‬ﻟﻛـــل طـــرف إﻧﮭـــﺎء اﻻﺗﻔﺎﻗﯾـــﺔ ﺑﻌـــد ﺗوﺟﯾـــﮫ إﺷـــﻌﺎر‬
‫‪Agreement on 10 (ten) day written notice.‬‬ ‫ﺧطﻲ ﺑذﻟك ﻣدﺗﮫ ﻋﺷرة )‪ (10‬أﯾﺎم‪.‬‬
‫‪11.3‬‬ ‫‪Either party may suspend performance‬‬ ‫‪ 3-11‬ﻟﻛــــــل طــــــرف ﺗﻌﻠﯾــــــق اﻟﻌﻣــــــل ﺑﺎﻻﺗﻔﺎﻗﯾــــــﺔ أو‬
‫‪and/or terminate the Agreement, in whole‬‬ ‫إﻧﮭﺎؤھـــ ـﺎ ﻛﻠﯾـــ ـﺎ ً أو ﺟزﺋﯾـــ ـﺎ ً وﺑـــ ـﺄﺛر ﻓـــ ـوري ﻓـــ ـﻲ‬
‫‪or in part and on immediate notice if:‬‬ ‫اﻟﺣﺎﻻت اﻵﺗﯾﺔ‪:‬‬
‫)‪(a‬‬ ‫‪The‬‬ ‫‪other‬‬ ‫‪party‬‬ ‫‪materially‬‬ ‫إذا ارﺗﻛـــــب اﻟطـــــرف اﻵﺧـــــر ﻣﺧﺎﻟﻔـــــﺔ‬ ‫)أ(‬
‫‪breaches any term of the‬‬ ‫ﺟﺳــ ـﯾﻣﺔ ﻷي ﺷــ ـرط ﻣــ ـن ﺷــ ـروط ھــ ـذه‬
‫‪Agreement and it is not possible to‬‬ ‫اﻻﺗﻔﺎﻗﯾــــﺔ ﻣــــﻊ ﻋــــدم إﻣﻛﺎﻧﯾــــﺔ ﺗﺻــــﺣﯾﺢ‬
‫‪remedy that breach; or‬‬ ‫اﻟﻣﺧﺎﻟﻔﺔ؛‬
‫)‪(b‬‬ ‫‪The‬‬ ‫‪other‬‬ ‫‪party‬‬ ‫‪materially‬‬ ‫أو إذا ارﺗﻛــــب اﻟطــــرف اﻵﺧــــر ﻣﺧﺎﻟﻔــــﺔ‬ ‫) ب(‬
‫‪breaches any term of the‬‬ ‫ﺟﺳــ ـﯾﻣﺔ ﻷي ﺷــ ـرط ﻣــ ـن ﺷــ ـروط ھــ ـذه‬
‫‪Agreement and it is possible to‬‬ ‫اﻻﺗﻔﺎﻗﯾــــــ ـﺔ وﻛــــــ ـﺎن ﻣــــــ ـن اﻟﻣﻣﻛــــــ ـن‬
‫‪remedy that breach, but the other‬‬ ‫ﺗﺻـــــﺣﯾﺣﮭﺎ وﻟـــــم ﯾﺳـــــﻌﻰ ﻟﺗﺻـــــﺣﯾﺣﮭﺎ‬
‫‪fails to do so within thirty (30) days‬‬
‫ﺧـــــ ـﻼل ﺛﻼﺛـــــ ـﯾن )‪ (30‬ﯾوﻣـــــ ـﺎ ً ﻣـــــ ـن‬
‫‪of receiving notice asking it to do‬‬

‫ﺣـــﺎل إﻋﺳـــﺎره أو ﺗﻌﯾـــﯾن ﺣـــﺎرس ﻗﺿـــﺎﺋﻲ ﻋﻠﯾـــﮫ‬
‫‪receivership or voluntary or involuntary‬‬ ‫أو ﻓــــﻲ إﻓﻼﺳــــﮫ طوﻋﯾــــﺎ ً أو ﻗﺳــــرﯾﺎ ً )أو ﺗﻌرﺿــــﮫ‬
‫)‪bankruptcy (or any analogous procedure‬‬ ‫ﻷي إﺟــــراء ﻣﻣﺎﺛــــل ﻟﻣــــﺎ ذﻛــــر(‪ ،‬أو ﻓــــﻲ ﺣــــﺎل‬

‫‪11.5‬‬ ‫‪STC Pay may immediately suspend the‬‬ ‫‪ 5-11‬ﻟﻠﺷــــرﻛﺔ وﻗــــف اﻟﺗــــﺎﺟر ﻓــــورا ً ﻋــــن اﺳــــﺗﺧدام‬
‫‪Merchant's use of the Service in relation‬‬ ‫اﻟﺧدﻣــ ـﺔ ﻓــ ـﻲ ﺗﻣوﯾــ ـل اﻟﻣﻌــ ـﺎﻣﻼت اﻟﺗﺟﺎرﯾــ ـﺔ ﻓــ ـﻲ‬
‫‪to Funding Transactions if:‬‬ ‫اﻟﺣﺎﻻت اﻵﺗﯾﺔ‪:‬‬
‫)‪(a‬‬ ‫‪The Merchant is in breach of this‬‬ ‫إذا ﺧـــــــﺎﻟف اﻟﺗـــــــﺎﺟر أﺣﻛـــــــﺎم ھـــــــذه‬ ‫)أ(‬

‫‪discretion, the Merchant's use of‬‬ ‫اﻟﺧــــﺎص أن اﺳــــﺗﺧدام اﻟﺗــــﺎﺟر ﻟﻠﺧدﻣــــﺔ‬
‫‪the Service creates a risk of‬‬ ‫ﯾﺗﺳـــ ـﺑب ﻓـــ ـﻲ ﻣﺧـــ ـﺎطر ﻣﺎﻟﯾـــ ـﺔ أو ﻓـــ ـﻲ‬
‫‪financial harm or loss of goodwill‬‬ ‫ﺧﺳــــﺎرة اﻟﺳــــﻣﻌﺔ اﻟﺗﺟﺎرﯾــــﺔ ﻟﻠﺷــــرﻛﺔ أو‬
‫‪to STC Pay, the Service, and/or‬‬
‫اﻟﺧدﻣــــ ـﺔ أو ﻷي ﻧظــــ ـﺎم ﻣــــ ـن أﻧظﻣــــ ـﺔ‬
‫‪any of the payment card systems‬‬
‫‪used for processing Funding‬‬
‫ﺑطﺎﻗــــــــــﺎت اﻟــــــــــدﻓﻊ اﻹﻟﻛﺗروﻧﯾــــــــــﺔ‬
‫‪Transactions or there is a‬‬ ‫اﻟﻣﺳـــــﺗﺧدﻣﺔ ﻓـــــﻲ ﺗﻣوﯾـــــل اﻟﻣﻌـــــﺎﻣﻼت‬
‫‪reasonable suspicion of fraud,‬‬ ‫اﻟﺗﺟﺎرﯾــــــﺔ‪ ،‬أو ﻓــــــﻲ ﺣــــــﺎل اﺷــــــﺗﺑﮭت‬
‫‪money laundering or other illegal‬‬ ‫اﻟﺷـــ ـرﻛﺔ ﺑوﻗـــ ـوع ﺣﺎﻟـــ ـﺔ ﻣـــ ـن ﺣـــ ـﺎﻻت‬
‫‪activity by the Merchant.‬‬ ‫اﻟﻐــــــ ـش أو ﻏﺳــــــ ـﯾل اﻷﻣــــــ ـوال أو أي‬

‫‪12.‬‬ ‫‪THIRD PARTIES‬‬ ‫اﻷطراف ﻣن اﻟﻐﯾر‬ ‫‪-12‬‬

‫‪12.1‬‬ ‫‪The terms of this Agreement may be‬‬ ‫‪ 1-12‬ﻻ ﯾﺟــــوز ﻓــــرض ﺗﻧﻔﯾــــذ ھــــذه اﻻﺗﻔﺎﻗﯾــــﺔ إﻻ ﻣــــن‬
‫‪enforced only by a party to it or such‬‬ ‫ﻗﺑــــل أطراﻓﮭــــﺎ أو ﺧﻠﻔــــﺎﺋﮭم ﻓــــﻲ اﻟﺣــــق أو ﻣــــن‬
‫‪party's‬‬ ‫‪successors‬‬ ‫‪and‬‬ ‫‪permitted‬‬ ‫ﯾﺻرﺣون ﻟﮫ ﺑذﻟك‪.‬‬

‫‪13.‬‬ ‫‪GOVERNING LAW‬‬ ‫‪AND‬‬ ‫‪DISPUTE‬‬ ‫اﻟﻧظـــــــــﺎم اﻟواﺟـــــــــب اﻟﺗطﺑﯾـــــــــق وﺗﺳـــــــــوﯾﺔ‬ ‫‪-13‬‬
‫‪RESOLUTION‬‬ ‫اﻟﻣﻧﺎزﻋﺎت‬
‫‪13.1‬‬ ‫‪This agreement shall be governed by and‬‬ ‫‪ 1-13‬ﺗﺧﺿــــﻊ ھــــذه اﻻﺗﻔﺎﻗﯾــــﺔ وﺗ ُﻔﺳــــر وﻓﻘــــﺎ ً ﻟﻸﻧظﻣــــﺔ‬
‫‪construed in accordance with the Laws‬‬ ‫اﻟﻣﻌﻣـــول ﺑﮭـــﺎ ﻓـــﻲ اﻟﻣﻣﻠﻛـــﺔ اﻟﻌرﺑﯾـــﺔ اﻟﺳـــﻌودﯾﺔ‪.‬‬
‫‪and Regulations of the Kingdom of Saudi‬‬ ‫وﺗﺣـــﺎل اﻟﻣﻧﺎزﻋـــﺎت اﻟﻧﺎﺷـــﺋﺔ ﻋـــن اﻻﺗﻔﺎﻗﯾـــﺔ إﻟـــﻰ‬
‫‪Arabia. Any dispute arising out of this‬‬ ‫ﻟﺟﻧــــ ـﺔ ﺗﺳــــ ـوﯾﺔ اﻟﻣﻧﺎزﻋــــ ـﺎت اﻟﻣﺻــــ ـرﻓﯾﺔ ﻓــــ ـﻲ‬
‫‪Agreement shall be submitted to the‬‬
‫ﻣؤﺳﺳﺔ اﻟﻧﻘد اﻟﻌرﺑﻲ اﻟﺳﻌودي‪.‬‬
‫‪Committee for the Banking Disputes‬‬
‫‪operating under the Saudi Arabia‬‬
‫‪Monetary Authority.‬‬
‫‪14.‬‬ ‫‪COMMUNICATIONS AND NOTICES‬‬ ‫اﻟﻣﻛﺎﺗﺑﺎت واﻹﺷﻌﺎرات‬ ‫‪-14‬‬

‫‪14.1‬‬ ‫‪This Agreement is concluded in English‬‬ ‫‪ 1-14‬ﺣــــ ـررت ھــــ ـذه اﻻﺗﻔﺎﻗﯾــــ ـﺔ ﺑــــ ـﺎﻟﻠﻐﺗﯾن اﻟﻌرﺑﯾــــ ـﺔ‬
‫‪and Arabic, and unless provided for to the‬‬ ‫واﻹﻧﻛﻠﯾزﯾـــﺔ‪ ،‬وﻣـــﺎ ﻟـــم ﯾـــرد ﻧـــص ﺑﺧـــﻼف ذﻟـــك‬
‫‪contrary in this Agreement, any and all‬‬ ‫ﻓـــــﻲ ھـــــذه اﻻﺗﻔﺎﻗﯾـــــﺔ‪ ،‬ﻓـــــﺈن ﻛﺎﻓـــــﺔ اﻟﻣﻛﺎﺗﺑـــــﺎت‬
‫‪notices or other communications or‬‬ ‫واﻹﺷــــــﻌﺎرات اﻟﻣوﺟﮭــــــﺔ ﺑﻣوﺟــــــب اﻻﺗﻔﺎﻗﯾــــــﺔ‬
‫‪deliveries required or permitted to be‬‬
‫ﺗﻛــــون ﺧطﯾــــﺔ وﺑــــﺎﻟﻠﻐﺗﯾن اﻟﻌرﺑﯾــــﺔ واﻹﻧﻛﻠﯾزﯾــــﺔ‪.‬‬
‫‪made under this Agreement will be in‬‬
‫‪writing and in English and Arabic. Any‬‬
‫واﻟﺗرﺟﻣــــﺎت اﻟﺗــــﻲ ﺗﻘــــدم ﻟﮭــــﺎ ھــــﻲ ﻣــــن ﺑــــﺎب‬
‫‪translations are provided for convenience‬‬ ‫اﻻﺳــــﺗﺋﻧﺎس ﻓﻘــــط‪ ،‬وﻓــــﻲ ﺣــــﺎل اﻟﺗﻌــــﺎرض ﺑــــﯾن‬
‫‪only and in the event of a discrepancy‬‬ ‫اﻟﻧﺳــــﺧﺔ اﻟﻌرﺑﯾــــﺔ واﻟﻧﺳــــﺧﺔ اﻹﻧﻛﻠﯾزﯾــــﺔ‪ ،‬ﺗﻌﺗﻣــــد‬

‫‪14.2‬‬ ‫‪STC Pay may communicate with the‬‬ ‫‪ 2-14‬ﯾﺟــــوز ﻟﻠﺷــــرﻛﺔ اﻟﺗواﺻــــل ﻣــــﻊ اﻟﺗــــﺎﺟر ﺑﺷــــﺄن‬
‫‪Merchant regarding the Service by means‬‬ ‫اﻟﺧدﻣــــﺔ ﻋﺑــــر وﺳــــﺎﺋل اﻻﺗﺻــــﺎل اﻹﻟﻛﺗروﻧﯾــــﺔ‪،‬‬
‫‪of electronic communications, including‬‬ ‫ﺑﻣـــﺎ ﻓـــﻲ ذﻟـــك ﺗوﺟﯾـــﮫ اﻟرﺳـــﺎﺋل اﻹﻟﻛﺗروﻧﯾـــﺔ إﻟـــﻰ‬
‫‪(a) sending email to the Merchant's email‬‬ ‫ﻋﻧـــ ـوان اﻟﺑرﯾـــ ـد اﻹﻟﻛﺗروﻧـــ ـﻲ ﻟﻠﺗـــ ـﺎﺟر أو ﻧﺷـــ ـر‬
‫‪address, or (b) posting notices or‬‬
‫اﻹﺷــــــﻌﺎرات أو اﻟﻣراﺳــــــﻼت اﻷﺧــــــرى ﻋﻠــــــﻰ‬
‫‪communications on a STC Web Site. The‬‬
‫‪Merchant agrees that STC Pay may send‬‬
‫اﻟﻣوﻗــــ ـﻊ اﻹﻟﻛﺗروﻧــــ ـﻲ ﻟﻠﺷــــ ـرﻛﺔ‪ .‬وﻗــــ ـد واﻓــــ ـق‬
‫‪electronic‬‬ ‫‪communications‬‬ ‫‪to‬‬ ‫‪the‬‬ ‫اﻟﺗـــــﺎﺟر ﻋﻠـــــﻰ أﻧـــــﮫ ﯾﺟـــــوز ﻟﻠﺷـــــرﻛﺔ ﺗوﺟﯾـــــﮫ‬
‫‪Merchant in relation to any matter relating‬‬ ‫اﻟﻣﻛﺎﺗﺑـــــﺎت اﻹﻟﻛﺗروﻧﯾـــــﺔ ﻟـــــﮫ ﺑﺷـــــﺄن اﻟﻣﺳـــــﺎﺋل‬
‫‪to the Merchant's use of the Service‬‬ ‫اﻟﻣﺗﻌﻠﻘــــﺔ ﺑﺎﺳــــﺗﺧدام اﻟﺗــــﺎﺟر ﻟﻠﺧدﻣــــﺔ‪ ،‬ﺑﻣــــﺎ ﻓــــﻲ‬
‫‪including the Agreement (and revisions or‬‬ ‫ذﻟــــك ھــــذه اﻻﺗﻔﺎﻗﯾــــﺔ )واﻟﻣراﺟﻌــــﺎت واﻟﺗﻌــــدﯾﻼت‬
