Confidentiality and Non-Disclosure Agreement

This Confidentiality, Non-Disclosure and Non-Compete Agreement (“Agreement”) is entered

into as of the date below, by and between CHJ Print & Design Services (“CHJ”), and the undersigned
__________________________ (PRINT NAME).

WHEREAS, I have been contracted/employed by CHJ in a capacity in which I may have had
access to confidential information (including customer information) belonging to CHJ; and

WHEREAS, I recognize the importance of protecting and not disclosing and not utilizing such
confidential information;

NOW, THEREFORE, in consideration of the compensation received by me from CHJ, the

sufficiency of which the parties hereby acknowledge, I agree as follows:

1.0 Definitions: For the purposes of the Agreement:

1.1 “CHJ” shall refer to CHJ Print & Design Services and all of its direct affiliates and related
entities, its owners and employees (as of the date of this agreement),

1.2 “Confidential Information” shall include, without limitation, any of the following:

(i) any and all information pertaining to CHJ’s present or future customers, policies,
goals, strategies, and techniques;
(ii) any and all other CHJ business methods or practices;
(iii) any and all information pertaining to CHJ’s customers and employees, including
without limitation the identity of such companies or persons; and
(iv) any and all information pertaining to CHJ’s vendors and suppliers;
(v) any information not generally known to the public (including information about
CHJ’s operations, personnel, products or services), which, if misused or disclosed,
could have a reasonable possibility of adversely affecting the business of CHJ.

2.0 Confidentiality:

2.1 I agree that at all times (during and subsequent to my employment) I shall hold in strictest
confidence and trust any and all Confidential Information that is disclosed to me or to
which I have access, regardless of the manner or media in which the information is
retained or recorded.
2.2 I agree that after termination of my employment that I shall not take with me and shall
promptly surrender to CHJ all copies, in whatever form, of any materials containing
CHJ’s Confidential Information in my possession, custody, or control, and shall not
construct such materials from my memory after I have left the employment of CHJ.
2.3 I further agree that I shall not tarnish or slander the name and reputation of CHJ at any
time.
2.4 I understand that should I fail to comply with the confidentiality requirements contained
in this document, I will be subject to disciplinary action, including possible civil or
criminal penalties related to such non-compliance.
3.0 Agreement Not to Lure Away CHJ Employees:

I agree that during my employment with CHJ and for one year thereafter, I will not, either
directly or indirectly, induce, persuade, solicit or attempt to induce, persuade or solicit any of
CHJ’s employees to leave CHJ’s employ, nor will I help others to do so. This means, among
other things, that upon termination of my employment with CHJ, I shall refrain for one year from
giving any person or entity the names of my former fellow employees or any information about
them, as well as refrain from in any way helping any person or entity hire any of my former
fellow employees away from CHJ.

4.0 Miscellaneous:

4.1 The rights and obligations under this Agreement shall survive the termination of my
service with CHJ in any capacity and shall inure to the benefit of and shall be binding
upon (i) my heirs and personal representatives, and (ii) the successors and assigns of
CHJ.
4.2 This Agreement is governed by and subject to the laws and jurisdiction of the courts of
the Commonwealth of Virginia.
4.3 In the event that one or more of the provisions herein shall for any reason be held to be
illegal or unenforceable, this Agreement shall be revised only to the extent necessary to
make such provision(s) legal and enforceable.
4.4 CHJ’s waiver of any default by me shall not constitute a waiver of its rights under this
Agreement with respect to any subsequent default by me.
4.5 I agree that an impending or existing violation of any of the provisions of this Agreement
would cause CHJ irreparable injury for which it would have no adequate remedy at law,
and agree that CHJ shall be entitled to obtain injunctive relief prohibiting such violation,
in addition to any other rights and remedies available to it at law or in equity.
Furthermore, I agree to reimburse CHJ for the reasonable attorney’s fees and expenses
incurred in connection with CHJ’s enforcement of the provisions of this Agreement.
