REPRESENTATION AGREEMENT OF PAYMASTER SERVICES

Re: Engagement of Wall Place, Ltd and/or nominee

We are writing to confirm that we are ready willing and able to act as your Paymaster for
nominated transactions and are willing to work with you and or your nominee or assignee in
respect to the transactions.

In respect to acting as your treasury management and paymaster services our fee is 1% of the
ammount received on your behalf in the Paymaster account. Further to and under your written
instructions, per any other agreements you have signed with any other party or parties, we
will dispense the percentage to those parties on your behalf and your net proceeds will be
dispersed per your written instructions.

Outside of the above agreement we can further assist by way of private banking services in
respect to requirements post the paymaster service and in that regard we can discuss those
requirements at your discretion. You may wish to discuss the advantages of utilizing a
properly structured IBC (International Business Corporation) and how when properly
structured, it can maximise your overall financial position over the longer term.

This agreement shall be for a period of 12 month duration with an automatic roll over for a
further 12 month period and to continue until terminated by either party by way of notice.

In any event, in respect to termination, Wall Place, Ltd. will complete all matters required in
respect to the services such that on termination, Wall Place, Ltd will ensure that it passes on
all information as required to another party in a manner that ensures a seamless transition and
ability of that other party as paymaster at least, to assume control and complete all that is
required, in the best interests of the Client.

Wall Place, Ltd. will exercise due care in accordance with the generally accepted practice of
consultants performing comparable work internationally at the time services are rendered.

We attach by way of Appendix A standard General terms and conditions for your review.

Further to the above and Appendix A, we invite you to sign the following as acceptance of
this agreement and look forward to working with you in the future

GENERAL TERMS AND CONDITIONS

APPENDIX A

Confidentiality

Confidentiality is to be observed by both parties on all confidential information, in both

written and electronic form, received by them. The parties agree that they may only disclose
such information: to their professional advisors and consultants who are made aware of the
confidential nature of such information; to any other person approved in writing by the other
party who has executed a confidentiality undertaking in a form considered by the parties to be
appropriate; in connection with any legal proceedings or as required by law or by any
regulatory authority; to any officer or employee or either party; which has come into the
public domain otherwise than through a failure by the party or its representatives to comply
with its/or their respective confidentiality undertaking or duties of confidence or which was in
the public domain at the time of disclosure.

Announcements and Advertisements

Neither Wall Place, Ltd. nor the Client shall make, cause, or permit any announcements,
publications or disclosures (including any advertisement) with regard to any and all business
developments in Client without the others' prior written approval.

Timely Receipt of Information

Wall Place, Ltd. will be dependent upon Client's full co-operation and ability to provide
information in a timely manner.

Good Faith

Wall Place, Ltd. and Client agree to act reasonably and in good faith towards each other in
doing all things related to the Services provided.

Disputes

In the event of any material dispute with the exception of any claim by Wall Place, Ltd. for
unpaid fees, then both parties agree to binding-Arbitration.

Warranties

Client warrants that it has the necessary powers to enter into this agreement, and that all the
information provided by it to Wall Place, Ltd. is accurate to the best of its knowledge. Client
also warrants that it is not aware of any material matter which would negatively impact on its
ability to conclude all business entered into. This warranty is deemed to be repeated every
time Client provides any information to Wall Place, Ltd.

Indemnity

To the maximum extent permitted by law, Client agrees to indemnify Wall Place, Ltd. and to
hold Wall Place, Ltd. harmless from and against:

all actions, claims, demands or proceedings which may be instituted against; and all liabilities,
losses, damages, costs and expenses (including reasonable legal costs and expenses) which
may be suffered or incurred, by Wall Place, Ltd. in connection with or arising out of this
Agreement or any transaction contemplated by this Agreement.

PROVIDED such arises from the actions of Client or information provided by Client

This indemnity will extend to the reasonable costs of investigating, preparing for or defending
any actions, claims, demands or proceedings and any threatened litigation whether or not Wall
Place, Ltd. is a party to those actions, claims, demands, proceedings or threatened litigation,
but not to indirect or consequential losses. For the purposes of this Agreement, Wall Place,
Ltd., companies and its respective directors, employees and agents.

Notwithstanding the above, Client will not be responsible for any liabilities, losses, damages,
costs or expenses to the extent to which they result from wilful default or negligence or
breach of law or contract on the part of Wall Place, Ltd.

This indemnity extends to the maximum extent permitted by law and remains in full force and
effect notwithstanding termination (for whatever cause) of this Agreement.

Benefit of Advice

Any advice rendered by Wall Place, Ltd. pursuant to this agreement is intended solely for the
benefit and use of Client, in considering the matters to which this agreement relates.

Such advice may be disclosed publicly by being referred to in any report, document, press
release, public statement or other communication, provided that:

 Any advice which contains information which Wall Place, Ltd. has reasonably
indicated is confidential may only be disclosed in the circumstances referred to in this
agreement; and
 No such disclosure may refer to Wall Place, Ltd., its involvement with Client or the
fact that the advice itself is or has been given by Wall Place, Ltd., without the prior
written consent of Wall Place, S.A., such consent not to be unreasonably withheld.

Confirmation and Undertakings

Client confirms and undertakes that:

 The accounting and taxation consequences of any course of action

recommended or considered during the course of this agreement;
 The validity, sufficiency, due execution and enforceability of all agreements entered
into with respect to any such course of action; and
 Its compliance with all applicable legal and regulatory provisions in relation to this
agreement and any such course of action.

Information

Client recognises and confirms that in advising Client and in completing its obligations under
this agreement, Wall Place, Ltd. may be using and relying upon data, material and other
information furnished to Wall Place, Ltd. by Client and/or other members of Client's group of
companies.

It is understood that in performing its services under this engagement, Wall Place, Ltd. may
rely upon any information so supplied as being fair, true and accurate and not misleading in
any material respect without independent verification but only to the extent that such
information is not manifestly incorrect, inaccurate, misleading or otherwise unreliable, and
will not assume responsibility for any independent verification. If during the course of the
engagement Client discovers anything which renders any such information untrue or unfair,
or inaccurate or misleading, Client agrees to notify Wall Place, Ltd. as soon as possible.

Reliance

Client acknowledges and agrees that Wall Place, Ltd. is entitled to:

- Assume that instructions and authorisations have been properly authorised by and
are binding on Client if they are given by an officer of Client; and
- Assume in dealings with members of Client group that such entities have been
validly incorporated and registered in accordance with applicable legislation.

Governing Law

This agreement (and any further letter or agreement incorporating this agreement) shall be
governed by and construed in accordance with the laws of the United Kingdom.
