Dear Mr. Springer:

It’s unfortunate we have been unable to come to terms to extend our retransmission consent
agreement with KHOU-CBS. We want to provide KHOU to our local Houston customers, but according
to law, KHOU alone has the power to determine whether your station remains in the DIRECTV, U-verse
or AT&T TV lineups. All we need is your permission – even temporarily – and we can have KHOU back
into our Houston customers’ homes within moments. It’s as simple as that.

This Sunday afternoon, the hometown Houston Texans host the Indianapolis Colts in important AFC
regional action. CBS Sports will provide live coverage of Sunday afternoon’s game from NRG Stadium
starting with the noon CST kickoff through its conclusion (pre-game and post-game excepted).

We believe there is absolutely no public interest served by KHOU and its Virginia-based owner TEGNA
Inc. deliberately blacking out KHOU and intentionally inconveniencing thousands of Houston homes
that are ardent Texans fans. While you may be relatively new to the region, you have no doubt
witnessed firsthand the deep passion local Texans fans and the team’s many sponsors have invested
firsthand, so would hopefully join us in allowing families already hard hit by the pandemic the simple
pleasure of watching their favorite team, if only for a few hours.

Therefore, we formally request that KHOU and TEGNA immediately return KHOU to all DIRECTV, U-
verse and AT&T TV customers in the Houston area for, at minimum, the duration of Sunday
afternoon’s game. In return, we agree to compensate KHOU and TEGNA for Sunday’s entire 24-hour
schedule rather than the approximate three-hour duration of actual in-game action and also apply any
new retransmission consent fee to which we eventually agree.

Fortunately, many of our Houston customers who have a DIRECTV Genie or U-verse internet-
connected receiver can still watch Sunday’s game by simply clicking the right arrow on their remote
control, choosing the Locast app from their interactive TV menu, and following the onscreen prompts.
We remain hopeful that we can maintain a productive, professional business relationship with TEGNA in
common service of the local Houston community and look forward to your immediate and affirmative
response.
