Under Article 1816, all partners, including the industrial ones, shall be liable pro-

rata with all their property, after all the partnership assets have been exhausted, for the

contracts which may be entered into in the name and for the account of the partnership,

under its signature and by a person authorized to act for the partnership.

Under Article 1817, any stipulation against the liability laid down in the preceding

article shall be void, except as among the partners.

Thus, If the partnership assets have been exhausted and there still remains an

unpaid balance of ₱1,000,000 in favor of creditor Q, the latter can still recover

₱333,333.33 each from the partners, as their stipulation cannot adversely affect him.

However, since the agreement is binding among the partners, X is entitled to credit from

Y and Z for the amount of ₱333,333.33 paid by him to Q. X, however, cannot recover

his contribution of ₱500,000.
