Sub Contractor- Sales Agreement

This document is a legally binding agreement between West Coast Activewear (herein referred to as

“WCA”) and sub contractor Che George (herein referred to as “sub contractor”). This agreement is in

reference to sales of WCA merchandise conducted by sub contractor on his/her own behalf.

I. Proposed Product for Sale

(A) This agreement covers any and all merchandise created by WCA now and in the future, including

but not limited to tee shirts, hats, stickers, etc.

II. Terms of Sub Contractred Work:

(A) Sub contractor will sell WCA merchandise and acquire new accounts with retail stores by various
methods including phone calls, emails, and in store presentations of product.

(B) Sub contractor will be entitled to twenty five percent (25%) of the total net sale amount on initial
orders from new accounts he/she creates. This period is considered the bonus period. Total net sale
amount, under this agreement, is the total dollar amount after the cost of product, shipping, and any
other expenses incurred by WCA in the creation, manufacturing and delivering of merchandise.

(C) Payments to sub contractor will be made within fifteen days (15 days) from receipt of payment, in
full, from retailer..

(D) Residual payments will be made to sub contractor at fifteen percent (15%) of net sale amount of
each order on accounts he/she created. Residual payments, under this agreement, are payments made to
sub contractor for orders placed by retailer after the initial order. These payments are made under the
same terms as payments in the bonus period.
(E) WCA reserves the right to determine which retailers are suitable to carry WCA merchandise.
Retailers must be deemed suitable by WCA before being approached by sub contractor as a potential
new account.

(F) Both parties reserve the right to terminate this agreement at anytime, effective immediately upon
written notice.

III. Collection and Payment:

(A) Collection of monies from retail locations will be made by WCA on terms decided by WCA. (ie: net
15, net 30, C.O.D. or any other terms)

(B) Payments must be made to sub contractor, by the scale set forth in this agreement, in respect to
Section II., within fifteen (15) days of receiving payment on any account. Payments may be made by
check or money order. Cash is acceptable at each parties own risk and discretion.

IV. Failure to Pay:

(A) Under this agreement, Failure to Pay is defined as any thirty (30) day period where past due
payment has not been received by sub contractor, assuming sub contractor to be paid has been available
for payment.

(B) In the event of a Failure to Pay, sub contractor, at his/her own discretion, may form a law suit against
WCA to collect the outstanding balance.

(C) In the event of a Failure to Pay, this relationship is automatically terminated.

V. Miscellaneous:

i. The title of this agreement is for reference only and in no way alters the interpretation of the
agreement.

ii. In the event that WCA chooses to sell the company or name, this document is automatically
transferrable and enforceable, without notice, to the newly controlling party or entity.
iii. This agreement in no way, shape, or form represents a right to ownership over WCA or it’s
respective properties, fully or partially.

iv. All work conducted under this agreement will be held to these terms indefinitely.

v. If any portion of this Agreement shall be held invalid, illegal, or unenforceable in any respect, such
invalidity, illegality or unenforceability shall be construed as if such invalid, illegal or unenforceable
provision had never been contained herein.

vi. This Agreement shall be construed in accordance with the laws of the State of California.
Both parties agree that any legal action involving this Agreement in any way will be instituted in the
Circuit Court of San Diego County in the State of California, and consent to jurisdiction of this
court over both parties for purpose of such legal action.
