 TERMS & CONDITIONS FOR SPECIAL RETAIL OUTLETS TO
FUNCTION AS VIJAYA DAIRY DAY PARLOURS

The APDDCF Ltd., invites offers to setup “Vijaya Dairy Day

Parlours” in retail outlets located in various parts of the city for a
minimum period of three (3) years with the following terms and
conditions:

1. The retailer should be in the business field of selling food/

dairy related products for a period of not less than 3 years and
should sell milk and milk products of VIJAYA brand through the
dairy parlours proposed in the retail outlet.
2. The retailer identified should have his own / rented premises with
cooling equipment like bottle cooler, vissi coolers and deep
freezers to stock the products and ability to market the Vijaya
Products in large quantities. Cooling equipment can be arranged
on 50% deposit and balance in early EMI’s.
3. The retailer should provide sufficient space (approximately 6x6
ft area) in the retail outlet for display and sale of Vijaya Dairy
Products.
4. For other existing retailers infrastructure development would be
suitably modified.
5.Vijaya dairy products, including milk, fresh products, ice-cream
shall be supplied by the A.P. Dairy at retailer price with a margin
ranging between 10% to 25%. Product wise price structure shall
be provided separately.
6.The A.P. Dairy agrees to offer Vijaya Milk and Milk Products on
Franchise basis for a minimum period of 3 ( three) years to the
retailers for sale of VIJAYA milk and Milk Products on cash and
carry.
7. The A.P. Dairy shall arrange to supply all the Vijaya Milk and Milk
Products as per the indent furnished by the retailer. The Milk
Products Factory, Hyderabad shall make efforts to adhere to the
supply schedule subject to exigencies of day to day operation
and is not responsible for any loss incurred by the retailer on
this count.
8. The retailer shall arrange to deploy their own staff to conduct
day-to –day sales of Vijaya Dairy Products at these outlets.
9. The retailer has to maintain the Vijaya Dairy parlour space at the
retail outlet to very good standard and display the products so as
 to have an attractive appearance. The retailer shall at their own
cost give facelift to the space allotted for Vijaya Dairy Parlour
for better appearance and display of “Vijaya dairy parlour” with
APDDCF name and logo along with good elevation ( exterior and
interior) is compulsory.
10. The retailer shall be supplied milk and milk products on
cash and carry basis at retailer price as per departmental
circular issued from time to time .
11. The retailer should give indent one day in advance for Bi-
Products and two days for fresh products to avoid shortage of
stocks via Mail / SMS/ Phone.
12. The RSM Parlours will arrange to receive the indents in
advance and supply the products as per the schedule given by the
retailers.
13. The retailer would also book bulk orders if any for A.P. Dairy for
occasions like marriages and other functions etc.
14. In no case, the retailer shall sell the milk and milk products
at their outlets at prices higher than the maximum retail price
fixed by A.P. Dairy from time to time. The list of products along
with MRP should be displayed in front of the parlor.
15. Empty crates, bottles and tubs will be handed over back to
dairy by retailer on day to day basis for arranging cleaning,
refilling and supply of products for next day sales.
16. Penalty will be imposed for any malpractices, contrary to
the terms and conditions stipulated in the under taking given by
the retailer. Penalty shall be calculated on the seriousness of the
issue / mal-practices / misuse if any at the discretion of the G.M.
(Mktg).
17. The quality of products once certified and issued by the
dairy out-let is final and no complaints will be entertained except
in case of manufacturing defect certified by quality control lab of
APDDCF Ltd
18. The retailer would allow the officials of the APDDCF Ltd to
inspect the sale of milk and milk products at any time at the retail
parlor conducted by the retailer and necessary action will be
initiated in case of any irregularities.
19.The Federation reserves the right to terminate or cancel the
parlour at any time without assigning any reasons there of.
20. The Federation reserve the right to cancel the allotment of
parlour at any time with one month notice.
21. The retailer is responsible for compliance of provisions of P.F.A.
 act 1954 (or any other amendments there to) and other statutory
requirements.
22. Freezer will be provided on payment 50% advance immediately
and balance in 8 equal installments.
23). Signage plus painting will provided by APDDCF Ltd.
24. Products will provided at Retail price i.e., 10% commission on
long shelf life products and 15% to 25% on fresh products.
25. Sale of other Dairy products will not be allowed.
26. The range of products : PP Ghee, Ghee Tins, SFM 200 ml,
Doodhpeda, Khova, Ice Creams, Paneer, Curd, Fino Pack Milk &
UHT milk.

 UNDER TAKING FOR RETAIL VIJAYA DAIRY PARLOUR

I am / We are, willing to sell VIJAYA BRAND PRODUCTS and I/We

undertake to be abide by the following terms and conditions.

1) I/We have our own /rented outlet with cooling equipment like
bottle coolers Vissible Coolers and deep freezer to stock the products.

2) I/We would provide space (approximately 4 x 4Ft area) in the

outlet to store and display the products.

3). I/We shall take delivery of the products on Retail Price against
100% advance payment through Cash/Demand Draft in favour of
Managing Director, APDDCF Ltd., Hyderabad.

4). I/We understand that the responsibility of the A.P.DD.C.F.Ltd.,

ceases once the products are delivered.

I/We would display a full range of Vijaya Milk and Milk Products to
the consumers at our retail outlet

5). I/We shall be responsible to sell the products not more than the
maximum retail price prescribed by the Federation. If any
irregularities are reported from consumer of from any other sources,
A.P.D.D.C.F.Ltd., shall have the right to initiate action deemed fit
against me / us.

6). The officials of APDDCF Ltd., will have a right to check the sales
of VIJAYA BRAND PRODUCTS conducted by me / us to know the
irregularities if any.

7). I/We shall arrange to deploy our own staff to conduct day to day
sales of Vijaya Dairy Products.

8). I/We would maintain the Vijaya Parolur space / products to very
good standard and display them so as to have attractive appearance.

9). I/We would handover empty crates, bottles and tubs back to
dairy for arranging cleaning refilling and supply of products for next
day sales.

10). I/We would allow officials of APDDCF LTD., to inspect the sales of
milk and milk products at any time at the retail outlet.

11). I/We would be responsible for compliance of provision of P.F.A.

act 1954 (or any other amendment there to ) and any other statutory
requirements.

12). I/We further understand that this arrangements is purely

temporary and can be discontinued by the APDDCF Ltd., without any
notice.
