TITULO: TECHNICAL SPECIFICATIONS FOR SUPPLY OF ONE (1) WET SHELL

PNEUMATIC TRANSPORT SYSTEM FOR THE NEW MILL, ORO ROJO LTDA.

1. General description of the Project:

Indupalma is the major palm oil producer in Colombia. In recent years it has been expanding
palm plantations and supporting the development of third associated crops for attends the
increased demand for oil from its main customers. Through the industrial operation unit of
Indupalma’s Investment Bank and Project Operations (IBIO), Indupalma Ltda., offers in
Colombia and in other countries, the promotion, design, structuring and operation of palm-tree
agro-industry projects.

Oro Rojo Ltda., is an industrial project logistically operated by IBIO that consists in construction
and starting of a plant for the extraction of palm-tree oil with final Capacity of 60 tons per hour of
fresh fruit. The project will be located in San Pedro Dos Site, La Moneda pathway, La Gómez
township, Sabana de Torres Municipality, Santander, Colombia and it will be developed under
duty-free regime protection, once obtained the declaration as Permanent Special Duty-free
zone and Oro Rojo Ltda., qualified as Industrial User.

The mill will have an installed Capacity of 30 Tons FFB/hour and will be gradually increased to
final capacity of 60 Tons FFB/hour. The project is actually running and the start is planned for
the first quarter of 2011 year.

2. General conditions of the requirement:

2.1. Requirement’s scope.

The requirement’s scope is the supply, assembling assistance and starting of the wet shell
pneumatic transport system for the oil palm mill of the industrial user Oro Rojo Ltda.,
located in San Pedro Dos site, la Moneda pathway of Sabana de Torres Municipality -
Santander.

The delivered offers that don’t contemplate and don’t satisfy completely with the conditions
of this requirement will not be considered inside the technical tabulation process and will be
disqualified.
 For supply, the equipments must be delivered in established times, the supplier will assure
the approved technical specifications compliance, of the current regulation compliance on
issues duty-free regime. The wet shell pneumatic transport system will be packed correctly
and it will be delivered in the Oro Rojo Permanent Special Duty-free, with reference and the
manuals of parts, operation and maintenance.

For assembly, the supplier will send an expert technician during equipments installation,
who will provide the necessary recommendations for the correct assembly. All instructions
and recommendations must be delivered in a technical document that guides to the
assembly personal before starting the equipment installation. After this work, the supplier
must send a document expressing conformity with the realized assembly.

For the mill starting, the supplier must be present to verify the correct equipment starting
and operation. The equipment will be received by Oro Rojo Ltda., when it verifies the
correct operation of the installed equipment according to the technical specifications. In this
course the final act of the contract will be realized.

2.2.Requirement conditions

For its offer presentation must take in account the following items:

2.2.1.Price:

In the offer should indicate the unit and total value of the items requested in technical
specifications and should take in account the VAT and duties benefits to wich there is
place for being Oro Rojo Ltda, Permanent Special Duty-free industrial user. In the
economical offer means including the all activities value at the expense of the seller
and the cost they will incur to implement the activities identified, according to technical
specifications. In addition must be included the AIU (if it is applicable), VAT of
Services and all the direct and indirect costs, relating to the activities execution and
liquidation (of contract or service order or purchase order).

It is necessary to offer considering the following instructions:

 CURRENCY: The economical offer value, and all its components will be
expressed in Colombian pesos COP, unless the specifications indicate a
different currency.

 TAXATION: In the offer formulation and developing, the SUPPLIER will

have to determine, evaluate and assume the taxes, rates and contributions,
as well as other charges relating to the activities execution and liquidation.,
according to the benefits to which Oro Rojo has entitle as Permanent
Special Duty-free industrial user. For this reason, the proposed values will
contemplate these concepts.

 GUARANTEES: The supplier will assume the costs, guarantees and

assurances required in the contract or service order.

 PERSONNEL: The supplier will assume in the offer the personnel costs
used for the requirement implementation, and the possible wage and social
benefits increases that can happen during the term thereof.

 2.2.2. Requirements

The supplier must satisfy the following requirements in order that the offer is
considered by Oro Rojo Ltda., must:

 To have aptitude to propose and implement the described activities

in the supplied technical specifications.

 To present the offer validity, for a not lower than three months term.

 To present a clear and detailed economical offer, according to the

technical specifications and taking into account the benefits to which Oro
Rojo has entitle as Permanent Special Duty-free industrial user.

 To be in compliance in payment of money and contributions to the

Social Protection System in relation to their employees in Colombia.

 In the offer, to specify the delivery times and the payment form. The
equipment delivery time will be 120 days, from the date of purchase order.

 To present in the offer, the experience and references of work

performed in Colombian industries.

 To attach technical information listed equipment (indicating the

offered equipment, mark, model and reference).

 To indicate into offer the after-sale service of the offered equipment

(Sales representative in Colombia)

 To specify in the offer if the equipments are national or imported. If

the equipments are imported, take into account in the delivery times, the
time to nationalize them.

2.2.3.Offer delivery

The offer must be delivered within the stipulated time by the Logistics Management
Department (GLO) of Indupalma Ltda., and must be addressed to the Logistics
Management Director. NO offers are accepted out of time.

3. Technical specifications

Technical Specifications for supply of One (1) wet shell pneumatic transport system with the
following requirements:

3.1. Wet shell pneumatic transport system

 Transport Capacity of 1200 kg shells / hour. To transport wet shell from Hydrocyclone
to shell silo.

 Transport feeding by means of a rotary vane or airlock of 300 mm.

  Ducts and elbows for wet shell pneumatic transport to the cyclone in carbon steel
sheet. The square section elbows with replaceable wear sheet. The ducts length is
approximately 28 meters.

 Cyclone of 1200 mm Inner diameter in the cylindrical part.

Offers: The offers must consider as minimum:

 Price
 Commercial conditions
 Delivery times
 Offer validity
 Packing list indicating: volumes, weights, packing, etc.
 After-sale service
 Guarantees
 Equipments list installed in Colombia

Others: The supplier will guarantee the delivery times established in the offer and will
assume the costs of transport, unloading and delivery of the equipment in
Oro Rojo Ltda installation, in San Pedro Dos site, La Gómez Township,
Sabana de Torres Municipality, Santander Department.

4. Generalities:

4.1. Oro Rojo Ltda., considers that the proponents must make a work visit to identify the
specific applications of the described equipment in the technical specifications.
