обеспечению Исполнителя, а именно к

(наименования/перечень мобильных игр
указаны в п. 1.2. Соглашения), через
интерфейс Сайта (далее по тексту «Услуги»), а
Заказчик обязуется оплатить Исполнителю
вознаграждение за оказанные Услуги в
размере и в порядке, которые установлены в
настоящем Соглашении.
1.2. Перечень и наименования и ID мобильных
игр HTML5, к которым предоставляется
доступ:

within the period from ____ 2018 to _____ 2018
(hereinafter referred to as the “Campaign”), the
Contractor shall be obliged to render to the
Customer the services on Attraction of Users to
the Website by means of providing to the Internet
Users access to the Customer’s Software, namely,
to mobile games HTML5 (names / list of mobile
games are specified in Clause 1.2. of the
Agreement), using the interface of the Website
(hereinafter referred to as the “Services”), and the
Customer shall be obliged to pay to the
Contractor a reward for the rendered Services in
the amount and according to the procedure
established hereby.
1.2. The list, names and ID of mobile games

2. В первые 3 (три) месяца с даты подписания
настоящего Соглашения в период с _____ 2018
г. по ______ 2018 г. стоимость Услуг
Исполнителя по настоящему Соглашению
определяется в следующем порядке:
2.1. Стоимость Услуг Исполнителя по
Привлечению Пользователей к сайту
www.odnoklassniki.ru определяется в www.odnoklassniki.ru
зависимости от расходуемых Пользователем в
Программном обеспечении «ОК»ов из расчета
стоимости одного «ОК»а равным 1 (одному)
рублю (кроме НДС, который Заказчик
удерживает и уплачивает в качестве
налогового агента). Стороны признают, что
стоимость «ОК»а может быть изменена по
решению Заказчика в одностороннем порядке,
о чем Заказчик информирует Исполнителя
посредством публикации соответствующей
информации на Сайте. По факту оказанных
Услуг Стороны, при отсутствии разногласий,
подписывают Акт об оказанных услугах
согласно данным Биллинга Заказчика.
3. В случае если в течение периода,
закрепленного в п. 2 настоящего Соглашения
и 10 (десяти) последующих календарных дней
с даты окончания данного периода Заказчик
не уведомил Исполнителя о продлении
настоящего Соглашения, Соглашение
прекращает свое действие с даты окончания
периода Акции (п. 2). В случае продления
настоящего Соглашения, Заказчик направляет
Исполнителю уведомление о продлении
настоящего Соглашения на условиях,
согласованных в настоящем Соглашении.
Стороны согласовали, что Заказчик
направляет уведомление путем отправки
сообщения в системе Jira Заказчика, что
является надлежащим уведомлением.
4. Во избежание сомнений Стороны
согласовали, что условия настоящего
Соглашения не распространяются на
Программные обеспечения, в том числе иные
мобильные игры НTML5, доступ к которым
предоставлен Пользователям до даты начала
Акции и подписания настоящего Соглашения.
5. Любая из Сторон вправе отказаться от
исполнения настоящего Соглашения в порядке
и в сроки, предусмотренные для отказа от
исполнения от Договора. Отказ от исполнения
настоящего Соглашения не влечет отказ от

of signing this Agreement within the period from
_____ 2018 to ______ 2018 the cost of the
Contractor’s Services hereunder shall be specified

2.1. The cost of the Contractor’s Services on
Attraction of Users to website
shall be specified
depending on the “OKs” spent by the User in the
Software counting the cost of one “OK” equal to
one (1) Russian Ruble (except for VAT, which
shall be withheld and paid by the Customer as the
tax agent). The Parties shall acknowledge that the
cost of the “OK” may be changed under the
Customer’s decision unilaterally, whereof the
Customer shall inform the Contractor by means of
publishing the corresponding information on the
Website. Upon rendering of Services, if there are
no discrepancies, the Parties shall sign the
Services Acceptance Certificate according to the
Customer’s Billing data.
3. If within the period established by Clause 2
hereof and ten (10) following calendar days from
the date of the end of this period the Customer did
not inform the Contractor on prolongation of this
Agreement, the Agreement shall terminate from
the date of the end of the Campaign period
(Clause 2). If this Agreement is prolonged, the
Customer shall send to the Contractor a
notification on prolongation of this Agreement
under the conditions agreed herein. The parties
have agreed that the Customer shall send the
notification by means of a message in the
Customer’s Jira system, which is a proper
notification.
4. For avoidance of doubt, the Parties have agreed
that the conditions hereof shall not cover the
Software, including other mobile games HTML5,
access to which was provided to the Users before
the date of start of the Campaign and signing
hereof.
5. Any Party shall be entitled to refuse to perform
this Agreement according to the procedure and
within the period provided for refusal to perform
the Contract. Refusal to perform this Agreement
shall not result in refusal to perform other
conditions of the Contract.
 6. Other conditions of the Contract shall not be
