Caulk Management Co., Inc ("CMC") is a privately-held hotel acquisition, develop
ment and management company. CMC's focus is on developing, owning and managing H
ilton and Marriott branded limited - service hotels. CMC owns four Hampton Inn p
roperties, three of which were CMC developments. Currently, two hotel projects a
re in the pre-development phase.

CONSULTANT
Served as a consultant to CMC on the following projects: structuring and executi
ng $17 Million 1031 property exchange; acquisition analysis on a limited-service
hotel property in Easton, MD; management and business development analysis for
new Hampton Inn and Suites in Fruitland, MD; pre-development and entitlement for
a proposed Hampton Inn and Suites in Gloucester, MA; preparation of CMC investm
ent prospectus targeting private equity investors for hotel development and acqu

COMPANY OVERVIEW
Miller Investments, LLC ("MIL") is a successor company of Miller Properties, Inc
("MPI") of Bethesda, MD. In the 1980's MPI redeveloped industrial property alon
g Bethesda Avenue, Arlington Road and Woodmont Avenue, creating Bethesda Avenue
Row, a pioneering "Main Street", "Street Retail", mixed-use project which transf
ormed and energized the Bethesda CBD. In 1994, MPI master leased its Bethesda pr
operties to Federal Realty Investment Trust. In September of 2008, MIL completed
a $50 Million 1031 property exchange involving some of the properties mastered
leased to Federal Realty Investment Trust.

ncluded in 2008 1031 exchange for MIL and for associated refinancing.

Marenberg Enterprises Incorporated ("MEI") is a full-service real estate develop
ment firm and brokerage. MEI's portfolio includes: HOPE VI and other publicly fu
nded for-sale units, market-rate rental and for-sale housing, commercial and mix
ed-use projects, urban infill and land development. MEI works in partnership wit
h other developers, architects, engineers, contractors, community organizations,
financial institutions and public agencies in co-developer and consultant capac
ities.
PROJECT DIRECTOR
Employed as an independent contractor by MEI to manage all aspects of commercial
, mixed use, urban infill and land development projects. Most significant projec
t was an eight floor mixed-use, Metro Center condominium/commercial development
in Prince Georges County, MD. Responsibilities included preparing market analysi
s, pro-forma budgeting, assisting in the selection of the development team, over
seeing and tracking work of architect, engineers and attorneys to obtain prelimi
nary and detailed site plan approvals from governmental agencies, beginning proc
ess for obtaining building permits, reviewing and approving invoices, monitoring
development budget, and preparing minutes and agenda for development team meeti
ngs. Other projects included land development for two single-family residential
deals and marketing and design consultation for a twelve house Reservoir Hill r
ehab.

CSX REAL PROPERTY, INC., Baltimore, MD. July 1998- June 2002
COMPANY OVERVIEW
CSX Real Property, Inc. ("RPI") is an affiliated business of CSX Transportation,
Inc. ("CSXT"), the largest railroad in the eastern half of the U.S. with operat
ions in twenty-three states, Ontario and Quebec, Canada. RPI generates approxima
tely $100 million per year through the sale and lease of surplus property and th
rough selling access to CSXT's rail corridor network for utilities, including pi
pelines, electric line and telecommunication transmission. RPI also provides rea
l estate services and expertise to CSXT and other business units of CSX Corporat
ion.
REGIONAL MANAGER
Primary objective was maximizing shareholder value through the sale and lease of
surplus real estate in the regional portfolio. Responsibilities included creati
ng and implementing marketing strategies, negotiating business terms with buyers
and contract language with buyers' attorneys, managing due diligence issues suc
h as environmental concerns, survey questions, title exceptions, and use require
ments; interfacing with various departments within CSXT and CSX Corporation to r
esolve real estate related political, legal and operational matters; cultivating
working relationships with realtors, developers, government officials and econo
mic development professionals within region. Development skills strengthened inc
luded subdivision planning, utilities location, wetlands delineation/mitigation,
zoning change and variance applications, environmental remediation and brownfie
lds development. Regional territories managed included Kentucky, South Carolina,
North Carolina and Virginia. Most significant transaction was a sale of 175 acr
es in Silver Grove, Kentucky to Lafarge Gypsum for the construction of the large
st wall board manufacturing plant in North America, generating $7 million in ann
ual rail revenue for CSXT. Other significant projects included marketing of the
Piers 14 & 15 property in Newport News, Va. (market value $30 million) and sale
of 115 acre former landfill site in Charleston, SC for a mixed use waterfront de
velopment under new SC Brownfield's legislation
DAVID S. BROWN ENTERPRISES, Owings Mills, MD. July 1992-March 1998
COMPANY OVERVIEW
David S. Brown Enterprises ("DSB") is a privately-held, commercial and residenti
al, full-service real estate company with properties in the Baltimore Metropolit
an Area and Central Pennsylvania. During tenure, DSB constructed and brought to
market eight office buildings, one strip center and one community shopping cente
r expansion totaling 600,000 square feet. The occupancy rate for the company's c
ommercial properties increased from slightly less than 80% in 1992 to over 95% i
n 1998.
REAL ESTATE MANAGER. January 1995 - March 1998
Responsibilities expanded to include strategic planning and coordination for new
development projects. Worked closely with project architect, engineer, construc
tion project manager and principals to determine appropriate market positioning,
project layout and building features. Projects included a nine-story, 110,000 s
quare foot, Class A office tower; two office buildings at Executive Park West to
taling 145,000 square feet; and the conversion of a former Rite-Aid Pharmacy and
a Trak Auto store into a seven-screen multiplex theater. Among significant tran
sactions was a 10,000 square foot lease to HCFA contractor, Shepard-Patterson, i
ncluding initial client contact, proposals, negotiation of deal, lease and build
out specifications, and coordination of tenant improvements with construction d
epartment including change orders, occupancy issues and completion of punch list
.
PROPERTY/LEASING MANAGER. January 1993 - January 1995
Responsibilities expanded to include property/asset management throughout compan
y portfolio. As company inventory of buildings increased, so did the leasing res
ponsibilities. In addition, responsibilities were added to include participation
in overall management of the properties including supervising maintenance issue
s between office staff, maintenance personnel, subcontractors and tenants; pro-a
ctive and re-active management of existing assets including common area maintena
nce issues, tenant maintenance issues, community relations, security issues, ren
ovation projects, code compliance and county/state regulatory procedures. Signif
icant projects included the renovation and marketing of a nine-story, 80,000 squ
are foot office building in mid-town Baltimore turning a substantially vacant bu
ilding into a predominantly leased building. Renovation included new finishes as
well as land acquisition for new surface parking lots. Additional significant p
roject included renovation of 26,000 square foot office building in Perry Hall,
Maryland. Planned marketing strategy and coordinated re-tenanting of project and
renovations including new lobbies, common areas, signage package, landscaping a
nd build out of new tenant space.
LEASING AGENT. July 1992-January 1993
Initial position responsibilities included overall status of leasing in twelve d
istinct office and retail projects ranging from small strip centers to grocery-a
nchored community shopping centers to office/retail mixed use projects to multis
toried professional office buildings to a 30-acre office park. Primary tasks inc
luded answering leasing inquiries, space tours, proposals, follow-up with broker
s and clients, lease preparation and final lease execution with tenant improveme
nts package. Additional responsibilities included maintaining an accurate list o
f space available and condition of available spaces, preparing and coordinating
marketing materials, preparing a marketing plan and strategy with proposed rates
, build out allowances and costs. Developed contacts with the brokerage communit
y, economic development officials and other professional to provide leads for te
nants. Identified target tenants for particular spaces and projects and pursued
them through a letter campaign and personal visits. Initial transactions include
d many start-up companies, professional offices, small retailers and large offic
e users. Among significant transactions was the GTE Government Systems Corporati
on lease of 12,000 square feet at Executive Park West.
