or e-mail your completed and signed application along with a copy of your resale tax certificate or business license or any
government issued company document. Your application will be processed within 1-2 business days. Once approved, your client
number and password will be issued via e-mail giving you access to wholesale product pricing at our website eedistribution.com. Orders can
be placed online, e-mailed, faxed, or called in.

Shipping Information
You are responsible for any and all shipping charges including any applicable import duties, taxes, and brokerage fees. If you have a
shipper account number, please list it below. If you do not have an account set up with a shipper, domestic shipments will be sent via
FedEx Ground or a trucking service for bulk freight and the shipping charges will be billed to your credit card. International shipments
will be sent via FedEx International Economy service. A deposit (based on a percentage of the total value of your shipment) will be
charged to your credit/debit card prior to any orders shipping out on our account. When we receive the final bill from FedEx, an
adjustment will be made to your credit card (either charged or credited) based on the final invoice value. EE Distribution does not
warrant that all products we sell can be exported from the United States.
Will Call (Pick Up) service is also available from our North Hollywood warehouse. Please indicate any Will Call preference in the
“Other” box located below. Will Call orders must be picked up within 7 days of notification that the order is ready; otherwise your order
will be shipped at your expense via FedEx Ground, UPS Ground, or a trucking service for bulk freight, after the 7th day.
***New accounts not shipping via an LTL service (on pallets) are automatically set up to include our shipment consolidation

Applicant Acknowledgement and Agreement

Order, Cancellation and Return Policies (Important - please review this section carefully)
Due to the collectible nature of some of the products we sell, we cannot guarantee availability of items, exact ship dates, action figure
assortment breakdowns, packaging or product variations, or exact quantities available to sell. We reserve the right to limit quantities sold.
We reserve the right to refuse any sale. Product specifications, prices and ship dates are subject to change and availability without notice.
Buyer consents to all products having an indefinite ship date extension beyond the original estimated ship date. Orders may not be modified
other than to change quantities or cancel items. Cancelled or changed orders are subject to a 15% processing fee. While all action figures
and collectibles are inspected for quality prior to shipment, the Entertainment Earth Mint Condition Guarantee does NOT apply to EE
Distribution orders. Returns will not be accepted. Claims can be submitted for damaged or defective merchandise. Merchandise is shipped
F.O.B from our warehouses in North Hollywood and Valencia, California.
Payment
Payment for merchandise must be made when orders are in stock and ready for shipment, via Visa, MasterCard, American Express,
Discover, JCB, Money Order, or a Bank Money Transfer in U.S. Funds only. Orders paid via Money Order or Bank Money Transfer
(check with your bank regarding any fees for this service) must be paid in full and payment must be received within 7 days after the
order has been placed, regardless of whether the product is in stock, back-ordered or pre-ordered.

You will be notified via e-mail or telephone if your credit card has declined. We will hold your order and attempt to charge your
authorized credit card on the 7th day. If your credit/debit card still declines on the 7th day, your order will be cancelled and you will be
assessed a 15% cancellation fee.
Confidentiality
The information contained in this EE Distribution Agreement, along with the information contained on the EE Distribution website (including
pricing information) and all written and verbal communications with you is confidential and may not be shared with any other party unless
express written consent is given by an officer of Entertainment Earth, Inc. All confidential information will remain EE Distribution’s exclusive
property, and EE Distribution’s disclosure of confidential information will not constitute an express or implied grant to you of any rights to EE
Distribution’s or Entertainment Earth’s copyrights, trade secrets, trademarks, pricing information, or other intellectual property.

I understand that EE Distribution may modify the policies listed in this agreement at any time. I hereby certify that the information provided on
pages 1 and 2 of the EE Distribution application is true and correct. My signature also indicates that I have read pages 1 and 2 of the
application, fully understand, and expressly acknowledge and agree to be bound by the terms of sale of EE Distribution.
