CONTRACT NEGOTIATION AND ADMINISTRATION
1. Draft/ negotiate and/or administered the following types of agreements and/or
related amendments:
Financial agreements to support derivative trading (ISDA)
Physical buy/sell contracts for natural gas (NAESB or custom)
Natural Gas Liquids: coordinated with NGL traders in drafting a base sales agre
ement.
Coal agreement (CTA Model) and/or long form confirmation (LFC): support coal tr
ader in negotiation with counterparty.
2. Negotiation process involved close coordination with outside clientele and co
mpanyas Legal, Credit and Commercial departments regarding:
Prioritization of contract requests to meet companyas production and/or market
goals
Synchronizing with Legal, Credit, Accounting, Commercial and Client the status
of contract negotiation
Provide and discuss with Legal and appropriate departments contract language ch
anges
Finalization: arrange final draft for Legal and Client to review and approve, u
pon approval prepare originals for execution.
3. Administer the tracking and maintenance of agreements from initiation of nego
tiation to finalization. Tracking accomplished through in-house contract managem
ent database system.

ELECTRONIC FILE SYSTEM and DOCUMENT RETENTION


1. Coordinate and facilitate the training, organization and scanning of agreemen
ts into an electronic repository for scanned documents.
2. Coordinated and set in motion the training and organization of various compan
y departments to plan and implement document offsite storage program (Iron Mount
ain).
3. Assist Legal with update of record retention schedule which involved meeting
with all company departments for document type inventory and communicating findi
ngs with outside legal.
PROJECT MANAGEMENT/PROCUREMENT
1. Managed physical connection and procurement of gas production.
At inception of drilling program, review project area for available vendors for
procurement of production gas.
Contact and negotiate well connect and purchase agreement with the vendor (dire
ct buyer).
Post-connection, inspect production property for flow efficiency and measuremen
t accuracy.
Monitor revenue stream for payment verification per agreement.
Apprise Production and Development Team on scheduled of all activities.

HIGHLIGHTS:

1. Initiated and implemented formation of gas position for independent energy co


mpany that included property oversight, negotiation of sales agreements and appr
ising management of property production and economic status (Pioneer Natural Re
sources fka Parker and Parsley Development).
2. Provided oversight for contract administration group responsible for physical
commodity buy/sell contracts and derivative trading agreements (EnCana Marketin
g (USA) fka PanCanadian Energy Services).
3. Drafted physical commodity base agreement for energy related company. Draftin
g involved working with Legal, Accounting, Credit and appropriate departments (E
l Paso Energy).
4. Lead designer working with technical designer in the development of a Legal/C
ontract Contract Management Database system (aCMSa). Process involved data scrub
bing for upload from Excel spreadsheet into database. Key purpose of CMS: house
agreement information, generate timely reports and provide pertinent information
via ahuba design for other departments (Credit, Risk, Tax, etc.) to access appl
icable contract information (PanCanadian Energy Services/EnCana Marketing (USA))
.
5. With EnCana Marketing (USA) coordinated with their IT department and with CMS
programmer in developing next generation CMS system.
