to rapidly grow startup QSGI through acquisitions. Created strong investor relat

Structured reverse merger that saved significant costs. Acquired public company
shell that atook overa privately-owned QSGI, giving QSGI de facto control of its

Developed strong banking relationships and cash management strategies. Assured Q
SGI of needed liquidity through three lines of bank credit negotiated with highl

lesale to grow to $60M in four years and $150M in six years through both organic
growth and the acquisition of 12 companies.
Provided filings and promoted plans for IPO. Compiled and registered SEC form S-
1 required by Intellesale to provide business and financial information needed b
y potential investors in an IPO. Developed aroad showa in preparation for taking
the company public.
Reduced tax liabilities and audit costs. Audit fees charged by external audit se
rvices were becoming prohibitively expensive at Albert E. Price. Established int
ernal audit department to provide required services at $50K less per year. Estab
lished multiple companies, saving an additional $100K annually in state taxes.

CFO/VP Finance, QSGI Inc. Directed SEC reporting, cost accounting, treasury, cas
h management, funding sources, bank relationship and HR functions for this $45M
public company specializing in IT asset management and hardware, and data destru
ction services. Beginning in 2001, led team of 15 to ensure SOX compliance.
CFO/VP Finance, Intellesale. Managed monthly and quarterly financial closing and
reporting for this remanufacturer and seller of refurbished computer equipment
from 1995 through 2001. Provided financial consolidations. Developed cash manage
ment procedures. Identified acquisitions for company growth. Prepared company fo
r spin off IPO.
COO/CFO/VP Finance, Albert E. Price Inc. Organically grew an importer/distribut
ion company from $10M in revenues to $25M, developed a retail chain of stores in
multiple states, established cost accounting, Fed & State taxes.
