perience preparing periodic and annual reports and other securities filings in c

naging the proxy preparation and annual meeting process for public companies; an
d three years of experience reviewing, drafting and negotiating business contrac
ts, including consulting services agreements.
• One-and-a-half years of experience serving as an Assistant Corporate Secretary m
anaging the preparation and distribution of Board materials, including drafting
meeting minutes and agendas, ensuring compliance with Board committee charters,
managing a Board materials portal and assisting with the development, implementa
tion and maintenance of various compliance initiatives and corporate governance
practices and policies.
• Successful track record as sole attorney supporting the General Counsel with inc
reasing responsibility for a variety of corporate legal and business matters, in
cluding subsidiary management, state qualifications filings, M&A due diligence a
nd deal execution, disputes, discovery requests and various compliance matters.
• Analytical thinker with a successful track record of applying legal and business
knowledge and project management skills at the direction of senior management t
o advance organizational objectives beyond core job responsibilities, including
a variety of risk management, strategic planning, crisis communications and empl
oyee engagement initiatives.
• Widely trusted to lead and contribute to productive, motivated cross-functional
teams, successfully manage projects to completion and take accountability for th
e quality of deliverables, with a high degree of integrity and an interpersonal
