Subject An idea
I think if I could return and make one procedural change, it would be to adopt an internal directive that any
time a motion to proceed with a case fails (i.e., an RTB motion or a probable cause motion or a motion to
authorize suit) then the file is automatically closed unless other action is taken in a separate motion at the
same meeting. After all, while it hasn't usually been a problem, there should not be the possibility that a
case cannot muster the votes to go forward, but 3 commissioners can then prevent the file from being
closed. At it would help to make plain that a 3-3 vote not to proceed in fact decides the case against
proceeding.

Subject FEC Filings?
Is the Commission making any sort of arrangement to accept filings over
the next few days? For example, I wanted to submit a PAC registration
late morning on Friday, and when we called they said the building was
closing at noon, so would not accept deliveries. With the possibility
that the Federal Government could officially be "closed" through
Thursday of this week, will you be making any arrangements so that there
is at least a skeleton staff on hand to accept deliveries?

A 3-3 FEC vote is not a "green light to evade law." It is a definitive
resolution of the case before the Commission, and a precedent that other
actors have a right to consider and to demand enforcement practices that
are not arbitrary and capricious.
My comments from the BNA article partially quoted by Craig are below,
and seem to me (naturally!) to be equally worth repeating:
From BNA:
Bradley Smith, a former Republican FEC commissioner now a law professor
at Capital University in Cleveland, Ohio, said that, under FEC
procedures, a 3-3 vote is a "definitive resolution" of an enforcement
case because it means "a violation has not been found."
More broadly, Smith said, the FEC's critics, especially among campaign
reform supporters, blame the agency and its commissioners for inaction
or uncertainty because the critics cannot accept the idea that campaign
finance law "is not so obviously what they would like it to be" and that
"they don't get carte blanche to run the agency."
The main cause of uncertainty in this area is not the FEC but shifting
court decisions, Smith suggested. These include the Supreme Court's 2003
ruling in McConnell v. FEC, which upheld restrictions in the 2002
Bipartisan Campaign Reform Act, and high Court rulings since then-in
cases like Wisconsin Right to Life Inc. (WRTL) v. FEC in 2007-which have
been more sympathetic to First Amendment challenges of campaign finance
law.
Back in the Trenches
The McConnell decision broke an "uneasy truce" that prevailed since the
landmark 1976 Supreme Court ruling in Buckley, Smith explained
The Buckley ruling allowed regulation of campaign financing to prevent
corruption or its appearance but safeguarded political communications
lacking specific words of "express advocacy" for or against a candidate,
Smith said. McConnell subsequently indicated that regulators could go
further than looking for specific "magic words" to prevent
"circumvention" of campaign finance rules by those who used cleverly
worded messages to skirt the limits.
Yet, the anti-circumvention rationale adopted by the Supreme Court in
McConnell "has been shown to have no stopping point," Smith said. This
has led to the more recent Court rulings pulling back from regulation
due to First Amendment concerns.
The McConnell ruling launched "a new era of warfare" pitting campaign
finance restrictions against free-speech principles, Smith said.
Campaign reform supporters were sure they would "win this new era of
war, and scored impressive early victories, but now [are] back on the

defensive and we may be settling soon back into the trenches."
In Smith's view, such legal warfare "has naturally spread to the FEC,
and it would be there-will be there-at any agency charged with
enforcement. The problem is not a 'dysfunctional' agency or
commissioners who will not 'enforce the law.' It is a statutory and
constitutional regime that tries to balance two largely incompatible
goals."

Another former FEC General Counsel, Lawrence Noble, said deadlocked FEC
votes "make life very difficult" for those who want to support a
political candidate or cause "but have a low tolerance for risk and no
interest in trying to blaze new legal trails."
On the other hand, Noble added, "some political parties and ideological
groups, who feel comfortable playing on the edge and in the gray areas,
... look at a 3-3 split as a green light. That then puts pressure on
those who want to stay well within the lines but are concerned about
being at a disadvantage, when it comes to supporting candidates,

While I appreciate Mike Franz's point and agree with the first sentence quoted above, the very
way he phrases it may be indicative of how successful the anti-speech side has been in framing
the argument. There is absolutely no more reason to think that this is "a conscious project by the
GOP commissioners to undermine the spirit of the law" than there is to think that it is a
conscious project by the Democratic commissioners to undermine the spirit (or perhaps the letter)
of the law (and perhaps the Constitution). Yet it seems that few would even think to ask the
question in that way.
Compliance with "the law" can go in too directions; there is the cop who errs on the side
restraint, and there is the cop who stretches, oversteps, or even abuses his authority. I know
which on which side I want the cops (and the courts and the Commission) to err, especially when
we are dealing with serious Constitutional questions, which I think all but the most extreme
participants to the debate agree are at issue with campaign finance regulations.

Responding to this post, Mike Franz sends along the following thoughts:
I saw your post on FEC deadlocks--I've been pondering this myself, especially in light of
my forthcoming piece. I don't have the vote data updated yet for this current time period,
but my suspicion is that this is very unprecedented. And very much an indication of
increased partisanship on the Commission.
If I read the Wal-Mart statements correctly (and I only scanned them), the Democratic
Commissioners voted against the advice of the General Counsel's report. Granted, this
action was for stronger regulation, but the perception--I believe--is that GOP
commissioners "disrupt" the regulatory process by dissenting from the Democratic
Commissioners' AND the General Counsel's desire to more strongly enforce the law. In
other words, in the W al-Mart case, the GOP commissioners were voting WITH the
recommended legal advice.
All told, the argument I make in the paper, that Commissioners dissent more often now
than in years past, is confirmed with the FEC in the last year (this despite my not having
the data on this last year). But I don't think I expected this many 3-3 splits. I still feel that
much of this current partisanship is driven by serious disagreement about the scope of the
law, and not a conscious project by GOP commissioners to undermine the spirit of the
law. But maybe these views are not all that different at the end of the day.

This actually appears to be a split not over the R TB standard, but on whether to launch an
investigation as a question of the use of Commission resources.
There has been longstanding debate among commissioners, however, over what the RTB
standard does signify, so even if this were a dispute over the standard, it would be nothing new.
Here, however, the case was closed on the recommendation of the General Counsel under the
Enforcement Priority System, not a dispute over the standard for RTB.
The dissenting Democratic Commissioners seem to wish to tum the OGC's recommendation into
a question of whether to find R TB - they don't directly address why this case is more important
than others so that it should be bumped ahead of others that rated higher on the Commission's
Priority Enforcement System (EPS). The dissenting commissioners also rely on the Advisory
Opinion in National Center for Tobacco Free Kids (AO 2003-24). While Tobacco Free Kids
might be relevent precedent in determining the scope of the law, it really is off-point for this
MUR. In Tobacco Free Kids, NCTFK sought an advisory opinion, which the Commission is
obligated to answer- the Enforcement Prioirty System does not come into play.

U.Va. law School Symposium to Examine Controversial Supreme Court Campaign Finance Ruling
Citizens United
Political experts will examine Citizens United v. Federal Election Commission, the divisive 2010 Supreme
Court campaign finance ruling that affirmed the right of corporations to run independent political ads,
during a symposium at the University of Virginia School of Law on March 19 to
Donald McGahn, commissioner and former chairman of the Federal Election Commission, will deliver
the keynote address at 11:45 a.m. in Caplin Pavilion as part of the symposium, "Citizens United at Age
One," sponsored by the law student-run Journal of Law & Politics.
"The Supreme Court's decision in Citizens United v. Federal Election Commission was one of the most
controversial decisions of the Roberts Court to date," said symposium editor Gary Lawkowski, a third-
year law student. Soon after the ruling, President Barack Obama suggested during his State of the Union
address that the decision opened the door to special interests and foreign corporations unduly
influencing elections.
The 5-4 decision involved a case over whether the nonprofit corporation Citizens United could air a film
critical of Hillary Clinton and advertise it in broadcast ads featuring Clinton's image in apparent violation
of the 2002 Bipartisan Campaign Reform Act, commonly known as the McCain-Feingold Act.
"The goal of this symposium is to re-examine the court's ruling in Citizens United with the benefit of one
year's hindsight, and to explore the way it has shaped and influenced the electoral process, both in the
experience of the 2010 midterm elections and in recent developments in federal election law,"
Lawkowski said.
The symposium also features panels critiquing Citizens United and exploring the impact of the decision
on corporate expenditures in the 2010 midterm elections. Panelists include Joseph Birkenstock, former
chief counsel of the Democratic National committee; Trevor Potter, former general counsel to the John
McCain 2008 presidential campaign; Marc Elias, former general counsel to the John Kerry presidential
campaign; Michael Toner, former chairman of the Federal Election Commission; Adav Noti, FEC lead

Lillian Be Vier- David and Mary Harrison Distinguished Professor of Law
Lillian BeVier has taught constitutional law (with special emphasis on First Amendment
issues), intellectual property (trademark, copyright), real property and torts since coming
to Virginia in 1973. At Stanford Law School, Professor Be Vier was revising editor for
the Stanford Law Review and a member of the Order of the Coif. Professor Be Vier
received the University of Virginia Alumni Association Distinguished Professor Award
in 2006. The Raven Society elected her to membership in 1993 and honored her with the
faculty award in 2010. Having been nominated by President Bush and confirmed by the
Senate in 2003, she served as vice-chair of the Board of Directors of the Legal Services
Corporation until2009. She serves on the national Board of Visitors of the Federalist
Society.
Joseph M. Birkenstock
Joseph M. Birkenstock is a member in Caplin & Drysdale's Washington, D.C. office. He
joined the firm in 2005 after serving as Chief Counsel of the Democratic National
Committee and practicing political law with a firm in Los Angeles. Mr. Birkenstock
focuses on advising corporations, non-profit organizations, candidates, officeholders, and
other clients in structuring new political efforts and administering their political,
lobbying, and issue-advocacy projects. He also helps clients respond to controversies
involving issues of political law such as alleged campaign finance improprieties, conflicts
of interest, and real or perceived violations of other legal and ethical obligations. While at
the DNC, Mr. Birkenstock worked closely with the party's fundraisers and campaign
staff to help ensure their compliance with the myriad of state and federal laws governing
their activities. Mr. Birkenstock is a graduate of Mount St. Mary's University and The
George Washington University Law School.
Marc Elias
Marc Elias is a partner in the Washington, DC office of Perkins Coie. He focuses his
practice on representing public elected officials, candidates, parties, corporations and
PACs in connection with campaign finance, governmental ethics, lobbying disclosure,
and white-collar criminal defense matters. Mr. Elias served as lead counsel for Senator Al
Franken in the 2008 Minnesota Senate election recount and contest - the largest recount
and contest in American history. He successfully argued the case before the Minnesota
State Supreme Court that resulted in a unanimous decision affirming that Franken had
received the highest number of votes legally cast in the 2008 general election for United

Lee Goodman is a partner at LeClairRyan, where he advises clients on a broad range of
policy-oriented civil matters, including federal and state election laws and First
Amendment rights of political participation, political action on the Internet, taxation of
the Internet, as well as education issues and academic freedom. Mr. Goodman has
advised several Fortune 500 corporations, media and broadcasting stations, nonprofit
organizations, political parties and politicians on compliance with federal and state
campaign finance laws, FCC political broadcasting rules, Internal Revenue Service
restrictions on non-profit political activity, ethics and lobbying rules, the Hatch Act and
voting rights. He has represented clients' interests before courts, the Federal Election
Commission and other agencies that regulate political activity. Mr. Goodman 1s a
graduate of the University of Virginia and the University of Virginia School of Law.
Dean Paul G. Mahoney- David and Mary Harrison Distinguished Professor of Law
and Arnold H. Leon Professor of Law
Paul G. Mahoney became dean of the Law School in July 2008. Dean Mahoney's
teaching and research areas are securities regulation, law and economic development,
corporate finance, financial derivatives and contracts. He has published widely in law
reviews and peer-reviewed finance and law and economics journals. Dean Mahoney
joined the Law School faculty in 1990 after practicing law with the New York firm of
Sullivan & Cromwell and clerking for Judge Ralph K. Winter, Jr. of the U.S. Court of
Appeals for the Second Circuit and Justice Thurgood Marshall of the U.S. Supreme
Court. He served as academic associate dean at the Law School from 1999 to 2004 and
has held the Albert C. BeVier Research Chair and the Brokaw Chair in Corporate Law.
He has been a visiting professor at the University of Chicago Law School, the University
of Southern California Law School and the University of Toronto Faculty of Law. He has
also worked on legal reform projects in Kazakhstan, Kyrgyzstan, Mongolia and Nepal.
Dean Mahoney is a member of the Council on Foreign Relations and served as an
associate editor of the Journal of Economic Perspectives from 2004 to 2007 and as a
director of the American Law and Economics Association from 2002 to 2004. He is a

Commission on July 9, 2008. Nominated by President Bush on May 6, his appointment
received the unanimous consent of the United States Senate on June 24, 2008. He was
elected Chairman on July 10, and served in that capacity through December 31, 2008,
and continues to serve as a Commissioner. Prior to joining the Federal Election
Commission, Mr. McGahn served as head ofMcGahn & Associates PLLC, a
Washington-based law practice specializing in election law. Mr. McGahn has represented
federal and state candidates, Members of Congress, political party committees, leadership
political action committees (PACs), corporations and corporate PACs, non-profits, trade
associations and others involved in issues related to campaign finance law and
government ethics. Since 1999, Mr. McGahn served as General Counsel to the National
Republican Congressional Committee. Before joining the NRCC, Mr. McGahn practiced
law at Patton Boggs LLP in Washington, DC. Mr. McGahn attended the United States
Naval Academy, the University of Notre Dame, Widener University School of Law and
the Georgetown University Law Center.
John Norton Moore- Walter L. Brown Professor of Law
John Norton Moore, who joined the faculty at Virginia Law in 1966, is an authority on
international law, national security law and the law of the sea. He also teaches advanced
topics in national security law and the rule of law. Professor Moore taught the first course
in the country on national security law and conceived and co-authored the first casebook
on the subject. From 1991-93, during the Gulf War and its aftermath, Professor Moore
was the principal legal adviser to the Ambassador of Kuwait to the United States and to
the Kuwait delegation to the U.N. Iraq-Kuwait Boundary Demarcation Commission.
Professor Moore is a graduate of Drew University and Duke University School of Law.
Trevor Potter '82
Trevor Potter is a member in Caplin & Drysdale's Washington, D.C. office, where he
leads the firm's Political Activity Law Practice. He is a former Commissioner and
Chairman of the Federal Election Commission. Mr. Potter served as General Counsel to
the Rick Scott 2010 gubernatorial campaign as well as the John McCain 2008 and 2000
presidential campaigns. He also served as Deputy General Counsel to the George
H. W. Bush 1988 campaign. He is the founding President and General Counsel of the
Campaign Legal Center, a Washington, D.C. based nonprofit which focuses on campaign
finance issues in the courts and before the FEC. Mr. Potter is a graduate of Harvard
College and the University ofVirginia School of Law.
Michael Toner
Michael Toner is head of Bryan Cave's Election Law and Government Ethics practice
and the President of Bryan Cave Strategies. He joined the firm in 2007 after serving as
chairman of the Federal Election Commission in 2006. Toner served as an FEC
Commissioner from 2002-2007. A seasoned political veteran, Mr. Toner served as Chief

Counsel of the Republican National Committee (RNC) in 2001-2002, as well as General
Counsel of the Bush-Cheney transition team in Washington, D.C. and the Bush-Cheney

campaign, Mr. Toner was Deputy Counsel at the RNC from 1997-1999. He also was
counsel to the Dole-Kemp presidential campaign in 1996. Mr. Toner has appeared as a

Adav Noti is an attorney at the Federal Election Commission, where he represents the
agency in federal court. He litigated Citizens United at the trial level. He was previously
an associate at Paul, Weiss, Rifkind, Wharton & Garrison, and is a graduate of the New
York University School of Law and a magna cum laude graduate of the University of
Pennsylvania.

In any case, I am very grateful for your willingness to come to Austin on the 24 and serve as a
distinguished guest speaker for my class. I have 20 students (a mixture of policy/law students) and we'
ve had an excellent semester thus far. This week and next, we will be discussing redistricting issues
(after spending the first 9 weeks of the semester on election administration issues) and when you come

person to give us a firsthand perspective!

pace of work has been extremely busy since your first day.
I wanted to reach out to you in the hope that I could entice you to Austin sometime in November(after the
presidential election, of course). In addition to my full-time job as director of state/federal government affairs
for Rice, I am also teaching an election law /policy course as an adjunct professor at the LBJ School of Public
Affairs in Austin. In fact, this is my second year of teaching election law and my course is again cross-listed
with the Univ. of Texas School of Law, meaning that my class will be composed again this year of10 Masters
candidates and 10 JD candidates. I'm looking forward to a very invigorating semester.
My class will focus on the three basic tenants of election law: election administration, redistricting and
campaign finance. As I did last year, I plan to invite about 5 prominent guest lecturers to come to class and
give the students a look at how the laws and principles we will learn in our casebook are applied on a real life
basis (Carolyn Hunter was kind enough to come and speak to my class last fall when she was on the EAq. I
will spend the majority of the semester covering election administration/HAY A-related issues, but by
November, I will turn my attention to redistricting and campaign finance. You would be an excellent guest
lecturer for my section on campaign finance.
I plan to begin the campaign finance classes sometime in early to mid-November (my syllabus is a living
document and evolves as the semester progresses). Thus, I am wondering whether there is any chance I
could get you to Austin sometime in November. I realize that there likely is little to no "down time" for the FEC

It was great to talk with you this afternoon. I have attached the COGEL panel description. This
is an abbreviated form of a panel we have done with the same folks for the past two COGEL
conferences. The only change has been the FEC representative. Both Mark Shonkwiler (2007)

The session will be on Monday, December 7, 2009 beginning at 3:30 and continuing until4:45

Matt,
Thank you for getting back to me. This panel has become a COGEL institution. It has served as a
discussion point for the intersection of regulation and political speech. The panel originally started as a
means of providing the audience with a perspective on who the wide range of speakers were in political
campaigns and what regulations, if any, applied to their political speech. The public and regulators were
often asking "who are these folks that are talking about candidates and issues, can we limit their political
advertising and how are they funded?"
Given so much political speech is either exempt from regulation or regulated under tax law rather than
campaign finance law, I have tried to pull together a diverse panel to keep the audience up to date on the
latest development in the intersection of regulation and political speech. The Citizens United case and the
Emily's List case will provide the most recent springboard from which to share views on these issues.
I have pulled together a panel that presents several perspectives that has been well received because it
includes regulators, the regulated and reform groups. The panel members include two attorneys in private
practice who advise politically active individuals and groups - Mike Wittenwyler of Madison and Larry
Noble of DC. Larry has additional background with the FEC and an advocacy group. I have also included
Lois Lerner, the Director of Exempt Organizations at the IRS along with Paul Ryan from the Campaign
Finance Institute. You and I represent the regulators. The FEC has always played role on this panel.
There is only a short period of time to comment- 10 minutes each. I really want to ensure that the
audience has 25 minutes to ask questions of the panel.
Your role is really to give a perspective from the FEC standpoint in light of the most recent decisions. Of
course I am assuming the Citizens United decision will have been released by then.
I have attached a copy of the panel description. Note you are the player to be named later.

Annual COGEL Conference, being held December 6-9, 2009 in Scottsdale, Arizona. Our session will

The conference will be held at the Fairmont Scottsdale. I urge you to make your hotel reservations at
the secured COGEL group rate as soon as possible. Reservations may be booked online directly
through the COGEL website at www.cogel.org. Once the conference registration form is available for
distribution, I will forward you the form for completion.
Please be advised that COGEL policies prohibit speakers from using their presentations to solicit
business from COGEL members. Speakers are generally permitted to display reading materials that
are for sale, but must obtain written permission from CO GEL's Executive Director before the
conference.
Please forward to me by October 30th a brief(200 words or less) biographical sketch in Word format
to be used for introduction purposes at the beginning of the session. Also, by that same date, notify
me of any audio-visual equipment you will need for your presentation.
To facilitate the learning process, it is highly recommended that you provide the audience with
handouts of your presentation, including copies of slides, if applicable, and to make presentations as
lively and interactive as possible. To ensure any electronic information you wish to present at your
session will be accessible on our conference computers, we ask that use a flash drive rather than a CD

I thought you might be interested in some of the preliminary results from deeper probing of the data
from the money & politics survey we conducted this past fall. In particular I have so far not been able
to find any difference in perceptions of corruption- generic, in campaign finance, or, even more
specifically, the role of corporations in politics- between respondents in states with and without
pre-CU limits on corporate independent expenditures. These and related results are being written up
for a conference presentation in April.
