It includes the maintenance operations or adjustments to be carried out in Existing Plants requested by the Customer, during the installation or startup phase of a new plant. The Purchaser engages himself to do his best in order to put our personnel in a condition to carry out a continuative work and to accept from now the prosecution of the working-site activities according to the directives, the terms and the modalities established by our technicians. Reference layout: L110265 A Introduction The solution proposed in the plant reference layout and described in this document has been produced in cooperation with the Customer, designed on the basis of the data provided by him, and conform to his production requirements. This project study is finalized to the supply of equipment and services for the construction of a ceramic tiles production plant, whose specifications are listed in the "data" paragraph. We anticipate the following definitions with respect to certain terms below herein Basic reference size: with the approval and in accordance with the production requirements of the Customer, it represents the tile size employed as a base for plant dimensioning and for the definition of machinery operating range. This reference format is the one which should therefore be reported to any theoretical verification, and what will be operationally adopted for the conduct of the plant test; its dimensions will always refer to it as a finished product, fired and eventually rectified (squared) Reference production volume: its the value used for the dimensioning of all system machinery: it always refers to the basic reference size and its related to one day timespan (reported in the data project paragraph as daily production): its necessary to report to this value for any system potential calculation as well as for the conduct of plant test Saleable it is defined saleable all the production quote which is packaged and addressed to warehouse Department efficiency otherwise defined as performance, it expresses the department actual production availability during a fixed timespan, and its expressed as a percentage of the same period: it is normally indicated by the customer, otherwise its established on the basis of average parameters dictated by the experience. Unless otherwise specifications, the values set out below will be deemed to meet the requirements for a correct system functional verification. Department losses: they are essentially related to the mass of material, related to breakage or reject losses as well as chemical or physical ones converging at the same result (firing losses): they contribute to the system balance drawing up and its yield in mass terms; they are normally specified by the customer, otherwise they are determined on the basis of average parameters dictated by the experience. Unless otherwise specifications, the values set out below will be deemed to meet the requirements for a correct system functional verification. To provide assurance about supply completeness and full compatibility with the production process, above items will be present in components and services list, including the clear endorsement "at customer charge."

Specifications: Raw materials Raw materials are essentially attributable to the following two types: Plastic type (plastic clays, chinaclays, etc.) Hard type (quartzs, feldspars, etc.) Both plastics and hard cuts will be available in sizes suitable for dosing and subsequent grinding process, in accordance with the below parameters Clay size reference before being weighed: 3080 mm; Humidity maximum allowable percentage inside clays: 1315%; Maximum size of hard materials before being weighed: 23 mm Humidity maximum allowable percentage inside hard materials: 6%; The physical characteristics of available raw materials are binding elements in the definition of system solutions for dosing and subsequent treatments. Not complying values could lead to different configurations and solutions from those indicated in this document with the resulting inadequacy of the proposed system. Each mixture of raw materials, in relation to structural characteristics of the components, may have original features, changing its properties further to technological and manufacturing processes. In order to verify the conformity of available raw materials to the characteristics of reference standards assumed for system dimensioning, the customer is willing to send samples in quantities agreed with our technicians: they will be subjected to laboratory and semi-industrial tests at SITI-B&T Group Technology Center

These materials must be sent to our headquarters no later than 2 months from the contract date With reference to above mixtures, productivity declared herein will therefore definitively confirmed only after the above mentioned tests. If the results should not be in conformity with the characteristics planned for such a mixture composition, however typical and common for this kind of raw materials, SITI-B&T Group will be unable to grant the declared production with the equipments proposed in this document Specifications: Raw materials balance The following table lists the losses for each department, referring essentially to product wastes in each of them: precautionary criteria are used for calculations, so that mass balance drawing up (and hence process machineries) was led to over-dimensioning

The board, equipped with PLC, synoptic and user interface, handles and manages the transports from the raw materials weighing system to the grinding dept. The synoptic allows the control of the status of the different equipments and the correct activation of the machines. The control panel handles the following machines and equipments: - conveyor belts and transport systems of the material. The programmable logic controls and activates all the sequences of lighting and stop of the different users in the correct sequence. The synoptic allows to control the state of the different equipments, to elaborate the data transmitted from the weighing system, the correct activation of the machines, the handling of the recipes and the supervision of the dept. FIRING 1 Single-layer Pre-kiln Drier 2500/6,66 m The drier, from a thermal-dynamic point of view, is made up of a number of thermal units required to achieve a correct drying curve. The length of the thermal unit depends on the length of the drier and can range from a minimum of 4.44 meters to a maximum of 8.88 meters. Each unit consists of the following: - Metal structural components that make up the bearing frame of the drier. They entail electrically welded tubular steel bars in Fe 360. Each drier module rests directly on the floor. The flatness of the floor must be +/- 2.5 cm in the area where the machine is installed, plus the load-bearing capacity of the floor in this area must be of 25 N/cm2. - Insulation consisting of rigid ecological insulation panels of suitable thickness to minimise the loss of heat and thus to minimise consumption levels. The side panels are complete with appropriate openings for the inspection of the drying channel and for cleaning the bottom of the drier. - Metal rollers that carry and convey the product to be dried forwards smoothly and evenly. The roller surface can be adjusted in height to achieve a levelled surface of rollers during the assembly phase that turn perfectly around their geometrical axis. The rollers are driven by a bevel gear pair system. The pin and roller are coupled by a lock screw that fits the roller perfectly to the pin. A gear motor is installed every 3 or 4 drier modules. The output speed of the gear motor shaft is controlled by an inverter that is installed in the electrical control panel of the machine. A chain transmits the drive from the gear motor to the drive shaft that bears the keyed bevel gears that engage with the respective pinion gears in order to rotate the rollers. The areas adjacent to the one in which the gear motor is installed are driven through a chain coupling. The drive system described enables the even and smooth conveyance of the product. - An air-flow burner is fitted on the re-circulation piping of the drier. Each burner is made up of a combustion chamber in stainless steel, a gas stabiliser ramp, a fan for the carburant air, an ignition electrode supplied by a transformer, a flame detection electrode, and an electrical control panel for the burner. The alarms triggered on this control panel are sent remotely to the main control panel of the drier. - A centrifugal fan that re-circulates the process air, complete with electric motor and drive, shock absorbers and supports. - Process air supply pipes and exhaust air suction pipes. - A set of blower pipes that input hot and dry air for drying the product. The re-circulation fan blows the air through the blower pipes and picks up the exhaust air. An opening is arranged before the fan to expel part of the saturated air in a forced manner (with the aid of an independent fan through one single chimney vent). Before the fan, together with the input of the thermal energy required to evaporate the water, the environmental air is picked-up in the same amount as that expelled in order to lower the air ratio input into the drier. This ambient air vent is driven in order to control the intermediate states of the

machine. The drier is equipped with a gas reduction control unit to lower the pressure of the gas supplied into the factory and reduce it to the values admitted for the air-flow-burners. As this is a machine connected in-line with a kiln, the electrical control panel of the drier is not installed separately but is built-in the electrical control panel of the kiln. The machine onboard system consists of the following: - power cables and cables for auxiliary signals - cable races - K (NIGr-Ni) type thermocouples installed on the piping for the temperatures of the hot air put into the thermal unit - compensated cables for the thermocouples - drive units control sensors The drier is equipped with all the equipment and safety devices established by European standards. c) Cooling divided in 3 subsequent phases: - forced fast cooling up to about 650C, with direct input of air with modulated flow rate; - indirect cooling up to about 550 through heat exchanger made of AISI 304 tubes C, placed above the rollers and conveying air blown by a fan; - forced final cooling with air blown directly on the product by a fan with drilled pipes placed above and below the rollers plan. The resulting thermal energy consumption depends anyway on various parameters linked to the product to be fired as specified below: - tiles features (weight per m2, type of body and water content at the kiln's entry); - glaze features (type and quantity applied per m2 of product); - finished product features (degree of vitrification or requested absorption, maximum firing temperature, cycle). The kiln is equipped with all the equipment and safety devices prescribed by the European rules; the electric system is assembled according to the CEI regulations; the noise of the mechanic-thermal assembly is within the limits prescribed by ISO 1999 rules for working places; the moving parts are protected by safety devices. The kiln is mainly composed by: STEEL CARPENTRY It represents the load-bearing structure of the kiln. These are made by means electrically welded tubes in Fe 360. The structure is equipped with elements like sheets, L bars and plates used for a lot of functions, like the fixing of the external sheets, the fixing of the burners, and so on. Each module of the kiln is placed onto carbon steel rollers to allow the thermal expansion of the whole kiln referring to a central fixed point. A floor planarity of 2,5 cm. is requested in the area where the kiln will be placed. Furthermore in this area the floor has to support a load of 40 N/cm2. INSULATION LINING The insulation composition is variable in function of the laboratory temperature of the kiln. 1. Pre-kiln: the crowns and the walls are made of insulating rigid plates, while the basement is composed by woolrock and bricks having classification temperature of 900C. 2. Preheating/pre-firing: the walls and the basement are made of bricks in the kiln side layer. These are class ASTM 23. The crown is made of a cordieritic-mullitic material particularly resistant to the chemical attacks. Furthermore, this type of crown allows an easy kiln maintenance. The suspended crown is composed by a drawn plate, by a bent tile that supports the plate and by anchors with a hook in AISI 304 supports the crown. Above the cordieritic material an insulating panel and about 200 mm. of ceramic fibre are inserted to limit the thermal flow and reduce the energetic consumption. 3. Firing: the insulation has an equal thickness as per the previous section, but the kiln side bricks of the basement and of the walls are class ASTM 26. The rigid plates used after the bricks are different depending on the maximum firing temperature. For working temperatures > of 1200 a micro- porous material layer has been used. However the C composition of these layers guarantees of the external wall of the kiln a temperature not higher than 40 C, respect to the ambient temperature. The fast cooling zone has the walls made of bricks class ASTM 26, while the crown is build as per the previous sections, while the basement is equal to the preheating zone.

4. Slow cooling: these zones are insulated as the pre-kiln zones. 5. Final cooling: it is insulated with rock wool thickness 50 mm. The bottom is covered by cordieritic plates, excluding the cooling zone, to avoid the damaging of the insulating bricks in case of product falling and/or overlapping; these plates are dry placed and easily replaceable. Blocks housings of the burners, inspection holes, specially shaped bricks for rollers passage are foreseen on the side walls. Hatches under the roller hearth make the inspection and cleaning of the firing channel easy. The mechanical strength of the materials used and the special expansion joints avoid breakings and flakings. The parts more subject to wear like crown blocks, burners blocks and the specially shaped bricks for rollers passage are replaceable. HANDLING SYSTEM The rollers support and move the product to be fired forward in a uniform adequate way. The rollers are adjustable in height in order to obtain, during the assembly phase, a levelled hearth of rollers which turn exactly around their own geometrical axis. Motion to the rollers is transmitted by a helycoidal couples gears system working in oil bath lubrication. Coupling between pivot and roller is with an fast connection which allows an easy and safe manoeuvre for roller clutch, without any stress for the roller itself. A gearmotor is placed every 3 or 4 modules. The exit speed of the reducer shaft is managed by inverter installed on the machine electric board. The rotation to the rollers is given by a chain that transmits the motion from the gearmotor to the transmission shaft, where gears are splined and engage the respective pinions in order to rotate the rollers. In the zones next to the one where the gearmotor is installed, the motion is transmitted by a chain joint. The above mentioned driving system assures a uniform forward motion of the product, being possible to have different operating speeds in subsequent kiln sections in order to absorb possible empty spaces caused by the material shrinkage and an alternating back and forth motion (traverse) in order to shut down, in case of need, the product's forward motion without stopping the roller rotation, thus reducing the risks of rollers bending. In the firing zone, where the flexion rollers risk can be provoked by the high temperatures, there is a particular rollers rotation system that varies lightly the rotation speed of the rollers, making them touch the product alternatively so as to prevent the irregular product forwarding or friction between the rollers and tiles. COMBUSTION SYSTEM It is made of: High speed direct flame burners placed alternately above and below the rollers, staggered, on the kiln's opposite walls. Each burner is made of a head, a special nozzle for gas distribution and for combustion air, to induce a steady flame vortex, ignition electrode with power transformer having a voltage of about 15.000 V, flame detector electrode and a combustion cone made of silicon carbide with steel collar and fastening flange. Each burner has a thermal power of 50 kW, the burner can be fit for working with methane gas or LPG gas. The burners can be replaced even during the kiln working. Complete gas feeding and combustion air feeding lines including: main reduction station of the gas pressure from the factory mbar value to the one to be used for the kiln (90-130 mbar); gas volumetric counter unit; gas pipelines closed by ring that compose the thermal zones. These ones are long about 4,4 m. excluded the last ones that are placed in the last firing module of the kiln are 2,2 m long. These rings feed 4-8 burners placed above and below the rollers axis. burners feeds the rings. The gas capacity is adjusted by modulating valve that allows to change the energetic value to the thermal zone depending on the difference between the temperature set value and the read value by thermocouple. Set of centrifugal fans (fumes suction, combustion air, fast cooling, slow cooling, final cooling and hot air suction), complete of electric motors and drive, anti-vibrating joints and supports. Remark: all fans sucking environment air are equipped with a dirty-proof filter and silencer unit as well as an indicating unit of filter obstruction. Ducts system for combustion, cooling and suction air feeding. Set of blowing pipes of AISI 310 S placed in the fast cooling area. Set of blowing pipes in silicon carbide placed in the fast cooling area: the first 4 of which, placed above the roller axes, are made of silicon carbide to avoid their distortion after empty transient states. CONTROL AND REGULATION SYSTEM OF THE KILN The main kilns control components are the PC and the PLC, which interact with the control devices and with the electric control board. The speed of the single drafts is set and visualised on the kilns PC; the adjustment is effected by the PLC which controls the frequency converters (Inverters). The Supervision PC is an extremely flexible device to set the control of the production process and allows efficiency data analyses and events occurred during kilns production cycle. The start sequence is done by the operator and verified by electromechanical safety devices like washing time and sealing checking of the gas valves. The control system of the kiln makes continuous checking on all the system and in particular on: kiln over-temperatures gas maximum and minimum pressure air pipe pressure and over-temperatures of the chimney comburent air pipe pressure movement and correct speed of the drafts The system runs the emergency systems if a feeding lack happens, that assures the rollers motion. An emergency generator set (optional and not included in the kiln) with the automatic switching feeds the drafts and the necessary logic to move the rollers. Safety and emergency devices are active also on normal working. It is also possible to traverse the rollers or send the product on discharge.

In case of troubles on fumes suction fans and on combustion air, on the feeding line of the fuel, in the combustion control system, in the electric energy feeding, or of the fans, the main safety-valve stops the fuel feeding; at the same time the modulating valves of gas selfregulation and of stack suction line are placed in "MIN" position while electric circuit stops the fans of air combustion feeding and of the cooling zone, slowing this way the kiln's cooling. The main kilns control components are: Main power switchboard composed by: general switch; controls and protections for every motor; emergency and safety circuits; programmable controller (PLC ) for the working logic management; colours synoptic panel with signal lamps to visualise the devices conditions and possible alarms. The conditions of the machines connected to the kiln are also shown, as the kiln loading/unloading; thermoregulators are installed to set and check the temperatures curve (placed to follow the exact configuration of the various zones on the synoptic panel); push-button panel is built-in in the doors of the electric control board for the control of the fans, burners and drafts; run and stop push buttons for the fans; selectors for the draft and traverse management. At Purchasers expense: - light and heavy equipment as well as consumable items required for installation; - lifting and handling equipment to be used for installation in work area; - installation of chimneys and installation of flashings (even if included into the scope of the supply) - personnel required for installation (including electrical wiring and hydraulic connections) of the machinery and equipment included in this offer; - consumable end wear parts required for installation; Installation will be performed under the supervision of SITI B&T GROUP SpA. Engineering studies and technical-maintenance documentation for complete plants (reference basic production technologies, Single-firing/Monoporosa) SITI-B&T Group will supply the following documentation for technical use, installation and maintenance: A) Plant engineering studies, including: plan view drawings for plant departments machinery positioning and related equipment (executive layout); side view drawings of machinery and equipment in raw preparation area foundation drawings for each machine: the related documents will report only geometrical and dimensional data, as well as charged loads, excluding any valuation about their construction subsequent to civil structure calculation (this study can be different depending on local rules) general foundations drawings, including the positioning of each machine foundation, channels and wells for the discharge of washing water in the various departments; drawings of plates to be walled into foundations, foundation frames, roofing burrows if all related materials are not included in the scope of supply; metal carpentry support structures and frames, safe guards: if their supply is charged to the customer, schematic drawings will be provided for a realization conform to local regulations and degree of seismicity; such schemes, reticular type, will report type and size of steel profiles according to Italian market standards; some drawing examples of most relevant constructive details will accompany above documentation, so that the customer can independently develop the final construction drawings, complying with standards and productive criteria in force in its area. Calculations certificated reports, if not explicitly listed as an additional item of engineering works, are excluded drawings of reinforced concrete tanks for water and slip; schematic drawings for silos building complete with basic dimensions and geometries; data sheets and purchasing specifications for all machinery and equipment whose realization is at customer charge (conveyor belts, elevators, etc); drawings for the positioning of electrical control boards, showing related installed power capacity. The customer must provide, within 30 days from the contract, all the information about powers of machinery or equipment, within its jurisdiction and direct supply, to be fed or controlled by these boards. The designs of the route of the cables linking switchboards and applies, with the list of used types, size and length, will be provided only if those cables are included in SITI-B&T provision; otherwise, that engineering will be provided only as indicative and it will not be therefore demanding with regard to safety issues (arising from possible purchase of cables not appropriate or not complying with regulations, any not conform variation to the paths occurred in the installation, etc). Basic KNOW-HOW Basic Know-How refers to all information and documentation related to productive technology involved with plant design supply and to the validation of the related raw materials: its purpose is to provide the client with all the technological parameters and all the operating instruments needed to produce with success ceramic products according to the defined technological process and with the capability expected of the plant equipment. It is developed in one only stage developed by SITI-B&T technological laboratory ; it includes the following base preliminary technological activities: a1)Defining research strategies with the client: this is accomplished by defining the raw materials (max 10 plastics, max 10 complementary ones), agreed upon according to the client's logistical supplies (availability, costs) and the technological necessities (characteristics and classification expected for the final product, quality); the agreed upon definition of work criterion that follows clearly specifies the objectives to be met (optimization of costs, optimization of qualitative product characteristics, any intermediate commitment of objective evaluation). At the end of this stage an agreement protocol and a working plan will be drawn up and the same will become a technical attachment to the contract. a2)Characterization of the raw materials defined in the previous point: this study, conducted at the SITIB&T technological laboratories, foresees analysis of the chemical-physical characteristics and the evaluation of the raw materials' potential, with reference to the following stage of defining the mixtures and any decorative applications (outside of the aesthetic definition of the product). a3)Definition of the composition of the mixtures: this study, conducted at the SITI-B&T laboratory through a series of analysis and semi-industrial tests (evaluation of thermal and dilatometric characteristics, measure of raw and dried product breaking strength, behavior during drying, firing gradient, analysis of characteristics and properties of fired product), is done to reach, through progressive optimization stages and following the strategies set above, the definition of not more than three alternative mixtures; the final choice will be made by the client, in the case of glazed products in agreement with the glaze supplier evaluation. a4)Support for final sample definition (format, thickness, decoration) to be used for testing the line in collaboration with the supplier (or suppliers, not more than two and approved by SITI - B&T) of glaze and graphics with the purpose of defining the technical characteristics of the system and the mixtures with an eye to the aesthetics agreed upon and approved by the client for the product under examination. Terms of supply of service SITI-B&T does not assume any responsibility regarding tests that do not conform to system start-up plans, or should the definition of the raw materials to be used not be conducted and developed in accordance with foreseen and previously agreed upon planning with the SITI-B&T laboratory: the raw materials for testing should arrive at the SITI-B&T technological laboratory not more than two months from the date of the supply contract, in the quantities requested by SITI-B&T technical experts, clearly identified with detailed technical data sheets. SPARE PARTS

Spare parts Siti-B&T Group engages itself to deliver to the Customer a list of recommended spare parts within and no later than 45 days before the main shipment date of the machines. The Customer will select the spare parts up to the price total amount foreseen by the contract within and no later than 3 weeks after receiving the recommended spare parts list by Siti-B&T Group. During this 3 weeks period, Siti-B&T Group will provide the Customer with its full support and availability for any kind of clarification as to define the final spare parts list. Passing the a.m. 3 weeks period without any final decision effected by the Customer, Siti-B&T Group reserves itself the right to define in complete autonomy the final spare parts list based on the basis of its experience and know-how. Within 30 days from the machines arrival to the final destination place, special assigned personnel of the Customer together with special assigned personnel of Siti-B&T Group will check the material shipped as to control its conformity to the contract and both parties will sign the relative report. Once finished the shipped material control by the parties, , the supply will be considered fully accepted by the Customer.

The parties hereby declare and represent that this contract is made of 15 (fifteen) clauses and that each clause has been duly negotiated and accepted by the parties and that this instrument is not a pre-printed form made by one party only. For the purpose of these conditions of sales the following words and expressions shall have the following meanings, unless otherwise required by the context:the Contract Vendor Buyer "Contract Price" "Plant" Site " "Month" "Day "Start-up Certificate" "Taking-Over Certificate" 1. COMING INTO FORCE The Contract shall be deemed to be duly executed when the copy countersigned by the Vendor, will be returned by the Buyer to the Vendor duly signed for acceptance. If a copy of the Contract duly signed by the Vendor is not returned to the Vendor within thirty days from receipt of the same by the Buyer, the offer of the Vendor shall be deemed to be refused. The Contract shall come into force immediately upon execution, however the obligations of the Vendor shall be conditional upon the following conditions being in place:a) the Vendor has received the full down payment, (if applicable); and b) all collateral securities are provided by the Buyer to the Vendor, (if applicable); and c) the Vendor has received from the Buyer the guarantee of payment of the Contract Price, (if applicable), in a form duly approved by the Vendor; and d) If payment is to be made by letter of credit, that the letter of credit has been received and approved by the Vendor. The Contract shall come into force when the last of the above-mentioned conditions has occurred and until then, the Vendor has no obligation to commence the preparation of the Plant. If the Contract has not come into force within 30 days from the date on which has been executed, the Vendor shall be entitled, at his own discretion, to re-negotiate the Contract Price and/or to postpone the delivery date of the Plant or terminate the Contract. If any term or provision of the conditions herein (or any part hereof) shall be held to be illegal or unenforceable for any reasons the validity and enforceability of the remainder part of the general condition of sales shall not be affected. Any special condition(s) of sale which might be agreed between the parties shall prevail on the relevant provisions of these conditions of sales. 2. TERMS OF DELIVERY Within 10 days from the date of execution of the Contract the Buyer shall provide the Seller with all the technical projects, samples, prototypes and in general with any other information which might be required or which might be relevant to the execution of the Contract and to the supply the Plant. Should the Buyer fail to delivery to Seller the above technical documents the Vendor shall be entitled to postpone the delivery date and in general to suspend the performance of his obligations under the Contract accordingly. The delivery terms of the Plant under the Contract shall be automatically postponed if the production of the Plant has been delayed as a result of the request(s) of the Buyer for technical improvements or modifications. Subject to the provisions herein, should the Buyer fail to deliver to the Vendor the above-mentioned technical documents within 45 days from the date of execution of the Contract, the Vendor shall be entitled to terminate the Contract and to claim compensation for damages. Should the Buyer fail to comply with the terms and conditions of payment under the Contract, and/or, in the event the financial situation of the Buyer change negatively the Vendor shall be entitled to terminate the Contract and to claim compensation for damages. Unless otherwise agreed in writing between the parties, the Plant shall be delivered on an Ex Works basis as defined in the International Rules for the Interpretation of Trade Terms of the International Chamber of Commerce (Incoterms) Edition 2000. All delivery terms under the Contract refers to the definitions of the Incoterms of the International Chamber of Commerce of Paris Edition 2000. Unless otherwise agreed between the parties, the delivery terms specified in the Contract shall commence on the date on which the conditions under clause 1 above are in place. Unless otherwise agreed, all the delivery start up and commissioning terms shall be for reference only and not of the essence. Subject to force majeure, should the Buyer fail to take delivery of the Plant (or part thereof) on the date specified in the Contract, the Plant (or part thereof) shall be deemed to have been delivered on that date and the terms of payment shall be complied with by the Buyer. Should the Buyer fail to take delivery on the date scheduled in the Contract, all the costs and expenses incurred or to be incurred in respect of storage, handling custody and insurance of the Plant (or part thereof) for the period following the date of delivery scheduled under the Contract will be borne by the Buyer. All the risks on the Plant shall be deemed to be transferred to the Buyer. In the event at the end of the third month following the delivery date under the Contract the Buyer fail to take delivery of the Plant (or part thereof), the Vendor shall be entitled to immediately terminate the Contract by notifying in writing (by fax) the Buyer with no need of further formalities. The Vendor shall be entitled to hold all the payments received by the Buyer and to claim compensation for damages. 3. PRICE AND TERMS AND CONDITIONS OF PAYMENT The Vendor shall be entitled to modify the Contract Price if the Buyer fail to comply wit its obligations (included but not limited to the terms of payment) within the terms specified in the Contract and/or if a change of the time schedule of the Contract is requested by the OFFER No. DWG No. Q110265-A2 L110265A 83/87 shall mean the agreement between the Buyer and the Vendor for the supply of the Plant, including therein all documents to which specific reference may properly be made in order to ascertain the obligations and rights of the parties under said agreement. shall mean the Vendor who has made an offer that has been duly accepted by the Buyer. shall mean an individual or corporate who has issued the purchase order of the Plant. shall mean the sum indicated in the Contract as the price of the Contract. shall mean and include all the machines, tools, and equipment, which functionally connected to each other, installed, tested and started-up with the use of adequate raw materials will enable the production contractually agreed. shall mean the place where the Plant shall be installed and where the tests shall be carried out in order to issue the Taking-Over Certificate. shall mean the calendar month. shall mean the calendar day. shall mean the written declaration signed by both the Vendor and the Buyer, whereby it is confirmed that the Plant has been installed, started-up and is suitable for the industrial processing of the materials for which it has been designed. shall mean the written statement issued and signed by the Vendor, stating that the Plant has been regularly completed and performs in compliance with the specifications.

Buyer. The Contract Price shall be therefore increased of any and all additional costs or expenses incurred or to be incurred by the Vendor in connection with such as an event. The Buyer shall bear all the costs and expenses associated with a variation (modification or addition) of the Plant specification(s) which might be requested after execution of the Contract regardless such a variation being the subject of a new order/contract. Save otherwise agreed, packaging is not included in the Contract Price. Payments shall be made in accordance with the terms and conditions under the Contract. The Buyer shall bear any bank charges and/or expenses which might arise in respect of the negotiation. Prices for goods to be shipped abroad might be calculated at the Vendor discretion either in the currency of the destination country or in Euros. The date of payment shall be deemed to be the date on which the full amount due to the Vendor in respect of the sale of the Plant is received by the Vendor (or by the Vendors bank). Should the Buyer fail to pay the Contract Price (or any part thereof) when it becomes due and payable the Vendor shall be entitled to the following:(a) to receive interest on unpaid balance at a rate equal to the applicable legal rate of interest plus 5% with no need to raise a default action against the Buyer. The Vendors right to charge such interest shall not be in lieu of any other right or remedy the Vendor may have against the Buyer. For late payments of Plants sold abroad the Vendor will have the right to receive interest at a rate equal to the LIBOR loan rates, plus 5%. (b) immediately terminate the Contract and any other contract in force between the parties by notifying in writing the Buyer and to withhold all payments received. The Buyer shall not be entitled to suspend or delay the payments under the Contract if a claim and/or a complaint is raised in respect of the performance of the Contract. Any renewal of bank bills issued by the Buyer and/or any amendment of the terms of payment which might be granted by the Vendor to the Buyer shall not be deemed to constitute a new contract between the parties. 4. INSPECTIONS The Buyer shall be entitled to inspect the materials, processing processes and the performance of all parts of the Plant at the Vendors factory at any time during working hours in order to authorise the shipment giving to the Vendor at least 15 days written notice to be received within 20 days before the date of delivery under the Contract. In the event the inspection herein is not effected, the delivery of the Plant (or part thereof) shall be deemed to have been duly authorised. The inspection procedures, unless otherwise agreed under the Contract, will be carried out according to the procedures of the Vendor. 5. INSTALLATION Subject to the Contract, the Plant shall be installed either by the technicians of the Vendor with the assistance of the staff and engineers of the Buyer or by the personnel of the Buyer under the supervision, direction and/or technical assistance of the Vendor. If the installation of the Plant is carried out by the Buyer, the Buyer shall install the Plant in accordance with the instructions given by the Vendor and with the instructions set out in the documents supplied by the Vendor. If under the Contract the Plant shall be installed on site by the Vendor, the Vendor shall ensure that the Plant is installed and started by the personnel of the Buyer under the supervision of the Vendors technicians. The Buyer shall provide the personnel and the labour force to carry out the installation works which will be carried out under the supervision of the engineers of the Vendor, as specified in the Contract. The Buyer shall provide the equipment, lifting equipment, transport means, energy sources, water and anything else which might be required by the engineers of the Vendor. The Buyer shall obtain, on behalf of the Vendor, any authorisation which might be requested in respect of the temporary importation of the material to be used by the Vendor to install the Plant together with any Visa which might be required in respect of the personnel of the Vendor. Storage and handling of the Plant (and/or part thereof) after delivery shall be deemed to the Buyer sole responsibility and at its sole costs and expenses. The goods to be assembled shall be stored by the Buyer at its own costs and expenses at the Site in an area(s) suitable for the preservation of the Plant in new conditions and for the prevention of damage or anomalies. In addition the Buyer shall insure the goods against the risk of theft, fire and destruction. The Buyer shall make available to the personnel of the Vendor a suitable area at the Site to preserve the technical documents. The projects, technical plans, technical and electronic diagrams and all the other documents related to the full or partial installation of the Plant which might be sent by the Vendor to the Buyer before or after the execution of the Contract, are and shall remain the sole property of the Vendor. Such documents shall be deemed to be confidential information and shall not be used, reproduced or transmitted to any third party without the prior written consent of the Vendor. The prices established by the Vendor in respect of the installation, even if included in the Contract Price, are conditional upon the following:1) the installation works shall be carried out in a healthy and safe environment; 2) the technicians of the Vendor shall be lodged and boarded in an hotel of at least three star standard, near the Site, with adequate healthcare facilities; 3) the Buyer shall promptly make available the personnel, consumables, tools and lifting equipment, and electricity required to carry out the installation works; 4) The material required to install the Plant shall be kept in the work place in suitable areas protected against theft. In the absence of the above conditions the installation price shall be increased in proportion to the unforeseen discomfort and difficulties even if included in the Contract Price. If the price for the installation is calculated separately, the installation will be charged to the Buyer at the following conditions: Travelling, board and lodging expenses of the personnel and transport of the equipment; Daily transfer indemnity for the whole amount of time that the Vendors personnel are away from home, including rest days, Saturdays and Sundays; The time spent, based on the number of hours recorded in the daily work sheets signed by the Buyer. Overtime, on Saturdays and Sundays and during night shifts will be charged at special rates, in accordance with the Contract. If a lump sum is agreed in respect of the assembling works, the relevant amount of the invoice will be inclusive of the cost of labour with the exception of travelling, boarding and lodging expenses of both the personnel and equipment, which shall be bear by the Buyer. It is agreed that even if the installation price is included in the Contract Price in the event the installation is suspended or extended for reasons not depending on the Vendor, the Buyer shall bear all the costs and expenses incurred or to be incurred as a result of such postponements, suspension or extensions. The Buyer shall continue to make the payments in respect of the work in progress (if applicable) as if the installation had been finalised. The Buyer shall carry out all the civil works and in general any work which might be required so that the installation of the Plant can take place. The Vendor shall provide the Buyer with the technical data which might be required to prepare the Site and the area(s) where the Plant shall be installed. supplied by the Vendor within the date of the Contract. The Buyer shall provide the workers and labour force to assist the Vendors personnel in accordance with the laws and regulations in force in the country where the Plant shall be imported. The Buyer shall take out an insurance policy against accidents and/or injuries of the personnel of both the Buyer and the Vendor involved in the installation works. The Buyer shall put in place all reasonable and practicable precautions in respect of health and safety at work in accordance with the regulations and laws in force in the Country where the Plant shall be installed The Buyer shall not be entitled to make use of the personnel of the Vendor for works which are not included in the Contract, unless authorised to do so by the Vendor. Should the installation works be suspended for more than 5 days for reasons depending on the Buyer, the Buyer shall permit to the personnel of the Vendor to re-inpatriate and shall bear all the relevant costs and expenses. Should the personnel of the Vendor be reinpatriated or withdrawn by the Vendor the installation works shall be suspended until a new installation schedule is agreed between the parties. 6. STARTING UP Upon completion of the installation works and if provided by the Contract upon completion of the no load test, the Vendor shall start the Plant. For this purpose no-load test shall mean the test carried out with no raw materials for the purpose of verifying the mechanical functionality of the Plant only. During the no load test and the starting period the Buyer shall constantly and continuously provide raw materials, electricity, water and other energy sources, in such a quantity and of such a quality as might be requested by the Vendor together with skilled and trained personnel. When the starting up period will be deemed to be terminated by the Vendor, the Vendor shall inform the Buyer accordingly and within two days the Vendor and the Seller shall jointly check that the Plant is suitable for the industrial production for which it has been designed and shall both sign the Start Up Certificate specifying any defects or failure of the Plant, if any. 7. COMMISSIONING TAKING OVER CERTIFICATE The Vendor shall at his own expense rectify the defects detailed in the Start Up Certificate. The Vendor shall be entitled at his own costs and expenses to replace parts, to make modifications, correction or additions which he might believe to be appropriate for the purpose of meeting the performances under the Contract and generally to be in compliance with the specifications under the Contract. For this purpose, the Buyer shall make available to the Vendor free of charge the Plant, the products, and the personnel and anything else which might be required by the Vendor to carry out his activity. The Vendor shall advise the Buyer when it is ready for the commissioning (if required under the Contract) specifying the date on which the commissioning will commence. Unless otherwise agreed between the parties, the commissioning shall commence not later than 2 days from the date of the communication herein. The commissioning shall be carried out for a period of eight continuative working hours in accordance with the specifications and procedure set forth by the Vendor using the product and the size on which the plant has been dimensioned. The Buyer shall constantly and continuously provide the raw materials, together with the electricity, water and other energy sources in such a quantity and quality as will be requested by the Vendor together with the technicians and labour force. The commissioning test will be carried out based on the production data collected in 8 consecutive working hours, during one single production shift, repeating this data survey for 3 consecutive days. The average of the collected data will be projected on daily basis, following the daily working intervals indicated in the "Project data: working shifts". The type of decoration of the base size product used for the commissioning phase must be fixed between the Customer and the Siti-B&T Group's Technological Centre, no later than 60 days before the delivery date of the supply at our premises; the a.m. availability must be also checked in case that the decoration line will not be included in the Siti-B&T Group's supply, but it is integrated in the plant production and technological cycle; Siti-B&T Group will be able to forbid kind of decorations or other dynamic and technological characteristics required but not in accordance with the interface machinery or with the characteristics foresee for the rest part of the plant. The commissioning is conditional upon the use of raw materials and in general materials in accordance with the specifications of the Contract, having the Plant balanced and powered without interruption and with the assistance of skilled personnel. The commissioning procedures shall be recorded on minutes and the measurement taken from time to time shall be duly recorded. Should the Plant fail to conform with quantity specifications of the Contract, the Vendor shall be entitled to repeat the commissioning within the next 30 days. If such a failure is due to causes depending on the Vendor, and if such causes can be rectified within 24 hours, the commissioning shall be repeated the day after upon request of the Vendor. The commissioning shall be successfully completed if the Plant complies with the specifications set forth in the Project Data of the Plant, of the Contract. The Taking Over Certificate countersigned by both parties shall mean that the Plant has been accepted by the Buyer who therefore waive to raise any claim and/or complaint in respect of the performances and quality of the Plant. In the absence of commissioning, if no claim or complaint has been raised within 10 days from the date of the Start Up Certificate or such different terms under clause 6 above, the Plant shall be deemed to have been duly accepted by the Vendor. In the event the Buyer refuse to sign the Taking Over Certificate within 10 days from the successful completion of the commissioning, the Plant shall be deemed to have been duly accepted on the date indicated in the commissioning minutes irrespective of the Taking Over Certificate. In the event the commissioning cannot be carried out for reasons dependent on the Buyer (or on third parties hold by the Buyer as responsible) the Plant shall be deemed to have been duly accepted by the Buyer. In the event the commissioning cannot be carried out within the date specified in the Contract for reasons dependent on the Buyer (or on third parties hold by the Buyer as responsible) such a term might be postponed upon request of the Buyer for a maximum period of 3 months subject to the following conditions:(a) The Buyer shall make the payments as if the Plant had been commissioned and the Taking Over Certificate had been duly signed (except where the postponement has been caused by a reason of force majeure). (b) The Buyer shall notify in writing the Vendor of the date from which the Plant may be tested. The Buyer shall request the Vendor to settle a new date for the commissioning which shall be within 4 weeks from the date of such a communication of Buyer. (c) Before the commissioning the Vendor shall be entitled to verify the Plant and to make good by rework, rectification repair or replacement or where applicable by replacement of parts, defect or losses which might have been occurred from the date on which the commissioning was scheduled to take place. All cost and expenses in connection with such an intervention of the Vendor shall be bear by the Buyer. (d) If for reasons depending on the Buyer the commissioning is not carried out within 3 months from the date of the Start Up Certificate, or from such other date under clause 6 above, the Plant shall be deemed to have been duly accepted by the Buyer irrespective of the signature of the Taking Over Certificate. For the avoidance of doubts, all additional costs and expense in connection with the new term of commissioning shall be fully borne by the Buyer. produced with all or any portion of the Plant are first sold, if sold before the Taking Over Certificate. The Vendor gives no warranty in respect of insufficient performance levels caused by the inefficiency of the Buyers labours or by poor quality material supplied by the Buyer or by any other environmental condition. 8. WARRANTY AND COMPLAINTS The Vendor warrants under the terms and conditions of applicable law that the materials of the production process used for the manufacture of the Plant are of good quality and the mechanical functioning of the Plant. Subject to the following conditions, the warranty period shall commence on the date of the Acceptance Certificate and shall be valid for a period of 12 (twelve) months. Notwithstanding the foregoing the warranty period shall not exceed 18 months form the date of the first Bill of lading. The warranty period (both the warranty period provided by law and the one agreed between the parties) does not cover defects caused by installation material supplied by the Buyer or by installation methods imposed by the Buyer for any reason. The guarantee does not cover defects due to: Misuse, negligent use or lack of maintenance; Incorrect installation and/or starting up. Unless otherwise agreed in writing between the parties, if the Vendor has not carried out the installation and/or the start up of the Plant; Modification alterations or other changes to the Plant made by the Buyer without the prior written consent of the Vendor. Installation of equipment or spare parts not produced by the Vendor, without the prior written consent of the Vendor; Natural catastrophe (floods, lightening, other); - Electrical connection errors; Overload and in general any reason not depending on the Vendor. Defects resulting from any reasons other than manufacturing reasons are not covered by this guarantee. The Vendor shall be under no obligation under this warranty if the defect(s) and/or the non performance of the machinery is referred to problem(s) which could have been claimed by the Buyer during the start up of the Plant. With this respect the start up certificate under clause 6 above shall release the Vendor from all its obligation under this warranty. The obligations of the Vendor refers merely to defects that may arise during the regular and proper use of the Plant, as specified in the Contract, provided that the Plant is properly used. The Buyer shall give to the Vendor written notice of any claimed defect immediately upon discovery of such a claimed defect. Such a written notice shall include a detailed description of the problem and shall reach the Vendor within the legal term. Upon the Vendor request, the Buyer shall suspend use of the Plant in order to permit to Vendor to intervene accordingly and/or to inspect the Plant accordingly. The Buyer shall give to the Vendor written notice of any claimed defect immediately upon discovery of such a claimed defect. Upon the Vendor request, the Buyer shall suspend use of the Plant in order to permit to the Vendor to intervene accordingly and/or to inspect the Plant accordingly. Unless the nature of the defect found by the Buyer is such that the remedying of defective part must be carried out on the Site where the Plant is installed, the Buyer shall return at his own costs and expenses to the Vendor such part(s) found to be defective so that it can be repaired or replaced. The Vendor sole obligation under this warranty shall be limited to repair or replacement of any defective part of the Plant covered by the foregoing guarantee warranty and to the shipment of the repaired part or of the replacement. The property on the defective part(s) shall be vest on the Vendor. In the event the replacement and/or the repair of the defective part(s) required the intervention of the technicians of the Vendor, all costs and expenses in connection with such an intervention shall be borne by the Buyer. The Vendor shall in no event be liable for any special, incidental or consequential damages of any nature whatsoever including but not limited to damages resulting from loss of use of the Plant, loss of time and/or loss of profits and/or income loss of productivity, loss of business. The Vendor shall not be liable for personal injuries or damages to property arising from variation(s) carried out on the Plant, even if authorised by the Vendor. For the purpose of the warranty herein the Buyer shall provide full evidence that the Plant has been duly maintained and that such maintenance works have been carried out by personnel duly authorised by the Vendor. Electrical and mechanical items subject to normal wear are not covered by this warranty. The Vendor shall be under no obligations under this warranty should the Buyer fail to comply with its obligations under the Contract (included but not limited to the payment obligation). 9. LIMITATION OF LIABILITY The Vendor shall not be liable to the Buyer for any loss of profit, business, contracts, or revenues, or productivity or for any special, indirect or consequential damage of any nature whatsoever save as any reduction of the Contract Price or liquidated damages which might be agreed between the parties which in no event shall exceed a maximum of 3% of the Contract Price. In any event the party who intends to terminate the Contract or to be indemnified under the Contract shall adopt all the reasonable measures to minimise the loss or damages to be incurred by the other party. 10. RETENTION OF TITLE The parties agree that title and right of possession to the Plant or part thereof shall remain with the Vendor until the Contract Price has been paid in full to the Vendor. Should the Buyer fail to pay the Contract Price or any part thereof equal to or exceeding the value of 1/8 of the Contract Price within the terms or should the Buyer fail to pay within the terms two subsequent instalments (regardless the value of such instalments), the Vendor shall immediately be entitled at its own discretion to either claim the full Contract Price at the time outstanding, or to terminate the Contract and claim under the terms and conditions of the applicable law the immediate return of the Plant and to withhold all the payments received as partial compensation and consideration for the use of the Plant without prejudice for any further claim. The Buyer shall not sell or remove or in any way dispose of the Plant (or part thereof), without prior written authorisation of the Vendor. Notwithstanding the foregoing, risk in the Plant (or part thereof) shall pass to the Buyer on delivery of the Plant (or part thereof) Until the title on the Plant (or part thereof) has passed to the Buyer the Buyer shall denote the Plant (or part thereof) in respect of which the property remains with the Vendor in such a way that the same can be recognised as the property of the Seller. 11. FORCE MAJEURE

Force majeure shall mean any unforeseeable and, irreversible act any cause or circumstance whatsoever beyond the partiess reasonable control (such as but with no limitation to the foregoing, war and other hostile acts (whether declared or non), invasions, acts of foreign enemies, mobilisation of troops, requisition, import and/or export regulations or embargoes, rebellion, revolution, insurrection, military or usurped power, civil war, breakout, uproar or riots, major strikes, lock-outs or other industrial actions or trade disputes, or government decrees or orders, natural disaster or nuclear disaster). Neither the Vendor nor the Buyer shall be considered in breach of the Contract or under any liability whatsoever for non-performance, part performance, defective performance or delay in performance of any obligation under the Contract to the extent that such a performance is prevented by any cause of force majeure that may arise after the date of the Contract. If a circumstance of force majeure should arise, the parties shall endeavour to comply with their obligations under the Contract as far as possible, exchanging all the relevant information necessary. Upon the occurrence of an event of force majeure, the obligation(s) of the parties that cannot be fulfilled as a result of such an event shall be automatically postponed for as long as the case of force majeure persists and neither party shall be liable for liquidated damages and right to liquidated damages. Upon the occurrence of an event of force majeure the Buyer shall not be entitled to suspend the payment of sums due and payable to the Vendor. If as a result of an event of force majeure the performance of the obligation(s) under the Contract has been postponed The parties shall use all reasonable endeavours to perform the relevant obligation under the Contract as soon as reasonably practicable. If either party believes that a case of force majeure might occur which might effect the performance of the Contract shall promptly notify in writing the other party. Should the relevant party fail to do so, such party shall not be entitled to claim the event of force majeure. Should the event of force majeure persists for more than 180 days, both parties shall meet as soon as possible to examine the effect of such en event on the obligations under the Contract mainly in respect of prices, delivery terms and performance of each party obligation(s). In the event within the following 30 days no agreement is reached on the prosecution of the agreement the party sustaining the force majeure shall be entitled to terminate the agreement. Any variation of the exchange rate between different currency shall not be deemed to be an event of force majeure. 12. ASSIGMENT The Buyer shall not be entitled to assign the Contract or any part of it without the consent of the other. 13. CONFIDENTIALITY All technical information (such as, but with no limitation to the foregoing, drawings, prospectuses, formula documents, mail) which might be received by the Buyer from the Vendor in connection with the Contract shall be treated as secret and confidential. The Buyer shall keep such information strictly secret and confidential and shall not disclose such information to any third party without the prior written authorisation of the Vendor. It is also agreed that the Vendor remains the owner of the know how and that therefore it may be used by the Buyer exclusively within the sphere of the Contract. The right to the know how and all other intellectual property rights shall remain the exclusive property of the Vendor and the Buyer shall use such rights only for the purposes of the Contract. 14. ARBITRATION With the exception of debt recovery for which the Vendor shall be entitled to refer the matter to the Court of Modena, all dispute arising out of or in connection with this Contract shall be finally settled under the Rules of Conciliation and Arbitration of the C.C.I. by three arbitrators appointed in accordance with the said Rules. The place of Arbitration shall be Paris. The Arbitration shall be held in English. 15. APPLICABLE LAWS The general conditions of sales shall be subject to the laws of Italy, with the exclusion of the Convention of Wien of International Sales Contracts dated 11 April 1980.
