ООО «САН СТИЛ» (ЄДРПОУ
37559075), именуемая в дальнейшем
«Продавец», в лице директора Косяченко
Александра Григоровича, действующей
на основании Устава, с одной
стороны, и SEACREST Energy Pte Ltd
(код 201435517R), в лице Председателя
правления Ajoy Garapati в дальнейшем
«Покупатель», с другой стороны, далее
совместно именуемые по тексту как
«Стороны», а по отдельности как указано
выше либо «Сторона», заключили
настоящий Договор купли-продажи
(далее по тексту – Договор) о
нижеследующем:
1. ПРЕДМЕТ ДОГОВОРА
1.1. Продавец обязуется передать в
собственность Покупателя эко трубочку
(далее – Товар), наименование,
количество и иные характеристики
которого указаны в Приложении №1 к
настоящему Договору, являющемся
неотъемлемой его частью, а Покупатель
обязуется принять и оплатить данный
Товар на условиях, установленных
настоящим Договором.
2. ПОРЯДОК РАСЧЕТОВ
2.1. Общая стоимость Товара (стоимость
настоящего Договора) составляет
810 000,00 (восемьсот десять тысяч)
долларов США;
2.2. Оплата Покупателем Товара
осуществляется путем перечисления
денежных средств на счет Продавца в
следующем порядке: 30% - - ADVANCE PAYMENT, 70% of the
ПРЕДОПЛАТА, 70% оплаты, после
выставленного Продавцом инвойса и
подписанного акта прийома-передачи
товара на СИФ в порту Хамад, Катар.
2.3. Так же ПОКУПАТЕЛЬ в день
оплаты Товара выплачивает агентское
вознаграждение компании SMART
CONSULTANCY, в лице Саида
Бараката, согласно Агентскому
соглашению от «01» июля 2020года за №
221/06.
Purchase and sale Agreement

Dated 12 July, 2020
«SUN STEEL» LTD (code 37559075),
hereinafter referred to as the “Seller”,
represented by Director Olexandr
Kosyachenko, acting on the basis of the
Charter, on the one part, and
SEACREST Energy Pte Ltd
(code201435517R) , in the person of the
Chairman of the Board Mr. Ajoy Garapati,
hereinafter referred to as the “Buyer”, on the
other hand, collectively hereinafter referred
to as the “Parties”, and separately as it was
mentioned above or the “Party”, have made
this Purchase and Sale Agreement
(hereinafter – the “Agreement”) about the
following:
1. SUBJECT MATTER OF THE
AGREEMENT
1.1. The Seller is obliged to transfer to the
possession of the Buyer eco tubule
(hereinafter referred to as the Product),
name, quantity and other characteristics of
which are specified in Annex No.1 to the
present Agreement. Annex No.1 is the
integral part of the Agreement. The Buyer
is obliged to accept the Product and pay for
it, due to the terms of the present
Agreement.
2. SETTLEMENT PROCEDURE
2.1. Full price of the Product (price of the
present Agreement) is eight hundred ten
thousand (810 000,00) US dollars;
2.2. Payment by the Buyer of the Goods is
carried out by transferring funds to the
Seller's account in the following order: 30%
payment, after the invoice issued by the
Seller and the signed act of acceptance of
goods to CIF in the port of Hamad, Qatar.
2.3. Also, on the day of payment for the
Goods, the Buyer pays the agency
remuneration to SMART
CONSULTANCY, represented by Said
Barakat, according to the Agency
agreement of July 1, 2020, No. 221/06.
2.4. Платежи, произведенные
Покупателем по настоящему Договору,
возврату не подлежат.
3. УСЛОВИЯ ПОСТАВКИ
ТОВАРА
3.1. Товар поставляется в морских
контейнерах. Количество товара в
контейнере 3000 000 штук, упакованные
в блоки по 4000 штук.
Период поставки:
4 квартал 2020 года – 1 контейнер;
1 квартал 2021 года – 1 контейнер;
2 квартал 2021 года – 1 контейнер.
3.2. Товар может быть передан
Покупателю только на СИФ в порту
Хамад, Катар. Передача Товара
оформляется Актом приема-передачи по
форме согласно Приложению №2 к
настоящему Договору, подписанному
уполномоченными представителями
обеих Сторон;
3.3. Все расходы по доставке Товара
несет Продавец.
4. ОТВЕТСТВЕННОСТЬ
СТОРОН
4.1. За неисполнение/ненадлежащее
исполнение обязательств по настоящему
Договору виновная Сторона несет
ответственность в соответствии с
Английским правом.
5. ИЗМЕНЕНИЕ И
ПРЕКРАЩЕНИЕ ДОГОВОРА
5.1. Все изменения и дополнения к
настоящему Договору действительны,
если они составлены в письменной форме
и подписаны уполномоченными
представителями
обеих Сторон;
5.2. Договор может быть расторгнут:
• по соглашению Сторон;
• по форс-мажорным
обстоятельствам, предусмотренным п. 6
настоящего Договора.
2.4. Payments made by the Buyer under this
Agreement are
non-refundable.
3. PRODUCT DELIVERY
CONDITIONS
3.1. The goods are delivered in sea
containers. The quantity of goods in the
container is 3,000,000 pieces, packed in
blocks of 4000 pieces.
Delivery period:
4th quarter of 2020 - 1 container;
1st quarter of 2021 - 1 container;
2 quarter of 2021 - 1 container.
3.2. The Product can be transferred to the
Buyer only to the CIF in the port of Hamad,
Qatar. Product transfer is regulated by
Delivery-Acceptance Act according to
Annex No. 2 to the present Agreement,
signed by the authorized representatives of
both Parties;
3.3. All Product delivery expenses are paid
by the Seller.
4. LIABILITY OF THE
PARTIES
4.1. For non-fulfillment / improper
fulfillment of obligations under this
Agreement, the guilty Party shall be liable in
accordance with English law.
5. CHANGE AND TERMINATION
OF AGREEMENT
5.1. All changes and supplements to the
present Agreement are valid if they are made
in written form and signed by the authorized
representatives of the Parties;
5.2. The Agreement can be terminated:
• upon mutual agreement of the Parties;
• if there occur any force majeure
circumstances set in the paragraph 6 of the
present Agreement.
 6. ФОРС-МАЖОР
6.1. При возникновении обстоятельств,
которые делают полностью или частично
невозможным выполнение До- говора
одной из Сторон, а именно: пожар,
наводнение, землетрясение, война,
военные действия, забастовка,
социальные конфликты, блокада,
эмбарго, изменения действующего
законодательства и другие возможные
обстоятельства непреодолимой силы, не
зависящие от Сторон, сроки выполнения
обязательств по настоящему Договору
продлеваются на то время, в течение
которого действуют эти обстоятельства.
7. ЗАКЛЮЧИТЕЛЬНЫЕ
ПОЛОЖЕНИЯ
7.1. Настоящий Договор вступает в силу
с момента подписания его обеими
Сторонами и действует до полного
исполнения Сторонами своих
обязательств по настоящему Договору;
7.2. Настоящий Договор представляет
собой полный текст соглашения,
достигнутого между Сторонами, и
замещает собой все предыдущие
договоренности, обещания и намерения
Сторон как устные, так и письменные, в
отношении предмета Договора;
7.3. При возникновении споров Стороны
принимают
меры по их урегулированию путем
переговоров;
7.4. При невозможности урегулирования
споров путем переговоров споры
разрешаются в соответствии с
Английским правом
7.5. Настоящий Договор составлен в двух
экземплярах на русском и английском
языках, по одному экземпляру для
каждой Стороны, каждый из которых
имеет равную
юридическую силу;
7.6. Настоящий Договор содержит
следующие Приложе- ния, являющиеся
его неотъемлемой частью:
• Приложение №1 – Спецификация
Товара;
• Приложение №2 – Акт приема-
передачи Товара.
6. FORCE MAJEURE
6.1. In case of emergencies which makes the
implementation of the present Agreement
impossible or partly impossible for one of
Parties, such as: fire, flood, earthquake, war,
military operations, strike, social conflicts,
blockade, embargo, changes of the current
legislation and other possible force majeure
circumstances which do not depend on
Parties, terms of obligations under the
present Agreement are pro- longed for the
period when these circumstances exist.
7. FINAL PROVISIONS
7.1. The present Agreement enters into force
from the date of its signing by both Parties
and continues till the Parties fulfill their
obligations in full according to the present
Agreement;
7.2. The present Agreement represents the
full text of the agreement, made between the
Parties, and replaces all the preceding
Parties’ agreements, promises and
intentions, both oral and written, about the
subject of the Agreement;
7.3. The Parties will do their best to solve all
the disputes
arising from the present Arrangement
through negotiations;
7.4. If it is not possible to resolve disputes
through negotiations, disputes shall be
resolved in accordance with English law.
7.5. The present Agreement is made in two
copies with the equal legal power in Russian
and English languages, one copy for each
Party;
7.6. The present Agreement includes the
following Annexes which form its integral
part:
• Annex No.1 – Product Specification;
• Annex No.2 – Delivery-Acceptance
Act.
