DEED OF RECEIPT AND REASSIGNMENT AN AGREEMENT made this day of , 2007 between AFFIN BANK BERHAD (CO. NO.

25046-T) a company incorporated in Malaysia whose registered address is at 17th Floor, Menara Affin, 80, Jalan Raja Chulan, 50200 Kuala Lumpur (hereinafter referred to as the Financier) of the one part And [ ] of [ ] (hereinafter referred to as the Assignors) of the other part. WHEREAS:A By a Sale and Purchase Agreement dated the [ ] (hereinafter referred to as the Original Sale Agreement) Between [ ], a company incorporated in Malaysia and having an address for service at [ ] (hereinafter referred to as the Developer) of the first part And the Assignors of the other part, the Assignors agreed to purchase all that piece and parcel of apartment distinguished as [ ] measuring approximately [ ] square metres in area within a development known as [ ] (hereinafter known as the said Property) and erected on part of the land held under [ ] measuring in area approximately [ ] (hereinafter referred to as the Master Title). By a Loan Agreement Cum Assignment dated the [ ] (hereinafter referred to as the Loan Document) made between the Financier of the one part and the Assignors of the other part, the Assignors assigned all of their rights, benefits, title and interest in and to the said Property and under the Original Sale Agreement to the Financier absolutely as security for a loan (hereinafter referred to as the Loan) granted to the Assignors at the Assignors request. The individual document of strata title has yet to be issued to the said Property under the provisions of the Strata Titles Act 1965.

NOW IT IS HEREBY AGREED AS FOLLOWS:1.

That the Financier hereby acknowledges that they have received from the Assignors all monies remaining owing to them and referred to in the Loan Documents and made between the Financier and the Assignors together with all interest due thereon. 2. For the consideration aforesaid the Financier hereby reassigns to the Assignors all rights, benefits, title and interest in and to the said Property and under the Original Sale Agreement and in the said Loan Document to the Assignors. The Financier hereby expressly agrees and confirms that from henceforth they shall have no rights, benefits, title, interest or anything whatsoever in and to the said Property or any part thereof and shall make no claims whatsoever in respect thereof and the Financier hereby further expressly acknowledge that from the date of this Reassignment the Assignors are the parties absolutely entitled to the

2 legal and equitable title and interest in and to the said Property and under the Original Sale Agreement.

The Assignors shall be liable for all costs, expenses and charges for and in connection with the preparation and completion of this Reassignment. The Financier hereby revokes the power of attorney and every power conferred under the said Loan Document registered under Registration No. [ ] and deposited on the [ ] in the High Court of Malaya at Kuala Lumpur and the Financier for the consideration aforesaid agrees and consent to such revocation PROVIDED that nothing herein contained shall affect the validity of any act or thing done by the Financier by virtue of the powers conferred on them by the said Loan Document before the revocation herein contained. words importing the masculine gender shall include the feminine and neuter genders;

words in the singular shall include the plural and vice versa; words applicable to natural persons only shall include anybody or persons company firm or partnership, corporate or unincorporated; and where there are two (2) or more persons or parties included or comprised in the expressions the Assignors or the Financier, agreement covenants terms stipulations and undertaking expressed to be made by and on behalf of the Assignors or the Financier shall be deemed to be made by or binding upon such persons or parties jointly and severally. ********************************
