WITHOUT YOUR WRITTEN AUTHORITY WE WILL NOT OFFER YOU ANY PERFORMANCE OPPORTUNITIES AND WILL NOT SUBMIT YOUR NAME TO ANY OF OUR INDUSTRY PARTNERS NOR RECOMMEND YOUR PRODUCT TO THE LARGEST ENTERTAINMENT NETWORK IN AUSTRALIA IN ANY WAY. The word Artistproduct is used to refer to each and every Artist / Product who authorizes Pushworth to include their service in submissions for Clients. The word Clients is used to refer to each and every Promoter Venue, Manager, Artist, Event Organizer, Corporate or Private Function Organizer seeking to program, book and recruit a talent service.

Pushworths service for Clients is based on the recruitment and programming of entertainment and event requirements for Clients. We do not you as your agent. We provide Entertainment Services for the Client and as such we offer YOUR services to add value to the business of the Client.

YOU AGREE

You guarantee that you are fit and proper for a safe and lawful conduct of all transactions. You agree to provide Pushworth with the latest publicity for your service/product and agree that Pushworth can obtain this material directly from alternative sources should you be unable to do so. If required, you agree to be responsible for providing a copy of the necessary Public Liability Certificate of Currency as requested by Pushworth. You agree to provide Pushworth with an emergency contact phone number and email address. You agree that all Pushworth registrations are subject to a credit check and you authorise Pushworth to obtain personal and commercial credit information from credit reporting agencies about you and/or your company and its officers in order to process this application. You guarantee that all promotional material provided in the EPK does not infringe the Intellectual Property Rights or rights in respect of confidential information of any other person or entity. You guarantee that where Pushworth has been commissioned to offer and promote services/products on your behalf and cannot be liable for any expense, loss or liability (including legal fees) in respect of any claims, or threatened claims. You agree to indemnify Pushworth against any expense, loss or liability (including legal fees) in respect of any claims, or threatened claims. You accept all responsibility for the protection and confidentiality any documentation that Pushworth provide you in service. You agree to notify Pushworth within 24 hours of any breach of this protection and confidentiality. Pushworth reserves the right to order a satisfactory criminal record check for your company, team members and its associated suppliers that are involved in the provision of your services/ products. You will be informed of the results should one be required. When you register with Pushworth, you agree that we retain your personal information in a secure location to enable us to provide you with the service. At no time will your personal information be supplied to any third party. You agree that Pushworth will conduct user surveys to find out how we can create more opportunities to work together. We may share non-personal information about our users with partners or other third parties. But we will not sell personal information to, or share any personal information with, an unrelated party without your consent. You agree that Pushworth reserves the right to disclose to sponsors, advertisers and potential sponsors, and to others it sees fit, demographic information about its database, providing that this information does not in any way disclose the identity of any individual. You give Pushworth permission to include your company name in our list of associates, link to your website and services and add you to our database for all regular Administration and Publicity updates. You give us your permission to consider and/or any offer your company possible sponsorship and affiliate opportunities. You agree you are an independent contractor. Pushworth shall not provide any legal, accounting, or professional advice. You are not an employee, partner, shareholder, or director of Pushworth. You agree to pay all Pushworth Invoices within seven days of receipt. You agree that any administration mistakes made by you will incur an extra Pushworth Fee outside of the standard charges. (subject to CPI and Annual Update) You agree to ensure all items on the Pushworth Registration Checklist are provided for each booking. You agree that you are obligated to contact Pushworth and send written cancellation notice for ALL changes to agreed activities and transactions. You agree that you are responsible to pay the administration charge for the reissue of paperwork due to changes that you have made to agreed activities and transactions. You will indemnify PUSHWORTH and hold PUSHWORTH INDEMNIFIED against any claim made against PUSHWORTH arising out of agreed activities and transactions that are authorized by you. You accept Personal Responsibility and Liability for the Payment of All Monies Payable to Pushworth for Services Rendered. You guarantee that you understand the Pushworth trading terms. You understand the consequences and what you will lose if you breach this agreement and book yourself directly after Pushworth has already introduced you. You agree to be 100% compliant with The Pushworth Enterprise Standard. If you do not have Public Liability Insurance, you hold your own liability and understand you take full responsibility in the event of a Public Liability issue.

28. You guarantee that you understand the Pushworth trading terms. You agree that you are obligated to contact the booker and send written cancellation notice for ALL changes. 29. You understand that The Pushworth Group is NOT responsible for the default of payment terms by any Promoter or Artist/ Product and is therefore unable to forward their payment for pay you until their remittance is received, cleared and processed and the correct Tax Invoice is received from you. You understand that you are obligated to furnish Pushworth with a correct Tax Invoice to ensure they may direct deposit the performance fee to your designated bank account once Customer payment is received, cleared and processed. 30. As authorized contact for this service, Pushworth will comply with Privacy Laws and will only discuss submission and/or contract details with you. You need to authorise Pushworth in writing to discuss details with a third party. 31. You agree to join the Pushworth mailing list and receive information about new gig opportunities, new products and services, music industry news, competitions and information about upcoming tours and events. 32. You guarantee that all items on the checklist will be included with this application. A Pushworth representative has offered an explanation for all the details in this document and you have signed every page in agreement. 33. You understand that Pushworth will revise its terms and conditions and notify you of these changes annually. You agree to be bound to these revised terms and conditions. 34. To ensure the integrity of all contracts and services, you agree to satisfy the terms and conditions noted in this Registration Agreement. 35. You hereby warrant that you are duly authorized to register this band and you accept Personal Responsibility and Liability for the Payment of All Monies Payable to Pushworth within seven days for Entertainment Services.

TRADING TERMS
OUR AUTHORITY: Once the registration is signed, PUSHWORTH has authority to include your act / product in suitable Recruitment Presentations, Referrals, Introductions and Proposals. However, should PUSHWORTH be unable to contact you for verbal confirmation, we will not accept a booking for your service on your behalf. It is in your best interests to provide at least two contact numbers at all times. OUR INDEMNITY: The Artist / Product will indemnify PUSHWORTH and hold PUSHWORTH INDEMNIFIED against any claim made against PUSHWORTH arising out of a booking made on behalf of the Artist / product with the full knowledge and authority of the Artist. The Artist will indemnify PUSHWORTH and hold PUSHWORTH INDEMNIFIED against PUSHWORTH to pay Taxation, Superannuation, Work Cover, Public Liability or Insurance, and agrees that all of these are the sole responsibility of the Artist / Product . 1. Definitions The Artist will be engaged to appear, perform and otherwise comply with the reasonable requests of the Venue/Promoter/Event Organiser as specified. Where the Artist is a band or group comprising of more than one person, the term Artist, when used in this registration document shall mean the several members of that group. Where the term, the Venue/Promoter/Event Organiser, is used, it refers to the party responsible for booking and paying the Artist to provide a service. E.g. Venue/Promoter/Event Organiser Manager, Promotions Consultant, Agent, Promoter, Functions Organizer. Not a Party to the Contract Pushworth executes this contract as the facilitators of the provision of a Artist to the Venue/Promoter/Event Organiser, and is not itself a party to the contract for the provision of services by the Artist to the Venue/Promoter/Event Organiser and accordingly cannot be held liable for any default by either of these parties vis a vis each other. General All prices are quoted in Australian Dollars. The Pushworth Group reserves the right to vary its Trading Terms to any customer category. Pushworth reserves the right to refuse to use the services of Artists without assigning explanation. Acceptance of a Pushworth booking for your service is an acceptance of our trading terms. Governed By State Law This agreement shall be governed by the laws of the State of Queensland and the parties agree Queensland courts shall have jurisdiction here over. It is agreed and declared that any person signing for or on behalf of the Artist / product warrants his authority to do so and accepts personal responsibility and liability for the payment of all monies and the due observance by the Artist of all terms and obligations on the part of the Act. 6. Non-Return / Signing Please note that non return of this Agreement does not constitute cancellation or non acceptance of the conditions contained herein. The Booking Confirmation and associated Trading Terms are binding once you agree to accept a booking of your service as facilitated by Pushworth. These Terms and Conditions will be revised and updated quarterley and emailed to your authorised representative email address. You agree to accept all revised and updated Terms and Conditions. 7. Privacy Policy Transaction and Account Details for all Clients and Suppliers will only be communicated with the Authorised Contact for the enterprise. Application for a new Authorised contact will need to be made for all changes. 8. Disclaimer Defaults by Clients and Suppliers are to be advised in writing. This agreement is within the bounds of normal trading criteria and does not require a signed acceptance of the Trading Terms to be binding. We strive to offer you a specialist and efficient service at a reasonable price. In consideration of this and GST payments we must insist on payment within our terms. 9. Booking Protocol The Venue/Promoter/Event Organiser has engaged the services of Pushworth to propose and provide a suitable Artist / product for an event and Pushworth has in response thereto introduced the Artist to provide his services as specified in the schedule and the Venue/Promoter/Event Organiser will not engage the services of the Artist / Product directly or via another source without using the services of Pushworth and paying the Booking Fee. Pushworth shall be entitled to a Booking Fee for the whole of the time that the Artist is at the Venue/Promoter/Event Organiser to a maximum period of 12 months. Upon the termination of this agreement and in the event that the Artist / product continues to provide services for the Venue/Promoter/Event Organiser, then Pushworth shall be entitled to retain an amount of money equivalent to 12 months Booking Fee from monies held on behalf of the Artist as security. The Artist / product acknowledges that Pushworth has been engaged by the Venue/Promoter/Event Organiser to introduce and provide Artists / product and in return for which the Artist / product shall pay Pushworth a Venue/Promoter/Event Organiser booking fee for every performance at the Venue/Promoter/Event Organiser for a period of twelve months from the date of the last performance in the Venue/Promoter/Event Organiser and or for such lesser time as the Artist / product is engaged at the Venue/Promoter/Event Organiser. In the event of a Venue/Promoter/Event Organiser Manager or Representative moving to another Venue/Promoter/Event Organiser, that person is under obligation to the Pushworth Booking Protocol and cannot engage the services of any Artist introduced to him in the previous Venue/Promoter/Event Organiser without contacting and booking the Supplier through Pushworth. Venue/Promoter/Event Organisers owned by the same company are bound by this Booking Protocol and cannot engage the services of any Artist / product without contacting and booking the Supplier through Pushworth. 10. Administration Obligations There is no relationship of employer/employee between PUSHWORTH and the Artist. There is no relationship of employer/employee between the PROMOTER and any Artist recruited or represented by PUSHWORTH. There is no relationship of agent and represented Artist between Pushworth and any Artist. The service we provide is a unique and specific Programming, Event Management and Recruitment function providing Publicity, Consultancy, Operational, Resource Management, Education and Networking services that are outside of a traditional agency service. Pursuant to the terms of this agreement, it is agreed that wherever a supply is made, as defined in A New Tax System (Goods and Services Tax) Act 1999 (the Act), by either party to the said agreement to the other party, the party making the supply shall, as required by the Act, charge GST, and shall issue to the recipient an appropriate Tax Invoice, as required by the Act, the details of which shall include the price or value of the goods and/or services being supplied, plus the GST Liability computed on the price or value of that supply. PUSHWORTH is not required to: Make income tax deductions from the Artists earnings for the Australian Taxation Office, unless otherwise agreed by all parties, Provide Work Cover for the Artist, Make Occupational Superannuating payments on the Artists behalf, or Provide Public Liability Insurance for the Artist. 11. Public Liability and WHS All parties agree that the Venue/Promoter/Event Organiser and the Artist are jointly obligated to ensure Workplace Health and Safety standards are met. The Venue/Promoter/Event Organiser shall indemnify the Artist for any loss, damage or injury either direct or consequential, of whatever kind occurring during the subsistence of the agreement and arising wholly or in part from the default of the Venue/Promoter/Event Organiser, his agents or any person under its supervision, direction or control. The Artist agrees to provide copies of office documentation certificates of ABN, GST registration, Work Cover, Personal Injury Insurance Policy Number and Public Liability Policy Number to the Venue/Promoter/Event Organiser and Pushworth. The Artist is a self-employed entity responsible for all Taxation, Superannuation Work Cover, Public Liability, Training Levy Guarantee and Insurance payments.

12. Pushworth Booking Fee The booking fee noted in the schedule is payable to Pushworth and shall not be deducted by the Venue/Promoter/Event Organiser from the performance payment. This fee will not be affected by any default on behalf of the Venue/Promoter/Event Organizer or the Artist and will be paid by the Venue/Promoter/Event Organiser to Pushworth if a booking is cancelled by the Venue/Promoter/Event Organiser outside notice time. The Artist shall indemnify Pushworth for any loss or expense incurred by Pushworth arising out of the cancellation or non-performance of a Performance. In such case, the Artist shall be liable to pay Pushworth the booking fee as specified in the schedule. 13. Terms of Payment Once the method of payment has been agreed by all parties and specified in the schedule, the Venue/Promoter/Event Organiser must pay the Artists / Product Fee in full immediately following completion of performance or within seven days Nett as specified in the schedule, unless otherwise agreed in writing between the Venue/Promoter/Event Organiser and Pushworth on behalf of the Artist / product. Included in the Artists fee is to be Pushworths Booking Fee (the Booking Fee) If the Venue/Promoter/Event Organiser pays the full amount to the Artist / product, then the Artist / product agrees to act as the unpaid collection agent for Pushworth in relation to the Booking Fee and agrees to forward the fee to them within seven days of receipt and clearance of funds. If the Venue/Promoter/Event Organiser pays the full amount to Pushworth, then Pushworth agrees to act as the unpaid collection agent for the Artist / product and agrees to forward the Performance Fee less the Booking Fee to the Artist / product within seven days of receipt and clearance of funds. However, should all reasonable measures be taken, and the Venue/Promoter/Event Organiser does not pay the Performance fee, then Pushworth will provide all necessary documentation and assistance to enable the Artist / product to take legal action against the Venue/Promoter/Event Organiser for any default in payment. Payment is to be made in full within seven days of the Service Provision. Payment shall be made within the agreed terms or a late fee of 20% per month (compoundable daily) will be attracted to any outstanding amounts owed as from date of performance and which will be debited to your account. Payment can be made by the following method: EFT Direct Deposit into 034108 - 132158 Credit facilities may only continue if payment is maintained in accordance with agreed trading terms. In the event of legal action eventuating, all administrative, collection and legal fees incurred by The Pushworth Group during the process of action in recovery of the unpaid amount shall be borne by the Client in default. Fees include any costs and fees payable to any recovery or commercial agent and all other expenses incurred by The Pushworth Group in the recovery of the amount due. New Clients must complete the requested Registration and supply the required Trade Reference. Inability to pay within trading terms requires a Deferred Payment Application. PUSHWORTH accepts no responsibility for any variables outside their control and will be unable to pay Artists until this payment is received from the Customer or Venue/Promoter/Event Organiser. Once received, cleared and processed, and the correct Tax Invoice is received from the Artist / product, payments by Customers will be available. 14. Door Deal Where the fee to be paid to the Artist / product is in any way related with the amount of door or bar takings of the function at which the Artist is performing, then the Venue/Promoter/Event Organiser agrees that the Artist, his Manager or nominees shall be entitled to station a representative at the entrance's) or Bar's) and furthermore that no ticket or drink shall be given away or sold, at other than the advertised price without the consent of the Artist. 15. Freight All freight charges are to be paid by the Artist / product on whose behalf the material was sent. Pushworth accepts no responsibility for goods lost or damaged in transit. All services are provided on a NO REFUND basis. 16. Complaint Policy It is the duty of the Client (or assigned employees and agents) to be present on site to view all performances or Entertainment service provision. Should the Client wish to terminate the performance due to a perceived default in standard of performance or service provision, they must do so within the first 20 minutes of performance or service provision. A Client Complaint Report form must be completed and returned to Pushworth within 48 hours. This will be evaluated by the Artist / product that have the right to defend their performance with a written response. Both parties are to provide 2 unrelated witnesses to provide evidence to support their claim. The Pushworth Group shall not be liable for any cost, losses, damages or other expenses suffered by Client or any other third party in respect of such default. 17. Venue/Promoter/Event Organiser and Promoter Obligations The Venue/Promoter/Event Organiser agrees to obtain all necessary permits and consents from any relevant authority to the conducting of the engagement contracted hereunder and all matters incidental hereto and to comply with all conditions imposed in connection with the granting of any such permits and consents. Where normal power supplies are not available, the Venue/Promoter/Event Organiser shall provide a safe, properly supervised generated system operated by qualified persons. The Venue/Promoter/Event Organiser shall also indemnify the Artist / product for any loss, damage or injury arising through any malfunction thereof.

The Venue/Promoter/Event Organiser shall be responsible for satisfying the demands of APRA in relation to any royalties, which may be claimed by that body for the music to be used at the Performance's). Venue/Promoter/Event Organiser Liability It is agreed that any person signing on behalf of the Venue/Promoter/Event Organiser warrants his authority to do so and accepts personal responsibility and liability for the payment of all monies and the due observance by the Venue/Promoter/Event Organiser of all terms and conditions on the part of the Venue/Promoter/Event Organiser. Should such a person no longer have this authority at the time of Performance date, then the Venue/Promoter/Event Organiser accepts responsibility and liability on their behalf as duly authorized at the time of the performance booking. VENUE/PROMOTER/EVENT ORGANISER: Dressing Room The Venue/Promoter/Event Organiser and Promoter agree to provide dressing rooms for Artist /Product and his musicians and all appropriate facilities during the term of the engagement hereunder. It should be comfortable, private, well lit, equipped with private facilities, and contain chairs, full-length mirror, hanging rack for clothing and a door which locks. VENUE/PROMOTER/EVENT ORGANISER: Equipment Access The Venue/Promoter/Event Organiser and Promoter shall provide at their own cost, equipment access to the Venue/Promoter/Event Organiser as specified in the Schedule. The Venue/Promoter/Event Organiser and Promoter shall further provide adequate time and access to the Venue/Promoter/Event Organiser for the Artist to remove his equipment. The Artist crews should be allowed reasonable access to mains power supply outlets and reasonable access to the Venue/Promoter/Event Organiser to remove the equipment after performance. VENUE/PROMOTER/EVENT ORGANISER: Equipment Provided Where any equipment including but not limited to public address systems, lighting, amplifiers or instruments are provided by the Venue/Promoter/Event Organiser and Promoter, the same shall be of proper quality and in good working order. VENUE/PROMOTER/EVENT ORGANISER: Merchandising The PROMOTER agrees that the Artist / product shall have sole and exclusive right, but not the obligation, to sell merchandising in connection with, and at, the performances and receipts from the same shall belong exclusively to the Artist / product. The PROMOTER shall provide the Artist / product with a suitable area for the sale of same. VENUE/PROMOTER/EVENT ORGANISER: Seeing the Artist Prior to Show PROMOTER shall take all reasonable precautions to prevent any unauthorised person from seeing the Artist / product before or after the performance. A person may be authorised only by the Artist / product. Artist /Product Obligations The Service Supplier agrees to arrive in good time for the engagement. The Artist agrees to contact the management on arrival at the Venue/Promoter/Event Organiser. Artist / product Code of Practice The Artist agrees to comply with the Pushworth Code of Practice for Artists. Artist / product Guarantee You agree to guarantee that you have adequate and reliable transport TO each performance and have a contingency plan in place for Motor Vehicle Breakdowns which may prevent you from executing your contracted performances. You agree to perform every contract so entered, fully and to the best of your ability, unless prevented from doing so by reasons that are bona fide beyond your control. Performance default will incur a cancellation fee, being the contracted booking fee, payable within seven days. ARTIST / PRODUCT : BUREAU FRIENDLY PUBLICITY STOCK The Artist agrees to provide Pushworth with the agreed stock level of all promotional material as updated from time to time. Should the Artist / Product default in maintaining stock levels and the Venue/Promoter/Event Organiser requires promotional material to be forwarded in advance, as a condition of booking, Pushworth reserves the right to terminate the booking or create new promotional material (at the Artist's expense) on behalf of Artist / Product . ARTIST: FULL DISCLOSURE AND ACCOUNTABILITY We will refer prospective clients to view your live performances. Therefore, it is fundamental to the effectiveness of our representation that you refer all inquiries or offers to The PUSHWORTH Group. You will also agree to make full disclosure of all contracts, arrangements and understandings not initiated by us, so as to avoid possible conflict of interest with proposed performance opportunities. Default of this clause may limit inclusion in some Venue and Event Programs. ARTIST / PRODUCT : DIRECT BOOKING You agree that Pushworth's acquaintance, knowledge of a working relationship with employers of services is essential and important in the securing of employment for a Artist / Product whether as a single or ongoing engagement and that such employers identify Artists / product with Pushworth: therefore the Artist will not play back at or negotiate to play back for any employer which was contracted originally through Pushworth for Twelve (12) months past termination of this contract without paying full booking fees on those engagements. Twelve (12) months is further acknowledged in light of the circumstances of Artist's and Pushworth's trade as a period beyond which employers would no longer reasonably identify Artist / Product with Pushworth. The Client has the benefit of a warranty, expressed or implied, issued in relation to, or applicable to the services supplied that the services will be rendered with due care and skill and that the services will be reasonably fit for the purpose desired or are of such a nature and quality as may reasonably be expected to achieve the result. All services supplied are bound only by the warranty of the Supplier (or Artist Management or National Agent) that The Pushworth Group has facilitated on behalf of. The Pushworth Group can not be held liable for any defaults by the Supplier. The Pushworth Group will not be held liable for any costs incurred due to delays in shipment of promotional materials by the Supplier. Delivery is requested in good faith, though is not guaranteed. Termination of a PERFORMANCE The Venue/Promoter/Event Organiser may terminate a Venue Programming Event Management Talent Recruitment agreement by delivery of written notice to the office of Pushworth not later than twenty-eight days (28) before the date provided herein for the Performance, whereupon the agreement will be terminated and the Venue/Promoter/Event Organiser shall forfeit any deposit already paid. In the event of the Venue/Promoter/Event Organiser failing to terminate the agreement as aforesaid, the agreement shall remain in force and the Artist shall be entitled to the full fee as specified herein, unless an alternative compensation can be negotiated by all parties. In any event, Pushworth will still be paid the Booking Fee. The Artist / product may terminate a Venue Programming Event Management Talent Recruitment agreement by delivery of written notice to the office of Pushworth not later than twenty-eight days (28) before the date provided herein for the Performance, whereupon the agreement will be terminated and the Artist / product shall refund any deposit already paid to Pushworth for remittance to the Venue/Promoter/Event Organiser. In the event of the Artist /Product failing to terminate the agreement as aforesaid, the agreement shall remain in force and the Venue/Promoter/Event Organiser shall be entitled to compensation of the full fee as specified herein, unless an alternative arrangement can be negotiated by all parties. Promotional Material affected by a Performance Termination Pushworth will forward all promotional material to the Venue/Promoter/Event Organiser in accordance with contract requirements and promotional material orders. A delivery charge will be paid by Pushworth and this is in turn charged to the Artist / Product Should a Venue/Promoter/Event Organiser cancel a performance where promotional material has already been forwarded and Pushworth has paid for the delivery and then passed the delivery charge onto the Artist / product, a refund cannot be given as the delivery charge has already been paid by Pushworth. Consent You agree to provide your consent for Pushworth to use your Registered Information for Marketing Purposes: Furthermore, by registering with Pushworth, you consent to the retention and use of the information collected as per the Pushworth Privacy Policy. Uses may include future promotional, marketing and publicity purposes without any further reference. DAMAGES In view of the fact that Artist / Product is able to secure employment at establishments throughout Queensland and is further able to secure other Agents throughout the same area, it is difficult and costly for Pushworth to ascertain the names of Agents subsequently engaged by Artist / product or to ascertain the number of or value of subsequent engagements undertaken by Artist / product. The parties hereto therefore agree that in the event of Artist's / Product breach of this Agreement either by way of securing bookings from another Agent or person or by way of refusing bookings secured by Pushworth, and then Pushworth's damages shall be determined as follows: For each play back at or negotiate to play back for any employer which was contracted originally through Pushworth for Twelve (12) months past termination of this contract, Pushworth will charge the previously contracted booking fee. Artist / Product is obligated to provide a Certified Accountant Audit report of all performances for Twelve (12) months past termination of this contract. First notification of Artist Breach will result in Final Performance Payments placed in Suspense Account pending receipt of Audit report for reconciliation of performances and the final payment of all fees owing to Pushworth. Change of act name or line up does not negate your obligation to this clause. Pushworth shall be further entitled to receive its cost, disbursements and attorney's fees as provided by law in any suit to collect damages provided herein.
