INTRODUCTION.

USA Environment, LP (USA) provides a full-range of high-end environmental services including remediation, radiological field services, demolition, industrial cleaning, emergency response, clean construction, transportation and disposal.

STATEMENT OF QUALIFICATIONS
COMPANY OVERVIEW USAs business history began in 1990 with the formation of USA Environmental Systems, Inc., by Mr. Bret Pardue, who is still USAs President and CEO. USA was immediately successful as they filled a niche providing waste transportation and disposal services. In 1995 USA acquired Ag Tech Environmental, owned by Rick Smith. In 1996 USA acquired Loflin-Cooper Environmental. Bret quickly realized the synergies between the companies and discovered that one plus one equaled three in terms of revenue and growth. USA was purchased by USA Waste Services in 1997, which subsequently purchased Waste Management, Inc. later that year. In January of 2000 the company was reformed as a Limited Partnership, USA Environment, LP added Mike Nalepa and Russell Herrscher as senior partners. We currently have 390 full time employees with revenues in excess of $79 million. We offer over seventeen years of experience, during which time we have completed thousands of remedial actions at individual hazardous, toxic, and radioactive waste sites throughout the US in accordance with CERCLA, RCRA, TSCA, and other applicable federal and state regulations. We offer our clients an experience base in remedial and removal actions that address all major classes of contaminants across the full range of media, expedited and emergency responses, operation and maintenance, and hands-on technological innovations. SUMMARY OF SERVICES USA offers a wide range of environmental construction services to both public and private sector clients. Our methods combine remediation, transportation and disposal services with in-house technical expertise to provide our customers with cost effective turnkey services. These services include:

USA possesses a vast inventory of radiological detection equipment. These range from hand-held gamma survey instruments and broad area detectors, to mobile and fixed, high-purity, germanium gamma-spectroscopy systems. USA uses the most advanced environmental surface preparation, cleaning and decontamination technologies including a proprietary chemical chelation solution which can be used on-site to clean entire pumps and industrial equipment. Whether surfaces to be cleaned are wood, concrete or metal, USA has experience in cost effectively and safely decontaminating most surfaces. Previous projects completed by USA include building decontamination of floors, walls, structural components, as well as various process equipment including pumps, motors, piping, and compressors. USA has senior staff members including CHPs, PhDs as well as many field RSOs to efficiently manage projects of any scope. Radioactive Material
USA is licensed by the Texas Department of State Health Services, Bureau of Radiation Control and is authorized to receive, acquire, possess and transfer radioactive material in accordance with our Radioactive Material License dated February 9, 2011. This portable decontamination license allows USA to: Handle any radioactive material with atomic numbers 1 to 95; Handle radioactive materials in a solid, sludge or liquid matrix; and Authorizes USA for the decontamination of pipe, land, equipment and materials contaminated with radioactive materials. Handle radioactive material in any quantity needed for the project.

USA is also licensed by the Louisiana Department of Environmental Quality to receive, acquire, possess and transfer NORM (naturally occurring radioactive material) radioactive material in conjunction with NORM remediation projects in Louisiana. USA also has the ability to perform radioactive material remediation work in any state, federal territory and Canada under reciprocity agreements.

Waste Characterization & Classification

Waste characterization generally will require the definition of the process generating the waste, and if it is not a listed waste, the definition of the characteristics of the waste. Once a waste is characterized and the disposal facility is selected, a waste code is often required from the state regulating agency. Many states allow the generator to self classify the waste and then simply assign a waste code number for tracking purposes. Self classification requires a thorough knowledge of the regulations. Once classified, a waste profile form is required by the accepting disposal facility.

In addition to the regulatory issues, each disposal facility has their own set of unique forms, analytical requirements and site-specific permits. Groundwater Treatment System Installation


USA has installed a number of groundwater extraction and treatment systems for public entities such as the Port of Houston Authority, Major Oil Companies, Airports, Municipal Landfills, Retail Facilities and Private Engineering Firms. Installation includes permitting, site preparation, construction of compound slabs, installation of traffic rated well vaults, underground trenching and piping, above-grade interconnect piping, electrical and instrumentation.

We now offer a large and diverse fleet of hydro blasting and air moving equipment designed to safely and efficiently remove a variety of material from industrial process equipment. Summary of Experience: Mr. Pardue offers more than 20 years of Executive Management experience in the Environmental Contracting and Waste Management Industries. As President and Founder of USA Environment, LP. (USA), Mr. Pardue is responsible for the management and performance of all areas associated with the operation of a diverse environmental contracting firm. Currently, USA employs over 300 full-time employees. USAs scope of services includes site remediation, demolition, hazardous materials management, tank cleaning, construction, radiological field services, dewatering, excavation, transportation and disposal. Under Mr. Pardues leadership, USA has achieved an excellent safety record, logging outstanding results in certain performance indicators such as EMR; OSHA Recordable Injury Rate; OSHA Lost Workday Rate; and First Aid cases. Prior to his founding of USA, Mr. Pardue held Executive Management positions at both Waste Management, Inc. and Allied Waste Services, Inc. Project Specific Experience: Refinery Decontamination and Demolition Wichita, Kansas (2004 2006): Program Manager of a $10 million project involving the complete decontamination and demolition of all above and below ground piping, vessels, and structures within a former 30,000 bbl/day oil refinery. USAs effort, managed by Mr. Pardue, includes the successful completion of numerous environmentally sensitive tasks such as: Asbestos Abatement High Hazard Materials Decontamination; Vessel and Exchanger Bundle Cleaning; Tank Cleaning; NORM Identification and Removal, Product Line Cleaning, Pigging, and Removal; Refinery Unit and Tank Demolition; Building Demolition; Concrete Demolition (surface and sub-surface); Waste Management Recyclable Materials Management; Investment Recovery; Fuel Recovery; and Final Grading of the site. Refinery Decontamination and Demolition El Dorado, Kansas (2005 - 2006): Program Manager of a $6 million project involving the decontamination and demolition of a 20,000

bbl/day former oil refinery which specialized in the production of asphalt. Mr. Pardue directed USAs effort towards the successful and safe accomplishment of essentially the same tasks as described above (Wichita Refinery). In addition, Mr. Pardue was instrumental in the development of a system to recycle asphalt tank bottoms, a system that saved the client over $300,000.00. An 1800 LF Recovery Trench was also installed at this facility under Mr. Pardues direction. Carbide Lime Pond Closure Jacksonville, Florida (2005): Project Manager of a $3 million project for the closure of a seven acre Carbide Lime surface impoundment. Critical tasks managed were the removal, treatment and discharge of approximately 10,000,000 gallons of high pH water; building of access roads; clearing and grubbing; stabilization, excavation and off-site disposal of over 60,000 cubic yards of waste lime and ash material; regrading of the pond; and restoration of the site. Disaster Response, Hurricane Katrina Louisiana and Mississippi (2005): Project Manager of a $5 million project requiring necessary efforts to restore a major retail chain to operation following Hurricane Katrina. Over 50 stores were affected in Louisiana and Mississippi. Time sensitive critical tasks performed by Mr. Pardue include coordinating the proper packaging, transport and disposal of hazardous materials and chemicals; transport and disposal of damaged goods; management of oily water; interior demolition; clearing and removal of fallen trees; and complete demolition of three (3) major former retail centers. Former Railcar Maintenance Facility Houston, Texas (2004 2005): Project Manager for a $2.2 million project in which USA was contracted to provide remediation services for a former railcar maintenance facility in Houston, Texas. The scope of work involved the removal of thirty-six (36) transformers from their locations at various poles for consolidation in a bermed area within a client designated building. A total of eleven (11) transformers labeled as Oil contains less than 1% PCBs, were drained of their oil and the carcasses sent for disposal at a recycling facility. The oil in the remaining twenty-five (25) transformers was sampled and tested for PCBs. Upon receipt of analytical results four (4) transformers were identified as PCB contaminated and subsequently disposed of at a TASCA facility. A remaining volume of approximately 1,900 gallons of non-PCB oil was bulked and disposed of, along with carcasses, at recycling facilities. Additional work at the site included the installation of a dual phased remediation system to treat impacted ground water; cleaning and removal of above ground storage tanks, waste pits, abandoned rail cars and sumps located throughout the property; removal and disposal of underground storage tanks (USTs); characterization, transportation, and disposal of contaminated water located in tanks, sumps, and railcars; characterization and disposal of 200 abandoned drums; excavation, transportation and disposal of 30,000 cubic yards of petroleum impacted soils; closure of a 1.5 million gallon retention pond including treatment of water, removal of liner, excavation of impacted soil beneath the liner, and placement and compaction of backfill. Former Gun Range, Lead Remediation Austin, Texas (2003): Project Manager for a $500,000 project in which USA was contracted to provide site remediation services for a former Gun Range in Austin, Texas. Pre-mobilization and site preparation activities included the development of Work Plans, Health and Safety Plan and Quality Assurance Project Plan; development of the excavation and sampling grid; construction of personnel and equipment access areas; identification and construction of material storage areas, loading areas, and establishing haul routes; building decontamination areas for personnel and equipment; demarcating work zones and exclusion zones; installing stormwater controls; installing water management systems for collection, treatment, and discharge; and establishing dust control

systems. Remediation activities included: mobilization, excavation and stockpiling of soil; segregation of overburden and debris; segregation of materials not requiring treatment; materials management; stabilization of lead impacted material; transportation and disposal of waste; and site restoration. Total lead impacted waste soil volume was approximately 12,000 truck yards of which 3500 exhibited the RCRA toxicity characteristic of lead. USA successfully treated all 3500 cubic yards of hazardous soils below the treatment standard of 0.75 mg / L. The treated soils were subsequently disposed of as a class II non-hazardous waste. Mass Excavation Houston, Texas (2001 2002): Project Manager for a $2 million project in which USA was contracted to provide mass excavation services for the construction of the new Multi Purpose Arena (future home of the Houston Rockets) in downtown Houston. The project was constrained by severe schedule and cost considerations. The scope was complex and required the coordination of numerous on-site contractors. The critical path activities requiring coordination included: dewatering; mass excavation; installation of piers and caps for foundation support; demolition; and removal of utilities. USA was the first contractor on the site performing surgical excavation services in support of an archeological survey. Additional work included the mass excavation of more than 120,000 in-place cubic yards of material; waste characterization and profiling; removal of underground storage tanks; removal of hydraulic lift systems; removal of above ground storage tanks; demolition and removal of concrete and asphalt pavement; and the removal of PCB transformers. During peak production at the site, USA successfully loaded and manifested over 625 loads of material per day. Houston Convention Center Hotel Remediation Project Houston, Texas (2001): USA was contracted by The Houston Convention Center Hotel Corporation under the direction of Gerald D. Hines Interests to remediate a 2 city block area in downtown Houston, Texas. The scope of work for the $2.2 million project involved the emergency removal, transportation, treatment and disposal of approximately 12,000 cubic yards of Pesticide and Lead contaminated soils. The project was required to be substantially complete within one month to allow for previously contracted site prep and erection contractors to begin working. USA site activities included the following; privacy fencing; traffic control plan implementation; surgical excavation of suspected hazardous waste; on-site stockpiling and waste sampling; waste characterization, transportation, treatment and disposal of hazardous and non hazardous soils; liquid management; site grading and backfill. In spite of inclement weather conditions, USA completed the critical elements of the project within the contracted time frame. Former Iron Works Facility Houston, Texas (2003): Project Manager of a $1.5 million project for the remediation of a 40 acre tract of prime real estate located near the intersection of I-10 and I-610 West in Houston, Texas. The project scope involved the excavation and proper disposal of oily waste material from a pit measuring approximately 250 feet by 200 feet with an approximate depth of 20 feet below ground surface. An 8-inch thick concrete slab covered most of the pit and was also required to be removed and properly disposed of. In addition, the project scope required that the excavation be filled with clean compacted backfill. Contaminates involved with the waste were RCRA metals, TPH, and volatile organic compounds (VOCs). Through generator process knowledge and RCRA characteristics testing, all of the waste material in the scope of work (approximately 30,000 cubic yards) was determined to be Class I and Class II non-hazardous waste. Mr. Pardue managed all aspects of the project including: waste characterization, waste manifesting; concrete breaking and removal; waste excavation and stockpiling; waste sampling and classification; surface

Former Oil Tool Facility Corpus Christi, Texas: Project Manager for the emergency response, abatement, and disposal of contaminants and wastes from an abandoned chrome plating facility. The remedial action was in response to a potential enforcement action of the property by the TNRCC. Characteristically hazardous, F-Listed hazardous, U-Listed hazardous, and industrial non-hazardous liquid and solid wastes had been abandoned at the site. Most of the waste materials were being stored improperly in leaking drums, open chromium plating vats, sumps, leaking storage tanks, and a submerged rail car. The scope of work called for the characterization, removal, packaging, manifesting, transportation, and disposal of all wastes and all storage vessels located within the site. Arkema Connecting Channel Excavation, Bryan, Texas ($3,200,000): Project Manager for the excavation of over 20,000 tons of arsenic and lead impacted soil from a connecting channel that went through a residential neighborhood in Bryan, Texas. The scope of this project included the excavation of impacted soil within the Kazmeire Garden park area that was surrounded by residential home sites and an apartment complex. USA performed the pre-excavation survey and implementation of storm water erosion controls. Soils from the shallow cut (approx. 2 feet BGS) were characterized in place and then excavated and loaded directly into transport vehicles for disposal. A portion of the soil exceeded the treatments standards for arsenic. USA introduced portland cement into the waste using one-cubic yard supersacs to treat the material to Class 2 non-hazardous levels. Solvay Animal Health - Charles City, Iowa ($1,200,000): Project Manager for the remediation of the Shaw Avenue (NPL) site in Floyd County, Iowa. Contaminants were generated from former veterinary pharmaceutical production and included arsenic, orthonitroaniline, various halogentated organic compounds, aromatic hydrocarbons and heavy metals. Mr. Herrscher worked on behalf of the municipality of Charles City and Solvay Animal Health in the preparation of a Remedial Action Plan (RAP) to perform remedial activities associated with Operable Unit 1. Eagle Pitcher Industries - Joplin, Missouri ($500,000): Project Manager for a high priority emergency response action, which involved the extraction and neutralization of various lithium alloys. The remedial action was in response to a detonation of reactive compounds and subsequent fires that destroyed a manufacturing facility used in the production of the Patriot Missiles primary ignition system. The project occurred during the Persian Gulf War and involved reconnaissance missions into the destroyed complex to retrieve brinks containers housing the lithium alloys. Once the containers were recovered, they were deactivated on-site and transported off-site for disposal. Description of Work: USA was contracted by BP Corporation North America, Inc. to perform the Removal Actions at the Former Anaconda Mine in Yerington Nevada. The project was divided into three phases and included: 1) Evaporation Pond Closures The operation of two borrow pits (~121,500 bank cubic yards) were utilized to construct approximately 3 miles of mine haul roads per MSHA specifications. The haul road construction consisted of the installation of ramps, center berms and compacted road base. Once the haul roads were complete, work commenced on the placement of a12-inch compacted contour dust mitigation cover over a 22 acre pond (~34,000 bank cubic yards). Prior to the dust mitigation cover, construction of test pads and a staging area was conducted which included four acres of Tensar TX-140 geo-grid to stabilize the soft underlying pond bed. During construction, real time PM10 measurements were analyzed to measure the effectiveness of the constant dust suppression measures that were followed. 2) Process Area Radiological Area Removal USA began this phase with the construction of a haul road and access ramp through the radiological pond using imported road base material. Additionally, USA constructed a transite pipe staging and sediment decontamination pad and a PVC lined wet RAD removal decontamination pad. USA then excavated seventeen RAD areas around the leach vats, solution tanks, and precipitation plant to a depth of three feet bgs (~1,200 bank cubic yards). The excavated material was stockpiled in the radiological pond area. Load out consisted of blending the precipitation plant and DLSP material into off-site disposal vehicles. Once loaded, each truck was surveyed for radioactivity and for DOT compliance prior to leaving the site. All State of Nevada Radioactive Waste Area PM10 and radiological air monitoring were conducted at all times at 7 stations around the perimeter of the exclusion zone. 3) Transite Pipe Abatement USA began this phase with the construction of an on-site landfill (approximately 6000 bank cubic yards) for the burial of clean transite pipe. Once the landfill was completed, USA removed approximately 21,000 lineal feet of transite pipe across the mine site in diameters ranging from 8 to 24 inches. The transite pipe was considered to be a regulated asbestos contaminated material (RACM) and any sediment within the pipe was considered to be radioactive waste. During the removal activities, the pipe was segregated as either clean or containing sediment/scale. If clean, the pipe was transported to the on-site landfill and if sediment or scale was present it was transported to the transite staging area. Dry decontaminating efforts were conducted on pipe that contained sediment or scale. If successful, the pipe was then transported to the on-site landfill and if sediment/scale remained, it was loaded into roll-off containers for offsite disposal. Clean and decontaminated pipe were buried in the on-site landfill that USA operated and subsequently closed with a 30 cap. All asbestos material handled met the federal and state asbestos requirements.

Description of Work: USA was contracted by El Paso to clean and demolish an 80,000 bbl tank with approximately 6000 bbls of product located in Rufugio, TX. The tank cleaning scope of work for this project required two phases. The first phase included: USA building a road from the existing road along the berm area side in order for the equipment to be mobilized. An area of the berm wall had to be taken out and approximately 150 of road had to be stabilized for the vacuum box staging area. This part of Phase One took approximately three days to complete. Eight vacuum boxes were staged and filled, utilizing an air mover to excavate the viscous material from the tank. This task of emptying the tank approximately took thirty working days or 200 bbls per day. USA used approximately 25 boxes during this process. Phase Two took approximately one week to complete and included: Cleaning the Tanks walls and bottom. Once the tank was cleaned the asbestos insulation was properly removed, packaged, hauled and disposed. The tank was then cut up, dismantled and hauled off to a steel recycler. The tank ring was broken up and put into roll off boxes for disposal off site. Approximately 300 of 10 pipe was unearthed and cut up, then hauled off to an approved disposal facility.

Description of Work: USA was awarded the closure of three waste water treatment ponds at the Greens Bayou facility that involved the stabilization of hazardous waste and construction of a RCRA cap over three existing impoundments. The scope of work included pumping over 3 MM gallons of water from the ESI basin; placement and compaction of imported clay on the basin floor and interior berm side slopes; place geo-fabric and rip rap on the interior side slopes; and raising and resurfacing existing roads surrounding the ESI basin. Once this basin was operational, USA reconstructed the firewater system pumps and piping. Additional work at the site included the demolition of piping, fittings, concrete foundations, and structural members from the berms of the WSI Ponds; solidification of hazardous waste sludge using a blend of fluidized bed ash and portland cement; collapsing the walls between three existing basins and grading the berm wall fill to achieve intermediate grades; excavate impacted soil along existing roads and drainage channels and consolidate this material into the collapsed basins; and preparation of the RCRA cap and cap subgrade. The cap was sloped at a 3% grade from east to west to promote drainage. Cover components included a 2-foot thick compacted clay layer, a textured 40-mil HDPE flexible membrane liner, an eighteen-inch thick lightly compacted soil fill layer, a six-inch thick imported cap topsoil layer, and vegetative cover consisting of native and adapted grasses. In addition to the WTS ponds closure activities, USA completed the installation of a Sediment Retention Structure at the GB Biosciences discharge point into Greens Bayou. The Sediment Retention Structure consisted of a rock dam with a pea gravel core approximately 100 feet long and 20 feet wide. The structure was designed to keep contaminated sediments from migrating into Greens Bayou.

Description of Work: USA was contracted by a Brownfield Development Investor to provide remediation services at the former Union Pacific Railroad Hardy Street Fueling and Maintenance Terminal in Houston, TX. The scope of work involved the following remedial contractor tasks: obtaining applicable permits (SWPP, demolition, and fill); characterization and disposal of 200 abandoned drums; draining, pigging, flushing over 70,000 linear feet of 2 8 fuel conveyance lines; cleaning and removal of approximately 35 above and below grade product storage tanks; recycling of over 90% of the waste/product removed from the lines and tanks; removal and proper disposal of more than 100 transformers impacted with oil containing regulated levels of PCBs; demolition and recycling of the steel product lines, tanks, etc (~ 3000 tons); treatment of approximately 15,000 cubic yards of characteristically hazardous soil (D008 Lead), and subsequent non-hazardous off-site disposal of the treated soils; excavation and off-site disposal of approximately 50,000 cubic yards of non-hazardous hydrocarbon impacted soils; demolition and recycling of the above grade concrete and brick structures (~30,000 tons); demolition and recycling of the surface and subsurface concrete slabs, piers and footings (~ 50,000 tons); demolition, removal and recycling/disposal of an extensive network of both subsurface process and storm sewer lines; closure of a 1.5 million gallon retention pond including treatment of water, removal of liner, excavation of impacted soil beneath the liner, and placement and compaction of backfill; installation of a 35 well DPE system; backfilling the 45 acre site to properly drain (~100,000 cubic yards) according to a site grading plan prepared by USA. The project was completed in late 2008. Over 30,000 labor hours were worked by USA on the project over a two-year period without a single OSHA recordable injury.

Responsible managers have an obligation to provide a safe workplace for their employees and to investigate each accident in order to identify corrective actions, which will minimize the reoccurrence of that accident. Each Project Manager is responsible for identifying the chemical and physical hazards that may exist on project sites and implementing controls that are necessary to protect personnel on site. In addition, USA employs trained safety professionals who are involved in safety related matters, including medical monitoring and project safety training programs and procedures. A Site Safety Officer is assigned to large-scale remediation projects to check and implement site safety procedures.
