Web Site Design Project Contract

Web 4 Thought Designs Client Information: [Name of Client] Ideal Auto Sales [Type of Site] Used Auto Dealership Authorization. The Client is hiring Web 4 Thought Designs as an independent contractor for the specific purpose of designing their companys website to be published on an Internet Service Provider (ISP)/Web Hosting Provider (WHP) server provided by Client, or provided in a zipped format at the Client's discretion. The Client hereby authorizes Web 4 Thought to access this account, and authorizes the Hosting Service to provide Web 4 Thought and its employee, Richard Tracy, with "full access" to the Client's account until the contract is completed or project is fully operational Development. This Web Design Project will be developed to no specific standard or template nor does it conform to any particular www requirements. The site will use JavaScript, HTML, and CSS with ASP, ASP.NET technology along with a database backbone for dynamic capabilities. During Development, Web 4 Thought may provided an online draft link for the Client, allowing Client to see progress and testing Browser Compatibility. Designing a web site to fully work with multiple browsers support can require extra programming including additional web pages. Web 4 Thought uses the following internet browsers for developing and are not liable if site does not display appropriately under other browsers not listed: Microsoft Internet Explorer versions 6 and 7 Mozilla Firefox versions 3

Copyrights and Trademarks. The Client guarantees that any elements of compiled text, graphics, photos, designs, trademarks, or other artwork furnished to Richard Tracy and/or Web 4 Thought for inclusion in the Web Design Project are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, indemnify and defend Richard Tracy and Web 4 Thought from any liability (including attorneys fees and court costs), including any claim or suit, threatened or actual,

arising from the use of such elements furnished by the Client. Web 4 Thought Designs has the right to advertise their logo and link on the Clients site as long as it doesnt obstruct the site or change the intensions of the site. Assignment of Web Design Project. Web 4 Thought Designs reserves the right to assign subcontractors to this Web Design Project to insure that the terms of this agreement are met as well as on-time completion. Project Deliverables. The final design project will be published to the Client's hosting service or delivered via CD or email with zipped attachment upon the receipt of full payment. The Client understands that Web 4 Thought Designs itself does not provide any hosting services, but may suggest one if requested. Web 4 Thought Designs is not responsible for providing any special security measures relating to the Client's hosted service. The Client will be solely responsible for any and all hosting service charges. Publishing: Web 4 Thought Designs makes no claims of correctness to any standard of publishing the site. Web 4 Thought Designs is responsible for transferring the site in full to the Client and/or Clients WHP once given full access to WHP by Client. Web 4 Thought Designs is not liable for unavailable features such as space requirement, email support and domain registration. Publishing/Work-In-Progress: Web 4 Thought Designs may at its sole discretion publish the in-progress Website Design Project in other than its final form to allow the Client the benefit/partial use of the Project. This courtesy does not in any way alter the terms of payment or other terms of this agreement. CD/Zipped File: The Client assumes all responsibility for the use and functionality of the Web Design Project.

Web Design Project Copyright. Copyright to the finished web design produced by Web 4 Thought Designs will be owned by Richard Tracy and/or Web 4 Thought. Web 4 Thought Designs retain the right to display graphics and other Web design elements as examples of their work in their respective portfolios. All Web Design Projects will contain a copyright/legal statement with a link to Web 4 Thought Designs internet website. Web Site Maintenance. Refer to the Maintenance Contract for details.

Payments Terms. The hiring deposit amount is $0.00___. The total amount of this contract is $700.00___. Payment must be made promptly based on the terms of this Web Site Design Project, refer to Web Site Pricing & Details Contract for pricing and payment schedule. Web 4 Thought Designs reserves the right to remove any Web Design Project from viewing on the Internet until final payment is made. In case collection proves necessary, the Client agrees to pay all fees (including all attorneys fees and court costs) incurred by that process. All payments will be made in U.S. Dollars via check, money order, or PayPal Completion Date. Web 4 Thought Designs and the Client must work collectively to complete the Web Design Project in a timely manner. We agree to work expeditiously to complete the Web Design Project within 180 days after Client has submitted all necessary materials. The Client may cancel the contract within 30 days of the effective date of this agreement. If the Client does not supply Web 4 Thought Designs with complete text and graphics content for this Web Design Project within 45 days of the effective date of this agreement, the entire Hire Deposit may be retained by Web 4 Thought Designs as liquidated damages and Web 4 Thought Designs has the right to null and void the contract thereafter. If the Contract is voided, any content provided to Web 4 Thought Designs by the Client will not be returned and will be disposed of.

Warranty. Although Web 4 Thought Designss will make reasonable efforts to design a fullyfunctional web site, our warrantee does not guarantee the Clients WHP will support the site due to their limitations such as ASP support, ActiveX plug-in support, upload speed, space availability and database support. Additions to the site after contract that diversely effects the sites operation, code, or structure will void Web 4 Thoughts warranty; therefore we are not entitled to resolve the problem it may cause. Web 4 Thought Designs does not warranty that the website is immune to 3rd party damages, hacking, presence of virus, spyware, etc. Legal Notice. After full contract fulfillment, Web 4 Thought Designs is not liable for any legal entities with the Clients website. The entire risk as to the quality and performance of the Web Design Project is with the Client. In no event will Richard Tracy and/or Web 4 Thought Designs be liable to the Client or any third party for any damages, including, but not limited to, service interruptions caused by Acts of God, the Hosting Service or any other circumstances beyond our reasonable control, any lost profits, lost savings or other incidental, consequential, punitive, or special damages arising out of the operation of or inability to operate this Web Design Project, failure of any service provider, of any telecommunications carrier, of the internet backbone, of any internet servers, you or your site visitor's computer or internet software, even if Web 4 Thought Designs has been advised of the possibility of such damages. Web 4 Thought Designs does not guarantee page download speed, website bandwidth levels, presence of firewalls, and security of any type.

Confidentiality. The confidentiality of business information exchanged between the Client and Web 4 Thought Designs is secure and will not be shared with a third party. Web 4 Thought Designs does, however, have the right to reuse web code and scripts from web projects for other clients. Sole Agreement. This agreement and any Contract Amendments constitute the sole agreement between Web 4 Thought Designs and the Client regarding this Web Design Project. Any additional work not specified in this contract or any other amendment or modification to this contract must be authorized by a written request signed by both Client and Web 4 Thought. All prices specified in this contract will be honored for 30 days after both parties sign this contract. Additional pricing after that time will require a new agreement.

Web Site Design Maintenance Contract

Requirements. This agreement allows Web 4 Thought Designs to receive full access to the Clients WHP for web site maintenance to pages for duration of the Maintenance Contract. Any additional maintenance required will require a new maintenance contract. Once new contract is written, Client must pay maintenance fee in full. Fees may vary based on maintenance requirement. Technical Maintenance: This starts as soon as site is published to Clients Web Hosting Provider (WHP). Minor Maintenance is included for 3 months in every contract as long as the warranty isnt voided. This refers to updating static links and making minor changes to a static sentence, spellings or paragraphs. It does not include replacing main body text from a page with new text, major page reconstruction, new static pages, navigation structure changes, and attempted updates by Client repairs or Web Design Projects delivered to Client via FTP, CD or diskette. If the Client's web design package includes database access using Active Server Pages (ASP), then very minor page code changes will be accepted under this web site maintenance plan. All dynamic content will be maintained by the Client though websites Administrator

Control Panel. If Client deems another year of maintenance, he/she must request a new contract within 30 days of prior contract ending date. After the last month, Client is solely responsible for updating any or all content. This contract can be renewed yearly thereafter. Cosmetic Maintenance: This contract can be purchased at any time to Web 4 Thoughts clients with a minimum of 1 year of maintenance. This contract will cancel present Maintenance contract held with Web 4 Thought Designs and the Client. Unused months of previous Maintenance contract will not be refunded. The Full Maintenance contract allows Web 4 Thought Designs to change any items to Clients site to include updating database, links, colors, graphics, photos and any dynamic content the Client requests. This does not include site visual design (menu bars, tables, site layout). If Client deems another service of maintenance, he/she must request a new contract within 30 days of prior contract ending date. After the last month, Client is solely responsible for updating any or all pages. Special Maintenance: This contract can be purchased at any time to Web 4 Thoughts clients only and is written for specific changes to the Client site such as adding new features, database structured change and major page coding including assisting host procurement, domain changes or any other server side assistances. Prices can vary based on detail of work. This contract does not void already held Maintenance contract with Web 4 Thought Designs and the Client. Any Maintenance contract in place will be postponed until Special Maintenance has been completed. If special Maintenance doesnt meet agreement, contract will be terminated and Client will be refunded. Warranty. There is no extra added warranty for any of the above maintenance contracts. If site was not designed by Web 4 Thought Designs, the prior Designers warranty may be voided if maintenance is performed by Web 4 Thought Designs, please refer to designers warranty information.

Web 4 Thought Designs Client Information: [Name of Client] Ideal Auto Sales Description. Client is looking for a user friendly maintenance free website to host a used car dealership. Web 4 Thought Designs will use established domain and hosting server.

Translation Details. Web 4 Thought Designs will develop an Active Server Pages (ASP) site with a Microsoft Access database as the backbone. All content on the site will be driven by the database and are completely controlled by a secure administrative web control panel. Site will use logos and pictures provided by Client to capture their look and comfort. Site will contain the following: Logo Title (logo must satisfy customer before contract signature) Dynamic Horizontal Navigation bar Search function Add Dealerships by location with the ability to change business information Add, modify, remove vehicles with these options

Main image and up to 5 additional images (max. 640x480) Dealer Stock Number & VIN with Car Fax uplink Price (USD) Updateable Year Vehicle descriptions and options or features Print page of vehicle description with dealer information Finance calculator with variable interest rates Main page with Vehicle of the week

Database driven pages Updatable with web WYSIWYG editor Adds links to navigation menu with descriptions

Web based administrative control panel with username and password login and will have these features Page Statistics (view count, printed pages, etc) Add, modify, remove automobile makes Add, modify, remove automobile years Settings to control certain website features Number of vehicles per page Modifiable Interest rate and Currency

Liability. All of the above items were agreed on by Client and Web 4 Thought Designers. Any additional features are not under contract.

Price and Fees. Web 4 Thought Designs has fully accomplished all details above and has given the Client a sample of the site to use. Client will pay full balance before site will be published to Clients Web Hosting Provider. No extra fees are included.

Invoice. Web 4 Thought Designs will provide an invoice of the Web Site Design Project for Clients records. This invoice will contain detailed pricing and fees of contract completed.
