MARBLE STEP PRODUCTIONS

NON-DISCLOSURE AGREEMENT This agreement made this July 19, 2011 by and between: Marble Step Productions, ("Production Company"), and _________________ ("Director Candidate"). WHEREAS, Production Company has a script for a possible future theatrical or motion picture production where the Director Candidate may be hired. AND WHEREAS, Production Company wishes Director Candidate to evaluate said script for the sole purpose of determining whether the Director Candidate is right for the media project. NOW, THEREAFTER, in consideration of the premises and mutual covenants herein contained, the parties agree as follows: All information disclosed by Production Company to Director Candidate, in writing, whether or not such information is also disclosed orally, that relates or refers, directly or indirectly, to the script, including the script itself, shall be deemed confidential and shall constitute Confidential Information, and shall include all documents generated by Director Candidate which contain, comment upon, or relate in any way to any Confidential Information received form the Production Company. Production Company will disclose the Confidential Information to Director Candidate solely for the purpose of allowing Director Candidate to evaluate the script to determine, in its sole discretion, whether the script or project is something they would like to be considered for. Director Candidate agrees to accept disclosure of the Confidential Information and to exercise the same degree of care to maintain the Confidential Information secret and confidential as is employed by Director Candidate to preserve and safeguard its own materials and confidential information. The Confidential Information shall remain the property of Production Company and shall not be disclosed or revealed by Director Candidate or to anyone else. Director Candidate shall notify Production Company of any determination it may arrive at with respect to the further development of the script and project, provided, however, that, in doing so, Director Candidate shall not directly or indirectly disclose any Confidential Information to any third party, without the consent of Production Company. Production Company hereby expressly warrants that it has the full right and authority to

disclose the Confidential Information to Director Applicant. Nothing in this agreement shall be deemed a sale or offer for sale of the script of directing position and nothing contained herein shall in any way obligate Production Company to grant to Directing Candidate, a license or any other rights, directly or by implication, estoppel or otherwise to the Confidential Information or the script and project. The Directing Candidate may read script and communicate with Production Company about thoughts on script but by no means does this mean that there is any intellectual rights associated with this communication. The Production Company owns the script and the Directing Candidate is merely reading the script to see if they are interested in the project if requested to be hired by Production Company.
