TERMS & CONDITIONS:1. 10% discount will be given on quoted price. 2. Prices are inclusive of freight and packing if order value is above 5 lacs (after discount and without any taxes), otherwise 5% will be charged extra. 3. All taxes i.e. Central Sales Tax and other general taxes will be charged extra as per the rules of Govt. as applicable at the time of delivery in addition to the price quoted. Present rate of CST is @13.125%. However, if there is any change in sales tax or any other statutory taxes/duties or introduction of GST at the time of dispatch, the same would have to be paid by the customer. 4. Entry tax will be borne by the customer (if applicable). 5. The offer is valid for 60 days. Any extension of validity must be received in writing from the seller. 6. Delivery Period: At Present 12 weeks from the date of receipt of technically & commercial clear order. The seller will release the order for production only on receipt of acceptable financial arrangement. All orders are subject to acceptance of K.C. Engineers Pvt. Ltd. 7. All information about dates of delivery is based on conditions present at that moment. If conditions changes later, the seller reserves the right to adjust dates of delivery mentioned earlier. The beginning of the time of delivery is the day all necessary documentation and all agreed payments are received by the seller. Any delay in inspection from your end shall be to your account and delivery period shall stand amended accordingly. 8. Any change/revision to the purchase order may lead to a variation in delivery period. Partial shipments are permitted. 9. 35% advance along with your confirmed order, 55% before delivery at our works and balance 10% after installation and demonstration of the equipments within 30 days through Bank Draft payable at Ambala Cantt. 10. Unloading of supplied material and placement in required laboratory for installation will be strictly arranged by the customer. 11. Inspection is to be carried out at our work. Local conveyance and Lodging for one person will be provided by us. 12. Claims for shortages or defective material must be made in writing to us within 5 days after the receipt of shipment. When packaging is damaged or broken the buyer must insist on open delivery and inform us & transporter the details of shortages/damages in transit. 13. Equipments are warranted against all manufacturing defects for a period of 12 months from the date of delivery. This warranty would not cover the machine against misuse, negligence, poor storage, improper maintenance or normal wear & tear. 14. Applicable Tax Concession Form, Exemption Certificates, Road Permit/Way Bill/Inward Form etc. should be provided to us along with Purchase Order. We will not be responsible for delayed delivery due to delay in getting these forms. 15. All UTILITIES REQUIRED for experimentation such as foundation, masonry, plumbing, electric power supply with switches, computer system, Battery Unit, water supply, floor drain, manometer fluids, consumables, chemicals, laboratory wares, weighing balance etc. are not in our scope of supply and to be arranged by the customer at his site. 16. Material will be supplied as per the specification of our standard product code. Please go through the technical specification before placing the order. We will accept order only according to our standard specifications. 17. The literature has been carefully prepared. However, in the interest of further improvement, we reserve the right to modify the equipment without notice. Any typographical, clerical or other error or omission in any sales literature, quotation, price list, or any other document issued by us will subject to correction without any liability to the part of K.C. Engineers Pvt. Ltd. 18. If any modification is required in any product it should be discussed before placing the orders. It may not be possible for us to honor any modifications after receiving purchase orders. However suggestions for performance improvement shall be appreciated. 19. All samples, drawings, descriptive matter, photographs and advertising issued or published are for the sole purpose of giving an approximate idea of goods and/or services described in them. They will not form part of the contract for any such goods and/or services. 20. The delivery period indicated is subject to delays, which may on account of reasons beyond our control and force major conditions, strike, trouble, fire, floods, climatic conditions, civil riots, Government Act and regulation, insurrection, production delays, explosion, lockout, trade dispute, shortage of material, sever faults in major parts, sabotage, and delay in supplies of major parts. The time of delivery will also be prolonged correspondingly.

21. K.C. Engineerss liability is restricted to the scope of this contract only and it will not be responsible for acts of third parties. Consequential losses and third party damages, if any, arising out of the delays or claims by the buyer will not be sellers responsibility 22. The seller is not liable for any direct , indirect or consequential loss( all three of which terms include, without limitation, pure economic loss, loss of profits , loss of business, depletion of goodwill and similar loss), costs, damages, charges, or expenses caused directly or indirectly by any delay in the delivery of any Goods and/or supply of any services ( even if caused by our negligence) nor will any delay entitle the buyer to terminate or rescind the contract for such goods and/or services unless such delays exceeds 180 days. 23. The material supplied by us will be our property unless full payment is made. 24. In case of any dispute, which may arise on account of the contract, all efforts would be made to resolve the same with mutual negotiations. However, if a settlement cannot be arrived at; all disputes will be subjected to Ambala Jurisdiction only. Please find enclosed herewith the specifications of above-mentioned equipments.
