THIS TENANCY AGREEMENT made the 20th March day of 2011. BETWEEN Microplex Engin. Sdn Bhd (CO.

NO: 733829) address at No.24, Lintang Beringin 10, Diamond Valley Industrial Park,11980, Bayan Lepas, Penang.(hereinafter called the Landlord) of the one part AND . WANG YOUNG SUN (PASSPORT NO: 7144531) address at No.158,Jalan Chan Siew Teong,11200,Tanjung Bunga, Penang. (hereinafter called the Tenant) of the other part. WHEREAS (1) The Landlord is the registered proprietor of all those one (1) lots of shop lot buildings or parcel (hereinafter called the said building), and registered address: No.10, Ground Floor, Lintang Sungai Tiram 4, 11900, Bayan Lepas, Penang. (2) The Tenant is desirous of renting the ground floor (hereinafter called the demised building) from the Landlord upon the terms and conditions hereinafter appearing. NOW IT IS HEREBY AGREED as follows :1. In consideration of the rent and covenant hereinafter reserved and contained and on the part of the Tenant to be paid, observed and performed, the Landlord hereby agrees to let and the Tenant agrees to take the demised buidling for the period of three (2) years commencing on the 20 th day of March , 2011 and subject to the terms and conditions hereinafter contained. 2. The rent for the demised building shall be Ringgit Malaysia one thousand only (RM 1000.00) only per month payable in advance on the first day of each and every calendar month from the month commencing aforesaid subject to the terms and conditions hereinafter contained. In addition the Tenant shall deposit the sum of RM 2000.00 with the Landlord (the receipt whereof the Landlord hereby acknowledges) by way of security for the due performance of all covenants herein agreed to be performed by the Tenant and which deposit shall be returned to the Tenant only on the expiration of this tenancy and upon the Landlord being satisfied that all covenants herein agreed to be performed by the Tenant has been duly performed by the Tenant. 3. THE TENANT HEREBY CO VENANTS WITH THE LANDLORD as follows : (a) To pay the reserved rent on the first day of each and every month without any deduction. (b) To pay all charges in respect of electricity, water, telephone and other utilities which shall be consumed by or supplied to the demised land and to pay all sewerage and garbage collection charges and other outgoings chargeable on the demised land other than those hereinafter agreed to be paid by the Landlord.

(c) To permit the Landlord and his duly authorized agents and servants and all persons having the Landlords authority with or without workmen and others with or without appliances at all reasonable time to enter upon the demised land and to view the condition thereof. (d) Not to use the demised land for any unlawful purposes and not to do or permit to be done anything or act which may be or become a nuisance or annoyance to the owners or occupiers of adjoining land. (e) Not to erect any structures or buildings whether temporary or permanent on the demised land without the previous written consent of the Landlord. (f) Not to assign, underlet or part with the possession of the demised land or any part thereof to any person whomsoever without having first obtained the consent in writing of the Landlord. (g) At all times during the term hereby created to comply with all such requirements as may be imposed on the occupier by any Ordinance or Act of Parliament now or hereafter in force and any orders, rules, regulations, requirements and notices there under and any rules and regulations made by the local authority. 4. THE LANDLORD HEREBY COVENANTS WITH THE TENANT as follows : (a) To pay all present and future taxes (hasil tanah) and outgoings other than those hereinbefore agreed to be paid by the Tenant. (b) That the Tenant performing his obligations hereto shall peaceably hold and enjoy the demised land without any interruption from the Landlord or any person rightfully claiming under or in trust for him. (c) To permit the Tenant to erect such temporary structures and/or buildings to be used in connection with the Tenants food centre / restaurant business PROVIDED ALWAYS that the Tenant must have obtained the prior sanction and/or approval of the Majlis Perbandaran Pulau Pinang and relevant authorities to erect such buildings and / or structures. 5. It is hereby agreed and declared by the Tenant that the erection of temporary structures and/or buildings on the demised land shall not in anyway be construed as creating any equity and/or interest over the demised land in favour of the Tenant and upon the expiration or sooner determination of the tenancy the Tenant shall at his own cost and expense tear down and remove all temporary structures and/or building on the demised land and shall not in anyway or guise claim any damages and/or compensation from the Landlord in respect thereof.

6. It is further agreed and declared by the parties hereto that the tenancy herein granted is subject to and conditional upon the relevant authorities sanctioning, approving and/or permitting the Tenant to carry out the business of food centre / restaurant on the demised land and in the event : -

(i) (ii)

the relevant authorities withdrawing such sanction, approval or permission; or the relevant authorities issuing a notice requiring the Tenant to cease such business activities on the demised land; or

(iii) the relevant authorities issuing a notice either to the Landlord and/or Tenant to the effect that the demised land is being used in breach of the category of land use; then in any of the events aforesaid the Tenant shall forthwith cease all such business activities on the demised land, tear down and remove all temporary structures and/or building erected by the Tenant on the demised land unto the Landlord without claiming any compensation and/or damages from the Landlord. (iv) the Tenant shall at all times hereafter save harmless and keep the Landlord Indemnified against all actions, proceedings, claims, demands, penalties, costs and expenses which may be brought or made against or incurred by the Landlord by reason of or on account of the Tenant carrying business activities on the demised land or otherwise in relation thereto. 7. PROVIDED ALWAYS AND IT IS HEREBY AGREED as follows : (a) If the rent hereby reserved or any part thereof shall at any time be unpaid for fourteen (14) days after becoming payable (whether formally demanded or not) or any covenant on the Tenants part herein contained shall not be performed or observed or if the Tenant shall become bankrupt or make any assignment for the benefit of his creditors for liquidation of his debts by composition then in any such cases it shall be lawful for the Landlord at any time thereafter to re-enter upon the demised land or any part thereof in the name of the whole and thereupon this demised land shall absolutely be ceased and determined without prejudice to the right of action of the Landlord in respect of rent or any antecedent breach of the Tenants covenant herein contained. (b) Any notice or demand required to be given to the Tenant shall be sufficiently served if the same is sent by registered post addressed to him or his agents on the demised land or at the address given herein and any notice to the Landlord shall be sufficiently served if sent by registered post to or delivered personally to him at the address given herein. (c) The expression Landlord and Tenant shall where the context so admits include their respective successors and permitted assigns. (d) Words importing the masculine gender shall be deemed to include the feminine and neuter genders and words importing the singular number shall include the plural and vice versa; (e) The Tenant hereby agrees that he shall not require this tenancy to be endorsed on the grant in accordance with the National Land Code, 1965. (f) The Tenant hereby further agreed that in the event the local authority assess the temporary structures and/or buildings erected by the Tenant on the demised land for rates (hasil pintu) during

the term of the tenancy granted herein, the Tenant shall bear and pay such rates assessed on the said temporary structures and/or buildings. (g) All legal, stamp fees and disbursements as regard this tenancy agreement shall be borne by the Tenant.
