CONTRACT FOR THE PROVISION OF VEHICLE REPAIR AND/OR MAINTENANCE SERVICES


ENTERED INTO BY <<SUPPLIER1>> ON THE ONE HAND AS "THE SERVICE PROVIDER"
AND ON THE OTHER HAND AS "THE CONSUMER AS "THE SERVICE PROVIDER" AND ON
THE OTHER HAND AS "THE CONSUMER", WHOSE NAMES AND DATA APPEAR ON THE
TITLE PAGE OF THIS CONTRACT AS AN INTEGRAL PART OF THE SAME, SUBJECT TO THE
FOLLOWING:

CLAUSULES

FIRST - THE SERVICE PROVIDER shall perform all the operations and repairs described on the
front of this contract, requested by THE CONSUMER that subscribes this contract, to which the
vehicle will be subjected in order to obtain operating conditions according to its condition. The
SERVICE PROVIDER shall not condition the provision of vehicle repair and/or maintenance
services to the purchase or rental of other products or services in the establishment or in another
workshop or predetermined agency.

SECOND.- The total price of the contracted services is established in the quotation that is part of
this contract and is described on the front of this contract, which shall be paid by THE CONSUMER,
as follows: At the time of entering into this contract, as an advance payment, the amount indicated
on the front of this contract and the remainder on the date of delivery of the vehicle. All payments
made by the CONSUMER must be made at the SERVICE PROVIDER'S establishment, in cash and
in national currency or any foreign currency accepted by the SERVICE PROVIDER, the latter must
be in accordance with the Monetary Law of the United Mexican States.

Payment shall be in cash, unless otherwise agreed or accepted by the parties, such as by check,
credit card or bank deposit.

THIRD - THE SERVICE PROVIDER will make available to THE CONSUMER the prices of services,
labor, spare parts and materials to be used in the repairs offered. Likewise, prior to the performance
of the service, the SERVICE PROVIDER shall submit to the CONSUMER the quotation referred to
in the second clause of this contract. Upon approval of the quotation by the CONSUMER, the
SERVICE PROVIDER shall proceed to perform the requested service. Increases that result during
the repair due to unforeseeable costs in specific items that are beyond the SERVICE PROVIDER'S
control, must be authorized by the CONSUMER, in writing, as long as they exceed 20% of the
budget. If the mentioned increase is lower, it can be authorized by telephone. The time, if any, that
elapses to fulfill this condition will modify the date of delivery, in the same proportion.

FOURTH: Delivery of the vehicle shall be on the date contemplated on the face of this contract. In
the event that the CONSUMER is the supplier of the spare parts, the delivery date will be as follows
___________________________________.

FIFTH - THE SERVICE PROVIDER shall only use new and appropriate parts, spare parts or other
materials for the services covered by this contract, unless THE CONSUMER expressly authorizes
others to be used. If SERVICE PROVIDER authorizes, CONSUMER will supply the parts, spare
parts or materials necessary for the repair and/or maintenance of the vehicle. In both cases, the
respective authorization shall be stated on the face of this contract.

SIXTH.- THE SERVICE PROVIDER will deliver the spare parts, parts or pieces replaced in the
repair and/or maintenance of the vehicle at the time of delivery of the vehicle, except in the following
cases:

A) When the CONSUMER expresses the contrary.

B) Parts, spare or replacement parts are exchanged under warranty.

C) The waste is considered hazardous in accordance with the applicable legal provisions.

SEVENTH.- The repairs referred to in the estimate accepted by THE CONSUMER, have a warranty
of 60 days from the date of delivery of the repaired vehicle in labor and spare parts as specified by
the manufacturer, as long as there is no evidence of misuse, negligence or carelessness; the above
in accordance with the provisions of Article 77 of the Federal Consumer Protection Law. If the
vehicle is intervened by a third party, the SERVICE PROVIDER shall not be liable and the warranty
shall be void. Warranty claims shall be made at the SERVICE PROVIDER'S premises, for which the
CONSUMER shall present his/her vehicle at said premises. The repairs carried out by the SERVICE
PROVIDER in compliance with the service warranty shall be free of charge for the CONSUMER,
except for those works that do not derive from the repairs accepted in the quotation. The time
required for the repair and/or maintenance of the vehicle to comply with the warranty shall not be
included in the warranty period. The expenses incurred by the CONSUMER to validate the warranty
at an address other than that of the SERVICE PROVIDER shall be covered by the SERVICE
PROVIDER.
EIGHTH.- THE CONSUMER authorizes the use of the vehicle in surrounding areas with a radius of
5 km. to the area of the facility for the purpose of testing or verification of the repairs to be made or
carried out. The SERVICE PROVIDER may not use the vehicle for personal use, own or third party
purposes.

NINTH - THE SERVICE PROVIDER is responsible for any damage caused to the CONSUMER'S
vehicle as a result of test drives by the SERVICE PROVIDER'S personnel. The risk in a test drive is
at the CONSUMER'S expense, when he/she requests that he/she or his/her representative guides
the vehicle. The SERVICE PROVIDER is also responsible for any breakdown, damage, partial or
total loss, attributable to him or his employees, suffered by the vehicle, equipment and attachments
that the CONSUMER has notified at the time of receipt of the vehicle, while they are under his
responsibility to carry out the repair and/or maintenance requested and to enforce the warranty.The
CONSUMER shall be responsible for the repair and/or maintenance of the vehicle, as well as for the
enforcement of the warranty granted. For this purpose, the SERVICE PROVIDER shall () no ( ) is

responsible for the loss of objects left inside the vehicle, even with the trunk closed, unless they

TENTH - THE SERVICE PROVIDER agrees to issue an invoice or proof of payment for the work
performed, specifying the prices for labor, spare parts, materials and accessories used, in
accordance with Article 62 of the Federal Consumer Protection Law.

Eleventh.- A penalty of 15% of the total price of the operation is established as a conventional
penalty for the breach of any of the parties to the obligations contracted in this contract.

TWELFTH.- In the event that the vehicle is not picked up by THE CONSUMER within 48 hours from
the delivery date, THE CONSUMER shall pay a deposit of one minimum wage in force in the place
where this contract is executed, for every 24 hours. to take place.

THIRTEENTH.- THE CONSUMER may withdraw at any time from the contracting of the repair
and/or maintenance service of the vehicle, in which case he/she shall cover, instead of the
contracted price, the amount of the work carried out until the removal of the vehicle, including the
parts, spare parts or other materials used.

FOURTEENTH - THE SERVICE PROVIDER is liable to THE CONSUMER for the non-performance
of the contracted services, even if it subcontracts such services to third parties.

FIFTEENTH - When the service is provided at home, the SERVICE PROVIDER'S personnel must
fully identify themselves to the CONSUMER, by presenting the document that accredits them for
this purpose. In the event that such service has a cost, such cost shall be indicated on the face of
this contract.

SIXTEENTH.- THE CONSUMER releases THE SERVICE PROVIDER from any liability that has
arisen or may arise in relation to the origin, ownership, possession or any other right inherent to the
vehicle or parts or components thereof.

SEVENTEENTH - THE SERVICE PROVIDER agrees to comply with the provisions of Chapters III
and IV of the Federal Consumer Protection Law regarding information and advertising, promotions
and offers.

EIGHTEENTH.- The Procuraduría Federal del Consumidor is competent in administrative


proceedings to resolve any controversy that may arise regarding the interpretation or fulfillment of
this contract. Without prejudice to the foregoing, the parties submit to the jurisdiction of the
competent Courts in __________________________expressly waiving any and all
other jurisdiction to which they may be entitled, by reason of their present or future domiciles or for
any other reason.

The parties have read the contents of this contract and are aware of its legal scope, and have

THE SERVICE PROVIDER CONSUMER

This contract was approved and registered by the Procuraduría Federal del Consumidor

contract to the detriment of THE CONSUMER, as opposed to the registered adhesion
contract, shall be deemed not to have been made.
