This contract is made on date.. by and between SHIVAM IT SOLUTIONS PRIVATE LIMITED and ......... Address. ..

Here in referred as client. Whereas: 1. The client is desirous of entering into a maintenance contract with SHIVAM IT SOLUTIONS for their computer system and peripherals unit described in attached list with this agreement. 2. SHIVAM IT SOLUTIONS is desirous of rendering such services under terms and conditions as per the contract. This contract now witnessed as follows SHIVAM IT SOLUTIONS agrees to maintain the computer system and peripheral units details attached with the changes mentioned for the period (also mentioned with details), subject to terms and conditions of this contract. Type of Maintenance to be provided This detailed account excludes any taxes and governmental levies as applicable or becoming applicable later due to operation of under any existing or new law. Maintenance charges are payable in advance on a yearly basis. If the charges are not paid by the start of the next maintenance period, the contract will automatically stand terminated and maintenance services will cease immediately. 1. Scope of Services SHIVAM IT SOLUTIONS agrees to provide the following services under this agreement, to keep the system in good working order. Scheduled preventive maintenance determined by SHIVAM IT SOLUTIONS. Unscheduled, on call corrective and remedial maintenance subject to contract. Services to set right the malfunction of the H/W. Necessary repair if any will be carried by SHIVAM IT SOLUTIONS on charge bases. Services will be provided within reasonable time (on same day or maximum next working day) of the complaint. An up time of 95% committed and measured on annual basis i.e. H/W defects. Network integration, troubleshooting and maintenance formatting by SHIVAM IT SOLUTIONS. Software support will also be provided for the operating systems and network systems or any other software subject to contract by the SHIVAM IT SOLUTIONS. 2. Terms: This agreement is initially for the period signed with the agreement and shall be renewed in expiry. For further period of one year at each time and so on unless specifically terminated either by party by giving minimum one month written notice prior to the end of maintenance contract period under existing agreement. The customer shall be responsible for providing proper power source and air conditioning as prescribed by SHIVAM IT SOLUTIONS also the environmental conditions including electrical requirements and site facilities prescribed by SHIVAM IT SOLUTIONS. Any damage due to deviation from these at customer end will not be covered under this contract. In case of maintenance at the SHIVAM IT SOLUTIONS engineer will pack the equipment and transport the same to the SHIVAM IT SOLUTIONS office. Any damage caused to the equipment during the packaging or transportation will not be covered by the warranty inherit in this agreement unless the same is done by the employee of SHIVAM IT SOLUTIONS. System maintenance charges shall not include the cost of Parts.

This agreement extends only to problem arising out of normal functioning of the equipment and the agreement does not cover breakdown or services of spares cost arising out whether partly or wholly misuse of equipment, of is misused under environmental conditions either not prescribed by SHIVAM IT SOLUTIONS or electronic equipment of arising out of any damages. SHIVAM IT SOLUTIONS suggests that the client cover the machine by the insurance policy. This agreement does not make SHIVAM IT SOLUTIONS responsible for further interface expansion occurring due to it. 3. Payment Terms Services charges under this contract will be invoiced yearly in advance and are to be paid 100% in advance. Any additional charges will be billed immediately. Change of Location The customer at his own cost and risk shall do relocation or shifting of equipment. Any damage to the equipment arising out of such reallocation or shifting will not be covered under this contract. However SHIVAM IT SOLUTIONS can provide this service of disconnection and reinstallation at additional charges. Such activity will not from part of normal maintenance and therefore is not included in the charges quoted herewith. In case of maintenance at customer site, customer shall prior written consent of SHIVAM IT SOLUTIONS before permanently relocating the equipment to be able to obtain the maintenance services to new location.

Force Majeure 5. SHIVAM IT SOLUTIONS shall not be liable or deemed to be in default of any delay or failure in performance stated herein. If resulting directly or indirectly, from cause beyond its reasonable control like earthquake, riots, curfew or bandh etc. And if SHIVAM IT SOLUTIONS is prevented from performing its function under this instrument over a period longer than 6 months. Both the parties shall discuss the course of action to be after wards. 6. General Provision This agreement shall supersede any and all previous communication. Both oral and written and the provision herein contained shall not be omitted added t o or amended in any manner except in writing and signed by both part. 7. Arbitration In case of any dispute arising at any time during the tenure of the contract between the parties to this agreement, the same shall be referred to arbitration and the provision of the Arbitration Act 1940 as modified or re-elected from time to time shall apply. Award under such a dispute from arbitration may be rule of High Court or common jurisdiction at the instant of either partly and the venue of such arbitrator may be the city of Delhi. Two-member panel shall conduct arbitration. One to be nominated by SHIVAM IT SOLUTIONS and the customer. .
