MEMORANDUM OF INTENT

Whereas, the state of Missouri and the Peoples Republic of China enjoy a deep and longstanding partnership built upon a shared dedication to the market economy; and Whereas, the Peoples Republic of China is Missouris 3rd largest trading partner and an important consumer of Missouri manufactured goods and agricultural commodities; and Whereas, the state of Missouri has operated a Trade and Investment Office in the Peoples Republic of China since 2005 linking together Missouri exporters and Chinese importers; and Whereas, the industrial manufacturers and the agricultural consumers of the Peoples Republic of China are supplied both industrial and agricultural products from Missouri; and Whereas, the Missouri Department of Economic Development(DED) and the China Council for the Promotion of International Trade (CCPIT), are committed to developing bilateral friendly cooperation and strengthening the economic relations between the state of Missouri and the Peoples Republic of China; and Whereas, the Missouri Department of Economic Development is an agency of the state Missouri collectively responsible for trade, investment and business development and committed to increasing the competitiveness of Missouri companies and producers; and Whereas, the China Council for the Promotion of International Trade is the most important and the largest trade promotion institution in China that aims to promote foreign trade, inbound and outbound investment and facilitates technological exchanges; and Whereas, the Governor of the state of Missouri, Jeremiah (Jay) Nixon and his trade delegation have traveled to Beijing in order to further strengthen and expand upon commercial trade relationships with the Peoples Republic of China;

Be It Therefore Resolved, that the Missouri Department of Economic Development (DED) and the China Council for the Promotion of International Trade (CCPIT), herein referred to as The Parties commit to working together on an annual basis, including through their respective agencies and units, on the foundation of equality, trust and mutual benefit, as follows: 1. The state of Missouri will aggressively pursue and expedite the completion of export transactions to the Peoples Republic of China totaling $4.4 billion to include exports for the benefit of Missouri manufacturers in the amount of $3.2 billion and exports for the benefit of agricultural producers in the amount of $1.2 billion. The China Council for the Promotion of International Trade will support and facilitate the efforts of the state of Missouri in order to achieve their export objectives. The Parties will meet to collectively determine specific activities that will be employed in order to promote trade and investment between the Peoples Republic of China and the state of Missouri. The Parties will exchange information on a regular basis on international trade fairs as well as other trade promotion activities held in the Peoples Republic of China and the state of Missouri and will extend necessary assistance to the participating companies and institutions of all parties. The Parties will serve as primary contacts for assisting companies and producers engaged in all sectors as well as education and financial institutions in establishing contacts, facilitating trade missions and expanding economic cooperation and bilateral investment. The Parties will provide coordination of seminars and conferences in order to facilitate business to business matchmaking services and meetings, the exchange of information, technology, innovation, best business practices and to generally advance the promotion of trade and investment between the state of Missouri and the Peoples Republic of China. The Parties will regularly exchange publications and information about economic, agricultural and public policies and agree to share experiences in attracting foreign direct investment.

This Memorandum of Intent (MOI) will take effect immediately upon signature and will officially commence on January 1, 2012 for the term of three years with an annual review for renewal by written mutual agreement of The Parties. The MOI is cancelable with a 60 day written notice by any of The Parties. This MOI does not commit DED or CCPIT to an exchange of staff or to any financial support of the other and does not create any rights, liabilities or obligations, which would have binding effect in law. Any activities undertaken in furtherance of this MOI that involves co-sponsorship, one Partys use of the other Partys logo and promotional property, or a commitment or exchange of financial resources beyond coordinating activities described above will be expressed in a separate written agreement. Each Party may enter into similar agreements with other entities.

It is Agreed as to form and content and signed and dated in two (2) duplicate originals in Beijing, China this 24th day of October, 2011
