OVERVIEW Founded in 1945 as a steel trading company, we entered automotive manufacturing in 1947 to bring the iconic Willys Jeep onto Indian roads. Over the years, weve diversified into many new businesses in order to better meet the needs of our customers. We follow a unique business model of creating empowered companies that enjoy the best of entrepreneurial independence and Group-wide synergies. This principle has led our growth into a US $12.5 billion multinational group with more than 119,900 employees in over 100 countries across the globe. Today, our operations span 18 key industries that form the foundation of every modern economy: aerospace, aftermarket, agribusiness, automotive, components, construction equipment, consulting services, defense, energy, farm equipment, finance and insurance, industrial equipment, information technology, leisure and hospitality, logistics, real estate, retail, and two wheelers. Our federated structure enables each business to chart its own future and simultaneously leverage synergies across the entire Groups competencies. In this way, the diversity of our expertise allows us to bring our customers BRANDS Mahindra builds three things: products, services, and possibilities. Since 1945, weve built our company around the core idea that people will succeed if they are just given the opportunity. Employees across the Group constantly challenge conventional thinking to create solutions that make a significant difference in the lives of our customers. Thats why everything we buildbe it a tractor, financial service, solar-powered lamp, or softwareis designed to empower you to reach your potential. Internally, we follow three basic tenetsaccepting no limits, thinking alternatively, and driving positive change in everything we do. These brand pillars guide all our actions and business decisions from deciding whether or not to enter a new field or planning a portfolio of services. We hope youll take what we do and make it your own.
6

We accept no limits, and ask the same of everyone else. In return, we work relentlessly to provide the tools, information, and inspiration to push past limitations and comfort zones. This challenger spirit galvanized us to meet the oil crisis in the 1970s by re-engineering our fuel efficient tractor engines for utility vehicles. It led us to take on the challenge of designing the Scorpio utility vehicle at a cost that many industry experts thought was impossibly low. Weve created completely new business models to enter areas others had written off or ignored, like our leading hospitality business and our rural financial Services. And we just registered our highest ever profits despite the worst global recession since the Great Depression. This determination influences every aspect of our culture and our employees. As a result, each Mahindra business constantly pushes the envelope and raises the bar as we strive to deliver better value to our customers. We supported the 2010 FIFA World Cupthe worlds biggest sporting event. We designed a new storage system for our steel products that reduced shelf time by 76 percent. We are helping establish the largest identity management program in the world for the Government . Alternative thinking means solving problems in ways no one has thought of before, by using fewer resources and entering markets thought to be unreachable. Take the Scorpio for examplewe developed our best-in-class utility vehicle from the ground up using a process that put drivers needs first. Our Energy Solutions help businesses keep going when everyone elses lights go out. We build two wheelers that provide affordable mobility solutions to more people. And our extensive array of innovative IT service increasing productivity at some of the worlds leading companies. Thinking alternatively isnt always easy, but its always worth it.We provide access to financial services to people in rural areas . We created Indias best selling utility vehicle by changing what people expect from a UV .We designed the first multi-utility tractor in India in answer to our customers usage patterns.

HOW WE GOT HERE Mahindra and an independent India began their rise together. In 1945, two enterprising brothers named J.C. Mahindra and K.C. Mahindra joined forces with Ghulam Mohammed and started Mahindra & Mohammed as a steel company in Mumbai. Two years later, India won its independence, Ghulam Mohammed left the company to become Pakistans first finance minister, and the Mahindra brothers ignited the company's enduring growth with their decision to manufacture Willys jeeps in Mumbai. The companys new name? Mahindra & Mahindra, of course. The Mahindra brothers believed that new modes of transportation could be a key to Indias prosperity, so one of their first goals was to build rugged, simple vehicles capable of tackling the Indian terrain. Early pioneers of globalization, the brothers collaborated with a wide range of international companies and before long, Mahindras reach extended to steel, tractors, telecom, and more. Now, after 65 years, Mahindra has grown from a humble local outfit to a US $12.5 billion corporation employing more than 119,900 people around the world. Its been quite an adventure so far, and were proud of our global leadership in utility vehicles, tractors, and information technology, as well as our significant presence in financial services, leisure and
19

hospitality, engineering, trade, and logistics. As we accelerate into the 21st century, continue to pursue innovative ideas that enable people to rise. Weve come a long way, but the journey has just begun. JAGDISH CHANDRA MAHINDRA Jagdish Chandra Mahindra was born circa 1892 in Ludhiana, Punjab. The eldest of nine children, the loss of his father at an early age placed the responsibility for the family on his shoulders. He believed strongly in the power of education and ensured that all his brothers and sisters studied hard. J.C. received his degree from Veermata Jijabai Technological Institute (VJTI) Mumbai, one of India's premier engineering and technical institutes. He sent his brother K.C. to Cambridge. The brothers were very close and the love and trust between them was extraordinary. J.C. started out his career with Tata Steel, serving as the senior Sales Manager from 1929 to 1940. When the steel industry became critical during World War II, the Government of India appointed him as the first Steel Controller of India. As Independence approached, J.C. was prescient about the opportunities that Indian entrepreneurs would have to contribute to the growth of the newborn nation. His vision and ambition led him to start Mahindra & Mohammad in partnership with K.C. and Ghulam Mohammed. His vision and insight into Indias post-independence economic development enabled Mahindra & Mahindra to grow to the size, scope, and impact it has reached today. J.C. died tragically of a heart attack in 1951. J.C. Mahindra left his position as the Head of the entire commercial division of Tata Iron & Steel Co to serve as Iron and Steel Controller of India during WWIIon a salary of Rs. 1. KAILASH CHANDRA MAHINDRA Kailash Chandra Mahindra was born in 1894 in Ludhiana, Punjab, the second of nine children. When their father died at an early age, his older brother J.C. stepped into the role of head of the family. K.C.s deep lifelong friendship with J.C. was remarkable.

20

K.C. studied at Government College, Lahore where he showed early promise of a brilliant scholastic career. Continuing his studies at Cambridge, UK, he earned Honors, played hockey, and took a keen interest in rowing.

When K.C. graduated from Cambridge, Mr. Sachinanda Sinha, Vice Chancellor of Patna University, introduced him to Mr. R.N. Mukherjee, Senior Partner of Messrs. Martin & Company. He quickly rose through the company, editing the monthly magazine INDIA and, briefly, theHindustan Review.

In 1942, K.C. was appointed Head of the Indian Purchasing Mission in the United States. Returning to India in 1945, he was appointed the Chairman of the Indian Coal Fields Committee of the Government of India and also of the Automobile and Tractor panel. His contribution to developing strategic coal policies and applying the latest methods of coal mining in India helped shape the industry, and his Coal Commission Report became a seminal document in the industry. During these years, he also wrote a biography called Sir Rajendranath Mookerjee: A Personal Study.

In 1946, K.C. moved to Bombay with his brother J.C. to found Mahindra & Mohammed. Under his 13-year leadership as Chairman, Mahindra & Mahindra established itself as a major Indian industrial house in several sectors. He also served as Director of RBI, Air India, and Hindustan Steel and Chairman of Indian Aluminium Company. K.C. died in 1963. WHAT WE DO

Our goal is to provide our customers with nothing but the best, and if we cant source a high-quality component from another location, we learn to build it ourselves.

With more than 36,000 active parts handled by over 800 vendors through our hub and spoke model, you can rest assured that you get the best parts and service at a reduced order-to-delivery time. PRE-OWNED CARS We entered the pre-owned car business to make mobility affordable. The existing market for pre-owned cars is fragmented and uncertain, forcing many people to overspend on a new car, others to buy lemons that let them down, and all too many to forego buying a car at all. Our preowned car dealerships guarantee you the quality and reliability of a new car, at a price you can afford. COMPANIES MAHINDRA FIRST CHOICE SERVICES Our revolutionary vehicles have been raising standards in the Indian automotive sector for over six decades. In 2008, we established Mahindra First Choice Services (MFCS) as a fully-owned subsidiary of Mahindra & Mahindra to provide you with outstanding car service, too. MFCS is a one-stop-shop for all brands of cars. We provide excellent service you can trust, employing the best technicians in all automobile brands and relying on state of the art technology. We plan to open 240 new outlets in the next five years, bringing peace of mind to customers across the country. MAHINDRA FIRST CHOICE WHEELS Mahindra First Choice Wheels arose from the idea that buying a used car should be as rewarding as buying a new car. The market for used cars already equals the market for new ones, and its growing rapidlybut only about 10 percent of car sales take place in the organized sector. We set about to professionally organize the pre-owned car industry in India so that you can trust
27

youre getting a quality vehicle. Our decision to sell cars of all brands made some outsiders skeptical, but we were determined to centralize a disorganized market and offer you the widest variety of choices possible. Today, we have 125 multi-brand stores in 70 major Indian cities. Our stringent car sourcing system means that we accept fewer than one in five of the cars we evaluate. After acceptance, each car undergoes 118 quality checks to ensure that you get great value and reliability from your pre-owned vehicle. And each car comes with a one-year warranty and 24-7 roadside assistance. AGRIBUSINESS Despite a diminishing share in the India's GDP, agriculture remains a key sector of the economy and continues to play a vital role in driving India's economic growth. About 60 percent of India's population lives in its villages and a majority of rural households depend on agriculture and related activities for their livelihood. Agriculture continues to support numerous downstream linkages with industry by becoming a supplier of vital industrial raw material. The Mahindra Group's close linkage to rural India and agriculture is almost as old as the company itself. The vehicles we've been building for the past six decades are extensively used in rural and semi-urban India as a source of transportation of people and goods. Our tractor business, more than forty years old, continuously sets new benchmarks for reliability and qualitya fact reflected by our 40 percent market share in India. As we entered the new millennium, we embarked on expanding our basket of offerings for the Indian farmer and entered the agribusiness sector. Our agribusiness activities support farmers at every step, from seed supply to crop care to distribution. We contribute to the growth of Indian agriculture by helping farmers enhance their productivity and prosperity with our products and services. SERVICES CROP CARE

28

We launched our crop care business in 2005 to provide the inputs farmers need to protect and nurture their crops. Known as Mahindra Branded Pesticides (MBP), our insecticides, fungicides, herbicides, nutrients, biologicals, and plant growth promoters contribute to better harvests and lower wastage for the main Indian cash cropsrice, cotton, potatoes, wheat, soybeans, and vegetables. You can find our crop care products at 750 dealerships in 13 states across India. Our network reaches more than 400,000 customers each year, bringing the benefits of crop care technology to farmers in the north (Punjab, Haryana, Rajasthan, Uttaranchal, Uttar Pradesh), central region (Madhya Pradesh, Chhattisgarh), east (Orissa), west (Gujarat, Maharashtra) and south (Karnataka, Andhra Pradesh, Tamil Nadu). Our field force of 56 trained representatives works with farmers to disseminate information about new products and right use technology, help make crop care recommendations, and guide crop care product purchases. These field officers build long term relationships with farmers, providing a point of contact for support and extension. We also connect with farmers through demonstrations of new products, showing both the value and the proper application of constantly advancing crop care inputs. Thanks to our customer relationships and word of mouth recommendations, weve become a trusted partner for value for money, quality, and reliability for thousands of small farmers. As our presence strengthens and expands across more agricultural regions, we look forward to leveraging synergies with our tractor dealerships, seed distributors, and Samriddhi extension centers. Weve already sold 1,600 metric tons of seed potato through our crop care network, and nine Samriddhi centers are distributing crop care products. As we expand geographically to reach more customers, were also diversifying our product line. In 2010, we introduced four new products and enjoyed a 43 percent sales growth over 2009. We are excited to help a growing number of farmers reap better yields each year. FRESH PRODUCE SERVICES We create supply chains for fresh produce by forming the bridge between farms and retailers. We started out in 2005 with the export of six containers of grapes to Europe and the UK. Today, we are one of Indias largest grape exporters, with over 300 containers shipped to Europe, the

29

UK, Saudi Arabia, Malaysia, and Singapore in 2010. Weve expanded our fresh produce basket to include the export of pomegranates, mangoes, and domestic apples and the import of kiwis, pears, and foreign apples. We collect fresh produce from farmers through a system of contract farming, forming long term relationships and engaging with them throughout the production cycle to disseminate information on food safety and growing techniques. We work with about 600 grape farmers, 75 apple farmers, and 70 pomegranate farmers, and our network is growing through word of mouth as farmers recommend us to each other. By linking farmers to formal markets, we help them achieve better returns and higher standards of living. To find out more, check out the 2008 United Nations Food and Agriculture Organization case study on our grape supply chain athttp://www.fao.org/world/regional/rap/agro-industries/agriculture.asp. Once weve collected the fresh produce, we transport and distribute it through a rapidly expanding network of distribution sites, cold stores, and pack houses. Our buyers include major domestic and international retailers. Our cost-competitive supply chains and guaranteed quality position us well for expansion. Rising Indian incomes are driving increasing domestic demand for high quality fruit, and our low costs and trusted brand make us a competitive exporter. We plan to expand our fruit basket and aim to be the top fresh produce exporter and among the top three importers in the years to come. We are one of India's largest exporters of grapes to the European Union. SEED DISTRIBUTION We began our seed distribution service in 2006 to supply farmers with the most important input for prosperous agriculturehigh quality seed. We sell a range of field crop and vegetable seeds to suit diverse growing conditions and geographies. Our field crop assortment includes hybrid corn, sunflower, rice, millet and fodder sorghum, and open-pollinated mustard, fodder maize, rice, and wheat. Our vegetable assortment consists of hybrid tomato, hot pepper, capsicum, okra, melons, gourds, radish and cucumber and open-pollinated varieties of spinach, coriander, okra, radish, and beans. We operate a two-tier distribution system, supplying seed directly to more than 250 distributors who each sell to 20 to 50 retailers. These retailers ultimately sell the seed to farmers. Our distribution network spreads across seven states Punjab, Haryana, Rajasthan,

30

Uttar Pradesh, Bihar, Maharashtra and Karnatakaand we plan to expand into Madhya Pradesh and Gujarat this year.

Our business model is built on investing in personal relationships. Our team of 11 sales representatives works closely with farmers to determine the right crop varieties and technical support to optimize each farms productivity. Our representatives spread awareness about product performance and new seed varieties. After conducting our own rigorous product trials, we bring the best-performing seed to our customers with public trials and demonstrations. Farmers can witness firsthand the results of our seed varieties, ask questions, and learn how to work with new technologies. We look forward to enhancing our customers experience by coordinating with other agriculture businesses in the Mahindra Group. As we expand our seed supply business, we plan to integrate efforts with our tractor sales, Samriddhi extension centers, and other agribusinesses to provide our customers with all the resources they need to run productive and rewarding farms. SEED POTATO We entered the seed potato business in 2004 because we saw an opportunity to improve farm prosperity with better seed potato inputs. India produces 28 percent of the worlds potatoes, making it the fourth most important crop in the Indian economy. By supplying farmers with high-productivity early generation tubers, we support a key pillar in agricultural prosperity. With few producers of quality seed in the organized sector, there is a great opportunity to bring farmers substantial benefits. Our seed potato business is committed to providing farmers the complementary advantages of improved yields and a stable distribution and buying relationship. From tissue culture to mini-tuber, we oversee the growth of our tubers at a special site in Palampur, Himachal Pradesh to ensure that we supply first-generation seed potatoes of the highest quality. We partner with farmers to grow potatoes from Generation 0 (G0) to Generation 3 (G3) with extensive quality checks at each stage along the way. In 2009-10, we supplied farmers with 9,000 metric tons of high-productivity tubers .Our end customers comprise dealers,
31

farmers, and businesses across the country. We coordinate sales and distribution with dealers and farmers based on their planting schedule and plans. Our distribution network spans the states of Uttar Pradesh, Madhya Pradesh, Gujarat, and West Bengal. Our corporate customers include major players in the growing potato snack industry. Through our partnership with HZPC, a major international breeder and a supplier of seed potatoes, we plan to introduce new varieties of seed potato to India and expand the export of Indian potatoes. Were already beginning exports to Bangladesh, and we look forward to bringing high quality seed potatoes to more farmers in Southeast Asia. COMPANIES MAHINDRA SHUBHLABH SERVICES We established Mahindra ShubhLabh Services in 2000 in order to better serve our extensive rural base of farm equipment customers. ShubhLabh provides farmers with a single source channel to access all the products, services, and knowledge they need to run productive farms. Were present at every stage from planting to selling with seed supply, crop care, and fresh produce distribution services. Before the planting season, we provide farmers with a portfolio of seeds including cereals, oil seeds, fruits, vegetables and seed potato. By supplying high quality seeds before the growing season, we enhance the potential for improved farm productivity in several regions of India. During the growing season, we bring farmers an array of products to help them protect their crops and reap high yields. Through our wide trade and distribution network, we supply a wide range of crop care inputs including insecticides, fungicides, herbicides, nutrients, biologicals, and plant growth promoters. After harvest, we provide distribution services for fresh produce both domestically and abroad. Today, we export to numerous retailers in continental Europe, the UK, the Middle East, China and Southeast Asia and import foreign fruit to India. Our fresh produce basket includes pomegranates, mangoes, apples, kiwis, and pears.

32
