for last 25 years :

WHEREAS Sri Shaym Ballav Shaha, son of Sri Radha Ballav Shaha having owned
and possessed of by way of a registered sale deed dated 21-02-1946 out of a
settlement case no. 40 of 1945/46 of Dhaka collectorate, with the approval of Dhaka
collectorate in misc case no. 28 of 1947-48, sold out the landed property measuring 19
decimals i.e. 10.66 khatas approximately pertaining to dag no. 348, new dag no.
218/328 and mutation khatian 140 & 140/1 (kat) and mutation dag no. 218/328 within
mouza, Jahangir Nagar and training ground Shegunbagicha now Kakrail, police station-
Lalbag now Ramna, District- Dhaka collcetorate, more particularly described in the
schedule ‘A’ below to Mvi. Azizuddin Ahmed, son of Late Abdul Latif of Barishal
through a registered sale deed no. 5328 dated 06/10/1947.

AND WHEREAS The above named Mvi. Azizuddin Ahmed son of Late Abdul Latif
while owning and possessing his schedule “A” property peacefully and adversely to
others by paying rent and taxes thereto regularly in his name sold out the same to Mvi.
Mokbul Ahmed, son of Late Mvi. Moizuddin Ahmed of village partashi, police station-
Pirojpur District –Barishal, through his constituted attorney, Mvi. A.K.M Siddiq son of
Late Gias Uddin Ahmed, by a registered sale deed no. 2863 dated 25/04/1957.

AND WHEREAS The above named Mokbul Ahmed son of Late Mvi. Moizuddin Ahmed
while thus owning and possessing the schedule “A” property, died leaving one son, Mr.
Manzur Ahmed and two daughters (i) Mrs. Farida Haque, W/O-Late Enamul Haque (ii)
Mrs. Anjuman Ara Begum, W/O-Ershad Ali.

AND WHEREAS The said Mrs. Farida Haque died leaving one son, Md. Faizul Haque
and 5 (five) daughters (i) Mrs. Zakia Rahman, W/O-Dr. Sultan Hafiz Rahman, (ii) Mrs
Rawshan Haque, W/O-Dr. Kaishar Haque, (iii) Mrs. Anisa Rahaman, W/O-Dr. Mir
Mahmudur Rahman, (iv) Mrs. Rojina Jalil, W/O-Al-Haj Dr. M.A. Jalil, (v) Miss Farzana
Haque, daughter of Enamul Haque.

AND WHEREAS The above named Mr. Manzur Ahmed, Mrs. Anjuman Ara Begum,
Md. Faizul Haque, Mrs. Zakia Rahman, Mrs. Anisa Rahaman, Mrs. Rawshan
Haque, Mrs. Rojina Jalil and Miss Farzana Haque are thus owners in possession of
the pieces and parcel of the land measuring approximately 19 decimals or 10.66
Katha (more or less) plot no. 348, Shegunbagicha, Dhaka, in C.S. Khatian 180, S.A.
Khatian 140, C.S. and S.A. Dag 218/328 and new mutation khatian 140/1 (kat) and
mutation dag no. 218/328, more particularly is described in Schedule “A” below and
hereinafter referred as “Demised Property”.

AND WHEREAS the Land Owners/Sellers/Vendors while thus owning and possessing
the Schedule – “A” property being desirous to develop the same for the purpose of
designing and constructing a multi storied building complex, has entered into an
Agreement on 16/08/1998 with the Western Developers Ltd. a private limited company,
constituted under companies Act, 1994, now having its office at 151/3, Monipuripara,
1st floor, Dhaka-1215 (hereinafter referred to as “Builder Company”) for constructing
a 9 storied building on the property described in Schedule – “A” below and issued a
registered Power of Attorney being # 331 dated 09/02/1999 authorizing the Builder
Company to make plan and design duly approved by RAJUK and to negotiate and sell
out the apartments/shops/offices excepting those taken by the Owners/Sellers/Vendors
as per agreement, on such terms and conditions as are decided by the Builder
Company.

AND WHEREAS the Builder Company undertakes the construction of a 9 storied


building on the Schedule – “A” property with shop/office and car parking space on the
ground floor and more parking space on the basement and residential apartments from

the 1st floor to 8th floor of the said building (hereinafter referred to “Western Tower”
Project).

AND WHEREAS in the common interest of the prospective Purchasers of


apartments/offices/shops, the Builder Company divided the Schedule – “A” property
into proportionate shares so as to offer for sale proportionately to the prospective
purchasers of apartments/offices/shops along with common passage/road and other
common facilities.

AND WHEREAS the Purchasers perused the plan and terms & conditions given in the
brochure of the Builder Company and after having satisfied by and accepted the terms
& conditions therein agreed to purchase proportionate undivided and un-demarcated
pieces of land measuring 0.149 katha more particularly described in Schedule – “B”
below and Shop/Office being no. G-1 on the Ground floor in the South-East side of
the building with floor space of 605 sft. more particularly described in Schedule – “C”
below (Schedules ‘B’ & ‘C’ are hereinafter collectively referred to as “Said Property”)
for a sum of Tk. 3,20,000.00 (Taka Three Lac and Twenty Thousand) only.

AND WHEREAS the Purchasers accordingly paid the cost of Said Property from time to
time and Builder Company completed the Said Property out of the money paid by the
Purchasers as per plan and design to the full satisfaction of the Purchasers.

AND WHEREAS the Said Property after completion had handed over possession of the
shop/office to the Purchasers who took peaceful physical possession thereof after
having satisfied that the Said Property had been completed upto their full satisfaction in
terms of the agreement dated 28/10/1999 free of any defect or complaint whatsoever.

14. Description of easement (if any) :

The purchasers will enjoy all the easement and common facilities that the seller have.

15. Description of handing over physical possession of the conveyed property to the
purchaser :

The vendors had already handed over the physical possession of the said property to the
purchasers and the purchasers had taken over the possession from the vendors.

16. Notable remark (if any) :

NOW THIS DEED OF SALE WITNESSETH AS FOLLOWS:

a) That in consideration of a sum of Tk. 3,20,000.00 (Taka Three Lac and Twenty
Thousand) only paid by the Purchasers to the Vendors through the Builder Company
the receipt whereof is fully admitted and acknowledged by the Vendors through the
Builder Company the Vendors do hereby sell, convey and assign, grant and transfer
all that property being piece or parcel of office/shop no. G-1 on Ground floor in
South-East side of the building more particularly described in Schedule “C” below
with common spaces of the building named “Western Tower” along with undivided
and un-demarcated proportionate piece of land of the said property with all the rights
and easements attached hereto and all right, title, interest property claim and
demand whatsoever of the Vendors in or upon the Said Property; TO HAVE AND TO
HOLD the Said Property hereby conveyed to the Purchasers/their heirs, successors,
executors, administrators, legal representatives and assigns, in the manner as

aforesaid and that the Vendors and all persons, claiming under them shall and will
from time to time and at all times hereinafter, upon request and at the cost of the
Purchasers, their heirs, successors, executors, administrators, legal representatives
and assigns shall do and execute and cause to be done and executed all such acts,
deeds and things and authorities whatsoever further and more perfectly assuring the
Said Property and every part thereof to the Purchasers, their heirs, executors,
administration & legal representation and assigns.

b) That the Vendors covenants further with the Purchasers as follows:

i) That notwithstanding any act, deed or thing which may have been made done or
executed or suffered to the contrary, by the Vendors, the Vendors now have
good right, full power and absolute title to sell the Said Property.

ii) That the Vendors by this sale is absolutely thoroughly and eternally divested of
the right, title, interest and possession, share, benefit, trust and/or any claim
whatsoever in the share sold out here under.

c) The Purchasers do hereby agree and covenant with the Vendors that they shall abide
by the terms of the bye-laws of the Association of shop/office owners and that they
shall pay and discharge all calls, demands, assessments common expenses and
other contributions required to be paid by them to the said Association of shop/office
owners.

d) The Purchasers covenant that they shall not add any material structure or excavate
any additional basement or cellar without first obtaining the consent of all the
apartment owners and any other authorities.

e) The Purchasers are entitled to create any encumbrance by way of mortgage, charge
or in any other manner of the shop/office owned by them and their percentage of the
undivided interest in the common areas and facilities appurtenant to such shop/office.

Provided, however, that any such encumbrance shall not in any manner create in
them or in the person in whose favour the encumbrance is created any right to claim
partition or sub-division of the said property and of the undivided share in the common
areas and facilities.

f) The Purchasers shall not create in any manner any encumbrance prejudicially
effecting the other owners of shop/office or apartment owners or any part of the
multistoried building or any part of the property appertaining to the said multi storied
building and they shall not in any manner prejudice the interest of other owners of

shop/office or the multistoried building or any part of the property appertaining thereto
which may entitle the Association of shop/office or the Board of Management or the
Association of apartment owners (hereafter jointly referred to as Common
Management) or any aggrieved owner to initiate action to recover any damages
and/or any injunctions in any court of law or any other statutory authority.

g) The Purchasers shall designate the name and address of the person to whom any
communication from the Association of owners of shop/office may be delivered.

h) The Purchasers jointly with the owners of all other shop/office shall form and
constitute the shop/office owners association. The shop/office owners association so
formed and constituted shall be entrusted with the duty of management and
maintenance of the shop/office in the ground floor. The rules, regulations and by-laws
framed by the common management with regard to all matters in relation to
management, maintenance and use of the complex shall be binding on the
Purchasers.

i) All mechanical, sanitary and other systems and components like lift, generator,
electrical and bathroom fittings have been installed as per selected specifications and
the purchasers has no complaint whatsoever regarding nature and quality of
construction and materials used in the Said Property.

j) So long as the Municipal tax and other taxes and charges are not assessed
separately in respect of the said property, the Purchasers shall pay their proportionate
share of such taxes and charges that may be imposed on the building as is
determined by the common Management of the project.

k) On the completion of each common facility/amenity like main utilities connections,


generator, pump, sewerage, intercom, common lighting etc. the Purchasers and the
common management of the project become responsible for the operation and
maintenance of such common facility/amenity and the responsibility of the Vendors
simultaneously expires. The Purchasers and the common management shall
thenceforth be able to and will take up any matter related to such facility/amenity with
the concerned authority, manufacturer, supplier, dealer etc as and whom applicable, if
required.

l) The Purchasers along with other apartment owners shall be jointly responsible for the
operation, maintenance, repairs and replacement of the generator, water-lifting motors
and pumps, water reservoirs, sewerage, main electric lines and the installations,
drains, internal roads and other facilities, services and amenities commonly to be
used and enjoyed by all the apartment owners and shop/office owner, including the

said property and the Vendors/Builder Company shall have no responsibility in the
matter after completion of the same.

m) The Purchasers shall jointly with the other occupants or owner of apartments of the
building use and enjoy its common corridors, lobbies, stairs, entrances and exits of
the building and other common adjuncts, fixture and fittings thereto and shall bear her
proportionate share of maintenance costs.

n) The Purchasers shall jointly with the other owners of shop/office or occupants of other
apartments use and enjoy the open spaces, the internal roads for ingress, passages,
driveways, yards, drains, sewerage, mains water-reservoirs, electricity and gas
connections and other common facilities that may be made available in the project
and maintain them along with arrangements for common security, lighting and
guarding as may be necessary at their own costs which shall be borne by them
equally.

o) The Purchasers may use and enjoy any open areas and the facilities and amenities
referred hereinbefore for the purpose for which they are intended without encroaching
upon or hindering the lawful right of the other owners of shop/office or occupants of
other apartments.

p) The Purchasers shall not use or permit the use of the said property in a manner which
might diminish the value or utility of the lifts, generators, pipes motors and pumps and
the like common facilities and amenities provided in the site of the building.

q) The Purchasers shall not display any business signboard advertisement board or
designs in any part of the said property or the common spaces or premises of the
building without the written concurrence of the common management (apartment
owners association and shop/office owners association) of the project.

r) The Purchasers covenants that they shall not use their shop/office or any part thereof
for any purpose other than as a residence nor use it in such manner as is likely to
cause nuisance or inconvenience or annoyance of any kind to other apartment
owners and that they shall not use their shop/office for any illegal or immoral purpose.

This is to declare through this affidavit that, I am the absolute owner or have power to sell
the conveyed property and I have no other co-share and not signed any agreement in
favour of the property, not sold out, not debt to any party or this is not Khas/Vested or
abandoned property. Further declare that, if in future any defects, vague statement in the
description of the schedule land is discovered Criminal or Civil suit might be filed against
us and I hereby agree to execute and register such other documents including the deed of
rectification or make good of any loss and damages in favour of the purchaser that the
