The Agent agrees:

Owners Agreement

Here after designated as Owner and VHM CV LLC designated as owners Agent (not to be confused as their real estate agent) Owner hereby appoints VHM CV as the agent to obtain a Home Manager to occupy and maintain the Owners property at ____________________________________________.

1. To use due diligence in the selection of a Home Manager for the Owner to maintain said premise according to the terms of section II. 2. To indemnify (hold harmless) Owner for any loss resulting from failure to perform or negligence of Agent and/or Home Manager as well as any attorney fees incurred in legal action resulting from failure of Agent and/or Home Manager to perform according to terms of this agreement. 3. To carry Comprehensive General Liability Insurance. 4. The authority to and power as may seem necessary to carry out the terms of this agreement. 5. The Agent will not pay any interest or amortization on mortgages, taxes, assessments, or repairs to the property unless covered by Seller Home Warranty. 6. Agent will notify the Owner once Home Manager has been selected for home so that Owner can shut off the utilities 3 business days afternotification.The Agent can choose to perform interior and exterior cleaning prior to Manager being placed, but will not turn on utilities and will not be held responsible for maintenance of the property until Home Manager has been placed. If a home manager is not assigned within 14 days the agent can exit from the contract. _______________initial to acknowledge

Section II. The Home Manager shall:

1. Reside and maintain property described in show to sell condition including placing required utilities in managers name and keep accounts current. 2. Allow the Owner, Owners agent, and authorized Realtors, inspectors, and vendors to enter property in order to inspect or repair premises or exhibit the property to prospective purchasers. 3. The Home Manager will peacefully surrender possession of the property upon the sale, foreclosure, expiration of the service contract or demand of the Owners Agent. 4. Return possession of the property in good or better condition than when received. Will comply with the no pets rule in Home Managers contract. 5. Obtain liability insurance (renter insurance) no less than $500,000. 6. Not conduct any commercial business out of the home. 1. That the term of the contract will be no less than 60 days from the date a Home Manager occupies Owners property. Once the 60 day obligation has passed the owner must provide 30 day notice of cancellation of agreement. VHM CV can waive this 30 day notice to accommodate for the close of escrow.________ _______ initial to acknowledge. 2. Tocarryproperty insurance with liability coverage necessary to protect the interest of Owner or Agent. Owner acknowledges that the Manager shall be placed in exclusive care, custody, and control of Owners property subject to VHM CV contractual relationship. 3. To the extent that the waiver of subrogation is permitted by insurance carriers of the respective parties, each part does hereby waive as to the other, the right of recovery for any peril which is covered by insurance including damage caused by or contributed to bethe negligence of the other party. 4. To contact our office for any reason regarding the Home Manager andnot to solicit or contract with said Home Manager as Renter during or following this contract for a term of 1 year. 5. That no fee will be charged to the Owner for this service. 6. To defend promptly and diligently, at Owners expense, any claim or legal action brought against Agent and Owner jointly due to Owners negligence.

Section IV. Statement of facts and services.

1. Agent will maintain the yard and utilities for 14 days if a Home Manager is removed or leaves before contract is fulfilled unless there is a breach in contract by the Owner.__________ initial to acknowledge 2. Agent will provide light cleaning and yard work on new homes, prior to Home Managers occupancy but will not haul away large loads of debris. Should this be required agent will negotiate a price with the Owner.

3. When the property is NOT A SHORT SALE and is a traditional sale the Agent requires the Owner agree to no less than a 45 day escrow. The Owner also waves their right to cancel the contract with VHM CV for anything other than a breach of contract for the first 60 days when the sale of their property is NOT a short sale. Once 60 days has passed since the Home Manger moved

into the home, a regular 30day escrow close can be used for a traditional sale. 4. The Agent will supply general pool service on an in ground pool. The Agent does not make any warranty on pools, spa, or pool equipment and is not responsible for the condition, repair, or theft of any pool or spa equipment or the area around them. 5. The VHM CV will provide a Sellers Home Protection Plan for the property for the term of the contract. The Owner, buyer or Realtor can option to extend and convert the coverage into Buyers Coverage at their own cost. 6. The Agent is not responsible for any such damages that happen as a result of an act of Nature or God or through the normal wear and tear as found by a licensed professional in the field. The Owner shall be responsible for either using their own insurance or funds to fix said property. The Owner may choose not to make the repairs for whatever reason however, if the Agent finds that the home is not livable for a Home Manger, the Agent reserves the right to the 7 day notice of with draw from the contract and will not maintain the property after the 7 day notice has expired.

Section V. Effective Date: This agreement will be effective on the _________day of __________________, 20_______. To continue in force until the sale or foreclosure of said property or until either party serves written notice of cancellation, in which event this agreement shall terminate.
