Dear Edwin, Asweprepareforthewintermonthsahead,weseehopefulsignsthattheeconomyispushingforward.Aswewentto press, the stock market, fluctuating up and down in seemingly ever shorter cycles, rebounded strongly and was up for the year. The Mortgage Bankers Associations seasonally adjusted gauge of loan requests for home purchases rose 1.8% in lateOctober,andhouseholdspendinghasincreasedatafasterpaceinrecentmonths. There was a decidedly upbeat mood among the more than 100 CEOs attending the fifth annual Outsell Signature Event, which is co-produced by The Jordan, Edmiston Group, Inc. (JEGI) and took place October 19-21 at the Arizona Biltmore in Phoenix,AZ.Attheevent,economistMichael B o s k i n s a i d , Im cautiously optimistic in presenting his economic outlook, and we share that sentiment. For sustained US economic growth, the Federal Reserve must keep inflation down; Europe has to successfully conclude its debt issues; and the US has to ease its debt burden, as this is one of the countrys biggest obstacles to sustained growth. We also believe that both consumers and CEOs need to regain confidence going forward (after large dips in October), so that our sluggish jobs growth can accelerate. JEGIs a n n u a l P r i v a t e E q u i t y F o r u m o n September 22nd at the Four Seasons Restaurant in New York also focused on marketing services and transformation, with an emphasis on social media and its evolution.KeynotespeakerJeffreyDachis, Founder & CEO, Dachis Group highlighted the urgent need for companies to harness the power of social technology to engage customers.JEGICo-Presidents Tolman Geffs and Scott Peters provided a presentation on marketing services M&A, w h i c h h i g h l i g h t e d t h e S o c i a l M e d i a Landscape, identifying the major media platforms, as well as the key suppliers of socialmediatools.CharlieEngros, Managing Partner, Morgan Lewis law firm, which sponsored the PE Forum, offered some insightful views on major changes affecting the M&A market, including changes to HSR and public deal terms, such as breakup fees, increasingly finding their way into private deals.

On the M&A front, acquirers are targeting a greater array of businesses for which much of the value lies in the technology, astheconvergenceofmediaandtechnologyforcontentdeliveryandadvertisingcreationisrevolutionizingtheindustry. Buyers are cautious, however, when it comes to acquiring technology and want to know about any issues that could impact value. Through October, JEGI has completed 15 transactions across the media, information, marketing services and technology sectors. The third quarter was especially busy, as we closed eight deals, including the sale of DMGTs US tradeshow division George Little Management to Providence Equity Partners for $180 million; social media agency Big Fuel to Publicis Groupe; social media insights provider EmPower Research to Genpact; display ad exchange AdJug to IgnitionOne (Dentsu); and HearstsCycleWorldtoBonnier. JEGIisoptimisticaboutM&Aactivityheadinginto2012.ConfidenceiskeytoahealthyM&Amarket,andwehavestarted to see business confidence return, as the stock market is trending nicely and banks are actively lending for larger companytransactions.Strategiccompaniesaresittingonmorethan$2trillionofcashandareeagertoputthiscapitalto workonacquisitionsthatwillenhancegrowthanddiversifyrevenuestreams.Privateequityfirmshavenearly$400billion ofcapitalonhandandarestartingtoputthiscashtoworkon$100+milliondeals.PEfirmsarealsostartingtobringto market portfolio companies that were acquired in the mid-2000s.
