Technical Limitation of Liability: To the extent permitted by applicable law, the Contest Entities, their respective parents, subsidiaries, affiliates, advertising and promotion agencies, legal and financial advisors, any and all companies associated with this Contest (including YouTube) and their respective officers, directors, shareholders, agents, licensees, licensors and employees, any Internet access providers and Facebook (collectively Released Parties) (except where due to the negligence, breach of these Official Rules or other default of a Released Party) are not responsible for incorrect or inaccurate entry of information, human error, technical malfunction, lost/delayed data transmission, omission, interruption, deletion, defect, line failure of any telephone, computer or other network, computer equipment, software or any combination thereof, inability to access the Contest Sites, for problems uploading any Entries or downloading any Contest-related materials from the Contest Sites, or for late Entries not received within the stipulated date and time, lost, damaged, misdirected, incorrect, incomplete, delayed, garbled, stolen or inaccurate Entries. Except where due to the negligence, breach of these Official Rules or other default of a Released Party, Released Parties are not responsible for mechanical, electronic, network, printing, typographical, or computer errors, or for any other problems or errors related to the Contest including, without limitation, any problems or errors in connection with the administration of the Contest, the processing of Entries, the incorrect uploading of any video, any votes received after any applicable deadline, the determination of the winners, the announcement of the prizes, or in any other Contest-related materials. Votes received for any Entry after any applicable deadline will be void. The Sponsor, Facilitator and Administrator reserve the right to review all Entries received during each Submission Period and to only post Entries on the Contest Site that conform to these Official Rules, as determined by the Sponsor and Facilitator in their sole discretion (Eligible Entries). Entries that do not comply with these Official Rules as determined by the Sponsor Facilitator, and Administrator, in their sole discretion, will be subject to disqualification from the Contest and removal from the Contest Site. The Contest Entities reserve the right to not post or to take down any Entry from the Contest Site at any time, for whatever reason, including subsequent determination that an Entry does not comply with these Official Rules. Released Parties are not responsible for any unauthorized use of Entries by third parties. 7. JUDGING TO DETERMINE THE POTENTIAL FINALISTS: All Eligible Entries received for each Submission Period will be judged by a panel of independent representatives of the Contest (Judging Panel). Judging will take place in the United States within thirty (30) days of the end of the applicable Submission Period. The Judging Panel will score each Eligible Entry based on the following judging criteria (Judging Criteria) and associated point score (with 100 points being the best total score an Entry can receive): Creativity and originality (up to 50 points) Votes received (as described in Section 8 below) (up to 25 points) Overall impression of Entry (up to 25 points) Based on the Judging Criteria, the Judging Panel will determine the top five (5) scoring Entries for each Submission Period, which will be deemed the Potential Finalists. In the event of a tie, all tied Entries will be re-judged by an additional judge selected by the Sponsor who will break the tie using the Judging Criteria. The Judging Panels decisions are final and binding in all matters relating to the Contest. If an insufficient number of eligible and qualified Entries are received and/or if any Potential Finalist fails to return required paperwork by the stated due date (see Section 9 below), the Contest Entities reserve the right to disqualify any Potential Finalist and/or select fewer than five (5) Potential Finalists. For the avoidance of doubt, Entries will be judged against all other Entries submitted in the same Submission Period. Entries from one Submission Period will not carry over to the judging for any other Submission Period. 8. PUBLIC VOTING: Subject to Sponsors right not to post Entries, Eligible Entries received will be posted to the Contest Site within forty eight (48) hours of receipt for voting by the online community. Entrants may

Samsung Talent Contest FINAL_REV2 Marden-Kane, Inc. July 20, 2011

vote for their own Entries. Voters will have the opportunity to critically evaluate each Entry based on the Judging Criteria and select their favorites by clicking the "Thumbs Up" button next to their selected Entries, as instructed. Limit one (1) vote per person per Entry per day that the entry is available for voting. (A Day is defined as a 24-hour period beginning at 00:00:01 GMT and ending 24 hours later.). Votes received from any person in excess of the stated limitation for any Day will be void. Persons voting will be encouraged to use the Judging Criteria in Section 7 to critically evaluate Finalist Videos. Finalists are prohibited from obtaining votes by any fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the public, as determined by Sponsor in its sole discretion. Determining Votes Received Score: Subject to Sponsors right not to post Entries, Eligible Entries will appear on the Contest Site for twenty (20) days after being posted to the Contest Site. Once all Eligible Entries for a given Submission Period have been posted for twenty (20) days, the Thumbs Up votes that each video received will be tallied. Votes received after the end of the applicable twenty (20) day period for any Entry will not be tabulated. The Eligible Entry that received the highest vote total for the Submission Period in which it was entered shall receive a score of 25 points. All other Eligible Entries will be given a score in proportion based on the number of votes received in comparison to the Entry that received the highest vote total. For example, if the highest vote total received by an Eligible Entry submitted in Submission Period 1 is 50 votes, that video would receive 25 points for votes received. As such, an Eligible Entry receiving 20 votes in Submission Period 1 would then receive 10 points, since 20 out of 50 votes would yield a proportional score of 10 out of 25 points. For the avoidance of doubt, the votes received score is dependent upon the amount of votes an Entry receives as well as the highest vote total received by any Entry for that Submission Period. 9. ADMINISTRATOR NOTIFICATION OF POTENTIAL FINALISTS: At the commencement of each Clearance Period, up to five (5) Potential Finalists will be notified by the Administrator of their selection via a message to their YouTube Site user account using the YouTube Messaging System and/or email on or about the Clearance Period start date listed for the applicable Clearance Period (see chart in Section 1 above) in which they entered and such Potential Finalists (and, if eligible minors, their parents or legal guardians) will be required to sign and properly execute the following documents and return them via email or facsimile (and subsequently by mail to the Administrator) so that they are received by email or facsimile by 22:00:00 GMT on the end date listed for the applicable Clearance Period: (1) an Affidavit (or, a Certificate or Declaration (as applicable)) of Eligibility and Publicity Release, unless prohibited by law; (2) an Entrant Agreement and Release; and (3) such other and further agreements as may be required by the Sponsor, including a Background Check Authorization Form (together, the Releases). If any Releases sent by any means to a Potential Finalist are returned as undeliverable, if Sponsor is unable to contact a Potential Finalist within a reasonable time period, if a Potential Finalist fails to properly execute and return all Releases by the applicable date set forth herein, or if a Potential Finalist is found not to be eligible or not in compliance with these Official Rules, the Potential Finalist will be disqualified and, at the sole discretion of the Sponsor, the next highest ranked (based on the Judging Panel scoring) Eligible Entry will advance and the Entrant who submitted such Eligible Entry will be notified as a Potential Finalist, time permitting. As indicated in Section 7, the Contest Entities reserve the right, in their absolute discretion, to select fewer than five (5) Potential Finalists for any Submission Period. Please note that the Affidavit/Declaration/Certificate of Eligibility and Publicity Release contains a consent to use, among other things, Potential Finalists full name, likeness, city of residence, and photographs for advertising and promotional purposes (as set forth more fully in Section 15 below) in respect to this Contest without additional compensation, notification or permission, unless prohibited by law. In addition, each Entrant (and, if an eligible minor. his/her parent or legal guardian) acknowledges and agrees that the Contest Entities reserve the right to disqualify any Potential Finalist at any time, in their sole discretion, on the basis of anything contained in or learned or obtained as a result of any submitted Releases or any other forms requested by the Contest Entities that, in their sole opinion, would constitute a breach of these Official Rules. 10. DETERMINATION OF THE MONTHLY PRIZE WINNERS: At the end of each Clearance Period, the Judging Panel will review the Finalist Entries to determine the top scoring Finalist Entry, which will be

Samsung Talent Contest FINAL_REV2 Marden-Kane, Inc. July 20, 2011

deemed the Monthly Prize Winner based on the Judging Criteria set forth in Section 7 of these Official Rules. In the event of a tie, all tied Entries for the Submission Period at issue will be re-judged by an additional judge selected by the Sponsor who, using the Judging Criteria, will break the tie. If an insufficient number of eligible and qualified Finalist Entries are received for any Submission Period, the Contest Entities reserve the right to not award a Monthly Prize. Designation as a Monthly Prize Winner is subject to Entrants proof of compliance with these Official Rules and maintaining compliance with these Official Rules. The decisions of the Sponsor are final and binding in all matters relating to this Contest, including interpretation and application of these Official Rules. 11. JUDGING TO DETERMINE THE GRAND PRIZE WINNER: All five (5) Monthly Prize Winners Entries will be judged by a second panel of independent representatives of the Contest Entities (Grand Prize Judging Panel). Judging will take place on or about January 24, 2012 in the United States. The Grand Prize Judging Panel will score each Monthly Prize Winners Entry based on the following judging criteria (Grand Prize Judging Criteria) and associated point score (with 100 points being the best total score an Entry can receive): Creativity and originality (up to 50 points) Votes received (as described in Section 12 below) (up to 25 points) Overall impression of Entry (up to 25 points) Based on the Grand Prize Judging Criteria, the Grand Prize Judging Panel will determine the top scoring Entry, which will be deemed the Grand Prize Winner. In the event of a tie, all tied Entries will be re-judged by an additional judge selected by the Sponsor who will break the tie using the Grand Prize Judging Criteria. The Grand Prize Judging Panels decisions are final and binding in all matters relating to the Contest. If an insufficient amount of eligible and qualified Entries are received, the Contest Entities reserve the right to not award a Grand Prize. 12. GRAND PRIZE VOTING PERIOD: At the commencement of the Grand Prize Voting Period, set forth in the Grand Prize Events chart in Section 1 above, all five (5) Monthly Prize Winners will have their winning Entries put up on the Contest Site for an additional public vote to determine the Grand Prize Winner. Voters will have the opportunity to critically evaluate each Entry based on the Grand Prize Judging Criteria in Section 11 and select their favorites by clicking the "Thumbs Up" button next to their selected Entries, as instructed. Limit one (1) vote per person per Entry per day. Monthly Prize Winners may vote for their own entries. Votes received from any person in excess of the stated limitation for any Day will be void. Votes received after the deadline of the Grand Prize Voting Period for any Entry will not be tabulated. Monthly Prize Winners are prohibited from obtaining votes by any fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the public, as determined by Sponsor in its sole discretion. Determining Votes Received Score: At the end of the Grand Prize Voting Period, the votes for each Monthly Prize Winner will be tallied. The Monthly Prize Winner that received the highest total number of valid votes during the Grand Prize Voting Period shall receive a score of 25 points. All other Entries will be given a score in proportion based on the number of votes received in comparison to the Monthly Prize Winner receiving the highest vote total during the Grand Prize Voting Period. For example, if the highest vote total received by a Monthly Prize Winner during the Grand Prize Voting Period is 50 votes, that video would receive 25 points for votes received. As such, an Eligible Entry receiving 20 votes during the Grand Prize Voting Period would then receive 10 points, since 20 out of 50 votes would yield a proportional score of 10 out of 25 points. For the avoidance of doubt, the votes received score is dependent upon the amount of votes an Entry receives as well as the highest vote total received by any Entry in the Grand Prize Voting Period. At the end of the Grand Prize Voting Period, the Sponsor will select one of the Monthly Prize Winners to become the Grand Prize Winner. 13. PRIZES: One (1) Grand Prize: The Grand Prize winner will have a video of their talent professionally produced as a documentary. A production company will travel to the winners home at Sponsors expense in order to produce the documentary. Exact length, dates and all other details of the documentary will be determined by Sponsor in its sole discretion. The Sponsor will own the rights to this film. Grand Prize

Samsung Talent Contest FINAL_REV2 Marden-Kane, Inc. July 20, 2011

Five (5) Monthly Prizes: The Monthly Prize winners will each receive a check for $3,000USD. Total Approximate Retail Value of all prizes is $25,000 USD. Cash prizes will be awarded by the Sponsor in the form of a check in USD, or the equivalent currency of the eligible jurisdiction of residence of the Winner (at the final rate of exchange on the date awarded). All cash prizes will be awarded on or about the Prize Awarded date listed in the chart in Section 1. If, for any reason, the Sponsor is unable to award a cash prize in the currency of the eligible jurisdiction of residence of a winner, the winner will have the cash prize awarded to him/her in USD. Prizes are non-transferable and no substitutions are allowed, except at the discretion of the Sponsor, which reserves the right to substitute a prize with one of comparable or greater value. For the avoidance of doubt, in the event that a cash prize is substituted with any goods, the relationship between Sponsor and winner shall not be that of seller and consumers. Except where prohibited by law, all federal, state, provincial, country or other tax liabilities are the responsibility of the winners and the Sponsor will not be responsible for any tax deductions which may be necessary. Winners are responsible for any costs and expenses associated with prize acceptance and use not specified herein as being provided, including any costs associated with clearing the check. The Grand Prize Winner (and, if an eligible minor, his/her parent or legal guardian) will be required to sign and properly execute a Production Release, to be provided by the production company producing the documentary. All details of any prize not specified herein shall be determined solely by the Sponsor. All prizes (with the exception of the documentary component of the Grand Prize) will be shipped to the delivery address specified by the Winner in his/her Affidavit (or, a Certificate or Declaration (as applicable)) of Eligibility and Publicity Release provided to the Contest Entities in accordance with Section 9 of these Rules. Winners cannot assign or transfer the prizes to another person. All prize details are at Sponsors sole discretion. In the event any winner is disqualified for any reason prior to fulfillment of prize, Sponsor may award the prize to a runner-up for the prize level and/or the Submission Period at issue, in its sole discretion, based on the Judging Criteria even if the disqualified winners name or Submission may have been shown or announced. If any Finalist and/or winner is a minor in his/her jurisdiction of residence, Sponsor reserves the right to award the prize in the name of his/her parent or legal guardian, as applicable. Such parent or legal guardian will be responsible for fulfilling all requirements imposed on Finalists and winners set forth herein, including the execution and return of any required documents. 14. However, by entering the Contest, to the extent allowed by law and to the extent an Entrant (and, if an eligible minor, his/her parent or legal guardian) agrees to the use and collection of his/her Personal Information (as defined below), Entrants (and any applicable third parties) grant the Sponsor, Facilitator, and their respective affiliates, licensees, promotional partners, developers, and third party marketing entities (collectively, Licensed Parties) a non-exclusive, perpetual, sublicensable, royalty-free, irrevocable license to edit, modify, cut, rearrange, add to, delete from, copy, reproduce, translate, dub, adapt, publish, broadcast, perform, exploit, and use the Entries themselves and the content of, and elements embodied in the Entries, including any names, locations, performances, and likenesses, in any and all media, including but not limited to digital and electronic media, computer, audio, and audiovisual media (whether now existing or hereafter devised), in any language, throughout the world, in perpetuity, and in any manner, advertising, promotional, commercial, or any other purposes without further review, notice, approval, consideration, or compensation to Entrant or any third party.
