Dear Candidate, On the basis of your performance in the interview held at our office on Jan 2011 we are pleased to extend an Appointment letter Dt 01 April 2011 , subject to the terms & conditions stipulated herein below. By your accepting this offer letter, you shall be deemed to have expressly understood, acknowledged and agreed that your employment with our company will be governed by the following terms & conditions: 1. Designation, Place of Posting, Joining Date, etc. (a) Your designation will be Manager-Sales & Marketing; however, it can be changed suitably in keeping with the task(s) handled by you, after informing you to that effect in writing. (b) Initially, you will be posted at our development centre currently situated at Gruhlaxmi Tower, Dosar Bhawan Sq, Besides Traffic Police Station, and C.A. Rd. Nagpur - 02. However, you may be transferred, for such period of time as deemed necessary, and at such terms & conditions as framed by our company at the relevant time, to any other development centre, department, office, division, unit, establishment - existing or future - forming part of our company, or to the development office/site of our associates/clients, by giving a written communication and reasonable time to you for joining duties at your next place of posting. (c) Subject to the terms and conditions stipulated herein and/or Service Agreement, if any, you execute with our company in accordance with the terms hereof, your appointment shall be effective from the date you join your duties in our development center at the address given in the preceding sub-clause Your employment is full time job and you are not allowed to engage yourself either directly or indirectly in any capacity other than the job of this company.

Hours of work The normal working hours are 10.00 to 19.00 hours from Monday to Saturday with 30 minutes leave for Lunch.( The Company can put in the number of hours, it requires the employee to work within certain statutory limits). Shift Timing can changed according. You are expected to devote such time and attention to your duties as may be reasonably required. Your salary takes into account an expectation that occasionally you may be required to work outside the specified hours. You are expected to devote yourself exclusively to the performance of your duties during your normal working hours and at the place of employment and at all other times that may be necessary for the proper performance of your duties. Your normal working period will be 12 months at least. During this period if you want to leave the job you will required to give 30 days prior notice before leaving the job 2nd clause will to pay full Two month salary.

Salary Structure, Allowances, Taxes, Deductions, etc. You will be entitled to an overall salary package as per the following breakup: Fixed Monthly Salary Net Salary Rs. 50,000

Employee entitled to the following leaves per annum as per the company norms:(1) Privilege leave : 12 days (2) Sick leave : 05 days

(3) For all official tours, which you may be required to undertake, you will be entitled to reimbursement of allowances/expenses for travelling, food,

boarding/lodging and other incidental expenses, as applicable, in accordance with our companys rules. Further, you would be entitled to all such benefits and incentives performance linked or otherwise - as may be granted by us from time to time in line with the policy framed in this regard. (b) The payment of salary and reimbursement of allowances to you shall be subject to the provisions of Indian Income Tax Act, 1961 and, also, the statutory deductions prescribed there under. Income Tax payable by you shall be deducted at source by our company as per rules unless you furnish within prescribed time limit, the necessary papers/documents required under law to seek any exemption/rebate in your income tax liability. Our company assumes no responsibility for your personal tax liability. (c) On termination of your employment whether voluntary or otherwise - we shall be deemed to have been authorized by you to deduct from the salary, salary in lieu of notice period, leave encashment, reimbursement, etc. which are payable to you at that time, all or any dues owed by you to our company and/or debts recoverable from you by our company. Any fine imposed by our company as a penalty pursuant to any disciplinary action against you, shall also form part of these deductions. 4. Essential Pre-requisites (a) Your employment in our company and its continuance is subject to production of a medical fitness certificate issued by a qualified medical practitioner to the effect that you enjoy a sound health and are not suffering from any serious ailment. (b) You are required to submit a self-declaration to the effect that no criminal case/complaint is pending against you. (c) This offer is being made subject to the accuracy of testimonials, certificates and information furnished by you and, also, to your being free from any pre-existing contractual obligations that may have the effect of curbing you from accepting this offer and extending your full-time services to our company. 5. Duties and Responsibilities (a) Depending upon your qualifications, knowledge, caliber and experience, our company may provide you with on-the-job training along with necessary infrastructural and instructional facilities.

(b) If considered necessary by our companys Management, one or more of our senior employees will be deputed to impart to you specialized training in your work domain and to guide, supervise, monitor and assist you in acquiring the requisite latest skills as well as expertise in contemporary technologies and methodology in order to become capable of achieving maximum productivity in most efficient manner. All the costs - direct and indirect to be incurred on your on-the-job training shall be borne solely by our company. (c) It is clearly understood and acknowledged by you that on account of various inputs and resources made available to you during your employment with our company, not only would you be gaining substantially in terms of expertise, experience, knowledge and newer skills but your earning potential would also grow immensely. (d) You shall submit yourself to the orders of our companys Management or the officers under whom you may be placed from time to time for carrying out the duties assigned to you. You shall observe our companys rules of conduct of service. You shall discharge your duties and functions to the best of your ability.

(e) You shall not, except in case of accident or sickness duly certified by competent medical authority, absent yourself from work without taking prior permission from the Management of our company or its authorized officer. (f) You may be required to attend to work on off-days and/or holidays if the same is expedient and necessary for timely completion of an urgent assignment. Depending upon the contingent requirements of work, at times, your working hours may be modified or stretched within reasonable limits. (g) You shall not engage yourself either directly or indirectly in pursuing any other business activity, vocation, profession, occupation and shall devote your entire time and skills towards diligent performance of the duties assigned to you by our company. In case of academic/professional, courses you would require written permission from the organization provided it does not hamper your performance and your professional duties.

(h)

You will be responsible for the safekeeping of and for returning in good condition and order, all our property, which may be in your use, custody or charge. In case, anything gets lost, stolen or damaged while it is in your use, custody or charge, the value thereof shall be recovered from you. (i) Throughout the tenure of your employment with our company, any change in your marital status as well as residential address/contact details must be duly intimated to us in writing within one week of such change being effective. Also, you are required to keep us informed about your residential address and telephone number(s) as well as the official address and telephone number(s) of your employer until expiry of at least six months from the date on which your employment in our company is ended. (j) Unless any change in your address is duly intimated to us in writing; all the letters, notices and/or any other written communication sent by and/or on behalf of our company shall be deemed to have been received by you if those are sent via registered post to the same address of yours as first mentioned hereinabove.

(k)

In case of your getting involved in any civil/criminal litigation or legal proceedings, you will inform us about the same in writing. You will not perform any acts which are not befitting your position and which, in any manner, would or are likely to adversely affect the reputation of our company.

(m) You will not enter into any commitment or deal on behalf of our company or its Management or exceed the authority, nor alter or be a party to any such alteration of any principle or policy of the Management or exceed the authority or discretion vested in you without the prior sanction of the Management or those in authority over you. 6. Performance of Review

a) At the end of 1st year your performance will be reviewed and the same will be confirmed or will be extended or terminated as the case may be. b) There will be an formal review of your performance at a time deemed appropriate by your line manager. The purpose of the review is to recognize your contribution to the company, to consider your personal development in the company and to discuss projects and aims of the coming year.

c) The review does not remove the need for regular and informal discussion with your line manager. It is your duty to raise any problems or issues that you may have, as and when they arise. d) At your review you will be expected to comment on your overall performance over the past period of service and to raise any problems or issues that you would like to tackle in the coming year. 7. Expenses

7.1 You are entitled to reclaim expenses reasonably and genuinely incurred by you on the companys behalf and in performance of your duties. Such claims for expenses incurred during any month are to be submitted as soon as possible and in any case not later than 7 days after the end of each month. All claims are necessarily to be supported by an authentic receipt or written voucher 8. 8.1 Holiday Entitlement Your paid holiday entitlement to all usual Public Holidays

8.2 An employee who joins the company on or before the 4th day of the month is entitled to full holiday credit for that month. An employee who leaves the company before last working day of a month is not entitled to any holiday credit for that month. Entitlement for part of the year is calculated to the nearest whole day. 8.3 The Holiday year begins on 1st January. Holiday entitlement unused in any calendar year may not be carried forward to the next year unless specifically agreed with the chief Executive. 8.4 No Annual Holiday may be taken without submitting to the line manager a written request, giving at least 5 days notice for less than five days holiday and 15 days notice for five or more days. 9. Confidentiality, Non-Disclosure and Non-Compete (a) Under any circumstances, both during and after the course of your employment with our company, you shall not share with and/or disclose to any person all such confidential information as you may gain access to by virtue of your being in the employment of our company - including but not limited to its intellectual property, details of technical knowhow, security arrangements, administrative or organizational matters, trade secrets, business strategies, addresses, rates, correspondence and the likes relating to our company or our companys existing and/or prospective future customers,

clients, associates, partners or their customers, clients, associates, partners - unless and until your failure to disclose such information would amount to a violation of any court order or law for the time being in force including any government directive. (b) You are not permitted to remove or cause to be removed or copy (by mechanical, photographic or other means) documents including but not limited to software code, software application, client records, client list, economic and financial analysis, financial data, customer contracts and any other document lying in our companys office(s) at any time for any purpose other than ordinary course of business of our company, that too, without obtaining written approval from the authorized official(s) of our company.

Breach of Contract In addition to the circumstances enumerated in the Service Agreement, if any, executed by you with our company, the following acts/deeds and lapses/errors of omission & commission on your part shall constitute a breach of contract: (a) Failure to comply with any of the terms & conditions mentioned herein (b) Misrepresentation or giving false/misleading information and documents and/or testimonials about yourself (c) Willful/repeated failure to perform duties or to follow directives of superior(s) (d) Any act of fraud/misappropriation or indiscipline or misconduct or insubordination (e) Gross negligence (f) Dereliction/abandonment of duties (g) Unapproved absence i.e. absence from office/duties for over seven days without obtaining permission in writing for the same from the officer whom you are reporting to (h) Any other act/deed which, in the opinion of our companys Management, is detrimental to the interests of our company or any of its employees.

Termination of Employment (a) In the event of your having committed a breach of contract explained hereinabove, your services shall be terminated without giving any notice or salary in lieu thereof, however, such termination will not prejudice our companys legal right to take appropriate legal action against you and to obtain from you, compensation for damages as stipulated in Clause No. 8 hereof in accordance with the provisions of law.

(b) Unless your employment is terminated for any breach of contract, your employment can be brought to an end by our company after giving 60 days notice or salary in lieu thereof, however, if your employment is not governed by any Service Agreement, you can bring your employment to an end only by giving 60 days notice in writing. Except in case of management's discretion, the leave due to you at that time will not be adjusted towards the notice period and, also, if any leave is availed by you during notice period, the same will be excluded from the 60-day notice period. 12. Right of Modification/Alteration Our company reserves the right to alter/amend/add/delete any of the provisions mentioned herein and all such amendments/alterations/changes shall be binding on you. The decision of our company shall be final in all matters pertaining to service rules and policy matters. 13. Disputes & Settlement In case of any difference or dispute between you and our company in relation to the respective rights or obligations and the interpretation of any clause embodied herein, the same shall be referred to the sole arbitration of either the Managing Director of our company or any other person who may be appointed by him and, in that event, you shall not have any objection against such appointment. The provisions of THE INDIAN ARBITRATION AND CONCILIATION ACT, 1996 and any modifications thereof shall be applicable for amicable solution of the dispute. The venue of arbitration shall be Nagpur in the State of Maharashtra. Subject hereto, the principal court at Nagpur shall have exclusive jurisdiction to the exclusion of all other courts.
