DEED OF SALE MOVABLE PROPERTIES THIS DEED OF SALE IS MADE AND EXECUTED ON THIS THE ____ DAY , YEAR

TWO THOUSAND ELEVEN (__/12/2011) AT. BY: 1. _________S/o. ____ , Aged about ___ years and And hereinafter collectively referred to as the VENDORS which term wherever the context admits or permits shall mean and include their respective legal representatives, nominee/s, executors, administrators, assignees, successors etc., ON THE ONE PART. IN FAVOUR OF 1. _____, aged about ___ years, Son of ____, And hereinafter referred to as the PURCHASER which term wherever the context admits or permits shall mean and include his heirs, legal representatives, nominee/s, executors, administrators. Assignees, successors etc., ON THE OTHER PART A. Whereas VENDORS being interested in acquiring and constructing a apartment in relation to the undivided interest in land entered in to a deed of sale dated ____ bearing document No _____ in the office of the sub registrar,______: and

B. Whereas

the

VENDORS

pursuant

to

the

completion

of

construction, was put in possession of the apartment No 1 in building No 2 and also owned the undivided interest in the land to the extent of ___the vendors purchased several movable assets in the form of furniture, house decoration equipment and other objects for the purpose of making the apartment a habitable place.

C. Whereas the VENDORS vide affidavit dated ____authorized their power of attorney holder to negotiate and sell the apartment along Schedule A properties. D. Whereas the VENDORS intended to sell the apartment along with Schedule A properties along with undivided interest in the land and one car parking area in the basement.; and E. Whereas the Vendors further have paid several deposits in the form of membership to the club situated in the apartment complex, deposits to the Apartment Owners Association etc, which they intend to transfer to the Purchaser. F. WHEREAS the VENDORS have represented to the PURCHASERS that they are the true and absolute owners of the apartment along with Schedule A properties, being movable assets, and hereby confirm that apart from them no other person/s has/have any right, title, interest and/or claim in or upon the same and the apartment along with all the belongings in the apartment is free from all sorts of encumbrances / attachments / acquisition / requisition proceedings and/or claim/s put forth by any other person/s and or statutory authority/ies; and G. WHEREAS the VENDORS hereby assure and covenant that the Schedule A properties are not a subject matter of any proceedings under the Income-tax Act, Wealth Tax Act, Gift Tax Act, Reserve Bank of India Act and/or any other authority and further assure the PURCHASERS that the SCHEDULE A PROPERTIES are not a subject matter of any acquisition proceedings either under the State Act or under the Central Act or any other act empowering

any other authority to acquire the SCHEDULE A PROPERTIES ; and H. WHEREAS the VENDORS herein further represented that they have not entered into any sort of agreement or arrangement with any other person/s in respect of the SCHEDULE A PROPERTIES conveyed under this deed of sale; and I. WHEREAS the VENDORS have offered to sell the SCHEDULE A PROPERIES for a sale consideration of Rs 15,00,000/- (Rupees Fifteen lakhs only ): and J. Whereas the Purchasers have acquired the apartment and the undivided interest in the land vide a deed of sale dated _____ registered in the office of the Sub registrar , ________ bearing deed No _______ in C. D No _____________. K. WHEREAS the pursuant to the purchase of the apartment and the undivided interest in the land ,the PURCHASERS have accepted to purchase the SCHEDULE A PROPERTIES on the representations made by the VENDORS; and L. WHEREAS on the representations made by the VENDORS as above the PURCHASERS who have paid the entire consideration, has called upon the VENDORS to execute this deed of sale movable assets.

Now this deed of sale witnesseth as follows: 1. The VENDORS hereby grant, sell, transfer, convey and assign by way of absolute sale all their right, title and interest over the items

mentioned in the SCHEDULE A PROPERTIES together with rights, advantages, appurtenances, whatsoever pertaining to or belonging to the items mentioned and recognized as Schedule A properties unto and to the use of the PURCHASER who shall hold and enjoy the same forever for a total consideration of Rs. Rs. 15,00,000/(Rupees fifteen lakhs only) free from all encumbrances. The Vendors have also handed over the procession of the apartment as described in para A of this agreement on this day by executing a deed of sale which has been registered in the office of the sub registrar, ________ 2. The PURCHASER has paid the entire consideration of Rs.

15,00,000/- (Rupees twenty two lakhs only) paid to the VENDORS by way of ____________ cheque No drawn on _____ bank.

Thus the VENDORS have received the entire consideration of Rs. 15,00,000/- (Rupees fifteen lakhs only) as above from the PURCHASER. The receipt of which the VENDORS hereby acknowledge at the time of signing THIS DEED OF SALE movable assets before the witnesses in full quittance of the agreed sale consideration. The VENDORS hereby discharge the PURCHASER from any further payment obligations whatsoever.

The

vendors

have

further

transferred

the

all

deposits

and

membership that are associated and are part and parcel to the apartment are also transferred to the PURCHASERS: and, 5. The VENDOR has handed over the items as mentioned in the SCHEDULE A to the PURCHASER today and the PURCHASER hereby confirms that she has taken the possession of the items mentioned in the SCHEDULE

The PURCHASER and their successors in title hereinafter shall be entitled to enjoy the items mentioned in the SCHEDULE A by virtue of this deed of sale absolutely without any impediments/hindrances from any person or persons.

The VENDOR has handed over all the documents and warranty documents relating to the items mentioned in the SCHEDULE which the Purchaser has acknowledge having received the same.

The VENDOR assures the Purchase that the items mentioned in the SCHEDULE A are of best quality as represented and the Vendor further assures that the items mentioned in the SCHEDULE A are not damaged and are in good and tenable condition. The Purchaser after an inspection of the items as mentioned in the SCHEDULE A has accepted the items as being transferred to them in as it is where it is basis. SCHEDULE A PROPERTIES
